PAYMENT 付款 (e.g. (A) LC, (B) C.O.D , (C) AFTER T/T,請(qǐng)選其一) (A) The Buyer, upon receipt from the Seller of the shipping advice specified in Clause 11 hereof, shall, open an irrevocable letter of credit with Buyer Bank in favor of the Sellers for the total value of the contract. The credit shall be available against Seller draft drawn at sight on the opening bank for 100% invoice value accompanied by the shipping documents specified in Clause 10 hereof. Payment shall be effected by the opening bank by telegraphic transfer against presentation to them the aforesaid draft and documents. GUARANTEE OF QUALITY 品質(zhì)保證 The Sellers guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in standard terms and conforms to the data sheets or technical manuals of the commodities contracted. 賣(mài)方保證此貨物是用最好的材料,一流的工藝,是原廠、原包裝，符合制造商規(guī)定的品質(zhì)和級(jí)別的新產(chǎn)品，設(shè)備的保修條款按制造商制定的標(biāo)準(zhǔn)條款執(zhí)行（詳見(jiàn)附件二）. 14. CLAIMS 索賠Within XX days after the arrival of the goods at destination, should the specification, or quantity be found not in conformity with the stipulations of the Contract except those claims for which the insurance company or the carrier are liable, the Buyers shall, on the strength of the Inspection Certificate issued by China Entry and Exit Inspection and Quarantine Authorities (hereinafter referred to as CIQ), have the right to claim for replacement with new goods, or for compensation or repair and all expenses (such as inspection charges, repairing fee, freight for returning the goods and for sending the replacement, or the repaired goods, insurance premium, storage, loading and unloading charges etc.) shall be borne by the Sellers. As regards quality, the Sellers shall guarantee that if, the installation and inspection for acceptance of the commodities contracted are required, damages and/or defects occur in the course of operation by reasons of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by CIQ. The Certificate so issued shall be accepted as the base of a claim. If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers. The Sellers, in accordance with the Buyers claim, shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s). When agreed by the Sellers, the Buyers may eliminate the defect(s) themselves at the Sellers expenses. 如果在貨物到達(dá)目的港的 天內(nèi)發(fā)現(xiàn)其質(zhì)量、規(guī)格或數(shù)量不符合本合同之規(guī)定（因保險(xiǎn)公司或承運(yùn)方應(yīng)負(fù)責(zé)的索賠除外），買(mǎi)方有權(quán)憑中國(guó)國(guó)家進(jìn)出境檢驗(yàn)檢疫局出具的檢驗(yàn)證書(shū)要求換貨，或要求補(bǔ)償，而且所有的費(fèi)用（如檢驗(yàn)費(fèi)、退貨的運(yùn)費(fèi)以及更換貨物的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉(cāng)儲(chǔ)費(fèi)、裝卸費(fèi)等等）應(yīng)由賣(mài)方承擔(dān)。關(guān)于質(zhì)量問(wèn)題，賣(mài)方擔(dān)保設(shè)備驗(yàn)收合格之日（如需要在華安裝,調(diào)試,驗(yàn)收時(shí)）起12個(gè)月在操作過(guò)程中發(fā)現(xiàn)因質(zhì)量低劣、工藝不好或因采用了低劣的材料而貨物發(fā)生損壞或故障時(shí)，買(mǎi)方將立即以書(shū)面形式通知賣(mài)方并憑中國(guó)出入境檢驗(yàn)檢疫機(jī)構(gòu)出具的檢驗(yàn)證書(shū)提出索賠。開(kāi)具的檢驗(yàn)證書(shū)應(yīng)作為索賠的基礎(chǔ)而予以接受。如果在收到上述索賠要求的一個(gè)月內(nèi)不予答復(fù)，則認(rèn)為賣(mài)方已經(jīng)接受買(mǎi)方的索賠要求。賣(mài)方應(yīng)按照買(mǎi)方的要求負(fù)責(zé)立即排除故障，全部或部分更換貨物。在賣(mài)方同意時(shí),買(mǎi)方可自行排除故障，費(fèi)用由賣(mài)方承擔(dān)。15. FORCE MAJEURE 不可抗力The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, such as war, serious fire, flood, typhoon and earthquake, or other events agreed upon between both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within 10 days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof.Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.賣(mài)方對(duì)不可抗力原因如戰(zhàn)爭(zhēng)、嚴(yán)重火災(zāi)，洪水、臺(tái)風(fēng), 地震或雙方同意的其他事件所造成的遲交和未交付不負(fù)有責(zé)任.賣(mài)方在發(fā)生上述事件時(shí)應(yīng)立刻通知買(mǎi)方，并在10天內(nèi)空郵買(mǎi)方一份由相應(yīng)政府部門(mén)簽署的事件發(fā)生證明。在上述情況下，賣(mài)方仍有責(zé)任采取所有措施來(lái)加快貨物的交付。若上述事件持續(xù)超過(guò)10個(gè)星期，買(mǎi)方有權(quán)取消上述合同。16. LATE DELIVERY AND PENALTY 遲交罰款Should the Seller fail to make delivery in time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 15 of this Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. The penalty, however, shall not exceed 5% of the total value of the Contract . The rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the Contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.若買(mǎi)方未能按合同要求按時(shí)交付，除非是因?yàn)楸竞贤?5款規(guī)定的不可抗力原因。在賣(mài)方同意支付罰款的條件下，買(mǎi)方將同意延遲交貨。罰款由買(mǎi)方在支付的貨款中扣除，此罰款應(yīng)不超過(guò)合同總價(jià)的5%。罰款率為每七天0.5%. 不足7天按7天計(jì)算。如果賣(mài)方在合同規(guī)定的交付期10周后仍未交貨，則買(mǎi)方有權(quán)撤銷合同。在此情況下，賣(mài)方仍應(yīng)將上述罰金付給買(mǎi)方，不得延遲。17. ARBITRATION 仲栽All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Beijing) in accordance with its Arbitration Rules .
