1、本租約模本使用說明Notes of this Template Tenancy Agreement1. 本租約同時(shí)適用于乙方(承租方)為個(gè)人或公司的情形,但特別注明僅適用于乙方為個(gè)人的情形或僅適用于乙方為公司的情形的條款除外。This template is applicable to Party B (Tenant) as either individual tenant or company tenant, except as expressly provided for that any clause shall be applied to Party B as individual t

2、enant only or company tenant only.2. 請于本租約附件一中填入房屋交付時(shí)該房屋的附屬設(shè)施設(shè)備情況,以及水、電、煤等公用事業(yè)費(fèi)計(jì)量表度數(shù)及鑰匙數(shù)量。In Appendix I, please insert the information of the facilities and equipments, the meter reading for public utility fees and the key numbers upon hand-over of the Property.3. 本租約正文條款為通用條款,對(duì)其任何補(bǔ)充、修改請于附件二中列明。The

3、main context of this template tenancy agreement provides general terms, and any supplements or amendments to which shall be stipulated in Appendix II.4. 請于本租約附件三中粘貼甲方(出租方)身份證明(如營業(yè)執(zhí)照、身份證、護(hù)照等)以及該房屋的房產(chǎn)證的復(fù)印件。In Appendix III, please attach the copy of identification document of Party A (Landlord) (e.g. B

8、rty A to Party B on the terms and conditions mutually agreed by and between the Parties hereto as follows:一、租賃房屋狀況:Status of the Property to be leased:1.1 甲方同意將其所有的房屋(“該房屋”,詳見本協(xié)議附件四第1條)及其現(xiàn)有裝修及家具、家電設(shè)施設(shè)備(“附屬設(shè)施設(shè)備”,詳見本協(xié)議附件一)在良好可租賃狀態(tài)下租給乙方。該房屋建筑面積(詳見本協(xié)議附件三)最終應(yīng)以房地產(chǎn)權(quán)證/房屋所有權(quán)證記載為準(zhǔn)。Party A hereby agrees to lea

9、se its own property (the “Property”, PLEASE REFER TO Clause 1 in Appendix 4 hereof for details) together with the existing fitting-out, furniture and electrical appliances (the “Facilities & Equipment”, PLEASE REFER TO Appendix 1 hereof for details) therein in good and tenantable condition to Pa

10、rty B. The construction area of the Property (PLEASE REFER TO Appendix 3 hereof for details) shall be finally subject to the record of the real estate ownership certificate.1.2 該房屋僅供乙方(如乙方為個(gè)人)或乙方(如乙方為一家公司)之職員(“實(shí)際居住人”,詳見本協(xié)議附件四第2條)作為住宅使用。The Property is subject to residential use only for Party B (if

11、Party B is an individual) or the employee(s) of Party B (if Party B is a company) (the “Actual Resident”, PLEASE REFER TO Clause 2 in Appendix 4 hereof for details).1.3 甲方承諾并保證其對(duì)該房屋擁有合法完整的所有權(quán),有權(quán)向乙方出租該房屋,該房屋他項(xiàng)權(quán)利狀況應(yīng)如本協(xié)議附件四第3條規(guī)定所示。Party A undertakes and guarantees its full and legal title to the Proper

12、ty and the right to lease the Property to Party B, and subject only to the encumbrances over the Property SET OUT IN Clause 3 in Appendix 4 hereof.二、租賃期和續(xù)租:Lease Term and Renewal:2.1 租賃期應(yīng)為本協(xié)議附件四第4條規(guī)定的期限(“租賃期”)。The lease term (the “Lease Term”) is STIPULATED IN Clause 4 in Appendix 4 hereof.2.2 租賃期屆滿

13、,乙方如要求續(xù)租,須在本協(xié)議期滿前貳(2)個(gè)月向甲方提出書面申請。在同等條件下,乙方享有優(yōu)先續(xù)租權(quán),續(xù)租期為本協(xié)議附件四第5條規(guī)定的期限。雙方應(yīng)在本協(xié)議期滿前壹(1)個(gè)月簽訂續(xù)租協(xié)議。除租金、租賃期及本款規(guī)定之優(yōu)先續(xù)租權(quán)外,續(xù)租協(xié)議的條款條件應(yīng)與本協(xié)議相同。續(xù)租租金由雙方根據(jù)屆時(shí)市場價(jià)格合理商定,但調(diào)整幅度不得超過本協(xié)議附件四第5條規(guī)定的范圍。Upon expiry of the Lease Term, if Party B wishes to renew the lease, Party B shall have the priority to renew the lease on the

14、same condition for a term as STIPULATED IN Clause 5 in Appendix 4 hereof, provided that Party B shall issue a written notice to Party A two (2) months prior to the expiry of the Lease Term. The Parties shall enter into a renewed tenancy agreement one (1) month prior to the expiry date of this Agreem

15、ent. Terms and conditions of the renewed tenancy agreement shall remain unchanged as those under this Agreement, except for rent, lease term and the priority of renewal stipulated hereunder. The rent for the renewed term shall be negotiated between the Parties according to the then fair market value

16、, but the change in the rent shall not exceed the extent STIPULATED IN Clause 5 in Appendix 4 hereof.三、租金及支付方式:Rent and Payment Method:3.1 租賃期內(nèi),本協(xié)議下之租金(“租金”)應(yīng)如本協(xié)議附件四第6條規(guī)定所示。During the Lease Term, the rent hereunder (the “Rent”) shall be SUBJECT TO Clause 6 in Appendix 4 hereof.如租賃期首日所在的第一個(gè)日歷月的租賃期間不足

17、一個(gè)日歷月,或者租賃期滿或提前終止時(shí)的最后一個(gè)日歷月內(nèi)的租賃期間不足一個(gè)日歷月,則該等月份的租金應(yīng)按照該月內(nèi)的實(shí)際租賃天數(shù)計(jì)算。Should the lease period of the first calendar month, in which the first day of the Lease Term fall, be short of a calendar month, or the lease period of the last calendar month prior to the expiration or early termination of the Lease T

18、erm be short of a calendar month, the rent for such month shall be calculated based on the actual days under lease within this month.3.2 租金須按日歷月以人民幣支付,各月應(yīng)付租金乙方應(yīng)于當(dāng)月的第十四(14)日或之前付清。盡管有前述規(guī)定,甲方應(yīng)于每月付款到期日前的十四(14)日或之前提供稅務(wù)發(fā)票予乙方,乙方應(yīng)在收到甲方的稅務(wù)發(fā)票后十四(14)日或上述付款到期日(以較晚的為準(zhǔn))內(nèi)匯至如本協(xié)議附件四第9條所示的甲方銀行賬戶,相關(guān)銀行手續(xù)費(fèi)由乙方承擔(dān)。The rent

19、 shall be paid in RMB on a calendar-monthly basis, on or before the fourteenth (14th) day of each calendar month. Notwithstanding the foregoing, Party A should issue a tax invoice to Party B at least fourteen (14) days prior to the due date for the payment of the rent on a monthly basis, and Party B

20、 should remit the payment to the Party As bank account as SET OUT IN Clause 9 in Appendix 4 hereof by the latter of (x) the expiration of fourteen (14) days after receiving the tax invoice or (y) the above-mentioned due date for the payment. Any relevant bank charges shall be borne by Party B.3.3 如乙

21、方逾期超過三十(30)日未付租金,且經(jīng)甲方書面催告后仍未支付,則甲方有權(quán)終止本協(xié)議,乙方已支付之保證金(見下文定義)將用于所欠租金的抵償,余額(如有)應(yīng)在本協(xié)議終止后七(7)日內(nèi)無息退還乙方。If the rent has not been paid by Party B for more than thirty (30) days after the due date and is still outstanding after Party A giving demand notice in writing, Party A is entitled to terminate this Agr

22、eement. The Deposit as defined below will be used to offset the outstanding rent. And the balance (if any) shall be refunded to Party B within seven (7) days upon the termination of this Agreement without interest.3.4 在租賃期內(nèi),租金不予增加。The rent shall not be increased during the Lease Term.四、其它費(fèi)用:Other Ex

23、penses:4.1 租賃期內(nèi)乙方所用電話費(fèi)按電信局標(biāo)準(zhǔn)收費(fèi),每月結(jié)算實(shí)際用量(基本月租費(fèi)由甲方承擔(dān))由乙方按單據(jù)自行繳付。Telephone expenses shall be paid by Party B according to actual usage during the Lease Term and based on the Telecommunication Bureau standard tariffs and the bills received (Party A shall be responsible for the basic monthly telephone fe

24、e.).4.2 租賃期內(nèi)發(fā)生的公用事業(yè)費(fèi)(包括水、電、煤氣、取暖費(fèi))由乙方承擔(dān),但本協(xié)議另有規(guī)定的除外。Public utility fees (including water, electricity, gas and heating charges) incurred during the Lease Term shall be borne by Party B, unless otherwise agreed hereunder.五、保證金:Deposit:5.1 本協(xié)議簽訂后十(10)日內(nèi),乙方應(yīng)按本協(xié)議附件四第7條規(guī)定的數(shù)額向甲方繳付租賃保證金(“保證金”),甲方應(yīng)在本協(xié)議簽訂后向乙

25、方提供付款通知,并應(yīng)在收到保證金后五(5)日內(nèi)向乙方提供收據(jù)。租賃期滿,乙方如不再續(xù)租,或本協(xié)議提前終止,甲方應(yīng)在租賃期滿或提前終止,且乙方將應(yīng)繳付的電話費(fèi)及公用事業(yè)費(fèi)付清或可自保證金中扣除該等電話費(fèi)及依據(jù)公用事業(yè)費(fèi)計(jì)量表度數(shù)計(jì)算的公用事業(yè)費(fèi)后的七(7)日內(nèi)將保證金無息退還。Within ten (10) days upon execution of this Agreement, Party B shall pay to Party A the deposit ACCORDING TO Clause 7 in Appendix 4 hereof (the “Deposit”). Party

26、A shall issue a debit note to Party B after signing of the Agreement and also issue a receipt to Party B within five (5) days upon the receipt of the Deposit from Party B. Upon expiration of the Lease Term, if Party B does not renew the lease, or upon the early termination of this Agreement, Party A

27、 shall refund the Deposit (without interest) to Party B within seven (7) days after Party B has paid all applicable telephone expenses and those public utility charges or after deducting therefrom such telephone expenses and public utility charges as calculated according to the meter reading for pub

28、lic utility fees.5.2 乙方如違反本協(xié)議規(guī)定,致使甲方未能如期收取租金或因而發(fā)生費(fèi)用開支,甲方可以根據(jù)實(shí)際損失以保證金抵付,不足部分甲方有權(quán)請求乙方賠償,乙方必須在接到甲方付款通知后十(10)日內(nèi)補(bǔ)足保證金。If Party B breaches this Agreement, so that Party A does not receive the rent before the due date, or suffers additional expenses, Party A is entitled to retain part or the whole Deposit

29、to compensate its actual losses. If the Deposit is insufficient to cover Party As loss, Party A may claim against Party B for compensation, and Party B shall make up the Deposit with Party A within ten (10) days upon receiving the demand notice from Party A.六、甲方的責(zé)任:Party As Responsibilities:6.1 甲方須于

30、本協(xié)議附件四第8條規(guī)定的交付日(“交付日”)前將該房屋及附屬設(shè)施設(shè)備以良好、完整、清潔的狀態(tài)交付乙方使用。甲方應(yīng)盡量提供附屬設(shè)施設(shè)備的說明書,或就附屬設(shè)施設(shè)備的使用做出說明和指導(dǎo)。雙方應(yīng)按本協(xié)議附件一所示狀況對(duì)該房屋及附屬設(shè)施設(shè)備進(jìn)行驗(yàn)收、記錄公用事業(yè)費(fèi)計(jì)量表度數(shù)并交付鑰匙。自該房屋交接書簽署并且鑰匙交付之時(shí)起該房屋視為交付給乙方。Party A shall hand over the Property and the Facilities & Equipment in a good, complete and clean condition to Party B for use be

31、fore the hand-over date AS STIPULATED IN Clause 8 in Appendix 4 hereof (the “Hand-over Date”). Party A shall endeavor to provide the manual of the Facilities & Equipment, or provide explanation and instruction on how to use the same. The Parties shall inspect and accept the Property as well as t

32、he Facilities & Equipment on such conditions as indicated in Appendix 1, record the meter reading for public utility fees and deliver the key. The Property shall be deemed as having been handed over to Party B upon the execution of the letter of hand-over of the Property and delivery of the keys

33、.6.2 如屆時(shí)因甲方原因不能按時(shí)交付該房屋的,則雙方同意本協(xié)議項(xiàng)下的交付日和租賃期相應(yīng)順延,且自逾期交付之日起,甲方應(yīng)向乙方按日支付月租金的0.1%作為違約金。但如逾期交付超過十(10)日,則乙方有權(quán)解除本協(xié)議,并要求甲方賠償乙方因此而遭受的任何損失。If the Parties fails to hand over the Property due to Party As reason, the Parties agree that the Hand-over Date and Lease Term shall be postponed and extended accordingly,

34、and Party A shall pay to Party B an amount of 0.1% of the rent for each day in default as penalty. If the hand-over is delayed for over ten (10) days, Party B is entitled to terminate this Agreement and claim against Party A for any losses incurred therefrom.6.3 甲方須自付費(fèi)用負(fù)責(zé)對(duì)該房屋及其附屬設(shè)施設(shè)備進(jìn)行三(3)個(gè)月一次的定期維修維

35、護(hù),特別應(yīng)在季節(jié)更替前對(duì)空調(diào)、取暖設(shè)施進(jìn)行定期維修維護(hù)。除定期維修維護(hù)外,如出現(xiàn)不明原因的煙火、漏水溢水、漏電或漏氣,或該房屋或其附屬設(shè)施設(shè)備因其自身質(zhì)量原因受到損壞時(shí),甲方應(yīng)在接到乙方通知之時(shí)起三(3)日內(nèi)及時(shí)完成修繕工作并承擔(dān)有關(guān)的費(fèi)用。緊急情況下,如該損壞將對(duì)乙方人身或財(cái)產(chǎn)安全造成即時(shí)損害的,則甲方應(yīng)在接到乙方通知之日起24小時(shí)內(nèi)自費(fèi)完成維修工作。若甲方未能在上述期限內(nèi)修復(fù)的,乙方有權(quán)自行修理或更換,并且所產(chǎn)生費(fèi)用由甲方償付,乙方亦有權(quán)在下一期租金中扣除該等費(fèi)用。如該房屋的任何損壞嚴(yán)重影響居住的(如空調(diào)、取暖設(shè)施持續(xù)失靈,或不明原因的煙火、漏水溢水、漏電或漏氣持續(xù)出現(xiàn),或乙方的財(cái)物因而發(fā)

36、生重大損失),則乙方有權(quán)在書面通知甲方后單方面終止本協(xié)議,并不視為違約,甲方應(yīng)在本協(xié)議終止后七(7)日內(nèi)賠償乙方因此而遭受的實(shí)際損失。但如乙方?jīng)Q定繼續(xù)履行本協(xié)議,則甲方仍應(yīng)繼續(xù)履行該維修義務(wù),并在維修期間,向乙方免費(fèi)提供不低于該房屋條件的住所。Party A shall be responsible for regular maintenance and repair of the Property and the Facilities & Equipment once every three months, especially for regular maintenance and

37、 repair of the air-conditioners and heating facilities prior to the shift of the seasons. In addition to the regular maintenance and repair, if there occurs a fire or smoke, leakage or overflow of water, leakage of electricity or leakage of gas, for unknown reason, or the Property or the Facilities

38、& Equipment are damaged due to their poor quality, Party A shall at its own cost complete the repair work within three (3) days upon receiving the notice from Party B. In case of emergency where such damage may lead to immediate personal injuries or damage to Party B, Party A shall complete the

39、repair work at its own cost within twenty-four (24) hours upon receiving Party Bs notice. If Party A fails to repair within the above-mentioned period, Party B may repair or effect the replacement itself, and thereafter to be reimbursed by Party A, or deduct such expenses so incurred from the next d

40、ue rent. If any damage to the Property severely affects Party Bs right to use the Property as a residence (e.g., continuous non-operation of air-conditioners or heating facilities, or continuous fire or smoke, leakage or overflow of water, leakage of electricity or leakage of gas, for unknown reason

41、, or material damages to the assets of Party B therefore, etc.), Party B may unilaterally terminate this Agreement upon serving Party A a written notice, which shall not be deemed as breaching of this Agreement, and in which case Party A shall compensate Party B for Party Bs actual loss within seven

42、 (7) days upon termination of this Agreement. However, if Party B determines to continue the performance of this Agreement, Party A shall continue to perform its obligation for repair and maintenance, and provide Party B with accommodations on condition no worse than that of the Property for free du

43、ring the period for repair and maintenance.6.4 如在租賃期內(nèi),該房屋發(fā)生所有權(quán)全部或部分的移轉(zhuǎn)或其他影響乙方權(quán)益的事情時(shí),甲方應(yīng)保證所有權(quán)人或其他影響乙方權(quán)益的第三者,能繼續(xù)遵守本協(xié)議所有條款,反之如乙方權(quán)益因此而遭受損害,甲方應(yīng)負(fù)賠償責(zé)任。During the Lease Term, if all or any of the title to the Property is assigned or any other happening affects the rights and interests of Party B in relation

44、 to the Property, Party A should guarantee that the owner or any other third party that affects the rights and interest of Party B continue to perform this Agreement on terms hereof. Otherwise, Party A shall be liable for compensating Party B for the loss of the rights and interests so suffered.6.5

45、在乙方按期支付租金的情況下,甲方有義務(wù)按時(shí)向物業(yè)管理處繳納物業(yè)服務(wù)費(fèi)及向有關(guān)收費(fèi)單位繳納有線電視使用費(fèi)、衛(wèi)星電視使用費(fèi)(如適用)等根據(jù)約定應(yīng)由甲方負(fù)責(zé)繳納的費(fèi)用。甲方應(yīng)提前為乙方辦理一切手續(xù)以保證乙方于交付日入住并正常享有物業(yè)服務(wù),并確保乙方持續(xù)享有該等服務(wù)。Party A is obliged to pay the property management fee to the property management office and any other fees payable by Party A such as cable TV usage fee, satellite TV usa

46、ge fee (if applicable) to the relevant entites regularly on time provided that Party B pays the rent timely. Party A shall go through all the formalities for Party B in advance in order to let Party B to enjoy full benefit of the management assistance and move in on the Hand-over Date, and procure P

47、arty B to enjoy such benefits continuously.6.6 甲方應(yīng)按時(shí)交納有關(guān)政府機(jī)構(gòu)要求其支付的針對(duì)該房屋的稅費(fèi),包括甲方就在本協(xié)議項(xiàng)下租金收入應(yīng)付的有關(guān)稅款。Party A shall pay the applicable taxes and expenses payable on the leased Property as designated by any relevant government authority, including the relevant taxes payable on rent received by Party A un

48、der this Agreement.6.7 甲方應(yīng)當(dāng)確保乙方在租賃期內(nèi)擁有并享用該房屋,令其不受甲方打擾,并不受任何宣稱因其隸屬于甲方,或經(jīng)由甲方委托為其管理而擁有該房屋管理權(quán),或其他第三方的打擾。Party A shall guarantee Party B to have quiet possession and enjoyment of the Property during the Lease Term without any interruption by Party A or anyone who claims to be a subordinate of Party A, or

49、 having the right to manage the Property due to the authorization by Party A, or any third party.6.8 租賃期內(nèi)甲方不得無故收回該房屋(除非本協(xié)議另有規(guī)定)。Party A may not without cause take possession of the Property from Party B during the Lease Term unless otherwise provided hereunder.6.9 租賃期內(nèi),甲方應(yīng)確保物業(yè)服務(wù)企業(yè)提供充分的保安消防工作及安靜清潔的居住

50、環(huán)境。During the Lease Term, Party A shall ensure that the property management service company provides adequate security, fire prevention service and quiet & clean living environment.6.10 在根據(jù)本協(xié)議有權(quán)進(jìn)入該房屋時(shí),甲方應(yīng)提前通知并盡量降低對(duì)乙方使用該房屋的影響,并不得損壞乙方在該房屋內(nèi)的財(cái)物。When entering into the Property in accordance with this

51、 Agreement, Party A shall give a prior notice and use its best endeavors to minimize the influence to Party Bs use of the Property, and not to damage Party Bs assets in the Property.6.11 甲方應(yīng)負(fù)責(zé)為該房屋及其附屬設(shè)施設(shè)備購買保險(xiǎn),以甲、乙雙方為共同受益人,并在乙方要求時(shí)提供該保單及相關(guān)文件的復(fù)印件。Party A shall be responsible for taking out insurance fo

52、r the Property together with the Facilities & Equipment. Party A and Party B shall be the co-insured. Party A shall provide copies of the insurance policy and the relevant documents when requested by Party B.6.12 甲方應(yīng)確保該房屋、附屬設(shè)施設(shè)備以及該房屋內(nèi)的空氣質(zhì)量等對(duì)乙方/實(shí)際居住人的安全性,并不對(duì)其正常居住產(chǎn)生任何不利影響。Party A shall guarantee t

53、he safety of the Property, the Facilities & Equipment and the air quality in the Property to Party B/the Actual Resident, and ensure no adverse effect on the Actual Residents normal residence.七、乙方的責(zé)任:Party Bs Responsibilities:7.1 乙方應(yīng)按本規(guī)定交付租金,保證金和各項(xiàng)費(fèi)用,如有拖欠,則作違約論。Party B should pay the rent, depos

54、it and other expenses in accordance with this Agreement. Default in payment will constitute a breach of this Agreement.7.2 租賃期內(nèi)未經(jīng)甲方同意,乙方不得轉(zhuǎn)讓和轉(zhuǎn)租該房屋,乙方(如乙方為一家公司)供實(shí)際居住人或另行指定的其他實(shí)際居住人使用或乙方(如乙方為個(gè)人)轉(zhuǎn)讓或轉(zhuǎn)租給其供職的雇主公司或該雇主公司指定的員工除外。During the Lease Term, without Party As consent, Party B cannot assign or sub-lea

55、se the Property, except that Party B may, if Party B is a company, provide the Property to the Actual Resident or any other Actual Resident designated by Party B or, if Party B is an individual, assign or sub-lease the Property to its corporate employer or other personnel designated by his corporate
