40、知買方，以便買方租船訂艙。c、買方應(yīng)在裝船期前 日通知賣方船名、預(yù)計裝船日期、合同號，以便賣方安排裝運，要求 賣方與船方代理保持密切聯(lián)系。d、如果有必要改變裝運船只或者其到達日期，買方或其運輸代理應(yīng)及時通知賣方。e、 如果船只不能在賣方通知的船期后日內(nèi)到達裝運港，買方應(yīng)承擔(dān)從第日起發(fā)生的貨物倉儲保管費用和此期間的貨物保險費用。f 、若載運船舶如期抵達裝運港， 賣方因備貨未妥而影響裝船， 則空艙費和滯期費均由賣方承 擔(dān)。g、貨物越過船舷之前，一切費用和風(fēng)險由賣方承擔(dān)；貨物越過船舷之后， 一切費用和風(fēng)險屬買方。（ 2 ） cfr 和 cif 條款：賣方于本合同第六條規(guī)定的裝運日期前天，以電報信件把

41、交貨預(yù)定期、合同號、品名、發(fā) 票金額等通知買方。貨物交辦發(fā)運，賣方即刻以電報信件將合同號、品名、發(fā)票金額、交 辦日期通知買方，以便買方及時投保。第十三條允許 / 不允許部分裝運或轉(zhuǎn)運。第十四條賣方有權(quán)在 數(shù)量內(nèi)溢裝或短裝。 第十五條質(zhì)量保證： 賣方保證：所供貨物，其質(zhì)量、規(guī)格和工藝符合本合同所作的說明，標(biāo)明商標(biāo)的貨物包裝為 新的和未經(jīng)使用的。 保證期為自貨到目的港卸貨完畢之日起12 個月。在質(zhì)量保證期內(nèi)， 凡因設(shè)計、制造工藝和所有材料而產(chǎn)生的缺陷，賣方應(yīng)自負(fù)費用進行修理或更換貨物。第十六條檢驗： 在貨物運抵最終目的地后，買方有權(quán)向向貨物檢驗機構(gòu)申請對貨物進行檢驗。檢驗機構(gòu)為中 華人民共和國進出

42、口商品檢驗局。第十七條 . 索賠： 自貨到目的港起天內(nèi)，經(jīng)發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量、重量、包裝、安全或衛(wèi)生條件與合同 規(guī)定不符者，除應(yīng)由保險公司或船方承擔(dān)的部分外，買方可憑前條規(guī)定的檢驗機構(gòu)所出具的 商品檢驗證書，有權(quán)要求更換或索賠。賣方應(yīng)在收到索賠要求后天內(nèi)回復(fù)買方。貨到目的港起 12 個月內(nèi)， 使用過程中由于材料質(zhì)量和工藝問題而出現(xiàn)的損傷，買方應(yīng)當(dāng)立即以書面形式通知賣方并出具前條規(guī)定的檢驗機構(gòu)開列的檢驗證書，提出索賠，賣方應(yīng)當(dāng)承擔(dān) 違約責(zé)任。賣方應(yīng)在收到索賠要求后天內(nèi)回復(fù)買方。第十八條 不可抗力： （1）在貨物制造和裝運過程中，由于不可抗力的原因（如戰(zhàn)爭、嚴(yán)重火災(zāi)、水災(zāi)、臺風(fēng)和地 震或其他

43、由雙方認(rèn)可的事件）致使延期交貨或不能交貨，賣方概不負(fù)責(zé)。賣方于不可抗力事 件發(fā)生后，應(yīng)立即通知買方并在事發(fā) 天內(nèi)，以航空郵件將事故發(fā)生所在地當(dāng)局簽發(fā)的證書 寄交買方以作證據(jù)。（ 2）在此情況下， 買賣雙方應(yīng)當(dāng)根據(jù)具體情況確定合同是否能夠繼續(xù)履行以及賣方是否仍有 責(zé)任采取必要措施促使盡快交貨。 （ 3）不可抗力事故發(fā)生后超過 天而合同尚未履行完畢， 買 方有權(quán)解除合同。第十九條合同延期和罰款：除本合同十八條所述不可抗力原因外， 賣方若不能按合同規(guī)定如期交貨， 應(yīng)當(dāng)提前 通知買方， 買方可同意延期交貨，且可以同時相應(yīng)減少議定的貨款支付金額，并通知付款銀行相應(yīng)減少 議定的支付金額。該減少的部分作為合

44、同延期履行的違約金，但違約金數(shù)額不得超過遲交貨 物總額的 5。賣方若逾期 10 個星期仍不能交貨，買方有權(quán)解除合同，且有權(quán)要求賣方如期 支付上述違約金。第二十條合同爭議的解決方式： 凡涉及本合同或因執(zhí)行本合同而發(fā)生的一切爭議， 應(yīng)通過友好協(xié)商解決， 如果協(xié)商不能解決， 則可提交中國 - 西安仲裁委員會根據(jù)該會的仲裁規(guī)則和程序進行仲裁。仲裁將在西安進行， 仲裁裁決是終局的，對雙方都有約束力。仲裁費用由仲裁庭決定具體承擔(dān)。第二十一條附加條款： （ 1）法律適用： 本合同之簽訂地、或發(fā)生爭議時貨物所在地在中 華人民共和國境內(nèi)或被訴人為中國法人時， 適用中華人民共和國法律， 除此規(guī)定外， 適用聯(lián) 合國
