1、出口業(yè)務(wù)合作協(xié)議書Export Business Cooperation Agreement出口代理方： XXXXX （以下簡稱甲方 ）Export Agent: XXXXX (hereafter refer to as Party A)委托方： XXXXX （以下簡稱乙方 ）Consignor: XXXXX (hereafter refer to as Party B)為了發(fā)揮各自優(yōu)勢，共同做好出口創(chuàng)匯工作，本著“誠實(shí)、信用”的原則，甲、乙雙方經(jīng)過友好 協(xié)商達(dá)成協(xié)議如下：To take full advantage of each Party and earn foreign exchang

2、e through exports mutually,in compliance with the principle of “ honesty and credit ”, Party A and Party B have reached the following agreement after friendly negotiations:合作形式：I. MODE OF COOPERATION1. 乙方以其擁有的出口客戶和進(jìn)貨渠道以及資金與甲方進(jìn)行出口業(yè)務(wù)合作， 乙方承諾其擁有的出口 客戶和進(jìn)貨渠道沒有侵犯第三者的權(quán)益， 進(jìn)行的出口業(yè)務(wù)內(nèi)容合法， 無欺詐等行為， 否則乙方承擔(dān)最 終的相關(guān)法律

3、責(zé)任 ;2. 合作期間，甲方應(yīng)對(duì)乙方的客戶資料進(jìn)行必要的保密， 不得利用乙方的客戶資源私自進(jìn)行相關(guān)的 交易和貿(mào)易。export business with the export clients, capital and commit that the export clients and supplying channel of a third party, and its export business scope must3. 甲方負(fù)責(zé)報(bào)關(guān)、報(bào)驗(yàn)、制單結(jié)匯等工作1. BASIC STIPULATION（ 一 ） 甲方的權(quán)利和義務(wù)：1. 按照甲方的標(biāo)準(zhǔn)合同格式負(fù)責(zé)對(duì)外出口合同的簽訂2. 按照甲方標(biāo)準(zhǔn)合同格式與有關(guān)的供貨單位簽訂代理出口合同3. 負(fù)責(zé)報(bào)關(guān)、報(bào)驗(yàn)、投保、結(jié)匯以及有關(guān)文件的申領(lǐng) （應(yīng)由乙方提供的文件除外 ）等工作, 要求及時(shí)、 準(zhǔn)確4. 按照代理出口合同約定

6、的付款時(shí)間及時(shí)與供貨單位結(jié)算貨款5. 甲方所需電動(dòng)車輛等產(chǎn)品，均有甲方提供資源及產(chǎn)品；(I) . RIGHTS AND OBLIGATIONS OF PARTY A1. Party A shall be responsible for signing the standard contract form;export contract in accordance with Party s2. Party A shall be responsible for clearance of goods, application for inspection, settlement and application for corresponding documents (except the document which shall be provided by Party B) and so on, which shall be finished accurately in ti

8、me;4. Party A shall settle with corresponding supplier for the goods according to the date stipulated in the export agent service agreement in time;5. The resources and products, like electrical vehicles, which Party needs shall all be provided by Party A.（ 二 ） 乙方的權(quán)利和義務(wù)：1. 由乙方為甲方出資并代購所需產(chǎn)品 ;2. 按照出口合同

9、的有關(guān)規(guī)定負(fù)責(zé)出口貨物的質(zhì)量監(jiān)督和把關(guān)工作，督促有關(guān)供貨單位按時(shí)、按質(zhì)交貨并對(duì)有關(guān)供貨方的質(zhì)量承擔(dān)擔(dān)保連帶責(zé)任3. 及時(shí)向甲方提供與出口業(yè)務(wù)有關(guān)的文件或單據(jù)(II) . RIGHTS AND OBLIGATIONS OF PARTY B1.2.3.Party B shall provide funds and purchase the needed products for Party A;Party B shall be responsible for the quality inspection and supervision of export goods and supervising

10、 corresponding supplier deliver goods in time with good quality and Party A also hold joint responsibility for the quality of goods supplied by corresponding supplier according to stipulation of the export contract;Party B shall provide documents or receipts related to export business to Party A.（ 三

11、 ） 業(yè)務(wù)操作的具體規(guī)定：1. 由乙方具體負(fù)責(zé)出口業(yè)務(wù)的磋商和成交工作，對(duì)外簽訂出口合同須以甲方名義并使用甲方的標(biāo)準(zhǔn) 出口合同格式。(ASDDFGHHJKLLLJJJ.)或價(jià)格優(yōu)勢（質(zhì)量相無誤”; 同時(shí)，應(yīng)積極2. 出口合同的賣方和 / 或信用證的受益人是： * 有限公司 注：在T/T匯款的情況下,應(yīng)要求客戶在匯款單上注明出口合同號(hào)碼。3. 若乙方供貨商的產(chǎn)品比起乙方提供的產(chǎn)品有質(zhì)量優(yōu)勢（價(jià)格相同的情況下） 同的情況下） ; 則應(yīng)優(yōu)先采用乙方提供的產(chǎn)品。4. 甲方應(yīng)認(rèn)真制作有關(guān)的出運(yùn)、報(bào)關(guān)、報(bào)驗(yàn)和結(jié)匯單據(jù)，做到“準(zhǔn)確、完整、 協(xié)作乙方及時(shí)申領(lǐng)和寄送有關(guān)文件 ;5. 合作期間，如為乙方出資購買的

12、貨物，在貨物已出運(yùn)的情況下甲方應(yīng)按照該筆代理合同的付款時(shí) 間付款給乙方。如每超出 1 個(gè)月未付，甲方則按該此次合同交易總金額的 10%罰款賠償給乙方，直至 將該次合同交易金額付給乙方為止。(III) . SPECIFIC STIPULATIONS ON BUSINESS OPERATION 1. The detailed responsibility of Party B shall be for business negotiation and making deals. Party B signing contract with other parties shall be in the

13、name of Party A in terms of in terms standard export contract of Party A.2. The seller and/or beneficiary of letter of credit of the export contract shall be: XXXXXX Ltd. (ASDDFGHHJKLLLJJJ.)3. In case of quality superiority (under the condition of same price) or price advantage(under the condition o

14、f same quality) of products provided by Party Bs supplier, PartyA shall purchase Party B s products in priority.4. Party A shall make relative receipts, such as shipment, declaration at the custom, application for inspection and settlement of exchange,“accurately and intactly withoutany mistake ” .

15、Meanwhile, Party A shall assist Party B to apply and send corresponding documents in time;5. In case the goods was purchased by Party B, Party A shall pay the price of goods in accordance with time of payment stipulated in the agreement under the condition that the goods has been delivered. In case

16、Party A do not pay the price for each overdue, Party A shall pay 10%of total transaction amount as penalty to Party B according to terms stipulated in the agreement until the payment is settled.（ 四 ） 利益結(jié)算與分配：1. 如此合同業(yè)務(wù)為乙方出資購買產(chǎn)品，出口客戶也為乙方的客戶，甲方將不得收取服務(wù)代理相關(guān)的 費(fèi)用。2. 如此合同業(yè)務(wù)為乙方出資購買產(chǎn)品，出口客戶也為甲方的客戶，甲方將收取一定金額的服務(wù)

17、代理 費(fèi)用，費(fèi)用額度見每筆代理合同的附件協(xié)議。(IV) . PROFIT SETTLEMENT AND DISTRIBUTION 1. In case business which have been involves in the agreement has been funded by Party B and the export business client also belongs Party B, Party A shall not charge for agent commission correspondingly.2. In case business which have

18、been involves in the agreement has been funded by Party B and the export business client belongs to Party A, Party A shall charge for definite agent commission correspondingly. The amount of each agent commission has been stipulated in the attachment agreement.五）其它事項(xiàng)2.1.本意向書是雙方合作的基礎(chǔ)，為促使雙方更快、更有效的合作。雙

19、方在合作過程中生爭議，應(yīng)友好協(xié)商解決，協(xié)商不成，雙方均可向本意向書簽訂地人民法院 提起訴訟。3.本意向書一式兩份，甲乙雙方各執(zhí)一份，由雙方代表簽字蓋章后生效，具備同等法律效應(yīng)。4.雙方在簽署正式合作協(xié)議之前，均有權(quán)對(duì)此合作細(xì)節(jié)、合作方式、合作方案等做出修改及建議。5.未盡事宜，雙方另行協(xié)商(V).
