SHIPMENT運(yùn)輸：The Sellers shall ship the goods within the shipment time from the port of shipment to thedestination.Transshipment are allowed. Partial shipment is not allowed.賣方應(yīng)于交貨期內(nèi)將合

7、同貨物從裝貨港運(yùn)到目的港,允許轉(zhuǎn)運(yùn)、不允許分批裝運(yùn).11. SHIPPING ADVISE裝船通知：賣方應(yīng)于裝貨完成后,用郵件方式將有關(guān)合同號、品名、數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱、交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買方,買方提前做好接貨準(zhǔn)備.The sellers shall upon the completion of the loading of the goods, advise by mail to the buyers of the Contract No., commodity, quantity, invoiced value, gross weight, name of

8、vessel, date of delivery and transport cargo arrival date information etc. The buyer should be fully prepared before goods arrival.12. QUALITY AGREEMENT質(zhì)量約定：賣方保證合同貨物符合出口國、進(jìn)口國質(zhì)量技術(shù)要求由賣方提供進(jìn)口國技術(shù)標(biāo)準(zhǔn).The seller guarantees that the contract goods conform to the quality and technical requirements of exporter

9、 and importer the technical requirements of importer should be provided by seller13. Discrepancy and Claim異議與索賠In case of quality discrepancy, claim should be lodged by the Buyers within daysafter the arrival of the goods at the port of destination, while for quantity discrepancy, claim should be lo

10、dged by the Buyers within days after the arrival of the goods at the port of destination. In all cases, claims must be accompanied by Survey Reports ofRecognized Public Surveyors agreed to by the Sellers. Should the responsibility of the subjectunder claim be found to rest on the part of the Sellers

11、.The buyer raises objections if exceedthe objection period of contract,the seller shall not be approved and does not assumeresponsibility品質(zhì)異議須于貨到目的口岸之日起 天內(nèi)提出,數(shù)量異議須于貨到目的口岸之日起 天內(nèi)提出,但均須提供經(jīng)賣方同意的公證行的檢驗(yàn)證實(shí).如責(zé)任屬于賣方者,賣方于收到異議 天內(nèi)答復(fù)買方并提出處理意見.買方超出合同約定的異議期限內(nèi) 提出異議的,賣方不予認(rèn)可并不承擔(dān)責(zé)任.14. FORCE MAJEURE不可抗力：The Sellers sh

12、all not be held responsible if they fail, owing to Force Majeure cause or causes,to make delivery within the time stipulated in this ontract or cannot deliver the goods. However,the Sellers shall inform immediately the Buyers by cable. The Sellers shall deliver to theBuyers by registered letter, if

13、it is requested by the Buyers, a certificate issued by the ChinaCouncil for the Promotion of International Trade or by any competent authorities, attesting theexistence of the said cause or causes. The Buyers' failure to obtain the relative Import Licenceis not to be treated as Force Majeure.因人力

14、不可抗拒事故使賣方不能在本售貨合約規(guī)定期限內(nèi)交貨或不能交貨,賣方不負(fù)責(zé)任,但是賣方必須立即以電報(bào)通知買方.如果買方提出要求,賣方應(yīng)以掛號函向買方提供由中國國際貿(mào)易促進(jìn)委員會或有關(guān)機(jī)構(gòu)出具的證實(shí),證實(shí)事故的存在.買方不能領(lǐng)到進(jìn)口許可證,不能被認(rèn)為系屬人力不可抗拒范圍.15. ARBITRATION 仲裁：Any dispute arising from or in connection with this Contract shall be submitted to ChinaInternational Economic and Trade Arbitration Commission for

15、arbitration which shall beconducted in accordance with the Commission's arbitration rules in effect at the time ofapplying for arbitration. The arbitral award is final and binding upon both partied. Arbitration feeshall be borne by the losing party. Performance of this contract and dispute resol

16、ution areapply to the law of the People's Republic of China.與此合同有關(guān)的爭議應(yīng)通過友好協(xié)商解決.如果協(xié)商無法解決,提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會進(jìn)行仲裁.根據(jù)申請仲裁時(shí)該會現(xiàn)行有效的仲裁規(guī)那么進(jìn)行仲裁.仲裁裁決是終局的,對雙方均有約束力.仲裁費(fèi)用由敗訴方承擔(dān).本合同履行及爭議解決適用中華人民共和國法律.16. BANK CHARGES 銀行費(fèi)用:All bank charges outside the People's Republic of China mainland will be on the account

17、 of thebuyer.所有中華人民共和國大陸地區(qū)之外的銀行費(fèi)用均由買方承擔(dān).17.OTHER TERMS其它條款：+The covering Letter of Credit shall stipulate the Sellers' s option of shipping the indicatedpercentage more or less than the quantity hereby contracted and be negotiated for the amountcovering the value of quantity actually shipped. 19、sof thisContract. In case of any variation there of necessitating amendment of the L/C, the Buyersshall bear the expenses for effecting the amendment. The Sellers shall not be held responsiblefor possible delay of shipment resulting from awaiting the amendment of the L/C and reservethe right to clai

20、m from the Buyers for the losses resulting therefrom.信用證內(nèi)容須嚴(yán)格符合本售貨合約的規(guī)定,否那么修改信用證的費(fèi)用由買方負(fù)擔(dān).因修改信用證而延誤裝運(yùn)的,賣方不承擔(dān)責(zé)任,并保存因此而發(fā)生的一切損失的索賠權(quán).+Except in cases where the insurance is covered by the Buyers as arranged, insurance is tobe covered by the Sellers with a Chinese insurance company.
