Shipping Advice/裝運(yùn)通知：The Seller shall, within 48 hours upon the completion of the dispatch of the goods, advise by fax the Buyer of the Contract No., commodity, quantity, invoice value, gross weight, flight no. and date of arrival etc. 賣方應(yīng)在合同貨物發(fā)出后48小時(shí)內(nèi)，用傳真通知買方合同號(hào)、貨物

Guarantee/質(zhì)量保證：The Seller guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract. Claims/索賠：Within 90 days after the arrival of the goods at the destination, should the quality, specification or quantity be found not in conformity with the stipulations of the Contract except those claims for which the in

17、surance company or the owners of the vessel are liable, the Buyer shall, on the strength of the Inspection Certificate issued by the Entry-Exit Inspection and Quarantine of P. R. China, have the right to claim for replacement with new goods, or for compensation, and all the expenses (such as inspect

18、ion charges, freight for returning the goods and for sending the replacement, insurance premium, storage, loading and unloading charges etc.) shall be borne by the Seller. As regards quality, the Seller shall guarantee that if, within the guarantee period, damage occur in the course of operation by

19、reason of inferior quality, bad workmanship or the use of inferior materials, the Buyer shall immediately notify the Seller in writing and put forward a claim supported by Inspection Certificate issued by the China Commodity inspection Bureau.在貨物到達(dá)目的港口90天時(shí)間內(nèi)，如發(fā)現(xiàn)質(zhì)量、說明書或數(shù)量不符合合同規(guī)定，除非那些由保險(xiǎn)公司或船只本應(yīng)負(fù)的索賠外，買

20、方憑中華人民共和國出入境檢驗(yàn)檢疫局簽發(fā)的驗(yàn)收證明，有權(quán)提出用新的貨物或零件替換，所有費(fèi)用(例如檢驗(yàn)費(fèi)，貨物返回和更換發(fā)送的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、貯存費(fèi)、裝卸費(fèi)等等)由賣方負(fù)擔(dān)。關(guān)于質(zhì)量問題，賣方應(yīng)保證貨物在質(zhì)保期內(nèi)，如果由于質(zhì)量低劣、工藝落后或采用低劣的材料而在操作過程中造成事故，應(yīng)立即以書面形式通知賣方，并以中國商檢局簽發(fā)的檢驗(yàn)證明作為依據(jù)，提出索賠。The Certificate so issued shall be accepted as the base of a claim. 21、responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s). If the Seller fails to answer the Buyer within 1 Month after receipt of the aforesaid claim, the claim shall be reckoned

22、as having been accepted by the Seller.中華人民共和國出入境檢驗(yàn)檢疫局所簽發(fā)的證明是索賠依據(jù)，賣方應(yīng)按照買方的索賠要求，立即消除瑕疵，全部或部分地更換商品或按照瑕疵的程度將貨物貶值。此外，有必要提出的是：買方在賣方承擔(dān)費(fèi)用后，自己有責(zé)任來消除瑕疵。如果賣方在收到上述索賠證明后一個(gè)月內(nèi)不予答復(fù)，則認(rèn)為賣方已接受該索賠。Unless the law provides otherwise, neither party shall be liable to the other party for indirect losses (e.g., loss of reve

23、nue or profit, loss of goodwill, loss of data) in connection to or arising out of this Contract. Force Majeure/不可抗力：The Seller shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur duri

25、ng the process of manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within 2 weeks thereafter, the Seller shall send by mail express to the Buyer for their acceptance a certificate of the accident issued by the C

26、ompetent Government Authorities where the accident occurs as evidence thereof.任何一方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù)的，不負(fù)責(zé)任：水災(zāi)、火災(zāi)、地震、旱災(zāi)、戰(zhàn)爭或任何在簽約時(shí)不能預(yù)料、無法控制且不能避免和克服的事件。但受不可抗力影響的一方，應(yīng)盡快將所發(fā)生的事件通知對(duì)方，并應(yīng)在事件發(fā)生后2周內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。Under such circumstances the Seller, however, are still under the obligation to t

27、ake all necessary measures to hasten the delivery of the goods. Late Delivery and Penalty/推遲交貨和罰款：Should the Seller fail to make delivery on tim

28、e as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 14 of this Contract, the Buyer shall agree to postpone the delivery on condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The penal

29、ty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days. In case the Seller fail to make delivery 10 weeks later than the time of shipmen

30、t stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyer without delay.除本合同14款中規(guī)定的情況外，如果賣方?jīng)]有按照合同規(guī)定準(zhǔn)時(shí)交貨，買方同意賣方在承擔(dān)罰款、并由開證行從議付款中扣除的條件下延期交貨。在延期交貨中，罰款不得超過遲交部分總貨值的5%，罰款率為每7天0.5%, 少于七

Arbitration/仲裁：All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations. In cases no settlement can be reached, the case may then be submitted for arbitration to the Arbitration Committee of China Council for the Promotion o
