The Parties wish to explore a business opportunity of mutual interest (the “Opportunity) and in connection with the Opportunity; each Party may disclose to the other Party certain confidential technical and business information which the di

5、 tangible objects (including business plans, customer data, designs, documents, drawings, engineering information, financial analysis, hardware configuration information, inventions, market information, marketing plans, processes, products, product plans, research, services, specifications, software

6、, source code or trade secrets, and other technical and market related information). Confidential Information may also include information disclosed to a disclosing Party by a third party. Confidential Information shall not, however, include any information which (i) was publicly known and made gene

7、rally available in the public domain prior to the time of disclosure by the disclosing Party; (ii) becomes publicly known and made generally available after disclosure by the disclosing Party to the receiving Party through no action or inaction of the receiving Party; (iii) is already in the possess

8、ion of the receiving Party at the time of disclosure by the disclosing Party as shown by the receiving Party's files and records immediately prior to the time of disclosure; (iv) is obtained by the receiving Party from a third party without a breach of such third party's obligations of confi

9、dentiality; (v) is independently developed by the receiving Party without use of or reference to the disclosing Party's Confidential Information, as shown by documents and other competent evidence in the receiving Party's possession; or (vi) is required by law to be disclosed by the receivin

10、g Party, provided that the receiving Party shall give the disclosing Party written notice of such requirement prior to disclosing so that the disclosing Party may seek a protective order or other appropriate relief. 2“保密信息指一方向另一方直接或間接，口頭、書(shū)面或以其他有形載體披露的信息包括經(jīng)營(yíng)方案、客戶數(shù)據(jù)、設(shè)計(jì)方案、文件、圖紙、工程信息、財(cái)務(wù)分析、硬件結(jié)構(gòu)信息、創(chuàng)造、市場(chǎng)信息

11、、營(yíng)銷(xiāo)方案、工藝流程、產(chǎn)品信息、產(chǎn)品方案、研究信息、效勞信息、規(guī)格、軟件、初始密碼或商業(yè)秘密，以及其它與技術(shù)和市場(chǎng)相關(guān)的信息。保密信息可以包括由第三方披露給披露方的信息。然而，保密信息不應(yīng)包括1在披露方披露之前已被公眾所知曉，在公開(kāi)場(chǎng)所可正常獲得的信息；2在披露方披露之后因非接收方的作為或不作為之因素導(dǎo)致被公眾所知曉，在公開(kāi)場(chǎng)所可正常獲得的信息；3在披露方披露該信息時(shí)在接收方的檔案資料和記錄中顯示接收方已經(jīng)擁有的信息；4接收方從第三方前提：該第三方未違反保密義務(wù)獲得的信息；5接收方的文件和其他有效證據(jù)顯示是其在未使用或參照披露方信息的情況下獨(dú)立開(kāi)發(fā)、研制的信息；或6法律要求接收方泄露的信息，但

12、在泄露之前，接收方應(yīng)當(dāng)書(shū)面通知原披露方，以便原披露方可申請(qǐng)保護(hù)指令或獲得其他適當(dāng)?shù)木葷?jì)措施。3. Non-Disclosure and Non-Use. Each Party agrees not to disclose any Confidential Information or the fact that discussions or negotiations are taking place between the Parties to third parties, its employees, customers, suppliers or associated entities,

13、except to those employees, customers, suppliers or associated companies of the receiving Party who are confirmed in writing in advance by the Parties to be required to have the information in order to evaluate or engage in discussions concerning the Opportunity. Each Party agrees that it will not, w

14、ithout the prior written consent of the other Party, disclose (unless required by law) to any other person the fact that the Confidential Information has been disclosed under this Agreement or any of the terms, conditions, status or other facts with respect thereto. Each Party agrees not to use any

15、Confidential Information for any purpose except to evaluate and engage in discussions concerning the Opportunity. Neither Party shall reverse engineer, disassemble or decompile any prototypes, software or other tangible objects which embody the other Partys Confidential Information and which are pro

16、vided to the Party hereunder unless consent for such actions is received by the Party that owns the object. Neither Party shall make any copies of the other Partys Confidential Information unless the same are previously approved in writing by the disclosing Party. Each Party shall reproduce the othe

17、r Partys proprietary rights notices on any such approved copies, in the same manner in which such notices were set forth in or on the original. 3禁止泄露與禁止使用： 各方同意任何一方將不會(huì)將保密信息或各方正在進(jìn)行協(xié)商或談判的事實(shí)泄露給第三方、自己一方員工、客戶、供給商或關(guān)聯(lián)單位，接收方的那些需要就商機(jī)進(jìn)行評(píng)估或洽談的員工、客戶、供給商或關(guān)聯(lián)單位在雙方事先書(shū)面確認(rèn)需要知悉該信息時(shí)除外。各方同意，在未事先征得對(duì)方書(shū)面同意的情況下法律要求的除外，將不向任何

18、其他人泄露保密信息已經(jīng)根據(jù)本協(xié)議被披露的事實(shí)或相關(guān)協(xié)議條款、條件、交易狀況或其他事實(shí)。各方同意，除了出于對(duì)商機(jī)進(jìn)行評(píng)估與洽談的目的之外，不將任何保密信息用于其他任何目的。任何一方均不應(yīng)將對(duì)方依據(jù)本協(xié)議提供的含有對(duì)方保密信息的樣品、軟件或其他有形載體進(jìn)行技術(shù)工程反推、拆散、編輯分解，擁有該物所有權(quán)的一方同意的除外。任何一方均不應(yīng)將其他協(xié)議方的保密信息進(jìn)行拷貝備份，信息披露方事先書(shū)面同意的除外。對(duì)經(jīng)信息披露方同意拷貝的備份，拷貝方應(yīng)當(dāng)將對(duì)方的專(zhuān)有權(quán)通知以與該通知在原件中發(fā)出的相同樣式復(fù)制在經(jīng)拷貝的該備份上。4. Maintenance of Confidentiality. Each Party

19、agrees that it shall take all reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information. Without limiting the foregoing, each Party shall take at least those measures that such Party takes to protect its own most highly confidential infor

20、mation and shall have its employees, if any, who have access to the other Partys Confidential Information sign a non-use and non-disclosure agreement in content substantially similar to the provisions hereof, prior to any disclosure of the other Partys Confidential Information to such employees. Eac

21、h Party shall promptly notify the other Party in writing of any misuse or misappropriation of any Confidential Information which may come to a Partys attention.4. 保密信息的保護(hù)措施： 各方同意，任何一方將采取所有合理措施維護(hù)保密信息的保密性，防止泄露或未經(jīng)授權(quán)使用保密信息。在不限制上述條款的前提下，任何一方均應(yīng)至少采取那些用來(lái)保護(hù)自有最機(jī)密信息的措施，并在向其員工披露其他協(xié)議方的保密信息之前(假設(shè)有)，與員工簽訂內(nèi)容與本協(xié)議實(shí)質(zhì)性內(nèi)

22、容相似的禁止使用與禁止泄露協(xié)議，該要求不構(gòu)成對(duì)本條前述要求的限制。在任何一方發(fā)現(xiàn)任何保密信息被濫用或被盜用時(shí)，應(yīng)當(dāng)立即書(shū)面通知另一方。5. No Obligation. Nothing herein shall obligate either Party to proceed with any transaction between the Parties, and each Party reserves the right, in its sole discretion, to terminate the discussions contemplated by this Agreement

All Confidential Information shall remain the sole property of the disclosing Party. Nothing in this Agreement is intended to grant any rights to either Party under any p

24、atent, copyright, trademark or other intellectual property right of the other Party, nor shall this Agreement grant either Party any rights in or to the other Partys Confidential Information except as expressly set forth herein.6.所有權(quán)與非許可條款：所有保密信息將僅屬于披露方所有。本協(xié)議中的任何內(nèi)容均不構(gòu)成一方賦予另一方以專(zhuān)利權(quán)、著作權(quán)、商標(biāo)權(quán)或其他知識(shí)產(chǎn)權(quán)，不構(gòu)成一

25、方賦予另一方對(duì)其保密信息享有任何權(quán)利，本協(xié)議中另有明確約定的除外。7. No Warranty. ALL CONFIDENTIAL INFORMATION IS PROVIDED “AS IS. NEITHER PARTY MAKES ANY WARRANTIES, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE ACCURACY, COMPLETENESS OR PERFORMANCE OF THE CONFIDENTIAL INFORMATION, AND EACH PARTY EXPRESSLY DISCLAIMS ANY WARRANTY OF

26、 MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 7. 無(wú)保證條款： 所有保密信息按照現(xiàn)有狀況提供。任何一方均未以明示、暗示或其他方式保證保密信息的準(zhǔn)確性、完整性或保證其具有某種功能，各方明確表示，任何一方均不對(duì)保密信息的適銷(xiāo)性或具有某種用途的適用性提供任何保證。8.Return of Materials. All documents and other tangible objects containing or representing the disclosing Partys Confidential Information a

27、nd all copies thereof which are in the possession of the receiving Party shall be promptly returned to the disclosing Party upon the disclosing Partys request.8.資料返還： 一旦信息披露方要求，信息接收方應(yīng)當(dāng)立即將其所持有的載有披露方保密信息的所有文件或有形載體及其所有備份及時(shí)返還給信息披露方。9. Remedies. Each Party agrees that its obligations hereunder are necess

28、ary and reasonable in order to protect the other Party and the other Partys business, and expressly agrees that monetary damages would be inadequate to compensate the other Party for any breach by either Party of any covenants and agreements set forth herein. Accordingly, each Party agrees and ackno

29、wledges that any such violation or threatened violation will cause irreparable injury to the other Party and that, in addition to any other remedies that may be available, in law, or otherwise, the other Party shall be entitled to obtain injunctive relief against the threatened breach of this Agreem

30、ent or the continuation of any such breach, plus a breach of contract damage at the amount of RMB 1 million, without the necessity of proving actual damages. In case the actual damages are higher than RMB 1 million, the breaching party shall compensate the higher amount, too.9.救濟(jì)： 各方認(rèn)可，為了保護(hù)一方及其業(yè)務(wù)，本協(xié)

31、議項(xiàng)下的另一方的義務(wù)是必需的、合理的。各方明確同意，經(jīng)濟(jì)賠償缺乏以補(bǔ)償任何一方違反本協(xié)議承諾和約定而對(duì)另一方造成的損失。因此，各方同意并認(rèn)可，一方的任何違約行為或可能違約的情形將給對(duì)方造成不可彌補(bǔ)的損失，除依據(jù)法律可以獲得的補(bǔ)救外，受損方還有權(quán)針對(duì)可能違約的情形、違約狀態(tài)的持續(xù)獲得強(qiáng)制性禁止令，并有權(quán)獲得人民幣壹佰萬(wàn)元的違約金，無(wú)需證明其實(shí)際所遭受的損失。如實(shí)際損失超過(guò)人民幣壹佰萬(wàn)元，違約方應(yīng)當(dāng)賠償超出局部。10. Term. This Agreement shall be effective as of the Effective Date and shall remain in effec

32、t until either (i) no Confidential Information has been exchanged between the Parties for a period of five (5) years, or (ii) the Parties agree in writing to terminate it. Upon expiration or termination of this Agreement, all rights and obligations hereunder shall cease.10. 期限： 本協(xié)議自生效日起生效，直至以下某一事項(xiàng)發(fā)生

33、時(shí)終止：1各方在五年內(nèi)未交換任何保密信息；或2各方協(xié)商一致書(shū)面同意終止本協(xié)議。本協(xié)議一旦到期或終止，本協(xié)議項(xiàng)下的所有權(quán)利和義務(wù)均終結(jié)。11. Non-competition. Either party may inform the other of the customer information of such either party, and/or even bring the customer to visit the factory of the other party, or otherwise cause the other party to have chance to est

34、ablish direct contact with customer. Both parties commit that the said customer information is covered in Confidential Information as defined in Article 2 hereof. The other party shall bear the obligation of confidentiality as set forth herein respecting such customer information. The other party fu

35、rther commits that it shall not directly or indirectly transact in any means with such customer without consent from such either party, otherwise, it shall pay to such either party breach of contract damage as stipulated in Article Nine hereof.11. 不競(jìng)爭(zhēng)：一方可能向?qū)Ψ脚对撘环娇蛻舻男畔?，和或帶客戶參觀對(duì)方的工廠，或通過(guò)其他方式使得對(duì)方有時(shí)機(jī)直接接

36、觸客戶。雙方承諾，該客戶信息屬于本協(xié)議第2條規(guī)定的“保密信息。針對(duì)該客戶信息，對(duì)方承當(dāng)本協(xié)議規(guī)定的保密義務(wù)。對(duì)方進(jìn)一步承諾，未經(jīng)該一方同意，其不將直接或間接以任何方式與該客戶交易，否那么應(yīng)當(dāng)按照本協(xié)議第9條的規(guī)定向該一方支付違約金。12. Miscellaneous. This Agreement may not be assigned by either Party without the prior written consent of the other Party. This Agreement shall bind and inure to the benefit of the Pa

37、rties and their successors and assigns. This Agreement shall be governed by the laws and regulations of the Peoples Republic of China. This document contains the entire agreement between the Parties with respect to the subject matter hereof and supersedes any and all prior agreements or understandin

38、gs relating to the same subject matter. Any failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision hereof. This Agreement may not be amended, nor any obligation waived, except by a writing signed by both Parties. In the event any term of th

39、is Agreement is found by any court to be void or otherwise unenforceable, the remainder of this Agreement shall remain valid and enforceable as though such term were absent upon the date of its execution. If any dispute arising from the forming or performance of this agreement and cannot be settled

40、through consultation, either Party may apply to the China International Economic and Trade Arbitration Commission, Shanghai Commission for binding and final settlement. This Agreement is made in both Chinese and English. 12. 其他： 未經(jīng)一方事先書(shū)面同意，本協(xié)議不得轉(zhuǎn)讓。本協(xié)議對(duì)各方及其繼承者或受讓者具有約束力，并賦予其權(quán)利。本協(xié)議適用于中華人民共和國(guó)的法律和法規(guī)。本協(xié)議構(gòu)

41、成各方就本協(xié)議主題達(dá)成的全部協(xié)議，取代各方所有先前就同一主題達(dá)成的全部協(xié)議或諒解。一方未執(zhí)行本協(xié)議任一條款并不構(gòu)成對(duì)該條款或其他條款的放棄。未經(jīng)各方簽字書(shū)面同意，本協(xié)議不得變更，且本協(xié)議規(guī)定的義務(wù)不得放棄。如果本協(xié)議任何條款被法院裁定無(wú)效或無(wú)法執(zhí)行，其他條款繼續(xù)有效和可執(zhí)行，無(wú)效條款或無(wú)法執(zhí)行條款視為自始不存在。如果在簽署或履行本協(xié)議中不能通過(guò)友好協(xié)商解決爭(zhēng)議的，任何一方有權(quán)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)上海分會(huì)通過(guò)仲裁方式解決，仲裁裁決為終局的，對(duì)爭(zhēng)議各方均具有約束力。本協(xié)議以中英文書(shū)就IN WITNESS WHEREOF, the parties have executed this

48、擇一個(gè)適合當(dāng)?shù)亻_(kāi)展的高效產(chǎn)業(yè)；組建一個(gè)支撐有力的合作組織；設(shè)立一個(gè)產(chǎn)業(yè)貸款風(fēng)險(xiǎn)補(bǔ)償金，為條件成熟的貧困村安排20萬(wàn)元產(chǎn)業(yè)扶貧專(zhuān)項(xiàng)資金，作為貧困戶產(chǎn)業(yè)開(kāi)展貸款風(fēng)險(xiǎn)補(bǔ)償金，由合作商業(yè)銀行按1：8放貸；創(chuàng)立一個(gè)部門(mén)配合的幫扶機(jī)制，縣委農(nóng)工部、縣農(nóng)業(yè)局、縣林業(yè)局、縣蔬菜局等相關(guān)部門(mén)在貧困村產(chǎn)業(yè)選擇、合作社組建、技術(shù)培訓(xùn)推廣、市場(chǎng)開(kāi)發(fā)等方面會(huì)給予大力支持，共同推進(jìn)。4創(chuàng)新產(chǎn)業(yè)開(kāi)展效勞體系。鼓勵(lì)貧困農(nóng)戶以土林地經(jīng)營(yíng)權(quán)作價(jià)入股方式，參與家庭農(nóng)場(chǎng)、農(nóng)民專(zhuān)業(yè)合作社、合作農(nóng)場(chǎng)和聯(lián)戶經(jīng)營(yíng)等新型農(nóng)業(yè)經(jīng)營(yíng)體系。對(duì)貧困戶創(chuàng)辦的家庭農(nóng)場(chǎng)和有貧困戶參與的合作社，縣財(cái)政將重點(diǎn)給予資金扶持。廣泛推行“千村萬(wàn)戶老鄉(xiāng)工程，力爭(zhēng)23年

49、覆蓋黃卡、紅卡貧困戶，帶動(dòng)貧困戶增收致富。三推進(jìn)搬遷扶貧正確引導(dǎo)。對(duì)地處遙遠(yuǎn)、生存和開(kāi)展條件較差、就地扶貧難以奏效的貧困戶，堅(jiān)持群眾自愿、規(guī)模適度、梯度安置的原那么，穩(wěn)步推進(jìn)貧困人口向縣城工業(yè)園、縣城次中心、中心圩鎮(zhèn)或中心村有序搬遷轉(zhuǎn)移。2整合資源。積極整合資源支持搬遷移民集中安置點(diǎn)的根底設(shè)施建設(shè)，完善搬遷移民集中安置點(diǎn)的道路、通水、通電、學(xué)校、幼兒園、衛(wèi)生所、文化等公共設(shè)施。3扶持政策疊加。搬遷移民戶可同時(shí)享受搬遷移民扶貧補(bǔ)助和農(nóng)村危舊房、土坯房改造補(bǔ)助，對(duì)特別困難的搬遷戶，進(jìn)一步提高建房補(bǔ)助標(biāo)準(zhǔn)，發(fā)動(dòng)和引導(dǎo)社會(huì)力量“一對(duì)一幫扶；搬遷移民戶除享受移民安置各項(xiàng)扶持政策外，遷出地的土地、山林、水

50、面等承包經(jīng)營(yíng)權(quán)不變；幫助其解決后續(xù)開(kāi)展問(wèn)題，實(shí)現(xiàn)穩(wěn)得住、奔小康能致富。四落實(shí)智力扶貧政策1優(yōu)先支持貧困村開(kāi)展教育。加強(qiáng)貧困村學(xué)校規(guī)劃，優(yōu)先立項(xiàng)解決貧困村薄弱學(xué)校改造，同步實(shí)現(xiàn)標(biāo)準(zhǔn)化和現(xiàn)代遠(yuǎn)程教育，新招聘的老師優(yōu)先安排到貧困村小學(xué)任教，每年安排優(yōu)秀小學(xué)教師到貧困村小學(xué)輪流支教，讓貧困村的小學(xué)生能就近享受優(yōu)質(zhì)教育資源。優(yōu)先支持貧困村利用閑置校舍改建公辦幼兒園、村小增設(shè)附屬幼兒班、學(xué)前教育巡回支教點(diǎn)工程。2加大貧困生資助力度。落實(shí)好現(xiàn)有國(guó)家濟(jì)困助學(xué)政策，逐步提高貧困生資助標(biāo)準(zhǔn)。公辦幼兒園、村小附屬幼兒班對(duì)建檔立卡貧困戶子女學(xué)前教育的保教費(fèi)減半；對(duì)義務(wù)教育階段建檔立卡的貧困家庭寄宿生生活補(bǔ)助標(biāo)準(zhǔn)，在上

51、級(jí)規(guī)定的根底上每人每年增加500元；擇優(yōu)錄取建檔立卡貧困戶子女到縣屬中學(xué)上學(xué)，除享受?chē)?guó)家規(guī)定的貧困家庭寄宿生生活補(bǔ)助和普通高中國(guó)家助學(xué)金外，每人每學(xué)年再給予1000元的生活補(bǔ)助，并免除學(xué)雜費(fèi)、住宿費(fèi)；對(duì)考取全日制普通高等學(xué)校的建檔立卡貧困戶子女每人一次性補(bǔ)助8000元；為當(dāng)年被全日制大專(zhuān)以上院校錄取的貧困家庭大學(xué)生辦理國(guó)家生源地信用助學(xué)貸款。3大力實(shí)施職業(yè)教育和就業(yè)培訓(xùn)。繼續(xù)實(shí)施“雨露方案，支持職業(yè)學(xué)歷教育，對(duì)建檔立卡貧困戶子女參加中、高等職業(yè)學(xué)歷教育的，在校期間每人每年給予2000元的補(bǔ)助；大力開(kāi)展職業(yè)技能培訓(xùn)，對(duì)參加轉(zhuǎn)移就業(yè)技能培訓(xùn)并取得有關(guān)部門(mén)頒發(fā)職業(yè)技能證書(shū)的扶貧對(duì)象，給予每人1000
