1、合作合同書(shū)CooperationAgreement甲方(開(kāi)證方)PartyA:(Issuer):乙方(接證方)：PartyB(Receiver):鑒于甲方開(kāi)具境外SBLC給乙方，由乙方銀行辦理抵押貸款，為此雙方達(dá)成協(xié)議如下CommissionedbyPartyBtoPartyAthatPartyAshallissueanavailableSBLCandtoletPartyBgetamortgageloanfromthebank,forwhichbothpartiesagreeasfollows.票據(jù)概述：I;NoteOverview:1 .抵押品擔(dān)保：SBLCoThemortgagecolla

2、teral:SBLC.2 .面值：合約總額度分批操作，第一單第二單第三單完學(xué)習(xí)幫手成第一單后每隔個(gè)工作天操作第二，第三單，后續(xù)按雙方商定的金額辦理。至本合同金額操作完成，本合同便自動(dòng)終止Thenominalvalue:Totalcontractamountis,thefirsttransactionis,thesecondtransactionis,thethirdtransactionis.TheSecondandThirdtransactionwillbestartedwithinFIVEbankingdaysaftercompletionofthelasttransaction.thef

4、ank:6 .接證銀行：Receivingbank:學(xué)習(xí)幫手7 .受益人：上方Beneficiary:PARTYB_8 .查詢方式：銀行對(duì)銀行以SWIFT進(jìn)行確定。Wayofinquiry:VerifiedbybanktobankSWIFT/communication.二.雙方責(zé)任和業(yè)務(wù)：II.Responsibilitiesanddutiesofbothparties:甲方：1.甲方開(kāi)出境外SBLC供乙方抵押貸款用。PartyA:PartyAissuesanoversea'sSBLCforPartyBtogetthemortgageloan.2.甲方開(kāi)出的SBLC是符合乙方指定貸款銀

5、行確定的有效版本PartyAissuesaSBLC,whichshouldbeensuredthattheverbiageisthevalidunconditionalversionprovidedbyPartyBsappointedbanmootgageloan3.平倉(cāng)責(zé)任：SBLC由開(kāi)證銀行無(wú)條件100%平倉(cāng)。Settlementresponsibility:Theissuingbankwilltake100%ofsettlementresponsibilityforthisSBLC.學(xué)習(xí)幫手4 .SBLC必須由接證銀行確認(rèn)無(wú)誤可用于擔(dān)保貸款，開(kāi)證銀行對(duì)于接證銀行本身業(yè)務(wù)操作失誤的損失將不

6、負(fù)任何責(zé)任。SBLCwillbeconfirmedbythereceivingbankthatthisSBLCisgoodforsecuringthemortgageloan,andtheissuingbankwillnottakeanyresponsibilityforthelossoftheoperationalerrorsmadebythereceivingbank.5 .甲方提供如下文件：(1)營(yíng)業(yè)執(zhí)照；(2)法定代表人護(hù)照PartyAshouldprovidetoPartyBcompanylicense;(2)PassportofSignatory乙方：提供文件如下：(在香港操作)P

7、artyB:Providethefollowingdocuments:(ProcessinginHongKong)(1)營(yíng)業(yè)執(zhí)照(2)基本賬戶證(3)接證銀行SBLC版本(4)接證銀行路線圖和坐標(biāo)(5)法人護(hù)照。(1)Enterprisebusinesslicense(2)Basicaccountcard(3)TheSBLCverbiageversionofthereceivingbank(4)Therouteandthecoordinatesofthereceivingbank(5)Passportoftheenterpriseowner.三.操作流程：學(xué)習(xí)幫手III.Procedures:

8、1 .甲方確認(rèn)乙方提供的接證銀行的有效SBLC版本。PartyAshouldconfirmtheverbiageisthevalidversionprovidedbyPartyB'appointedreceivingbankforthemortgageloan2 .甲乙雙方在網(wǎng)上簽署本協(xié)議(視同正式簽約)，一經(jīng)簽字蓋章即產(chǎn)生法律效力。Bothpartiessignthisagreementthroughinternet(ittobeconsideredasformalagreementsigning),anditwillbecomelegallyboundonceitissigned.

9、3 .甲方在雙方網(wǎng)上簽署本協(xié)議1銀行日內(nèi)發(fā)出MT-799預(yù)開(kāi)通知。PartyAwillissuePre-AdvicethroughMT-799withinbankingdaysafterthisagreementissignedbybothparties.4 .乙方接證銀行收到MT-799預(yù)開(kāi)通知并確認(rèn)后，一個(gè)銀行日內(nèi)回復(fù)MT-799(含銀行承諾，乙方銀行保證在接到MT-760后，有能力在款)。WithinbankingdaysafterauthenticationofPre-adviceswiftMT-799,PartyBwillReplybackPartyB'bankconditi

10、onalguaranteepayment(orbankundertakingpayment)viaMT-799swift(PartyBensuresthatonthereceivingoftheMT-760,PartyBhasthe學(xué)習(xí)幫手abilitytogetthemortgageloanwithinbankworkingdays).5 .在乙方銀行回復(fù)MT-799給甲方銀行后個(gè)銀行工作日內(nèi)按雙方商定的SBLC面值的比例開(kāi)出同等金額的企業(yè)支票給開(kāi)證方或開(kāi)證方指定的賬戶，但此企業(yè)支票必須交與雙方認(rèn)可的香港律師樓進(jìn)行雙方共管。UponsuccessfulreplyingMT-799toPart

11、yASbank,withinbankingdays,theequivalentamountofcorporatecheckinaccordancewiththemutuallyagreedratiooftheSBLCparvaluewillbeissuedtoPartyAsdesignatedbankaccount,butthiscorporatechequewillbekeptjointlyinthemutuallyagreedattorney'sofficeinHongKong,6 甲方在收到確認(rèn)乙方的MT-799乙方的銀行承諾及確認(rèn)乙方企業(yè)支票已交于律師樓共管后，在個(gè)銀行工作日內(nèi)

12、由甲方發(fā)出SBLC經(jīng)由MT-760給乙方。AfterverificationandauthenticationofMT-799withbankconditionalguaranteepaymentfortheamountofthefirsttrancheandverificationofthecorporatecheckisjointlykeptintheattorneysoffice,PartyAwillrequesttheissuingbanktoissuetheSBLCviaMT-760swifttobeneficiarysreceivingbankwithinbankingdays.7

13、 .乙方接證銀行在接到由MT-760發(fā)過(guò)來(lái)的SBLC后，進(jìn)行貸款，約定個(gè)銀行工作天內(nèi)貸款資金到位。在貸款成功后，雙方到律師樓解除雙方共管，將企業(yè)支票交與甲學(xué)習(xí)幫手賬戶。其方或?qū)⑵髽I(yè)支票等額的款項(xiàng)直接打到的余款項(xiàng)作為甲方給乙方的費(fèi)用(貸款融資費(fèi)，銀行利息，手續(xù)費(fèi)等)PartyBwillstartmortgageloanprocessafterreceivingtheSBLCviaMT-760swift.Afterthemortgageissuccessfullycompletedwithinbankingdays,bothpartieswillgototheattorneysofficetore

14、leasethecorporatechecktoPartyAortransferthesaidfundtoaccordingly.(JOINTBANKACCOUNTWITHPARTYA).whiletheremainingfundsshallberegardedasfees(loanfinancecharges,bankinterest,servicefees,etc.)toPartyB.8 .乙方保證乙方在法律上絕對(duì)沒(méi)有任何債權(quán)債務(wù)上的支付關(guān)系。PartyBguaranteesthatthereisabsolutelynoobligatoryrightsordebttopayanyparti

15、es.9 .雙方代表和協(xié)調(diào)方到香港操作地的一切雙向差旅和食宿等費(fèi)用均由雙方各自負(fù)責(zé)。ForprocessingtheentireoperationinHK,eachparty'sandtheircoordinators2-waytravelexpense,andfood,lodgingexpenseshouldbebornebyeachpartythemselves.10 .該SBLC一年期滿時(shí)，甲方如需延期，甲方必須支付乙方延期手續(xù)費(fèi)及銀行利息等相關(guān)費(fèi)用。AftertheoneyearexpirationoftheSBLC,ifPartyAdesiresfurtherextensio

16、n,Party學(xué)習(xí)幫手AmustpayforallrelatedextensionfeesandbankinterestincurredbyPartyB.11 .雙方同意按每批交易時(shí)程來(lái)進(jìn)行操作一直到完成為止Transactiontocontinueaspermutuallyagreedtrancheschedule.Proceduresaretorepeatuntilcontract,collateralorfundbecomeexhausted.12 .不履行的罰則一旦雙方簽約完事，如有一方違反合同條款，將向另一方支付違約金5%總合同金額。PenaltyclauseforNon-perfo

17、rmance:Shouldanyofthepartieshereinfailstoperformasrequiredinthiscontractoncesigned,thenthefailingpartyshallindemnifytheotherpartyforthetotalcontractamountof5%.13 .甲乙雙方同意嚴(yán)格遵守巴黎國(guó)際商務(wù)ICC關(guān)于交易保障和不得越線的條例。為保障各方權(quán)益，未經(jīng)雙方書(shū)面同意，不得與對(duì)方介紹的客戶進(jìn)行交易，并不得向第三者披露此案件交易的有關(guān)資料和內(nèi)容，否則違約方將負(fù)法律責(zé)任并賠償守約方之經(jīng)濟(jì)損失。本協(xié)議從簽署之日開(kāi)始有效期兩年。本協(xié)議一式兩份，雙

18、方各執(zhí)一份為憑，并接受相關(guān)法律之仲裁與制裁。掃描件與原件具有同等法律效力。學(xué)習(xí)幫手PartyAandpartyBagreetostrictlycomplywithParisInternationalBusinessICCCodeontransactionprotectionandnon-circumventionordinance.Toguaranteeparties'interest,withoutbothparties'writtenagreement,bothpartiesshallnotdoanytransactiontocustomersintroducedbyeit

19、herparty,andshallnotdiscloseanyinformationrelatedtothistransactiontoathirdparty,otherwise,thenon-complyingpartyshalltakelegalresponsibilityandcompensatethecomplyingpartyforanyeconomicallosses.Thisagreementiseffectivefortwoyearsfromthedateofsigning.PartyB:Thisagreementisintwocopies,PartyAandPartyBhav
