2、械承包工程項目的設(shè)計，運輸和施工簽訂了合同；鑒于分包商愿按該合同實施土建和安裝工程而報了價；鑒于總包商已接受分包商的報價，并依據(jù)分包商所附的報價表，現(xiàn)雙方達(dá)成協(xié)議如下：This contract is made and entered into on , between Electrical Machine Contracting Company (hereinafter referred to as general contractor) and Engineering Company (hereinafter referred to as subcontractor).WHEREAS ge

3、neral contractor has concluded contract, with Libyan National Authority of Large Electrical Project (hereinafter referred to as employer ), of the design, transportation and execution of the contracted project of electrical machine installation;WHEREAS subcontractor is willing to execute the project

4、 of civil engineering and installation and made quotation thereon;WHEREAS general contractor has accepted subcontractors quotation;NOW THEREFORE parties hereto, as per subcontractors quotation, hereby covenant and agree as follows: （一）下列文件應(yīng)是本分包協(xié)議的組成部分：Following documents is the integral parts o

6、rements for Project;土建和安裝工程分包合同的報價表。Quotation for Subcontract of Civil Engineering and Installation. （二）工作范圍 Project Contents本建設(shè)電氣機械工程項目位于利比亞共和國境內(nèi)，業(yè)主的技術(shù)規(guī)定如圖所示。分包商的工作范圍包括如下內(nèi)容：The project of Electrical Machine which technical requirements as shown in drawings, is located in the territory of Repub

7、lic of Libya. The Working contents of subcontractor include the following: 提供所有工程的監(jiān)督人員，熟練和非熟練工人，提供運輸、測繪工具及設(shè)備，挖掘及鉆孔機械，吊車，以承擔(dān)塔架安裝和導(dǎo)線掛垂和拉直等工作。Dispatching the personnel, for all projects, of supervision, skilled and unskilled workers, providing transportation, mapping tools / equipment, machines of

8、 digging & drilling and crane, which for the purpose of the executions of tower installation, electrical lines hanging / straightening, and so on. 提供混凝土材料、水泥、砂、石子、灰漿材料、鋼筋，并運送到工地。Provision of and transportation of concrete materials, cement, sand, gravel, mortar materials and steel bar. 

9、;為所有工人及管理人員提供住宿、膳食、供水、衛(wèi)生設(shè)備、交通費用和社會保險。Provision of, for all workers and administrators, accommodation, meals, water, sanitation, transport costs and social insurance. 運送由總包商提供的庫房中的塔架、導(dǎo)線、絕緣材料、五金構(gòu)件、接地材料，包括從總包商庫房到施工現(xiàn)場的運輸，并負(fù)責(zé)卸車和保管。Transportation, from warehouse, provided by general contractor, of to

12、 the technical requirements hereof, and should, be subject to approval of general contractor, process corresponding alteration or amendment thereof. （三）符合技術(shù)規(guī)范要求 Conformity With Requirements of Technical Norms分包商應(yīng)熟悉技術(shù)規(guī)范，應(yīng)按照業(yè)主的要求和合同規(guī)定，承擔(dān)屬于分包工程范圍內(nèi)的與分包商有關(guān)的全部責(zé)任。Subcontractor should, be familiar with

13、 the technical norms and as per employers requirements and contracts stipulation, assume all responsibilities which within subcontracts works and relevant to subcontractor. （四）勞工 Labor分包商應(yīng)：Subcontractor should提供足夠數(shù)量的工人，以滿足總包商工程師在工程進(jìn)度方面的要求。Send a sufficient of number of workers to meet the neces

14、sity of project progress schedule by engineer of general contractor. 支付雇員工資并自費為其雇員提供保險，為其雇員提供住宿及膳食。Make payment, at its own expenses, of wages / salary and insurance for its employers, and provide employers with accommodation and meals. （五）遵守法律 Comply with Laws分包商應(yīng)對下列事項承擔(dān)法律責(zé)任：Subcontractor

15、 should assume legal liability for following items 遵守利比亞國關(guān)于所得稅的規(guī)定。如果其雇員中有人對雇主給他們的報酬不付個人所得稅，分包商也應(yīng)對此負(fù)責(zé)。Comply with the provisions of income tax in Libya laws, if any employer fail to pay such tax against the payment of remuneration which paid by employer, subcontractor shall bear responsibility t

16、herewith. 分包商應(yīng)服從所有適用于本分包工程范圍內(nèi)的利比亞國的法律、地方法及規(guī)定。Subcontractor should obey all laws, local regulations and rules, which apply to this sub-project, of Libya. （六）與業(yè)主的關(guān)系 Relationship with Employer除總包商的工程師授權(quán)外，分包商任何時候均不能與業(yè)主接觸或談判。Subcontractor should not, at any time, take contact to and negotiation

17、 with employer except with the authorization of general contractors engineer. （七）維修保證期 Warranty Period分包商將從頒發(fā)驗收證書之日起個月內(nèi)所分包施工的工程的質(zhì)量保修責(zé)任。Subcontractor shall, within 12 months on and from the date of Acceptance certificate issued, take the liability of quality warranty for its subcontracting proje

18、ct. （八）保險 Insurance工程保險：總包商應(yīng)按合同一般條款的規(guī)定，自費對永久和臨時性工程、施工機械及設(shè)備進(jìn)行保險，這應(yīng)包括分包工程在內(nèi)。Project Insurance: General contractor should, as per the stipulations of general provisions hereof, at its own expense, effect the insurance, which include sub-contract, covering the permanent and temporary works, constru

19、ction machinery / equipment.  第三方保險：包括分包商在內(nèi)的第三方保險，將由總包商承擔(dān)，而分包商不付任何費用。分包商應(yīng)自費負(fù)責(zé)其工人的保險，包括與分包工程有關(guān)的各種性質(zhì)的索賠。Insurance for the third party: The third party insurance which include subcontractor shall be effected by general contractor, for which no expense on subcontractor. Provided that subcontractor

20、should at its own expense effect the insurance for its workers, include the claims of various kinds which relevant to subcontracted project. （九）工具及設(shè)備 Tool and Equipment該分包工程施工和維修所需的全部工具，包括拉力設(shè)備、撥具、張緊裝置、操作線、傳動滑車等、分包商應(yīng)自費提供。分包商應(yīng)遵守利比亞國有關(guān)各種工具、設(shè)備、機械及運輸工具方面的所有法律和海關(guān)規(guī)定，并支付由此產(chǎn)生的全部費用。一俟該分包工程竣工，分包商就應(yīng)負(fù)責(zé)把上述全部

21、設(shè)備和工具撤出利比亞國。Subcontractor should, at its own expense, provide any and all tools which necessary for execution and maintenance of project including pulling device, dial tool, tensioning device, operating line, driving pulley, and other tools.Subcontractor should comply with all laws and customs regul

22、ations in Libya on a variety of tools, equipments, machinery and transport vehicle and pay all expense which arising thererom. Subcontractor should, upon the completion of subcontracted works, withdraw all equipments and tools referred above out of Libyan country. （十）總包商材料的交付 Delivery of Genera

23、l Contractors Materials總包商應(yīng)負(fù)責(zé)交付工程施工所需材料，包括塔架、塔架附件、導(dǎo)線、絕緣裝置、絕緣體及導(dǎo)線配件、接地棒及接地線等。分包商應(yīng)在總包商的倉庫提取材料，將材料 裝車，運送到施工現(xiàn)場并卸車，費用自行承擔(dān)。按工程進(jìn)度計劃，對分包商各項工作所需要的材料，總包商至少要在該項工作開始前一周為分包商備妥。如果總包商 未能按上述要求把材料交付給分包商，總包商應(yīng)準(zhǔn)許分包商相應(yīng)的延長期。General contractor should be responsible for the delivery of construction materials needed for exe

24、cution, which include tower and its accessories, electrical line, insulating device, insulators, wire accessories, grounding rods and grounding lines, and so on. Subcontractor should on its own expense, obtain from general contractors warehouse, and load and transport the materials to work site and

25、unloading. With respect to the materials which necessary to the various works of subcontractor, general contractor should, as per project schedule, complete material preparation for subcontractor within one week prior to the commencement of work, provided that if general contractor fail to do so, co

26、rresponding extension of work period shall be allowed to subcontractor.（十一）分包工程量與分包總價 Subcontracted Quantity and Total Cost在該分包工程價格表中所列的工程量僅是估算數(shù)量，如果增減范圍在±之內(nèi)，則單價不作任何變化。如果增減范圍超過±，應(yīng)按總包合同一般條款中第條規(guī)定辦理。The quantity specified in Subproject Price List is only estimate, if, increase or decrease rang

27、e within ± _%, no adjustment shall be made to unit price.Provide that if increase or decrease range beyond ± _%, shall process as per Article in commercial condition of General Contract.本工程項目的分包總價是在分包商給總包商的報價中予以確定的，而分包商的報價及報價條件已被總包商接受，且是本分包合同的組成部分。Subject total cost has been affirmed in su

28、bcontractors quotation to general contractor, and the quotation and conditions thereof have been accepted by general contractor and constitute the part hereof. （十二）總包商的監(jiān)督 Supervision of General Contractor.總包商將指定一位或幾位工程師監(jiān)督該項分包工程的施工，分包商的人員應(yīng)對現(xiàn)場監(jiān)督承擔(dān)協(xié)助義務(wù)。One or more than one engineers who are appoin

29、ted by general contractor shall make supervision and inspection on the execution of subproject and the staff of subproject should assume the assistance liability for site supervision. （十三）許可證和執(zhí)照 Permission and License總包商應(yīng)幫助分包商獲得分包商雇員所需的入境簽證、居住證和勞動證、該分包工程所需的施工材料和設(shè)備進(jìn)口許可證，以及生活用房。辦理這些函件所花的費用以及由此產(chǎn)生的

30、一切開支均應(yīng)由分包商承擔(dān)。General contractor should assist subcontractor available for entry visas, Permissions of residence and work, which are necessary for subcontractors employees, in addition to the import permission of materials / equipments needed by subject, as well as living house. All cost and expense

31、arising therefrom shall be for subcontractors account.  （十四）竣工及違約延誤 Completion and Delay due to Breach根據(jù)雙方同意的施工日程表，在分包商能及時得到材料的條件下，分包商應(yīng)按下列規(guī)定日期完成各分項工程的施工。（各分項工程的竣工日期略）如果由于分包商的錯誤或疏忽，未能按上述日期完成該分包工程，分包商同意每延誤一天，就向總包商支付拖延分項工程的分包合同價的，作為罰金或違約罰款金，罰金或違約罰款金最高限額不得超過分包合同總價的。Subcontractor should, subject to

32、Execution Schedule which agreed by parties hereto, at the circumstances under which subcontractor is available to the provision of materials in time, make completion of the executions of each sub-project as the following stipulated date.（十五）進(jìn)度報告 Progress Report分包商應(yīng)按總包商同意的格式，呈送每周和每月的進(jìn)度報表。Subcontracto

33、r should, as per the format which agreed by general contractor present weekly and monthly progress report. （十六）廠商證明書和試驗報告 Manufacturers Certificate and Test Report分包商應(yīng)呈送用于該分包工程的水泥、鋼筋、砂、礫石以及任何其他材料的廠商證明及試驗報告，并取得總包商對此批準(zhǔn)。混凝土試塊的報告單應(yīng)同地基工程付款申請單一起呈送。所有試驗及試驗報告書應(yīng)符合有關(guān)標(biāo)準(zhǔn)規(guī)范的要求。Subcontractor should provide g

34、eneral contractor with manufacturers certificate and test report of cement, reinforcing steel bar, sand, gravel and any other materials which shall be used in subproject and with the permission of general contractor. Report of concrete block should be sent together with Application of payment for fo

35、undation project. All test and report thereof should conform to the requirement of relevant standard or norm. （十七）支付條款 Payment總包商應(yīng)按如下規(guī)定向分包商付款:General contractor should as per following provision make payment to subcontractor:預(yù)付款，其金額為分包合同價總額的，自分包商提交由銀行開具的等值銀行預(yù)付款保函之日起天內(nèi)，付給分包商；保函有效期為個月。Advance pay

36、ment, which equal to of subcontracts total value shall be paid to subcontractor within 15 days on and from issue of Bank Guarantee, by subcontractor, for Advance Payment which has equal valve with the same value of advance payment. The validity period of Guarantee shall be months. 每月完成的并經(jīng)業(yè)主驗收的工

37、程的占分包合同價的。In accordance with monthly completion which have been accepted by employer, the payment shall be of subcontract total cost. 分段工程占分包合同價的；憑暫時驗收證書。Payment of subsection shall account of subcontract cost against temporary acceptance certificate. 分包價的；憑最終驗收證書支付。按總包合同規(guī)定，只有工程經(jīng)業(yè)主在四周內(nèi)驗收后，

38、自收到分包商發(fā)票之日起五周內(nèi)，才能付給分包商。 of total subcontract cost shall, against Certificate of Final Acceptance , be made payment. In accordance with the provisions of general contract the payment can not be made unless and until within five weeks in which employer make acceptance and within four weeks in which re

39、ceipt of subcontractors invoices. （十八）驗收工程 Acceptance工程竣工后，分包商應(yīng)通知總包商驗收，總包商自接到驗收通知3個工作日內(nèi)組織驗收，并辦理驗收、移交手續(xù)。如總包商在規(guī)定時間內(nèi)未能組織驗收，需及時通知分包商，另行確定驗收日期。 Upon completion of project, Subcontractor should inform General contractor to process completion acceptance; General contractor shall arrange inspection and

40、 acceptance within 3 working days after receiving the notification, and shall handle the inspection and hand-over processes. In the event of General contractor could NOT arrange the inspection and acceptance within the required period, General contractor should inform Subcontractor and reschedule th

41、e date for acceptance on a timely manner. 分包商在向總包商提交竣工驗收申請的同時，應(yīng)提交相關(guān)的竣工資料和竣工圖。Subcontractor shall submit relevant as-built submittals and as-built drawing when submitting the request for completion acceptance to General contractor. 竣工驗收后，分包商必須在7天內(nèi)，完成場地清退工作，并向總包商做好各項交接工作包括文件、設(shè)備和工具等。After the

42、 completion acceptance, Subcontractor must finish the vacation of the project site within 7 days and complete all hand-over processes including documents, equipment, and utensils（十九）履約保函 Guarantee for Performance在分包合同簽訂后天內(nèi)，分包商應(yīng)根據(jù)所附的保函格式，提交一份銀行開具的無條件履約保函，額度相當(dāng)于分包合同價的，有效期為個月，自本分包合同簽訂之日起。Subcontractor s

43、hould, within 15 days on and after signature of subproject as per the guarantee format, submit an Unconditional Perform Guarantee by a bank, of which the amount shall be equal to of subject contract total cost and validity is months on and after the date of signature of this contract. （二十）文件和圖紙

44、 Documents and Drawings在收到最終付款之時，分包商應(yīng)向總包商退還所有總包商向其提供的文件、圖紙和技術(shù)規(guī)范。由總包商提供的任何文件分包商都不能用于除本協(xié)議目的以外的其他任何目的；同時分包商亦不能泄露由總包商或業(yè)主所提供的文件中的任何資料。但是涉及本協(xié)議目的的除外。Subcontractor should, upon receipt of final payment, return all documents, drawings and technical norms, which provided by general contractor. Any document from general contractor can not be used by subcontractor to any other purpose beyond the execution hereof, and subcontractor shall in no case disclose any information in the documents provided by general contractor or employer, except for the purpose hereof. （二十一）總包商材料的延遲交付 Deferred Deliver
