9、elopment of the mineral water market in the Territory and promotion of the EVG brands, EVG wishes to select certain distributors possessing the facilities and skills necessary to ensure that the proper marketing and services required by the nature of such products are provided to customers.為盡可能提升客戶滿

30、about the Products beyond those contained in the promotional materials supplied by EVG. 分銷商不得在*所提供促銷材料的內容范圍之外， 未經*事先書面同意，針對產品做出任何承諾或保證。3.DISTRIBUTORS UNDERTAKINGS 分銷商保證事項分銷商保證事項3.1Minimum Business Volume：The Distributor promises to purchase “EVG” brand products from EVG within the sales agency perio

At the beginning of each year, based on the previous years sales situation, local market situation and the distributors strength, EVG will adjust the distributors yearly minimum business volume and marketing strategy. Both parties negotiate to assign the supplementary agreement at the beginning o

32、f each year (annexed to this agreement as Schedule 4). The Distributor undertakes and agrees with EVG that at all times during the Term it will: 最低銷售目標： 分銷商承諾在協(xié)議有效期內從*購買產品。每年年初，*將根據分銷商前一年的銷售狀況、市場狀況、公司實力為分銷商調整年度最低銷售目標和市場策略。同時，雙方協(xié)商就此簽訂產品經銷協(xié)議之補充協(xié)議（本協(xié)議附件 4）。并且，分銷商向*保證并同意在協(xié)議有效期內任何時間：(a)use its best effor

33、ts to maximize sales of the Products in the Territory and promote the mutual business interests of EVG and the Distributor; 在指定區(qū)域內盡最大 努力爭取產品的最大銷量； (b)employ a sufficient number of suitably qualified personnel to ensure the proper fulfilment of the Distributors obligations under this agreement;雇傭足夠的適

34、當合格人員以確保完成本協(xié)議項下分銷商承擔的義務；(c)not sell any Product which is soiled or damaged or which exhibits manufacturing defects, dispose of such Products referred to in this paragraph (c) as mutually agreed by the Parties, and notify EVG as soon as reasonably practicable; 不銷售被污染或損壞或存在生產瑕疵的產品，經雙方同意后處理此類產品，并在可行的情況

35、下盡快通知*； 6(d)provide all necessary assistance in the case of product recall by EVG for any reason; 無論*因何種原因召回產品時，提供所有必要的協(xié)助；(e)maintain the Products in a good and sellable condition in warehouse facilities that are in compliance with relevant regulations in the Territory and safeguard the Products aga

36、inst risk of spoilage and contamination; 在倉庫中妥善保管產品以確保其處于良好和可售的狀態(tài)，該倉庫應符合所在區(qū)域相關法規(guī)并能防止產品免于腐敗和污染；(f)maintain on its own account an inventory of the Products at levels which are appropriate and adequate for the Distributor to meet all customer delivery requirements for the Products throughout the Territ

37、ory; 維持合適和足夠存量的產品庫存以滿足所有客戶 對產品的交貨要求；(g)keep all stocks of the Products which it holds in conditions appropriate for their storage, and provide appropriate security for the Products, all at its own cost; 在適合儲存的條件下保管庫存產品，并確保產品安全，并自行承擔相關成本；(h) Upon discussions by the Parties, obtain and maintain all ne

38、cessary consents, permits, licenses, permissions, approvals and authorizations as are necessary or as will become necessary for the due execution and performance of this agreement and comply with all conditions of such consents, permits, licenses, permissions, approvals and authorizations and all ap

39、plicable laws, regulations, decrees and other governmental rules, including without limitation, those against unfair business conducts or corruption, in the performance of this agreement; and 雙方協(xié)商取得和維持所有為妥善簽訂和履行本協(xié)議所必需或將必需的同意、準許證、許可證件、準許、批準和授權，并符合取得上述同意、準許、許可證件、許可證、批準和授權所要求的條件和為履行協(xié)議而應遵守的法律、規(guī)章、法令和其他政府

40、條例，包括但不限于反不正當行為或腐敗的相關法規(guī)；(i)inform EVG in writing immediately of any changes in ownership or Control of the Distributor, and of any change in its organisation or method of doing business that might be expected to affect the performance of the Distributors duties in this agreement. 應立即書面通知*關于分銷商所有權或控制

41、權的任何變更，以及預期可能影響分銷商履行其本協(xié)議項下責任的組織架構或商業(yè)方法上的任何變化。(j)inform EVG in writing immediately of any disputes, arbitrations, or litigations in relation to the Products in Territory.在銷售區(qū)域內，有關產品的任何爭議、仲裁、訴訟，分銷商均應及時書面通知*。 74.SUPPLY OF PRODUCTS產品的供應產品的供應4.1The Distributor shall give EVG one (1) months notice in writ

42、ing of its forecast of the quantities of each type of Product that it expects to buy from EVG for delivery in a four (4)-month period. 分銷商應該提前 1 個月將其預計在未來四個月期間從*訂購并由*交付的每種類型產品的預測數(shù)量書面告知*。4.2EVG undertakes to use all reasonable efforts to meet all orders for the Products forwarded to it by the Distrib

43、utor in accordance with EVGs terms of delivery to the extent the orders do not exceed the forecast for each type of Product given under clause 4.1. The terms of shipment and delivery of the Products shall be determined by the Parties through negotiation in good faith and set forth in a supplementary a

EVG shall make its best efforts to deliver the Products within the agreed delivery time. 所有的產品應該運送至分銷商通過書面形式指定的地點。運輸和交付的條款須由協(xié)議方基于誠信原則協(xié)商確定，并簽訂補充協(xié)議予以規(guī)定。*應盡一切努力按照約定的時間交付產品。4.4Where the terms in the purchase order submitted by the Distributor are inconsistent to provisions in this Agreement, t

46、hey shall be deemed to be void. 分銷商提交訂單中的條款如果與本協(xié)議不一致，應該視為無效。 4.5 On giving one (1) months notice in writing to the Distributor, EVG may vary Schedule 1 as it thinks fit to exclude one or more of the Products from this agreement if the production of such Products is permanently discontinued for any r

EVG shall give notice of any changes to Product specifications to the Distributor as soon as reaso

48、nably practicable. *有權對產品的規(guī)格進行調整，只要該調整不會影響產品的質量。*應該在合理、可行的范圍內盡快將對產品規(guī)格的調整情況通知分銷商。5.EVGS UNDERTAKINGS *的義務的義務EVG agrees that at all times during the Term it shall provide any information and support that may reasonably be requested by the Distributor to enable it to discharge its duties under this agr

The quantity, price and shipping co

50、ndition for the item(s) specified in this agreement shall be confirmed in each deal and specified in detail in the sales contract signed by both parties each time. For the avoidance of doubt, the amount charged by EVG for the Products only represents the consideration for the sale of the Products by

51、 EVG to the Distributor and does not include any other fees.分銷商向*支付的產品的價格須由協(xié)議方基于誠信原則協(xié)商確定，并且，本協(xié)議所規(guī)定商品的數(shù)量、價格及裝運條件等，應在每筆交易中確認，其細目應在雙方每次簽訂的銷售合同中作出規(guī)定。為避免歧義，*收取的產品價款僅包括*向分銷商銷售產品的價格，而不包含其它任何費用。 6.2The wholesale prices and/or payment terms for the Products may be changed at any time through consultation and

52、 negotiation between the Parties in good faith. 產品的批發(fā)價格和/或支付條款會按照誠信的原則經協(xié)議方協(xié)商后隨時作出調整。6.3In the case where the prices and/or payment terms can not be agreed by the Parties through negotiations in good faith, this agreement shall be terminated in accordance with clause 13. 如果價格和/或付款條款無法通過協(xié)議方基于誠信原則協(xié)商確定，

Any such consent, approval and other actions of EVG shall not relea

55、se the Distributor from its responsibilities hereunder or under the applicable laws in the Territory. Provided that both parties hereof may enter into supplemented agreement to adjust and replace the cost to be incurred and the party to be responsible for such costs (annexed to this agreement as Sch
