2、ereinafter referred to as Party A） and Translation & Interpretation Co., Ltd （ hereinafter referred to as Party B） through friendly negotiation on the terms and conditions as follows:一、譯文形式：中譯英、英譯中Documents to be translated: Chinese-English and English-Chinese二、服務時間：暫定一年（簽訂合同日起）Service Time for this

3、 Contract: one year provisional （From the date hereof）三、計費標準：單價：中譯英：按180元/千中文字符數(shù)（不 計空格）計算.（含稅）英譯中：按160元/千中文字符數(shù)（不計空格）計算 .（含稅）Remuneration : Unit Price: RMB 180 Yuan / 1000Chinese characters （excluding blanks） for documents to betranslated from Chinese to English （including tax）; RMB 160 Yuan / 1000 C

4、hinese characters (excluding blanks) for documents to be translated from English to Chinese (including tax).四、字數(shù)計算標準：Characters counting methods:中譯外或外譯中，以中文為計算單位，統(tǒng)計方法：Word文檔，工具-字數(shù)統(tǒng)計-字符數(shù)(不計空格)；外譯外，以英文為 計算單位。最低字數(shù)計算標準：五百字以下按五百字計算；五百至一千 字，按一千字計算，超過一千字，按實際字數(shù)計算。In documents to be translated from Chinese t

6、lish words.Min. counting standards: five hundred characters shall be countedfor documents with characters less than fivehundred; one thousand characters shall be counted for documentswith characters from five hundred to onethousand; and the actual characters shall be counted for documents with chara

7、cters over one thousand.五、 項 目確認 :Project confirmation:每一次項目，甲方應以書面形式通知乙方待翻譯文件、翻譯要求；乙方收到稿件后，應以書面形式向甲方確認翻譯文件翻譯要求等。為避免疑問，一旦郵件發(fā)到了乙方的下面指定郵箱，則認定乙 方已經收到翻譯文件和翻譯要求。乙方應按照甲方的每次翻譯任 務要求準時完成翻譯工作并交付翻譯文件給甲方。如果有特殊情 況，雙方應具體另行協(xié)商。原稿和譯稿應發(fā)送到以下雙方指定的 郵箱。For each project, Party A shall notify Party B of the documents for t

8、ranslation, and translation requirements in written form; after receiving translation work, Party B shall acknowledge its receipt of the document for translation and translation requirements to Party A. For the avoidance of doubt, the documents for translation, and the translation requirements shall

9、 be deemed duly received by Party B at the time of sending if sent to Party B s email address indicated below.Party B shall complete each translation work and provide the translated documents to Party A within working days or any other date as requested by Party A on a case by case basis. Other spec

10、ial circumstances (if any) shall be otherwise negotiated and confirmed by the Parties.The documents for translation and the translated documents will be sent to the following emails which are specified by both parties. The email addresses of both parties are referred as follows:六、交稿形式：Delivery Forma

11、t:電子文檔。譯稿應為word格式，或者其他甲方指定的格式Electronic document. For translated documents, they will be prepared in the Word format or any other format as requested by Party A.七、質量確認：Quality Confirmation:甲方收到稿件后，應在（七個工作日內）確認稿件質量，否 則視為稿件合格。PartyA shall confirm thequality ofthetranslationwithin 7business daysafter r

12、eceivingthetranslateddocuments , otherwise the documents shall be deemed as qualified.八、付款方式：Payment:a）甲方可以用現(xiàn)金、銀行轉賬方式付款。b）乙方在每月月初提供一份上月翻譯費清單給甲方， 甲方應 在3個工作日內確認清單，乙方收到翻譯清單確認后，應郵寄正 式發(fā)票給甲方的指定人員。c）甲方收到發(fā)票后，應在十個工作日內，一次性付清款項。Party A may pay in cash or bank transfer.Party B shall provide a list of translatio

13、ns expenses for Party A at the beginning of each month and Party A should confirm the list within three working days. Party B shall then send an invoice to Party A by courier.Party A shall pay off within ten business daysafterreceiving the invoice.九、甲方權利與義務：Rights and obligations of Party A.因翻譯涉及的專業(yè)

14、性較強，甲方應及時準確地向乙方提供 翻譯原稿、輔助說明及相關參考文檔。For the specialty of technical items, Party A shall provide accurate reference materials such as original translation, and auxiliary information in time.為保障乙方權益，甲方不得與乙方派出的工作人員發(fā)生直 接的勞務雇傭關系(包括本項目結束后)。To ensure the rights and interests of Party B, Party A should not m

15、ake direct contact with the employees of Party B (also applicable to after the project ended).如甲方在乙方翻譯過程中，如果非乙方過失，甲方要求終 止翻譯，乙方應及時提交已將翻譯的部分文件給甲方，甲方需根 據乙方的翻譯進度，按乙方已經翻譯的字數(shù)，以雙方在本協(xié)議第 三條規(guī)定的協(xié)定的單價計算翻譯費給乙方。Shall Party A need to stop translation during the translation, through no fault of Party B, Party B sha

16、ll promptly provide the translated documents that have then been completed, and Party A shall pay Party B for the words having been translated with satisfactory qualities at the unit price stated in Clause III hereof.甲方對原稿內容負責，不得有違反國家相關法律、法規(guī)的 內容。乙方對譯稿的內容、用途以及使用譯文所產生的后果不承 擔責任。Party A shall be respons

17、ible for the original translation which shall not breach relevant laws and regulations. Party B shall bear no responsibilities for translation contents, usage, and outcomes caused by.十、乙方權利與義務：Rights and Duties of Party B.受甲方委托，乙方向甲方提供筆譯翻譯服務。Entrusted by Party A, Party B provides translation service

18、 for Party A.乙方保證翻譯稿件準確、通順、得體。乙方應當保證譯文 的質量達到翻譯行業(yè)公允的水平，如果乙方的翻譯質量不能得到 甲方的認可，乙方應根據甲方的要求修改稿件到甲方滿意為止， 乙方不得另行收費。.如對譯文的翻譯質量發(fā)生爭議，雙方應以協(xié) 商方式解決。The documents translated by Party B shall be accurate, fluent and concise. Party B promises to provide qualified translation work that meets the recognized quality in

19、the industry. If the quality of translation fails to meet the approval of Party A, Party B shall modify the translated file until it meets Party A s requirements, and no additional fees will be charged. Shall any dispute on quality would occur, both parties shall solve it with friendly negotiation.售

20、后服務：收到譯稿的一個月內，應甲方要求，乙方可對 譯稿進行修改、審校，不另行收取費用，但不包括甲方新增、修 訂的部分。After service: Within a month after receiving payment form Party A, Party B shall provide free modification of the translated files as required by Party A. The newly-added and revised contents are excluded.保密義務：乙方應嚴格保密甲方提供的信息(包括但不限 于技術信息商業(yè)的信

21、息、商業(yè)秘密、法定單證、公司制度和程序) 等以及譯稿(統(tǒng)稱機密信息)。對于甲方委托的翻譯稿件中所涉 及內容及相關信息，乙方應嚴格保密，乙方不得向任何第三方泄 露稿件中任何內容及商業(yè)秘密(政府和國家機關規(guī)定的除外)。Duty of Confidentiality:Party B shall keep anyinformation provided by Party A (including but not limited to technical information, commercial information, business secrets, legal documents and

22、company s system and procedures) and the translated documents (collectively, a Confidential Information ), strictly confidential. Party B shall treat as strictly confidential all Confidential Information, which shall not be disclosed to any third party or individual (unless such disclosure is made b

23、y the state or government with administrative enforcement) by Party B。.乙方所使用的全部資料、圖形、圖片等相關版權、VisualIdentity版權全部歸甲方所有。應甲方要求，乙方應在整個項目結束后，將所有紙質文檔全部歸還于甲方，乙方應及時將所有相 關電子文檔及時進行徹底刪除處理。如甲方無特殊說明， 乙方將備份譯稿并在嚴格保密的前提下保存一年。Party A has the copyright for all data, figures, pictures and VI used by Party B. Required b

24、y Party A, Party B shall return all paper documents to Party A after the project ends. Party B shall delete all relevant electronic documents.Without special instructions of Party A, Party B shall backup the translation and keep confidentiality one year.T一版權 Copyright協(xié)議雙方一致同意所有甲方所有的文件的知識產權，包括但不限于版權，

25、以及所有乙方提供的譯稿、校對稿的知識產權包括 但不限于版權，應甲方要求都屬于甲方。未經甲方書面許可，乙 方不得有任何違背甲方知識產權的文件處理和發(fā)布行為。Both parties agree that the intellectual property rights, including but not limited to copyright, of all documents belong to Party A and the intellectual property rights, including but not limited to copyright, of all docum

26、ents that are translated, proofread and sorted out by Party B as required by Party A belong to Party A. Without Party A swritten permission, Party B shall not dispose and transfer the documents or engage in any activity infringing Party As intellectual property rights.十二、違約責任 .Liability for Breach o

27、f Contract按照本協(xié)議第五條，若乙方延遲交稿，每延遲一日，處以總 費用百分之五的違約金。乙方同意，甲方有權從應付費用扣除此 筆罰款。若甲方延遲付款，每延遲一日，處以總費用百分之五的 違約金。If Party B delays to deliver translated documents as prescribed in Clause V hereof, a penalty shall be charged at a rate of 5% of the total remuneration for each day of delay to Party A. Party B hereby

28、 agrees that Party A has the right to deduct such penalty from any amounts payable to PartyB hereunder. If Party A delays to pay, a penalty shall be charged at a rate of 5% of the total remuneration for each day of delay to Party A.十三、解決糾紛 Settlement of Disputes1、若在執(zhí)行本合同過程中發(fā)生爭議，雙方應協(xié)商解決，若 協(xié)商不成，雙方應將爭議

29、提交法院解決。If there are disputesin connection with theperformance hereof, they shall be settled by both parties throughfriendly negotiation;In case of failure of suchnegotiation, both parties shall submit the said disputes to the court.2、 終止 Termination本協(xié)議可以在協(xié)議一方至少提前30日向另外一方提出書面終止通知后終止。但如果上述終止是在乙方違背本協(xié)議第七條條款的情況下終 止，則甲方有權終止單項翻譯工作或者終止整個協(xié)議，并且無需 向乙方發(fā)出任何事先通知。This Agreement may be terminated by either Party giving written notice to the other Party at least 30
