17、 The Tenderee intends to apply a portion of the proceeds of this fund/loan to the payments under the contract for which this Invitation for Bids is issued.2.招標(biāo)機(jī)構(gòu)及合格的投標(biāo)人 2.Tendering Agent and Eligible Bidders2.1 招標(biāo)機(jī)構(gòu) 2.1 Tendering Agent機(jī)電產(chǎn)品國際招標(biāo)機(jī)構(gòu)是指依照中華人民共和國商務(wù)部令2005年第6號(hào)機(jī)電產(chǎn)品國際招標(biāo)機(jī)構(gòu)資格審定方法取得招標(biāo)資格并從事機(jī)電產(chǎn)品國際招

18、標(biāo)代理業(yè)務(wù)的企業(yè)法人。 The Tendering Agent for ICB Procurement of Mechanic and Electronic Products (hereinafter referred to as Tendering Agent) means the Legal Person approved and authorized by the Ministry of Commerce to handle the procurement of mechanic and electronic products by way of International Compet

19、itive Bidding (ICB) in accordance with the Measures for Examining and Approving the Qualification of International Tendering Institutions for Electromechanical Products, Decree No.6, 2005 of the Ministry of Commerce of the Peoples Republic of China.本次招標(biāo)的招標(biāo)機(jī)構(gòu)名稱、地址、電話和傳真見投標(biāo)資料表。 Details such as name, a

20、ddress, telephone and facsimile of the Tendering Agent for this bidding are listed in the Bid Data Sheet.2.2 合格的投標(biāo)人 2.2 Eligible Bidders1)投標(biāo)人是響(不當(dāng)用詞)標(biāo)、參加投標(biāo)競(jìng)爭(zhēng)的法人或其他組織。除非另有規(guī)定，凡是來自中華人民共和國或是與中華人民共和國有正常貿(mào)易往來的國家或地區(qū)(以下簡(jiǎn)稱“合格來源國地區(qū)”)的供貨人均可投標(biāo)。 1) Bidders are legal persons or other organizations who participate

This Invitation for Bids is open to all suppliers from within the Peoples Republic of China (hereinafter abb. as PRC) and all countries/areas which have regular trade relations with PRC (hereinafter called the eligible source countries/areas), except as provided hereinafter.2)投標(biāo)人不得直接或間接地

23、for the procurement of the goods to be purchased under this Invitation for Bids.3)只有在法律上和財(cái)務(wù)上獨(dú)立、合法運(yùn)作并獨(dú)立于招標(biāo)人和招標(biāo)機(jī)構(gòu)的供貨人才能參加投標(biāo)。 3) The Suppliers may participate in the bids only if they are legally and financially autonomous, if they operate under relevant law, and if they are not a dependent agency of t

24、he Tendering Agent and the Tenderee.3.合格的物資和服務(wù) 3.Eligible Goods and Services3.1 合同中提供的所有物資及其有關(guān)服務(wù)的原產(chǎn)地，均應(yīng)來自上述2.2條款規(guī)定的合格來源國地區(qū)。本合同的支付也僅限于這些物資和服務(wù)。 3.1 All goods and related services to be supplied under the contract shall have their origin in eligible source countries/areas, as defined in clause 2.2 abov

25、e, and all expenditures made under the contract will be limited to such goods and services.3.2 本款所述的“原產(chǎn)地”是指物資開采、生長(zhǎng)或生產(chǎn)或提供有關(guān)服務(wù)的來源地。所述的“物資”是指通過制造、加工或用重要的和要緊的元部件裝配而成的，其差不多特征、功能或效用應(yīng)是商業(yè)上公認(rèn)的與元部件有著實(shí)質(zhì)性區(qū)不的產(chǎn)品。 3.2 For purposes of this clause, origin means the place where the goods are mined, grown or produced,

26、 or the place from which the related services are supplied. Goods are produced when, through manufacturing, processing, or substantial and major assembly of components, a commercially-recognized product results that is substantially different in basic characteristics or in purpose or utility from it

27、s components.3.3 物資和服務(wù)的原產(chǎn)地有不于投標(biāo)人的國籍。 3.3 The origin of goods and services is distinct from the nationality of the Bidder.4.投標(biāo)費(fèi)用 4.Cost of Bid4.1 投標(biāo)人應(yīng)承擔(dān)所有與預(yù)備和參加投標(biāo)有關(guān)的費(fèi)用。不論投標(biāo)的結(jié)果如何，投標(biāo)資料表中所述的招標(biāo)機(jī)構(gòu)和招標(biāo)人均無義務(wù)和責(zé)任承擔(dān)這些費(fèi)用。 4.1 The Bidder shall bear all costs associated with the preparation and submission of its b

28、id, and the Tendering Agent and the Tenderee, named in the Bid Data Sheet, will in no case be responsible or liable for those costs, regardless of the conduct or outcome of the bid process.二、招標(biāo)文件 B. 29、的編制依據(jù)是中華人民共和國招標(biāo)投標(biāo)法和中華人民共和國商務(wù)部令2004年第13號(hào)機(jī)電產(chǎn)品國際招標(biāo)投標(biāo)實(shí)施方法。 5.1 The bidding document is compiled based on “The Bidding Law ofthe Peoples Republic ofChina” and Order No.13 2004 of the Ministry of Commerce “The Measures for the Implementation of International Competitive Bidding of Mechanical and Electrica

30、l Products.”5.2 要求提供的物資、招標(biāo)過程和合同條件在招標(biāo)文件中均有講明。招標(biāo)文件以中文或中、英文兩種文字編寫。以中、英文兩種文字編寫時(shí)，兩種文字具有同等效力；中文本與英文本如有差異，以中文本為準(zhǔn)。 5.2 The goods required, bidding procedures and contract terms are prescribed in the bidding documents. The bidding document is written either by Chinese or by Chinese and English. In the case o

33、 of Requirements and Technical Specifications5.3投標(biāo)人應(yīng)認(rèn)真閱讀招標(biāo)文件中所有的事項(xiàng)、格式、條款和技術(shù)規(guī)格等。投標(biāo)人沒有按照招標(biāo)文件要求提交全部資料，或者投標(biāo)沒有對(duì)招標(biāo)文件在各方面都作出實(shí)質(zhì)性響應(yīng)是投標(biāo)人的風(fēng)險(xiǎn)，并可能導(dǎo)致其投標(biāo)被拒絕。 5.3 The Bidder is expected to examine all instructions, forms, terms and specifications in the bidding documents. Failure to furnish all information required

34、 by the bidding documents or to submit a bid not substantially responsive to the bidding documents in every respect will be at the Bidders risk and may result in the rejection of its bid.6.招標(biāo)文件的澄清 6.Clarification of Bidding Documents6.1 任何要求對(duì)招標(biāo)文件進(jìn)行澄清的潛在投標(biāo)人，均應(yīng)以書面形式通知招標(biāo)機(jī)構(gòu)和招標(biāo)人。 6.1 A prospective Bidder

35、 requiring any clarification of the bidding documents may notify the Tendering Agent and the Tenderee in writing.招標(biāo)機(jī)構(gòu)對(duì)其在投標(biāo)資料表中所述投標(biāo)截止期5日往常收到的對(duì)招標(biāo)文件的澄清要求均以書面形式予以答復(fù)，同時(shí)將書面答復(fù)發(fā)給每個(gè)購買招標(biāo)文件的潛在投標(biāo)人(答復(fù)中不包括問題的來源)。 The Tendering Agent will respond in writing to any request for clarification of the bidding documents

36、 which it receives no later than five (5) days prior to the deadline for the submission of bids prescribed in the Bid Data Sheet. Written copies of the Tendering Agents response (without identifying the source of inquiry) will be sent to all prospective bidders who have purchased the bidding documen

37、ts.6.2 投標(biāo)人認(rèn)為招標(biāo)文件存在卑視性條款或不合理要求，應(yīng)在規(guī)定時(shí)刻內(nèi)一次性全部提出。 6.2 If the Bidder regards any discrimination clause or unreasonable requirement in the bidding document, he shall submit once and for all in the stipulated time.7.招標(biāo)文件的修改 7.Amendment of Bidding Documents7.1 在投標(biāo)截止期前，不管出于何種緣故，招標(biāo)機(jī)構(gòu)和招標(biāo)人可主動(dòng)地或在解答潛在投標(biāo)人提出的澄清問題時(shí)對(duì)

38、招標(biāo)文件進(jìn)行修改。 7.1 Prior to the deadline for submission of bids, the Tendering Agent, for any reason, whether at its own initiative or in response to a clarification requested by a prospective Bidder, may modify the bidding documents by amendment.7.2招標(biāo)文件的修改是招標(biāo)文件的組成部分，將以書面形式通知所有購買招標(biāo)文件的潛在投標(biāo)人，并對(duì)潛在投標(biāo)人具有約束力。潛

39、在投標(biāo)人在收到上述通知后，應(yīng)立即以書面形式向招標(biāo)機(jī)構(gòu)和招標(biāo)人確認(rèn)。 7.2 All prospective bidders who have purchased the bidding documents will be notified of the amendment in writing, and will be binding on them. The amendment is a part of the bidding document. Prospective Bidders shall promptly acknowledge the receipt thereof in wri

40、ting to the Tendering Agent/the Tenderee.7.3 為使投標(biāo)人預(yù)備投標(biāo)時(shí)有充分時(shí)刻對(duì)招標(biāo)文件的修改部分進(jìn)行研究，招標(biāo)機(jī)構(gòu)和招標(biāo)人將適當(dāng)推遲投標(biāo)截止期。 7.3 In order to afford prospective bidders reasonable time in which to take the amendment into account in preparing their bids, the Tendering Agent, at its discretion, will extend the deadline for the subm

Preparation of Bids8.投標(biāo)的語言 8.Language of Bid8.1 投標(biāo)人提交的投標(biāo)文件以及投標(biāo)人與招標(biāo)機(jī)構(gòu)和招標(biāo)人就有關(guān)投標(biāo)的所有來往函電均應(yīng)使用投標(biāo)資料表中規(guī)定的語言書寫。 8. l The bid prepared by the Bidder, as well as all correspondence and documents relating to the bid exchanged by the Bidder and the Tendering Agent/ the Tenderee, shall

42、 be written in the language specified in the Bid Data Sheet.投標(biāo)人提交的支持資料和已印刷的文獻(xiàn)能夠用另一種語言，但相應(yīng)內(nèi)容應(yīng)附有投標(biāo)資料表中規(guī)定語言的翻譯本，在解釋投標(biāo)文件時(shí)以翻譯本為準(zhǔn)。 Supporting information and printed literature furnished by the Bidder may be in another language provided they are accompanied by an accurate translation of the relevant passa

44、投標(biāo)書、投標(biāo)分項(xiàng)報(bào)價(jià)表以及供唱標(biāo)時(shí)使用的、單獨(dú)密封的開標(biāo)一覽表； 1) A Bid Form, Bid Schedule of Prices and a Summary Sheet for Bid Opening which shall be submitted in a separate envelope completed in accordance with ITB Clauses 10, 11 and 12;2)按照本須知第13條要求出具的資格證明文件，證明投標(biāo)人是合格的，而且中標(biāo)后有能力履行合同； 2) Documentary evidence established in acco

46、the Bidder are eligible and conform to the bidding documents;4)按照本須知第15條規(guī)定提交的投標(biāo)保證金。 4) Bid security furnished in accordance with ITB Clause 15.10.投標(biāo)文件的編寫 10.Compilation of Bid10.1 投標(biāo)人應(yīng)按照第四章投標(biāo)文件格式完整地填寫投標(biāo)書、開標(biāo)一覽表、投標(biāo)分項(xiàng)報(bào)價(jià)表以及招標(biāo)文件中規(guī)定的其它內(nèi)容。 10.1 The Bidder shall complete the Bid Form, Summary Sheet for Bid

47、Opening and Price Schedule and other stipulated contents furnished in Section IV Formats of Bids of the bidding documents.11.投標(biāo)報(bào)價(jià) 11.Bid Prices11.1 投標(biāo)人應(yīng)在投標(biāo)分項(xiàng)報(bào)價(jià)表上標(biāo)明本合同擬提供物資的單價(jià)(如適用)和總價(jià)。 11.1 The Bidder shall indicate on the appropriate Bid Schedule of Prices the unit prices (where applicable) and tota

48、l bid price of the goods it proposes to supply under the contract.投標(biāo)總價(jià)中不得包含招標(biāo)文件要求以外的內(nèi)容，否則，在評(píng)標(biāo)時(shí)不予核減。 The total bid price shall not include any items beyond the requirement of the bidding document; otherwise, the offer on such items will not be deducted when evaluation.投標(biāo)總價(jià)中也不得缺漏招標(biāo)文件所要求的內(nèi)容，否則，評(píng)標(biāo)時(shí)將有效投標(biāo)
