1、合作協(xié)議文本樣式(中文)國際交流處xx年注:1.合作協(xié)議書有兩個構(gòu)成部分:操作性條款和法律性條款。2.合作協(xié)議書需有中文和英文兩個文本。3.合作協(xié)議 書的內(nèi)容須經(jīng)過合作各方的討論確認(rèn)方能以學(xué)校名義正式簽署。序言此協(xié)議由中國xx立信會計學(xué)院與XXX 簽署。xx立信會計學(xué)院是由中國教育部批準(zhǔn)設(shè)立的高等教育院校,此大學(xué)可 以為高中畢業(yè)生提供高等教育及相關(guān)服務(wù)。XXXxx立信會計學(xué)院與XXX有意向在XXX領(lǐng)域合作, 向立信學(xué)生提供XXX課程, 具體的協(xié)議條款如下:第一部分: 操作性條款1.0合作宗旨.2.0合作期限: 建議合作期限不超過六年。3.0合作目標(biāo)4.0課程設(shè)計 擬包括年度招生數(shù), 課程跨度,

2、 證書授予, 教學(xué)計劃(詳細(xì)表述,并不含學(xué)分轉(zhuǎn)讓)等5.0課程講授 擬包括總課程數(shù), 課程概要, 教材使用, 考試監(jiān)督,考試標(biāo)準(zhǔn)等6.0各方分工職責(zé) 擬包括各方分工職責(zé), 且須平等對應(yīng)7.0學(xué)生學(xué)費 擬包括學(xué)費收入分配, 發(fā)票出具, 錢款轉(zhuǎn)帳. 并包括各方收費及退費; 各方須提供預(yù)算報告8.0項目管理 以下具體條款可供借鑒1)所 關(guān)于于課程的教學(xué)大綱和授課方式的決定都必須有各方共同商議決定。2)各指派一名人員聯(lián)系與監(jiān)督根據(jù)本協(xié)議規(guī)定在立信開展的課程相關(guān)的總體學(xué)術(shù) 和管理事宜。3)本項目將根據(jù)各方的政策和程序運作，包括不時修訂的教學(xué)措施與方案。4)各方每年舉行一次項目負(fù)責(zé)人碰頭會, 討論協(xié)議的執(zhí)

3、行情況, 地點在各方所在地輪換。5)關(guān)于實施本協(xié)議所必要的手續(xù)及材料, 由各方各自負(fù)責(zé)。第二部分 法律性條款協(xié)議終止1.如協(xié)議一方違反了本協(xié)議條款，非違約方有權(quán)以書面形式通知違約方立即終止協(xié)議。如發(fā)生在學(xué)期終止前，終止期將自動延期為 該學(xué)期終止日。2.如此協(xié)議失效或終止于任何學(xué)生履行學(xué)業(yè)前，各方必須保證學(xué)生在協(xié)議失效或終止后按原課程計劃履行學(xué)業(yè)，以維護學(xué)生權(quán)益。所有權(quán)及秘密在此協(xié)議下合作各方交換的任何及所有所有權(quán)及秘密資料文件資料, 在沒有對方書面允許時, 任何一方及其雇員或代理人不得將這些所有權(quán)及資料文件資料向第三者公開。各方對其包括名稱, 標(biāo)記, 產(chǎn)品, 材料及信息的所有權(quán)及知識所有權(quán)保持

4、其所有權(quán)。任何復(fù)制及傳播這些材料及信息必須得到所有方的書面許可。對此協(xié)議的任何公開聲明必需事先經(jīng)過各方的同意。照 會在此協(xié)議下, 所有要求的或準(zhǔn)許的照會及通訊應(yīng)以書面形式投遞, 傳真號碼方式傳遞, 或其他能夠打印成書面材料的電子方式傳遞。任何一方若改變辦公地址, 應(yīng)以書面方式通知對方.。各方的辦公地址如下:(1)如給SLUCxx市松江區(qū)文翔路2800號xx立信會計學(xué)院， xx20收信人: 教學(xué)副院長傳 真: 86-21-67705001電子郵件:(2)如給XXX仲裁與訴訟此協(xié)議應(yīng)符合中華人民共和國法律.如在理解和執(zhí)行協(xié)議中發(fā)生爭執(zhí)，各方可向協(xié)議執(zhí)行地法院提起訴訟。訴訟結(jié)果對各方都 有制約作用。

5、通則1.本協(xié)議為各方合作的正式協(xié)議, 替代了其他與本協(xié)議關(guān)于的條款包括諒解備忘錄。對本協(xié)議的任何修訂, 須經(jīng)各方簽字方可生效。2.協(xié) 議各方及后繼法人應(yīng)遵守本協(xié)議。3.本協(xié)議應(yīng)取得中國教育部的許可，以及任何和所有關(guān)于的政府和管理部門批準(zhǔn)。協(xié)議1.此協(xié)議由中文與英文兩種版本, 協(xié)議各方各持一份. 兩種文本內(nèi)容相同并在教育部批準(zhǔn)后具有同等效力。2.如協(xié)議雙 方有爭議出現(xiàn), 以協(xié)議的中文文本作為說明依據(jù)。3.為執(zhí)行本協(xié)議而由各方共同制定的補充協(xié)議、規(guī)章制度，與本協(xié)議具有共同效力。報批關(guān)于為實施本協(xié)議所必要的報批手續(xù)與材料，由各方各自負(fù)責(zé)。本協(xié)議在得到管理當(dāng)局批準(zhǔn)后生效。協(xié)議修改合作領(lǐng)域除了本合作項目

11、of courses, course outlines, textbook and reference materials, invigilation of examinations, grading and assessment standards.6.0 Roles and Obligations It may include roles and obligations of both parties that should be corresponding to that of each others.7.0 Student Fees It may include tuition fee

12、s allocation, invoice technique and payment transfer.Also include total tuition charge and refund of both parties. Both parties should provide financial budget report.8.0 Program Administration The following terms and conditions can be referred and considered;All decisions relating to program curric

13、ulum and instructional delivery will be made jointly betweenshall each appoint a designated person to coordinate and oversee all academic and administrative matters relating to the program delivered at SLUC pursuant to the provisions of this Agreement.The program will operate in accordance with.poli

14、cies and procedures including academic policies which may be revised from time to time.Person in charge of this program from both parties shall meet once every year to discuss on the performance of this agreement. The location for annual conference is to be shifted by turn between the two schools.Ne

15、cessary formalities and documents with regard to the performance of this agreement shall be taken care of respectively by .Part Two: Legal issuesTermination of AgreementShould one party violate this agreement, the abiding party shall have the right to give a written notice to the breaching party to

16、dissolve promptly the agreement. Should this occur prior to the end of a semester, the actual date of dissolution will automatically be the date of the conclusion of the semester.Should this agreement become void or dissolved before any of the students has completed his/her coursework, the two parti

17、es concerned shall ensure that the said student can finish, after the invalidity and the dissolution of the agreement, all of his/her course work as required by the original syllabus, so that the legitimate right of the student is duly protected.Proprietary Rights / ConfidentialityAny and all propri

18、etary or confidential information or data exchanged between the parties within thecontext of this Agreement shall not be disclosed by the recipient party or its employees or agents to any third party without the express written consent of the party owning same. Each party retains all rights of owner

19、ship and intellectual property rights in its respective name, logo, products, materials and information. Any reproduction and/or dissemination of such materials or information will only be with written consent of the party owning same. Any public announcements made respecting this Agreement shall be

20、 subject to the prior approval of both parties.NoticeAll notices and communications required or permitted under this Agreement shall be in writing and hand-delivered or transmitted by facsimile or other electronic means which produces a physical copy. Either party may change its address by written n

21、otice to the other party. 22、g to the law of the Peoples Republic of China.Should a dispute occur arising from the understanding and performance of this agreement, both parties may submit the case to a local court in an area where this agreement is executed for an arbitral award, which shall have a binding effect on both partie

23、s concerned.GeneralThis agreement constitutes the sole and entire agreement between the parties in respect of its subject matter and supercedes all prior agreements and arrangements including the MOU. Any and all amendments hereto shall be in writing duly executed by the parties.This Agreement shall

24、 be binding upon the parties and their respective successors.This Agreement shall be subject to and conditional upon the consent of the China Ministry ofEducation, and any and all applicable governmental and regulatory consents and approvals. In the event the consent of any Chinese governmental auth

25、ority is subject to conditions that are not acceptable to , then . may terminate this agreement forthwith upon written notice to SLUC, and in such event, neither party shall be liable to the other party, except for obligations incurred prior to termination.AgreementThis agreement is made in two copi
