lieswithInsuraneeCompanyorShippingCompany,theBuyershall,within daysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformaneearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.(Claim):ThebuyershallmakeaclaimagainsttheSeller (includingreplacementofthegoods)bythefurtherinspectioncertificateandalltheexpensesincurredtherefromshallbebornebytheSeller.TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellerfailtoreplywithin daysaftertheSellerreceivedtheBuyer'sclaim.20.(LatedeliveryandPenalty ):ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation. Incasenosettlement isreached,thedisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitration Commission(CIETAC),ShenzhenCommissionforarbitrationinaccordaneewithitsrules
