CONTRACTRegisterNo.ThiscontractismadeonthedayofJune,2001byandbetween:aCorporationwithlimitedliabilityorganizedandexistingbyvirtuethelawsofP.R.Cwithitslegaladdress:wanxinbuilding6thfloordongchengdistrictBeijingP.R.C,representedhereinbyits,hereinafterreferredtoasthe“Employer”,AndChinastateConstructionDecorationEngineeringCompany,aCorporationorganizedandexistingbyvirtueofthelawsofthePeople’sRepublicofChinawithlegalAddress:Hengjiezi18LidianChaoyangdistrict,BeijingP.R.C,presentedhereinbyitsLiuXiaoyihereinaftersimplereferredtothe“Contractor”.ThisContractshallbeeffectiveasofthedateof1June,2000,betweentheEmployerandtheabovenamedContractorwhoherebyagreesthatallworksspecifiedbelowshallbeperformedbytheContractorinaccordancewithalltheprovisionoftheContract,consistingofthefollowingContractDocuments:ThiscontractFormAppendix“A”GeneralConditionsAppendix“B”SpecialConditionsAppendix“C”ScheduleofQuantities,PricingandPaymentConditionsAppendix“D”ScopeofWork,DrawingsandTechnicalSpecificationsAppendix“E”ApprovedConstructionScheduleAppendix“F”TenderDocumentsWORKTOBEPERFORMED:ExceptasspecifiedotherwiseintheContract.Contractorshall,accordingtostipulationsandrequirementsofthecontract,supplyallthematerials,labor,technicalsupport,supervision,tools,equipmentandplant,transportation,consumableandperformallthenecessaryworkrequiredforcompletionofprocessing,installation,experiment&utilizing.SCHEDULE:TheWorkshallbeperformedinaccordancewiththedatessetforthintheAppendix“B”clausetitled“COMMENCEMENT,PROGARESSANDCOMPLETIONOFTHEWORK.”COMPENSATION:Asfullconsiderationforthesatisfactoryperformancebysub-ContractorofthisContract,theEmployershallpaytotheContractoracompensationinaccordancewithterms&conditionsofthepricesandpaymentsetforthinAppendix“C”ofthisContract.ThetotallumpsumvalueofthisContractistemporallynoticesandcommunicationsnaccordancewithorrelatedtothisContractshallbeconductedbetweenauthorizedrepresentativesdesignatedinwritingbytheparties.NoticesshallbeinwritingandmaybeservedeitherpersonallyontheauthorizedrepresentativeofthereceivingpartyorbycertifiedmailtotheaddressshownonthefaceofthisContractorsuchaddressasdirectedbynotice.LAWS,REGULATION,PERMITSANDTAXES:ThisContractshallbeinterpretedunderandgovernedbythelawsofthePeople’sRepublicofChina.Allapplicablelaws,ordinances,statutes,rulesorregulationsineffectatthetimeWorkshallapplytoContractoranditsemployeesandrepresentatives.Exceptsasotherwisespecified,Contractorshallprocureandpayforallpermits,licenses,certificationsandotherapplicablegoverningauthorityrequirementsandinspections,andshallfurnishcopiesofanydocumentation,requiredbythecontractionpermitandpayfortheevidenceofbonds,securityordepositsrequiredtopermitperformanceoftheWork.Exceptasotherwisespecified,Contractorshallpayalltaxes,includingallapplicableChineseGovernmentrequiredBusinessTaxesandValueAddedTaxes,IncomeTax,levies,dutiesandassessmentseverynaturedueinconnectionwithWorkunderthisContract.LABOR,PERSONNELANDWORKRULES:ContractorshallemployonlycompetentandskilledpersonneltoperformedtheWorkandshallremovefromtheJobsiteandContractorpersonneldeterminedbyEmployertobeunfitortobeactingorworkinginviolationofanyprovisionofthisContract.ContractorshallcomplywithandenforceJobsiteprocedures,regulations,workrulesandworkhoursestablishedbytheEmployer.TheEmployermayatitssolediscretiondenyaccesstoheJobsitetoanyindividualbywrittennoticetoContractor.IntheeventanemployeeisexcludedfromtheJobsite,ContractorshallpromptlyreplacesuchindividualwithanotherwhoisfullycompetentandskilledtoperformtheWork.SAFETY,HEALTH,SECURITYANDSITEHOUSEKEEPING:ContractorshallatalltimesconductalloperationsunderthisContractinasuchmannerastoavoidtheriskofendangermenttohealth,bodilyharmtopersonsanddamagetoproperty.ContractorshallcomplywiththeChineseSafety,FireProtection,HealthandSecurityrulesandregulationsenforcedbytheChinaLaborBureau,FireBureauandProjectSafetyandHealthPlanestablishedbyEmployerContractorshall,inaccordancewithitsownestablishedpractices,havesoleresponsibilityforimplementingitssafetyandhealthprogram,talkingallsafetyandhealthprecautionsnecessaryandcontinuouslyinspectingallequipment,materialandworktodiscover,determineandcorrectanyconditionswhichmightr
