4LaborRemunerationA.ThewageofPartyBfornormalworkinghoursshallbepaidpursuanttomodebelowandmaynotlessthantheminimumwagerateintheplacewherethePartyAislocated.1.Hourlywage:(1)ThewagesofthePartyBfornormalworkinghoursshallbepaidpursuantto;thebeginningwageamountisasRMB/monthorRMB/hour.(2)ThewagesofthePartyBisasRMB/monthintheprobationaryperiod(theprobationalsalaryshallnotbelessthantheminimumwageofsamepostand80percentofappointedsalaryinthecontract,notlessthantheminimumwagestandardinwherePartyAislocated.);2.Pieceworkwage:(1)Unitprice:/;(2)Laborquotas:/(Thelaborquotasdeterminedgenerallyshallbetheamountofworkthatover70%employeesinthesamepositionofthePartyAcanfinishwithinlegalworkinghours.);3.Othercompensations(suchasthePartyApracticesaannualsalarysystemoritpayswagesaccordingtoanassessmentterm):/.4.PartyAshalldetermineitswagedistributionsysteminthelightofthestatusquoofitsproductionandbusinessoperation,thepricelevelandwageincreaseguidelineannouncedbythegovernment.ThespecificwaysandextentofnormalwageincreaseshallbedeterminedinaccordancewithlawthroughmutualconsultationbetweenthePartiesorthroughcollectivebargaining.B.ThepayforperformanceandbonusofthePartyBshallbepaidperthefollowingmethod:.C.TheallowanceandsubsidiesofthePartyBshallbepaidperthefollowingrateandmethod:.D.Thewagesshallbepaidincurrencyinsteadofkindorportfolio.E.PartyAshallpaywagesof(immediately/previously)month,onofeachmonth.Ifthedateforwagepaymenthappenstobealegalholidayoranon-businessday,thewagepaymentshallbemadeinadvanceonthemostrecentbusinessday.F.IfPartyAarrangesPartyBtoworkovertime,itshallpayPartyBovertimepayinaccordancewiththePRCLaborLawandProvisionsofGuangdongProvinceonWagePayment,exceptthatPartyBisarrangedforcompensatorytime-offafterhe/shehasbeenarrangedtoworkovertimeonnon-businessday.Article5SocialInsuranceandFringeBenefits

A.Duringthecontractperiod,PartyA,inaccordancewiththerelevantregulationsofnation,provinceanddistrict,shallpaythepension,medical,unemployment,workinjuryandmaternityinsuranceproceduresforPartyB,andshallpaysocialinsurancefundbasedonpaymentbaseandpaymentratiobyrule.PartyBshallundertakehisownpartofsocialinsurancefund,the

payable

amount

shall

be

withheld

by

Party

A

from

the

Party

B’s

monthly

wages.

PartyAshalltruthfullyinformthesituationofhandlingsocialinsuranceproceduresandwithholdingsocialinsurancepremiumstoPartyB.B.IncasePartyBsufferssicknessornon-work-relatedinjury,PartyAshallofferPartyBaperiodofmedicaltreatmentandsick-leavetreatmentstipulatedbynationalandlocalregulations,paymedicalinsuranceandothermedicalpaymentrelatingtorelevantregulations,andpaysicknesspayordiseasereliefduringspecifiedmedicalperiod,theamountmaybeRMBpermonth(nolessthan80%ofthelocalminimumwagestandard).Article6LaborProtection,WorkingConditionandProtectionAgainstOccupationalHazards

A.PartyAshallprovideworkingplaceconformedtothenationallaborhealthstandard,inaccordancewithlaborprotectionregulationsofthenationandprovince,andeffectivelyprotectthesafetyandhealthofPartyBduringworkingproduction.IfPartyBmaysufferoccupationalhazardduringproductionprocedures,PartyAshalltruthfullyinformPartyB,andprotectthehealthandrelatedrightsofPartyBstipulatedby“LawofOccupationalDiseasePrevention”.B.AccordingtothepositionofthePartyB,PartyAshallprovidePartyBwithlaborsafetyandhygieneconditionsinconformitywiththerelevantlawsandregulations,andprovidefreephysicalexaminationforPartyBevery(year/season/month)inaccordancewithlaborprotectionprovisions.C.PartyAmustcarryoutrelevantprovisionsformulatedbythenation,provinceanddistrictforthelaborprotectionandhealth-careworkoffemaleworker..D.PartyBshallhavetherighttorefusetocarryoutanydangerousoperationforceduponhim/herbyPartyA.ForPartyA'soritsmanager'sbehaviorwhichisindifferenttothesafetyandhealthofPartyB,PartyBmayhavetherighttoinformandreporttotherelevantgovernmentdepartments.E.IfPartyBsufferoccupationaldisease,work-relatedinjuryordeathduetowork,PartyAshallhandleitinaccordancewith“workinjuryinsuranceregulations”.Article7ModificationoftheEmploymentContract

A.EitherofthePartiesmaymodifyrelevanttermsoftheEmploymentContractwithwrittennoticetoothers.B.PartyAchangethename,legalrepresentative,principalresponsiblepersonorinvestor,dosenotaffecttheperformanceofthecontract.C.IfPartyAoccurtheeventofmergerordivision,thecontractsremaininforce,andshallcontinuouslyperformbytheunitsucceededPartyA'srightsandobligations.D.Thetwopartiesmayalterthelaborcontractthroughmutualconsultationandagreement,andhandlechangeproceduresinwriting.Afterthechangeoflaborcontract,eachpartyholdsone.Article8CancellationandTerminationoftheEmploymentContractA.Cancellation1.Thepartiesmayterminatethelaborcontractthroughmutualconsultationandagreement.IfPartyAproposestoterminatethiscontract,shallpaytheeconomiccompensationtoPartyBbyrule.2.PartyAmayterminatetheemploymentcontractunderanyofthefollowingcircumstancesinvolvingPartyB:(1)PartyBbeenproventobeincompetentfortheemployingrequirementduringprobationalperiod.(2)PartyBseriouslybreachlabordisciplinesorregulationsstipulatedbyPartyA.(3)PartyBneglectshisdutyandengagesinmalpracticesforselfishends,thuscausingsignificantharmtotheinterestsofthePartyA.(4)PartyBbuildlaborrelationshipswithotherunits,tocauseaseriouslyimpactonthecompletionofthetaskofPartyA,orrefusetocorrecttherulesmadebyPartyA.(5)WherePartyBhasconcludedormodifiedthelaborcontractagainstthetrueintentionsofPartyAthroughtheuseoffraud,coercionorexploitationoftheunfavorablepositionofPartyA,asaresultofwhichthisagreementisdeemednullandvoid;(6)PartyBisfoundguiltyaccordingtothelawsofP.R.C.(7)PartyBisillorinjuredduetonon-workrelation,afterthecompletionofmedical,stillisincompetentforhisoriginalwork,oralternativejobsarrangedbyPartyA.(8)PartyBisincompetentforworkaftertrainingoradjustmentofjobs.(9)Iftheobjectivesituationchangessignificantlythiscontractbasedon,toresultthecontractunabletoperform,andmutualconsentcannotbereachedinchargeofthislaborcontracts.PartyAterminatethiscontractaccordingtoitem(7),(8)and(9),shouldnoticePartyBinwritingbefore30days(orextrapayamonthwagetoPartyB),andpayeconomiccompensationtoPartyBsubjecttoregulations.IfPartyAterminatethiscontractaccordingtoitem(7),alsoshallpaymedicaltreatmentallowancestoPartyBconformingtorelevantregulations.3.Underanyofthefollowingcircumstances,PartyAcanmakeredundanciesstipulatedbyregulationsandprocedures,andpayeconomiccompensationtoPartyBbyrule:(1)PartyArestructuredpursuanttotheEnterpriseBankruptcyLaw;(2)ProductionandbusinessoperationofPartyAmetseriousdifficulties;(3)Production,technologicalinnovationorbusinessmethodofPartyAadjusted;(4)Ifotherobjectivesituationthiscontractbasedon,changessignificantly,toresultthecontractunabletoperform.4.PartyBmayterminatethelaborcontractwith30days'priorwrittennoticetoPartyA;duringtheprobationaryperiodwith3days'priorwrittennoticetoPartyA.PartyBmayterminatehisemploymentcontractunderanyofthefollowingcircumstancesinvolvingPartyA.PartyAshallpaytheeconomiccompensationtoPartyBbyrule:(1)PartyAhasfailedtoprovidelaborprotectionorworkingconditionsasstipulatedinthelaborcontract;(2)PartAhasfailedtopayremunerationontimeorinfull;(3)PartyAhasfailedtocontributesocialinsurancefundonbehalfofPartyBinaccordancewiththelaw;(4)PartyA'spoliciesviolatelawsorregulations,therebyinfringinguponPartyB'srightsandinterests;(5)PartyAhasconcludedormodifiedthelaborcontractagainstthetrueintentionsofPartyBthroughtheuseoffraud,coercionortakingadvantageofPartyB’sunfavorableposition,asaresultofwhichthiscontractorthechangingagreementisdeemednullandvoid;(6)PartyAisexemptedfromitslegalliabilityandPartyB'srights,asaresultofwhichthiscontractisdeemednullandvoid;(7)PartyAviolatesobligatoryprovisioninlawsandregulations,asaresultofwhichthiscontractisdeemednullandvoid;(8)IfPartyAusesviolence,intimidation,oranunlawfulrestraintofindividualfreedomtocompelPartyBtowork,orifPartyAinstructsPartyBtoviolatethelaworengageinhazardousworkthatendangershispersonalsafety.(9)OthercircumstancesforterminationbyPartyBasspecifiedunderlawsandregulations.Ifthesituationofitem(8)occurs,PartyBhastherighttoterminatethecontractimmediatelywithoutnoticePartyAinadvance.5.Oftheanyofthefollowingcircumstances,PartyAcannotterminatethelaborcontractonthebasisofarticle40and41ofthe“LaborContractLaws”;(1)PartyBthatconductsoperationsexposinghim/hertooccupationaldiseasehazardshasnotgonethroughanoccupationalhealthexaminationbeforeleavinghispost,orissuspectedofhavinganoccupationaldiseaseandisunderdiagnosisormedicalobservation.(2)Injuredduetotheoccupationaldiseaseorwork-relatedreasons,andwasconfirmedashavinglostorpartiallylosttheabilitytowork.(3)Illnessornonwork-relatedinjurywithintheprescribedperiodofmedicaltreatment.(4)Womenworkersinpregnancy,childbirth,breastfeeding.(5)Workedcontinuouslyfor15yearsandlessthanfiveyearsawayfromhislegalretirementageinthisunit.(6)Othercircumstancesstipulatedbylawsadministrativeregulations.B.Termination1.Oncethecontractexpiredorstatutoryterminationconditionoccurs,thecontractshallbeterminated.2.Thecontractterminateduetooneofthefollowingcircumstance,PartyAshouldpayeconomiccompensationtoPartyBstipulatedbyregulations.(1)InadditiontothePartyAmaintainorimprovetheconditionofthelaborcontracttorenewthelaborcontract,PartyBdisagreetonewalease,thelaborcontractexpires;(2)PartyAwasdeclaredbankruptbycourt.(3)BusinesslicenseofPartyAwasrevoked,ordertoclose,cancellationorearlydissolutionof.(4)Othercircumstancesstipulatedbylawsadministrativeregulations.3.WhenPartyBhasthecircumstancesofthefirstparagraph(5)ofarticle8,thecontactexpired,PartyAshallrenewthecontractuntilthecorrespondingcircumstancedisappeared.ButifPartyBsuffersfromoccupationaldiseaseorwork-relatedinjuryandisconfirmedtohavetotallyorpartiallylosttheabilityofwork,PartyAshallexecuteaccordingtoworkinjuryinsuranceregulationsformulatedbynationandprovince.C.IfPartyAillegallydissolvesorterminatesthecontract,PartyBrequeststocarryonthiscontract,PartyAshallcontinuetoperform;PartyBdoesnotrequiretocarryonthecontractorthecontractcannotcontinuetobeperformed,PartyAshallpaydoublecompensationforPartyBaccordingtoeconomiccompensationstandard.D.ProceduresofthedissolutionorterminationofthecontractWhenrelievingorterminatingthiscontract,PartyAshallshowthecertificateofrelievingorterminatinglaborcontact,andhandletransferformalitiesoffilesandsocialinsuranceforPartyBwithin15days.Article9ConciliationandArbitrationIfanydisputearisesbetweenthiscontract,itshallbesettledthroughnegotiation;ifthepartiesareunwillingtonegotiateorthenegotiationfails,canapplyformediationtothePartyA'slabordisputemediationorganization.Ifmediationfails,canapplyarbitrationtojurisdictionallabordisputearbitrationcommissionwithinthetimeforstatutoryarbitration;alsocanapplyarbitrationtolabordisputearbitrationcommission.Ifnotsatisfiedwitharbitraldecision,caninstitutelegalproceedingsinPeople'sCourtswithinstatutorytimelimit.Article10ServicePeriodandCompetitionRestrictionA.IfPartyAprovidePartyBwithspecialtrainingexpensesandprofessionalandtechniquetraining,thetwopartiesmakefollowingagreement:executinginaccordancewithcompanytrainingmanagementsystem.(WhenPartyBbreachestheserviceperiodagreement,shallpaypenaltytoPartyAaccordingtotheagreement.TheamountofpenaltyshallnotexceedthetrainingexpensesprovidedbyPartyA,andshallbenomorethanthetrainingexpensescausedintheserviceperiodunperformed.B.IfPartyBshallkeepthebusinesssecretsandconfidentialmattersrelatedtointellectualpropertyofPartyA,thetwopartiesmakethefollowingappointment:fordetailsseeConfidentialityAgreement.(IfPartyBhaveconfidentialityobligation,PartyAcanmakecompetitionrestrictionagreementwithPartyB,andafterrelievingorterminatingthiscontract,provideeconomiccompensationtoPartyBeverymonthduringthecompetitionrestrictionperiod.IfPartyBbreachestheConfidentialityAgreement,PartyBshallbeartheliabilitythereforpayforpenaltyaccordingtoagreement.ThepersonnelofthecompetitionrestrictionshallberestrictedtoseniormanagementpersonnelofPartyA,seniortechnicalstaffandotherpersonnelhaveconfidentialityobligation.Afterrelievingorterminatingthiscontract,thecompetitionrestrictionperiodshallnomorethantwoyears.)Article11OthersA.Theunfinishedmattersofthiscontract,maybehandledinaccordancewiththerelevantprovisionsofnationandlocal.Duringthecontractperiod,ifthetermsofthiscontractincontradictionwiththenewlaboradministrativeregulationsofnationandprovince,shallexecuteaccordingtonewregulations.B.Thefollowingdocumentsareprovidedfortheattachmentofthiscontract,andhavethesameeffectasthecontract:1.ConfidentialityAgreement.2..3..4..5..C.BilateralAgreement(thecontentsshallnotviolatethelaws,regulationsandtherelevantprovisions,mayplussignatureorsealofthetwopartiestoattachment.): 1.PartyA,accordingtooperatingconditions,canchangePartyB'spositionandadjustPartyB'sremunerationinaccordancewiththeincomedistributionsystemstipulatedbylaw.PartyBagreestobeadjusteditsownremunerationaccordingtoPartyA'sremunerationstandard.
