Thenamesofthejointventurecompanyshallbe××LimitedLiabilityCompany.縮寫為：Itsabbreviationis______________.合營公司的法定地址為：TheLegaladdressofthejointventurecompanyisat第三條甲、乙雙方的名稱、法定地址為：Article3Thenamesandlegaladdressesofeachpartiesareasfollows:甲方：中國×公司，其法定地址為PartyA:×Co.，China，anditslegaladdressis乙方：×國×××公司，其法定地址為partyB:×××Co.，Ltd，anditslegaladdressis第四條合營公司的組織形式為有限責(zé)任公司。Article4

Theorganizationformofjointventurecompanyisalimitedliabilitycompany.甲乙方僅以現(xiàn)行或日后修改的本章程規(guī)定的各自認繳的出資額對合營公司承擔(dān)責(zé)任。Theliabilitiesofeachpartytothejointventurecompanyjustlimitstoitscontributedcapital，whichstipulatedintheArticlesofAssociationorintherevisedafterwards.在上述前提下，各方按其認繳的出資額在注冊資本中的比例分享利潤和分擔(dān)風(fēng)險及虧損。

Theprofits，risksandlossesofthejointventurecompanyshallbesharedbythepartiesinproportiontotheircontributionsoftheregisteredcapital.第五條合營公司為中國法人，受中國法律管轄和保護，其一切活動必遵守中國的法律、法令和有關(guān)條例規(guī)定。Article5

ThejointventurecompanyhasthestatusofalegalpersonandissubjecttothejurisdictionandprotectionofChineselawsconcerned.Allactivitiesofthejointventurecompanyshallbegovernedbythelaws,decreesandpertinentrulesandregulationsofthePeople'sRepublicofChina.第二章宗旨、經(jīng)營范圍Chapter2ThePurpose，ScopeandScaleoftheBusiness第六條甲、乙方合資經(jīng)營的目的是：本著加強經(jīng)濟合作和技術(shù)交流的愿望，彩先進而合用的技術(shù)和科學(xué)的經(jīng)營管理方法，提高產(chǎn)品質(zhì)量，發(fā)民新產(chǎn)品，并在質(zhì)量、價格等方面具有國際市場上的竟?fàn)幠芰?，提高?jīng)濟效益，使投資各方獲得滿意的經(jīng)濟利益。（注：在章程中要根據(jù)具體情況寫明。）Article6

Thepruposeofthepartiestothejointventureisinconformitywiththewishofenhancingtheeconomiccooperationandtechnicalexchanges，toraiseeconomicresultsandensuresatisfactoryeconomicbenefitsforeachinvestorbyimprovingtheproductquality,devlopingnewproducts，andgainingcompetitivepositionintheworldmarketinqualityandpricethroughadvancedandappropriatetechnologyandscientificmanagement.第七條合營公司經(jīng)營范圍為：Article7

Theproductionscaleofthejointventurecompanyareatfollows:第九條合營公司向國內(nèi)、外市場自行銷售其產(chǎn)品，并開展有關(guān)的其他服務(wù)。Article9

TheproductsofthejointventurecompanywillbesoldonChinesemarketandoverseasmarketandafter-saleserviceswillbeprovidedbythemselves.合營公司將出口銷售和取得外匯收入放在優(yōu)先地位，以保證合營公司的成功和發(fā)展。Inordertopursuingthesuccessanddevelopmentofthejointventurecompany，thejointventurecompanyshallgivethetoppriorityonexportoftheproductsandearningforeigncurrency.第三章投資總額和注冊資本Chapter3TotalAmountofInvestmentandtheRegisteredCapital第十條合營公司的投資總額為＿＿＿＿美元Article10

TheamountoftheinvestmentinArticle10shallbepaidbyPartyAandPartyBaccordingtothetimelimitstipulatedinthecontract.第十三條甲、乙方繳付出資額后，經(jīng)合營公司聘請在中國注冊的會計師驗資，具驗資報告后，由合營公司據(jù)此發(fā)給甲、乙各方出資證明書，確認種自的出資日期及金額。Article13

Afterthepaymentofinvestmentbythepartiestothejointventure，aChineseregisteredaccountantinvitedbythejointventurecompanyshallverifyitandprovideacertificateforcontributedinvestment.Thereafterthejointventurecompanyshallissueaninvestmentcertificatetoconfirmthedateandamountofthecontribution.第十四條合營期內(nèi)，合營公司不得減少注冊資本數(shù)額。ArticIe14

Withinthetermofthejointventure，thejointventurecompanyshallnotreduceitsregisteredcapital.任何一方都不得將其在合營公司中認繳出資的任何部份抵押給任何第三方。Neitherpartyshallbeallowedtomortgageanypartoftheinvestmenttothethirdparty.第十五條合營公司注冊資本的增長、轉(zhuǎn)讓，應(yīng)由董事會一致通過后，并報原審批機權(quán)批準(zhǔn)，向原登記機構(gòu)辦理變更登記手續(xù)。Article15

Anyincrease，assignmentoftheregisteredcapitalofthejointventurecompanyshallbeapprovedbytheboardofdirectorsandsubmittedtotheoriginalexaminingandapprovingauthorityforapproval.Theregistrationproceduresforchangesshallbedealtwithattheoriginalregistrationandadministrationoffice.第四章董事會Chapter4TheBoardofDirectors第十六條合營公司設(shè)董事會。董事會是合營公司的最高權(quán)力機構(gòu)。Article16

Thejointventurecompanyshallestablishtheboardofdirectorswhichisthehighestauthorityofthejointventurecompany.第十七條董事會決定合營公司的一切重大事宜，下列事宜，董事會應(yīng)一致通過方可作出決定：Article17

Theboardofdirectorsshalldecideallmajorissuesconcerningthejointventurecompanyforthefollowingissues,unanimousapprovalshallberequired:1.合營公司章程和修改；l)amendingtheArticlesofAssociationofthejointventurecompany2.合營公司的中止與解散；2)discussinganddecidingtheterminationanddissolutionofthejointventurecompany;3.合營公司與另一經(jīng)濟組織的合并、兼并與聯(lián)合；3)decidingthemerger，affiliationandconsolidationofthejointventurecompanywithothereconomicorganization;4.合營公司注冊資本的增長與轉(zhuǎn)讓；

4)decidingtheincreaseandassignmentoftheregisteredcapital;5.設(shè)立合營公司的分支機構(gòu)；5)decidingtosetupbranches;6.批準(zhǔn)合營公司的中長期發(fā)展規(guī)劃；6)ratifyingtheprojectofdevelopmentonmediumtermandlongterm;7.決定合營年度經(jīng)營方針和計劃；7)decidinganannualmanagementstrategyandplan;8.批準(zhǔn)年度財務(wù)預(yù)算，財務(wù)報告和會計報表；

8)ratifyingfiscalbudget，fiscalreportandaccountingstatement;9.決定合營公司年度利潤分派方案；

9)decidingtheplanonannualprofitssharing;10.總經(jīng)理、副總經(jīng)理的任免；l0)invitinganddismissingthegeneralmanagerandthedeputygeneralmanagers;11.涉及任何一方各合營公司利潤沖突的事項。11)settlingthedisputesbetweeneachpartytothejointventureandjointventurecompany.對以下事項，須出席董事會至少×名董事通過：Asforothermatters，approvalbymorethan_________directorsshallberequired.suchas;1.合營公司年度流動資金貸款的最高額及有關(guān)合營公司資產(chǎn)的購置、租賃、出賣或抵押等事宜；1)decidingthetoplineofannualcirculatingcapitalandissuesonpurchasing，leasingandmortgageofassetsinthejointventurecompany;2.合營公司的勞動協(xié)議和重要的規(guī)章制度；2)approving.thelaborcontractsandotherimportantregulationsofthejointventurecompany;3.審查并批準(zhǔn)總經(jīng)理提出的年度經(jīng)營報告；3)examiningandapprovingtheannualbusinessreportsubmittedbythegeneralmanager;4.任免由總經(jīng)理提名報董事會聘任的高級管理人員、決定上述人員的工資和生活福利待遇；4)invitinganddismissingthesenioradministrativepersonnelwhoshallberecommendedbygeneralmanager，anddecidingtheirsalaryandwelfare;5.按照中國政府的有關(guān)規(guī)定，制定合營公司職工的福利和工資制度；5)decidingthesystemofsalaryandwelfareforstaffandworkersinjointventurecompanyinaccordancewiththerelevantregulationsofChina;6.擬定調(diào)整合營公司的組織機構(gòu)；6)definingandadjustingthestructureofthejointventurecompany7.決定合營公司從稅后利潤中提取儲備基金、公司發(fā)展基金和職工獎勵及福利基金的比例；7)decidingtheproportionofallocationforreservefunds，pensionfundsandbonusesfromthetaxedprofitsofjointventurecompany;8.決定合營公司的保險種類和投保范圍；8)decidingthetypesandscopeofinsurancesforjointventurecompany9.關(guān)于董事會對總經(jīng)理經(jīng)營權(quán)限的授予；

9)decidingthescopeofauthorizedpowerforthegeneralmanager;10.決定合營公司職工的住房及各項福利事宜；

10)decidingtheplanonlivinghousesandotherwelfareforstaffandworkersofjointventurecompany;

11.其它應(yīng)由董事會決定的事宜。11)decidingothermatterswhichshallmadedecisionbytheboardofdirectors.第十八條董事會由×名董事組成，其中甲方委派×名，乙方委派×名。董事任期×年，可以連任。Article18

Theboardofdirectorsshallconsistofdirectors.ofwhichdirectorsshallbeappointedbyPartyA，byPartyB.Thetermofofficeforthedirectorsisfouryearsandmayberenewed.甲、乙方在更換董事人選時，應(yīng)事先書面通各董事會和另一方。Whenappointingandreplacingdirectors，awrittennoticeshallbesubmittedtotheboardandtheotherparty.第十九條董事會會議每年至少召開一次。經(jīng)×名以上（含×名）董事建議，董事長可以召開董事會臨時會議。董事會會議原則上在＿＿＿＿＿舉行。Article19

Theboardofdirectorsshallconveneatleastonemeetingeveryyear.Thechairmanmayconveneaninterimmeetingbasedonaproposalmadebymorethan_______(including)directors.Theboardmeetingwillbeheldinprinciplein________.第二十條董事長應(yīng)在董事會開會前三十天書面告知各董事，寫明會議、時間和地點。Article20

Thechairmanshallgiveeachdirectorawrittennoticethirty(30)daysbeforethedateoftheboardmeeting.Thenoticeshallcovertheagenda，timeandplaceofthe.董事因故不能出席董事會會議，可出具委托書委托別人代表其出席和表決。如屆時未出席祟不委托別人出席，則作為棄權(quán)。Shouldthedirectorsbeunabletoattendtheboardmeeting，hemaypresentaproxyinwritten

formtotheboard.Incasethedirectorneitherattendsnorentrustsotherstoattendthemeeting，hewillberegardedasabstention.第二十一條出席董事會會議的法定人數(shù)為全體董事的四分之三。不夠四分之三人數(shù)時，其通過的決議無效。會議決錄應(yīng)歸檔保存，會議記錄用中、英文文字書寫，并且每個出席會議的董事均應(yīng)在會議記錄上簽字。Article22

Theboardmeetingrequiresaquorumofoverthreequarterofthetotalnumberofdirectors.Whenthequorumislessthanthreequarter，thedecisionsadoptedbytheboardmeetingareinvalid.Detailedwrittenrecordsshallbemadeforeachboardmeetingandsignedbyalltheattendeddirectorsorbytheattendedproxy.TherecordshallbemadeinChineseandinEnglish，andshallbefiledwiththecompany.第五章經(jīng)營管理機構(gòu)Chapter5BusinessManagementOffice第二十二條合營公司設(shè)經(jīng)營管理機構(gòu)，負責(zé)合營公司的平常管理工作。Article22

Thejointventurecompanyshallestablishamanagementofficewhichshallberesponsibleforitsdailymanagement.合營公司設(shè)總經(jīng)理一名，副總經(jīng)理×名總經(jīng)理、副總理由董事任命，任期×年，經(jīng)董事會決定可以連任。Themanagementofficeshallhaveonegeneralmanager，deputygeneralmanagers.Theyshallbeinvitedbytheboardofdirectorswhosetermofofficeisfouryearsandmayberenewedbytheboardofdirectors.第二十三條合營公司實行董事會領(lǐng)導(dǎo)下的總經(jīng)理負責(zé)制。Article23

Thesystemofjobresponsibilityofthegeneralmanagerundertheboardofdirectorsisadoptedbythejointventurecompany.總經(jīng)理直接對董事會，執(zhí)行董事會會議的各項決定。組織領(lǐng)導(dǎo)合營公司的平常生產(chǎn)、技術(shù)和經(jīng)營管理工作。Thegeneralmanagershallberesponsibletotheboardofdirectorsdirectly，carryoutthedecisionsoftheboardofdirectorsandorganizethedaily

worksonproduction，technologyandmanagementofjointventurecompany.第二十四條副董事長、董事經(jīng)董事會委派可兼任總經(jīng)理、副總經(jīng)理或經(jīng)理助理。Article24

Attheinvitationoftheboardofdirectors，thechairman，vicechairmanofdirectorsoftheboardmayconcurrentlybethegeneralmanager，deputygeneralmanagerandgeneralmanagerassistantofthejointventurecompany.第二十五條總經(jīng)理、副總經(jīng)理除非得到董事會的批準(zhǔn)不得參與和本合營公司有商業(yè)竟?fàn)幍钠渌?jīng)濟組織。Article25

Thegeneralmanagerordeputygeneralmanagersshallnotholdpositionsconcurrentlyasgeneralmanagerordeputygeneralmanagerofothereconomicorganizationsoncommercialcompetitionwiththeirownjointventurecompanywithouttheapprovaloftheboardofdirectors.第二十六條總經(jīng)理、副總經(jīng)理及其他商級管理人員請求辭職時，應(yīng)提前向董事會提出書面報告。Article26

Thegeneralmanager，deputygeneralmanagersandothersenioradministrativepersonnelwhoaskforresignationshallsubmittheirwrittenreportstotheboardofdirectorsinadvance.以上人員如有營私舞弊或嚴重失職行為的，不能勝任工作的，經(jīng)董事會決定可隨時撤換。

Incaseanyoneoftheabove-mentionedpersonsconductgraftorseriousderelictionofduty，theymaybedismissedatanytimeuponthedecisionoftheboard.第六章財務(wù)會計Chapter6financeandAccounting第二十七條合營公司的財務(wù)會計按照中華人民共和國財政部制定的《中華人民共和國外商投資公司會計制度規(guī)定》辦理。Article27

Thefinanceandaccountingofthejointventurecompanyshallbehandledinaccordancewiththe"StipulationsoftheFinanceandAccountingSystemoftheJointVentureUsingChineseandForeignInvestment"whichformulatedbytheMinistryofFinanceofthePeople'sRepublicofChina.第二十八條合營公司會計年度采用日歷年制，從每年一月一日起至十二月三十一日止為一個會計年度。一牢記帳憑證、單據(jù)、報表、帳薄，用中文書寫。Article28

ThefiscalyearofthejointventurecompanyshallbecalendaryearfromJanuary1toDecember31.Allvouchers，receipts，accountingstatementsandreports，accountingbooksshallbewritteninChineseandEnglish.第二十九條合營公司應(yīng)采用人民幣為記帳的本位貨幣。Article29

ThejointventurecompanyadoptsRenminbi(RMB)asitsaccountskeepingunit.人民同其它貨幣折算，按實際發(fā)生之日中華人民共和國外匯管理局公布的匯價計算。

TheconversionofRMBintoothercurrencyshallbeinaccordancewiththeexchangerateoftheconvertingdaypublishedbytheStateAdministrationofForeignExchangeControlofthePeople'sRepublicofChina.第三十條合營公司在中銀行或中國銀行批準(zhǔn)的其它銀行開立人民幣及外幣帳戶，Article30

ThejointventurecompanyshallopenaccountsinRMBandforeigncurrencywiththeBandofChinaorotherbankswhichagreedbytheBankofChina.第三十一條合營公司采用國際通用的權(quán)責(zé)發(fā)生制和借貸記帳法記帳。Article3l

Theaccountingofthejointventurecompanyshalladopttheinternationallyusedaccrualbasisanddebitandcreditaccountingsystemintheirwork.第三十二條合營公司的財務(wù)會計帳冊應(yīng)記載如下內(nèi)容：Article32

Theaccountingbooksofthejointventurecompanyshallincludethefollowingcontents:1.合營公司所有和鈔票收入、支出數(shù)量；(1)allamountofincomeandpaymentandpaymentincashofthejointventurecompany;2.合營公司所有的物資出售及購入情況；(2)situationsconcerningsaleandpurchasingthematerialsofthejointventurecompany;3.合營公司注冊資本及負債情況；(3)situationsconcerningregisteredcapitalanddebtofthejointventurecompany;4.合營公司注冊資本的繳納時間、增長及轉(zhuǎn)讓情況。(4)situationsconcerningandassignmentoftheregisteredcapital.第三十三條合營公司財務(wù)部門應(yīng)在每一個會計年度頭三個月編制上一個會計年度的資產(chǎn)負債表和損益計算書，經(jīng)審計師審核簽字后，提交董事會會議通過。Article33

Inthefirstthreemonthsofeachfiscalyear，themanagershallpreparetheprofitsyear'sbalancesheet，profitandlossstatementandproposalregardingthedisposalofprofitswhichshouldbeexaminedandsignedbytheauditor，thensubmitthemtotheboardofdirectors.第三十四條合營各方有權(quán)自費聘請審計師查閱合營公司帳簿。查閱時，合營公司應(yīng)提供方便。Article34

Partiesofthejointventurecompanyhavetherighttoinviteanauditortoundertakeannualfinancialcheckandexaminationathisownexpense.Thejointventurecompanyshallprovideconvenienceforthecheckingandexamination.第三十五條合營公司按照《中華人民共和國外商投資公司和外國公司所得稅法施行細則》的規(guī)定，由董事會決定合營公司固定資產(chǎn)的折舊年限。Article35

Thedepreciationperiodforthefixedassetsofthejointventurecompanyshallbedecidedbytheboardofdirectorsinaccordancewiththe"TheIncomeTaxLawofthePeople'sRepublicofChinaforForeignInvestmentEnterprisesandForeignEnterprises"第三十六條合營公司的一切外匯事宜，按照《中華人民共和國外匯管理暫行條例》和有關(guān)規(guī)定辦理。Article36

Allmattersconcerningforeignexchangeshallbehandledinaccordancewiththe"ProvisionalRegulationsforExchangeControlofthePeople'sRepublicofChina"andotherpertainingregulations.第七章利潤分派Chapter7ProfitSharing第三十七條合營公司從繳納所得稅后的利潤中提取儲備基金、公司發(fā)展基金和職工獎勵及福利基金。每年提取的比例，上董事會根據(jù)合營公司經(jīng)營情況討論擬定。Article37

Thejointventurecompanyshallallocatereservefunds，expansionfundsandbonuseswelfarefundsforstaffandworkersafterpaymentoftaxes.Theproportionofallocationshallbedecidedbytheboardofdirectors.第三十八條合營公司依法納稅和提取三項基金后的利潤，按照甲、乙方在注冊資本中的出資比例進行分派。Article38

Afterpayingthetaxesinaccordancewithlawanddrawingthevariousfunds，theprofitsinnetwillbedistributedaccordingtotheproportionofeachparty'sinvestmentintheregisteredcapital.第三十九條合營公司每年分派利潤一次，每個會計年度后三個月內(nèi)公布前一年利潤分派方案及各方應(yīng)分的利潤額。Article39

Thejointventurecompanyshalldistributeitsprofitsonceayear.Theprofitdistributionplanandamountofprofitdistributedtoeachpartyshallbepublishedwithinthefirstthreemonthsfollowingeachfiscalyear.第八章職工Chapter8StaffandWorkers第四十一條合營公司員工的招收、招聘、辭退、工資、生活福利、獎懲、勞動保險、勞動保護。勞動紀律等事宜，按照《中華人民共和國外合資經(jīng)營公司勞動管理規(guī)定》及其實行辦法和××省（市）的有關(guān)規(guī)定辦理Article41

Theemployment，recruitment，dismissalandresignationofthestaffandworkersofthejointventurecompanyandtheirsalary，welfare，laborinsurance，laborprotection，labordisciplineandothermattersshallbehandledaccordingtothe"RegulationsofthePeople'sRe-publicofChinaonLaborManagementinJointVenturesUsingChineseandForeignInvestment"anditsimplementationrules，andrelevantregulationsissuedby××province(City).第四十二條合營公司有權(quán)對違犯合營公司的規(guī)章制度和勞動紀律的員工，給予警告、記過、降薪的處分，情節(jié)嚴重，可予以開除。開除職工須報本地勞動部門備案。Article42

Thejointventurecompanyhastherighttotakedisciplinaryactions，suchaswarning，demeritrecordingandsalaryreducingagainstthosestaffandworkerswhoviolatetherulesandregulationsofthejointventurecompanyandlabordisciplines.Thosewithseriouscases

maybedismissed.Dischargingofworkersshallbefiledwiththelocallaborandpersonneldepartment.第四十三條中方職工的工資待遇，按照北京市勞動局的規(guī)定，根據(jù)合營公司具體情況，由董事會擬定，并在勞動協(xié)議中具體規(guī)定。合營公司隨著生產(chǎn)的發(fā)展，職工業(yè)務(wù)能力和技術(shù)水平的提高，相應(yīng)提高職工的工資。合營公司中方退休人員的工資按北京市勞動局的規(guī)定辦理。Article43

Themattersconcerningthewelfarefunds，bonuses，laborprotectionandlaborinsurance，etc，shallbestipulatedrespectivelyinvariousrulesbythejointventurecompanyinac-cordancewithrelevantregulationsofthePeople’sRepublicofChinaand________，toensurethatthestaffandworkersgoinforproductionandworkundernormalcondition.第九章工會組織Chapter9TheTradeUnionOrganization第四十五條合營公司職工有權(quán)按照《中華人民共和國工會法》的規(guī)定，建立工會組織，開展工會活動。Article45

Thestaffandworkersofjointventurecompanyhavetherighttoestablishtradeunionorganizationandcarryoutactivitiesinaccordancewiththestipulationofthe"TradeUnionLawofthepeople'sRepublicofChina".第四十六條合營公司工會是職工利益的代表，它的任務(wù)是：依法維護職工的民主權(quán)利和物質(zhì)利益；協(xié)助合營公司安排和合理使用福利、獎勵基金；組織職工學(xué)習(xí)政治、業(yè)務(wù)、科學(xué)、技術(shù)、知識，開展文藝、體育活動；教育職工遵守勞動紀律，努力完畢合營公司的各項經(jīng)濟任務(wù)。Article46

Thetradeunioninthejointventurecompanyistherepresentativeoftheinterestsofthestaffandworkers.Thetasksofthetradeunionare:toprotectthedemocraticrightsandma-terialinterestsofthestaffandworkerspursuanttothelaw;toassistthejointventurecompanytoarrangeandmakerationaluseofwelfarefundsandbonuses;toorganizepolitical，professional，scientificandtechnicalstudies，tocarryoutliterary，artandsportsactivities;andtoeducatestaffandworkerstoobservelabordisciplineandstrivetofulfilltheeconomictasksofthejointventurecompany.第四十七條合營公司工會負責(zé)人有權(quán)列席有關(guān)討論合營公司的發(fā)展規(guī)劃、生產(chǎn)經(jīng)營活動等問題的董事會會議，反映職工的意見和規(guī)定。Article47

Thepersonsinchargeofthetradeunionofthejointventurecompanyhastherighttoattendasnonvotingmembersandtoreporttheopinionsanddemandsofstaffandworkerstomeetingsoftheboardofdirectorsheldtodiscussissuessuchasdevelopmentplans，productionandmanagingactivitiesofthejointventurecompany.第四十八條合營公司工會參與調(diào)解如工和合營公司之間發(fā)生的爭議。Article48

Thetradeunionshalltakepartinthemediationofdisputesarisingbetweenthestaffandworkersandthejointventurecompany.第四十九條合營公司每月按合營公司職工實際工資總額的百分之二撥交工會經(jīng)費。合營公司工會按照中華全國總工會制定的《工會經(jīng)費管理辦法》使用工會經(jīng)費。Article49

Thejointventurecompanyshallallotanamountofmoneytotally2%ofallthesalariesofthestaffandworkersofthejointventurecompanyastradeunion'sfundswhichshallbeusedbythetradeunioninaccordancewiththe"ManagerialRulesfortheTradeUnionFunds"formulatedbytheAllChinaFederationofTradeUnion.第十章期限、終止、清算Chapter10Duration，TerminationandLiquidationoftheJointVenture第五十條合營期限為年。自營業(yè)執(zhí)照簽發(fā)之日起計算。Article50

Thedurationofthejointventurecompanyis___________years.Theestablishmentofthejointventurecompanyshallstartfromthedateonwhichthebusinesslicenseofthejointventurecompanyisissued.如經(jīng)雙方批準(zhǔn)，董事會會議一致通過，可以在合營公司期滿前半年，向原審批機構(gòu)申請延長合營公司期限。Anapplicationfortheextensionofthedurationproposedbyonepartyandunanimouslyapprovedbytheboardofdirectors，shallbesubmittedtotheoriginalexaminingandapprovingauthority6monthspriortotheexpirydateofthejointventure.第五十一條甲，乙方如一致認為終止合營符合各方最大利益時，可提前終止合營。但應(yīng)在終止前九十天經(jīng)董事會會議決定，并報原審批機構(gòu)批準(zhǔn)。Article51

Withtheagreementbetweenbothpartiesontheterminationwhichshouldbepursuingthebestbenefitsfortheparties，thejointventurewillbeterminated.Inthiscase，thedecisionfortheterminationshallbemadebytheboardmeeting90daysbeforethedateofterminationofthejointventure，andbesubmittedtotheoriginalexaminingandapprovingauthority.第五十二條發(fā)生下列情況這一時，甲、乙任何一方有權(quán)依法終止合營。Article52

Whenthefollowingsituationshappened，eitherpartyhaverighttoterminatethejointventure:1.合營公司期限屆滿；1)expirationofthedurationofthejointventurecompany;2.合營公司嚴重虧損，天力繼續(xù)經(jīng)營；2)inabilitytocontinueoperationsduetoheavylosses;3.由于不可抗力導(dǎo)致嚴重損失，以致無力繼續(xù)經(jīng)營；3)inabilitytocontinueoperationsduetoheavylossescausedbytheForceMajeure;4.雙方中任何一方無力或不能履行本協(xié)議和章程所規(guī)定的義務(wù)，致使合營公司無法繼續(xù)經(jīng)營；4)inabilitytocontinueoperationsduetothefailureofthepartytofulfillitsobligationsprescribedinthecontractandtheArticlesofAssociation;5.合營公司未達成預(yù)計的經(jīng)營目的，同時以無發(fā)展前程。5)failuretoobtainthedesiredobjectivesoftheoperationandnoprospectsforthefuturedevelopmentofthejointventurecompany.第五十三條合營期滿或提前終止合營時，董事會應(yīng)提出清算程序、原則和清算委員會人選，組成清算委員會，對合營公司財產(chǎn)進行清算。Article53

Upontheexpirationofthedurationorterminationofthejointventurecompany，theboardofdirectorsshallworkoutproceduresandprinciplesfortheliquidation，nominatecandidatesfortheliquidationcommitteeforliquidatingtheassetsofthejointventurecompany.第五十四條清算委員會任務(wù)是對合營公司的財產(chǎn)、債權(quán)、債務(wù)進行全面清查，編制資產(chǎn)負債表和財產(chǎn)目錄，制定清算方案，提請董事會通過后執(zhí)行。Article54

Thetaskoftheliquidationcommitteeare:toconductthroughcheckofthepropertyofthejointventurecompany，itsclaimsandindebtedness;toworkoutthestatementofassetsandliabilitiesandlistofproperty;toformulatealiquidationplan.Alltheseshallbecarriedoutupontheapprovaloftheboardofdirectors.第五十五條清算委員會對合營公司的債務(wù)所有清償后，其剩余的財產(chǎn)按甲、乙方在注冊資本中的出資
