依照《中華人民共和國合同法》及其他有關(guān)法律、法規(guī)，在公平、誠實信用的基礎(chǔ)上，為明確雙方在服務(wù)期間的權(quán)利義務(wù)，雙方本著平等互利、協(xié)商一致的原則，達(dá)成如下條款，以便共同遵守。BasedontheContractLawofthePeople’sRepublicofChinaandotherrelevantlawsaswellasregulations,andonthebasisofjustice,honesty,inordertospecifyrightsandobligationsofbothpartiesduringtheservice,thetwopartiesreachthefollowingtermsontheprincipleofequalityandmutualbenefitandofnegotiatedconsensusinordertotogetherabidebythecontractsigned.

一、服務(wù)范圍及期限

ScopeandTermofService經(jīng)雙方友好協(xié)商，甲方根據(jù)乙方實際需求，可向乙方提供倉儲、運輸配送服務(wù)項目。Throughnegotiationofbothparties,PartyAshallprovidePartyBwithserviceofwarehouse,transportationanddistributionaccordingtoactualdemandofPartyB.

本協(xié)議自年月日起生效，有效期至年月日。合同到期，一方如需續(xù)簽，應(yīng)在合同期滿之前

日提出，雙方就服務(wù)內(nèi)容重新協(xié)商簽訂書面合同；若無已續(xù)簽，合同到期自動終止。ThisContractshallcomeintoeffectfrom

二、服務(wù)內(nèi)容及條款ContentandClausesofService（一）倉儲需求及報價WarehouseDemandandQuotedPrice1.乙方租用甲方管理的倉庫，存放普通類貨物。具體存入貨物的品名、規(guī)格、數(shù)量（包裝、質(zhì)量、件數(shù)應(yīng)具體明確）等以入庫手續(xù)為準(zhǔn)。PartyBleasesawarehousemanagedbyPartyAtostoregeneralgoods.Thename,specification,quantity(package,qualityandquantityshallbespecified)ofstoredgoodsaresubjecttowarehousingformalities.

租用面積為800平方米，租用時間自貨物進倉之日起至本合同有效期滿為止。Theleasedwarehousecoversanareaof800squaremeters.Theleasetermstartsfromthedatewhengoodsenterthewarehousetandexpireswhenthecontractcomestoanend.

3.倉庫地址：Addressofwarehouse:4.甲方提供服務(wù)的工作時間為8:00-22:00，包含雙休日，超出部分及國假期間按加班計算，具體加班費用參照相關(guān)勞動條款。4.TheworkinghoursofserviceprovidedbyPartyAare8:00-22:00,includingthetwo-dayweekend.Theexceedingpartandworkinghoursinnationalholidaysshallbecalculatedasworkovertime,andthedetailedovertimepayreferstotherelevantlaborclauses.

5.甲方為乙方存放于倉庫的貨物提供進出庫作業(yè)，具體收費標(biāo)準(zhǔn)見附件一PartyAshallprovidewarehouseentryanddeliveryofthegoodsstoredinPartyB’swarehouse,detailedstandardsforchargesreferrtoAttachmentI.

（二）入庫及系統(tǒng)

WarehouseEntryandSystem1.甲方應(yīng)根據(jù)乙方負(fù)責(zé)人提出的“入庫通知單”（

2.甲方不負(fù)責(zé)貨物內(nèi)在質(zhì)量及品質(zhì)方面的驗收，貨物驗收的內(nèi)容為：PartyAshallnotberesponsibleforthecheckingoninteriorqualityofthegoods.Thecontentsofgoodscheckingareasfollows:

A、貨物的品名、規(guī)格、數(shù)量、重量是否與乙方所述相符，如有不符，以驗收結(jié)果為準(zhǔn)。Whetherthename,specification,quantity,andweightofthegoodsareinconsistentwithwhatPartyB’sdescription,incaseofanyinconsistent,thecheckingresultshallbeprevailed.

B、貨物的外包裝是否完好。Whethertheouterpackageofthegoodsisintact.3.甲方驗收貨物時，如發(fā)現(xiàn)貨物外包裝受損或貨物受損或數(shù)量、品名、規(guī)格等異常問題，現(xiàn)場與乙方送貨司機確認(rèn)，并通知乙方確認(rèn)異常及處理方式。Incasethattheouterpackagesofthegoodsaredamagedorgoodsaredamagedorthequantity,nameandspecificationsofthegoodsareabnormalwhenchecking,PartyAshallcheckwiththedeliverydriverofPartyBonsiteandinformPartyBtoconfirmtheabnormalitiesandthesolution.

甲乙雙方以入庫單留檔為WMS系統(tǒng)賬目核對依據(jù)，并對其商品貨物，提供計算機信息管理系統(tǒng)WMS系統(tǒng)，建立出入庫明細(xì)賬目。ThetwopartiesshallfilethewarehousingentryasthecheckingevidencesforaccountsofWMSsystemandprovidethegoodswiththecomputerinformationmanagementsystemWMSsystemtosetupdetailedaccountsofwarehouseentryanddelivery

4.甲方為乙方提供準(zhǔn)確的出入庫報表、在庫報表及乙方需求業(yè)務(wù)報表，按乙方需求發(fā)送每月報表。甲方應(yīng)在庫存發(fā)生變化時，及時向乙方提供商品的庫存信息。PartyAshallprovidePartyBwithprecisewarehouseentryanddelivery

reports,stockreportsandbusinessreportsPartyBdemands,andsendmonthlyreportstoPartyBaccordingtothedemandofPartyB.PartyAshouldprovidePartyBwithstockinformationofgoodswhentheinventoriesarechanged.

6.甲方不得將乙方貨物作其它使用，因甲方原因?qū)е碌膿p壞、短缺、丟失貨物，甲方將按照乙方貨物價值（按乙方產(chǎn)品的出廠價或者采購價（不含稅）計算）根據(jù)責(zé)任比例進行賠償（或雙方協(xié)商賠償）。PartyAshouldnotmakeanyotheruseofPartyB’sgoods.Incasethatthegoodsaredamaged,inshortageorlostduetoPartyA,PartyAshallcompensateonproportionofliabilityaccordingtothevalueofPartyB’sgoods(calculatebasedonthefactorypriceorpurchasingpriceofthegoods(exclusiveoftax))(ortocompensatethroughnegotiation).

7.乙方存入甲方處的貨物，其一切管理工作（入庫、出庫）均由甲方負(fù)責(zé)，因管理不善而發(fā)生的全部經(jīng)濟損失，由甲方負(fù)責(zé)賠償。Allthemanagements(warehouseentryanddelivery)ofgoodsPartyBstoredinthewarehouseofPartyAshallbeinthechargeofPartyA.AlltheeconomiclossescausedbymismanagementshallbebornbyPartyA.

（三）出庫及操作：WarehouseDeliveryandOperation1.乙方以正式郵件或者雙方確認(rèn)之出庫單。PartyBshallcheckoutwarehousingdeliverynoticebyformalE-mailorcheckwithPartyB.

2.出庫操作中，揀貨及組裝，由乙方為甲方提供教育訓(xùn)練。甲方安排專人專項配合揀貨、組裝、出貨。PartyBshallprovidePartyAwitheducationaltrainingonpickingandassemblinginoperationsofwarehousedelivery.PartyAshallarrangespecialpersonneltospeciallycooperateinpicking,assemblingandshipping.

3.乙方應(yīng)至少提前一天安排供貨需求，并且發(fā)出庫申請或發(fā)貨單（郵件或者正本）。PartyBshallarrangesupplydemandatleastonedayinadvanceandsendoutshippingapplicationorinvoices(E-mailororiginal).

4.甲乙雙方出庫發(fā)貨時，都需在表單上確認(rèn)，并以留檔為盤庫依據(jù)。如發(fā)現(xiàn)貨物外包裝受損或貨物受損或數(shù)量、品名、規(guī)格等異常問題，現(xiàn)場與乙方送貨司機確認(rèn)，并通知乙方確認(rèn)異常及處理方式。Whendeliverthegoods,thelistsshallbecheckedonandfiledasstocktakingevidencesbyPartyAandPartyBshallcheckonthelistsandfilethem.Incasethatouterpackagesofgoodsaredamagedorthegoodsaredamagedorthequantity,nameandspecificationsareabnormal,PartyAshallcheckwiththedeliverydriverofPartyBonsiteandinformPartyBtoconfirmtheabnormalitiesandthesolution.

（四）運輸服務(wù)TransportationService貨物裝卸與交接HandlingandDeliveryofGoods1.貨物裝車時，甲乙雙方均應(yīng)在現(xiàn)場清點交接（甲方僅需確認(rèn)貨物外包裝完好且裝車箱數(shù)準(zhǔn)確）,如發(fā)現(xiàn)數(shù)量短缺或外包裝破損現(xiàn)象，由甲乙雙方當(dāng)場核實，如乙方仍要求運送該批貨物，由乙方在托運單據(jù)上注明貨物實際情況并由甲乙雙方簽字確認(rèn)。Whenthegoodsareloaded,bothpartiesshallcheckanddeliverthegoodsatsite(PartyAonlyneedstomakesurethatthepackagesofgoodsareintactandthenumberofloadingcasesiscorrect).Incasethatthegoodsareinshortageorthepackagesaredamaged,bothpartiesshallcheckoutonsite.IncasethatPartyBstilldemandstodeliverthegoods,PartyBshallindicatetheactualstatusofgoodsonshippingdocumentwhichshallbesignedandconfirmedbybothparties.

2.貨物運達(dá)指定地點后，由乙方指定收貨人負(fù)責(zé)卸貨，甲方與收貨人應(yīng)在場清點交接，待收貨人確認(rèn)無誤后，由收貨人在回單上簽字和蓋章。如發(fā)現(xiàn)短缺現(xiàn)象時，由甲方與收貨人當(dāng)場核實后，由收貨人在簽收單據(jù)上注明并簽字蓋章。如收貨人拒收的，甲方應(yīng)及時通知乙方，并按照乙方的要求處理，在通知乙方后，甲方應(yīng)妥善保管貨物，使其免予損壞、丟失，所支出的費用由乙方承擔(dān)。否則甲方需承擔(dān)因保管不當(dāng)所造成的貨物直接損失。GoodsshallbeunloadedbytheconsigneeappointedbyPartyBwhenthegoodsaredeliveredtothedestination,andPartyAshallmakeaninventoryanddeliverthegoodswiththeconsigneeatsite.Theconsigneeshallsignandsealonthereceiptafterconfirmation.Incasethatthegoodsarefoundinshortage,theconsigneeshallindicateaswellassignandsealonthereceiptafterconfirmingwithPartyA.Incasethattheconsigneerefusestosignforthegoods,PartyAshallinformPartyBintime,andhandleaccordingtotherequestofPartyB.AfterinformingPartyB,PartyAshallproperlykeepthegoodssoastopreventthemfromdamageandloss,andtheexpensesshallbebornbyPartyB.Otherwise,PartyAshalltaketheresponsibilityofdirectlossesofgoodscausedbyimproperkeeping.

3.如收貨人不能履行貨物簽收手續(xù)，無論何種原因（不在乙方提供的回單上簽字和蓋章），甲方不得將貨物交付收貨人，否則將由甲方承擔(dān)因此而給乙方帶來的直接損失。在征得乙方同意后，甲方可將貨物運回乙方指定的庫房，所支出的費用由乙方承擔(dān)。PartyAshallnotdeliverthegoodstotheconsigneeforanyreasons(notsignnorsealonthereceiptofferedbyPartyB)incasethattheconsigneefailstoexecutethegoodsreceiptreceivingformality,

orPartyAshallbearthedirectlossesbroughttoPartyBtherefrom.PartyAshalldeliverthegoodstothewarehouseappointedbyPartyBwithPartyB’sapproval,andtheexpensesshallbebornbyPartyB.

4.貨物運達(dá)指定地點，由收貨方卸貨時，甲方對因收貨方不當(dāng)裝卸等其他收貨人的行為所導(dǎo)致的貨物損壞，不承擔(dān)賠償責(zé)任，但應(yīng)如實記錄并通知乙方，以便乙方進行索賠。PartyAshallnotresponsibleforthedamagesofgoodscausedbyrbehaviorsof

otherconsigneeslikeimproperunloadingofthegoodsbytheconsigneewhenthegoodsaredeliveredtothedestination,butshallfaithfullyrecordandinformPartyBsothatPartyBcanclaimforcompensations.

5.運輸期間為從商定的裝車時間開始至貨物運達(dá)乙方指定卸貨地點，由乙方收貨人簽收完畢止。上述時間也是甲方的承運責(zé)任期。在運輸期限內(nèi)發(fā)生任何意外情況時，需在1小時內(nèi)通知乙方（由于意外情況造成通訊中斷的不受該時限限制，但甲方應(yīng)盡快告知乙方）。根據(jù)乙方要求準(zhǔn)確提供有關(guān)貨運數(shù)據(jù)及信息反饋。TheperiodofcarriageshallbefromtheloadingtimeagreedbybothpartiestothetimewhenthegoodsaredeliveredtothedestinationappointedbyPartyBandsignedbytheconsigneeappointedbyPartyB.TheaforementionedperiodshallbealsotheliabilityperiodofPartyA.Incasethataccidenthappensintheperiodofcarriage,PartyAshallinformPartyBwithin1hour(Communicationsblackoutcausedbyaccidentshallbefreefromthetimelimit,butPartyAshallinformPartyBassoonaspossible).PartyAshallofferexactdataandfeedbackrelatedtothecarriageaccordingtotherequestofPartyB.

6.在貨物已被簽收，且貨物的損壞當(dāng)時無法從外部包裝上發(fā)現(xiàn)，應(yīng)經(jīng)雙方共同開箱檢查確認(rèn)，除乙方有充分證據(jù)證明該損壞系因甲方過錯、過失造成的，否則甲方不承擔(dān)對貨物損壞的賠償責(zé)任。Incasethatthegoodshavebeendamagedandsignedforbutnotfoundfromouterpackage,thegoodsshouldbeexaminedunpackedbythetwoparties.UnlessPartyBhasadequateevidencetoprovethatthedamageiscausedbythemistakeandfaultofPartyA,orPartyAshallnotberesponsibleforcompensatingforthedamagesofthegoods.

7.甲方需在完成運輸任務(wù)后，將乙方委托運輸所發(fā)生的全部貨運票據(jù)、憑證等交乙方備案存檔。AllshippingpapersandvouchersproducedinthetransportationentrustedbyPartyBshallbesubmittedtoPartyBforfilingafterthetransportationiscompleted.

PricesforshippingpleasereferstoAttachmentII.（五）運輸變更ShippingChanges1.乙方因故需變更運輸貨物的名稱、數(shù)量、起訖地點、運輸時間、收發(fā)貨人時，在貨物起運前，乙方應(yīng)向甲方提交書面變更要求。在貨物起運后、交付收貨人之前，乙方可以電話要求甲方辦理中止運輸、返還貨物、變更到達(dá)地或變更收貨人事宜。甲方應(yīng)盡力辦理，由此增加的額外費用由乙方承擔(dān)。WhenitisnecessaryforPartyBtochangethename,quantity,originanddestination,consigneeandconsignerofgoods,PartyBshallsubmitwrittenchangingrequesttoPartyAbeforethegoodsareshipped.Afterthegoodsareshippedwhilebeforetheyaredeliveredtotheconsignee,PartyBshallrequirePartyAtohandlewithmatterssuchasstoppageintransit,returnofgoods,changeofdestinationandconsigneebytelephone.PartyAshalltryhis/herbesttodealwiththematters

andtheextrafeeswherefromshallbebornbyPartyB.

2.電話要求變更的，需詳細(xì)說明變更事項，雙方復(fù)述無誤，作好電話記錄，并在事后兩日內(nèi)補辦書面變更手續(xù)。Incasethatthechangesaremadeonbytelephone,theitemstobechangedshallbespecified,repeatedandconfirmedbybothparties.Phonerecordsshallbetakenandwrittenchangeproceduresshallbecompletedwithin2days.

3.因甲方原因提出變更發(fā)貨單據(jù)任一項內(nèi)容的，必須征得乙方書面同意。AnychangesofcontentonshippingdocumentsputforwardbyPartyAshallbeapprovedbyPartyBwithwrittenconsent.

4.因甲、乙雙方以外的原因造成運輸事項必須變更的，甲方應(yīng)立即通知乙方并經(jīng)乙方確認(rèn)（緊急情況下為了維護乙方利益的情況除外），事后兩_日內(nèi)補辦書面變更續(xù)。由此增加的額外費用應(yīng)由乙方承擔(dān)。IncasethatthechangesonshippingareneithercausedbyPartyAnorPartyB,PartyAshallinformPartyBimmediatelyanditshallbecheckedoutbyPartyB(excepttheconditionthatPartyB’sinterestsshallbeprotectedunderemergency).,writtenchangeproceduresshallbecompletedwithin2days.AndtheextrafeesarisetherefromshallbebornbyPartyB.

5.貨物運達(dá)乙方指定地點后，收貨人在征得乙方書面同意的前提下，要求變更到貨地點的，甲方應(yīng)按乙方書面通知將貨物運至變更后的地點，所需費用由乙方承擔(dān)。Whenthegoodsaredeliveredtothedestination,inthepremisethattheconsigneehasgainedthewrittenagreementofPartyBtochangethedestinationofdelivery,PartyAshalldeliverthegoodstothechangeddestinationaccordingtothewrittennoticeofPartyBandexpensesshallbebornbyPartyB.

違約責(zé)任

LiabilityforBreachofContract1.甲方的責(zé)任

LiabilityofPartyAA、責(zé)任期間內(nèi)貨物因甲方保管不善而發(fā)生貨物滅失、短少、變質(zhì)、污染、損壞的，甲方以乙方貨物進出口申報價值或甲方所在地的市場價值兩者中的低者為依據(jù)進行賠償，如屬貨物包裝不符合規(guī)定或性質(zhì)不符合約定或超過有效儲存期而造成的貨物損壞、變質(zhì)等非甲方因素的結(jié)果，甲方不負(fù)賠償責(zé)任。甲方不對貨物內(nèi)在質(zhì)量及完好包裝內(nèi)的貨物的短缺等負(fù)責(zé)。Duringtheperiodofliability,incasethatthegoodsarelost,inshortage,gonebad,pollutedordamagedcausedbytheimproperkeepingofPartyA,PartyAshouldcompensateforthembasedonthelowerbetweenthedeclaredvalueforimportandexportofthegoodsorthemarketvalueoftheplacewherePartyAislocatedin.ProvidedthatthegoodsaredamagedorgobadresultedfromfactorsirrelevanttoPartyAsuchasthepackagesofgoodsthatdonotmatchthespecificationsorqualityofgoodsthatisnotconsistentwithagreementorthestoragelifeofgoodsthatisexceedthevalidstoragelife,PartyAshallnottaketheresponsibilityofcompensations.PartyAisnotresponsiblefortheinteriorqualityofgoodsandtheshortageofgoodswithinintactpackage.

B、按乙方規(guī)定的期限、數(shù)量、起止地點，合理調(diào)派車輛，按雙方約定的運輸時限準(zhǔn)時完成運輸任務(wù)。Accordingtothetimelimit,quantity,originanddestinationspecifiedbyPartyB,PartyAshouldproperlyarrangevehiclesandcompletetransportationontimeaccordingtothetransportingtimelimitagreedbybothparties.

C、負(fù)責(zé)裝卸時，應(yīng)嚴(yán)格遵守作業(yè)規(guī)程和裝載標(biāo)準(zhǔn)，愛護甲方產(chǎn)品貨物，保證裝載質(zhì)量。保證裝貨車輛貨箱完好清潔，特別注意檢查車輛是否漏雨。運輸途中要定時檢查，發(fā)現(xiàn)情況及時采取補救措施，保證運輸質(zhì)量。Whentakingchargeofunload,PartyAshouldstrictlyobeytheoperatingregulationsandunloadingstandards,takecareofthegoodsofPartyAandguaranteetheunloadingquality.Makesurethatthetankofloadingvehicleisintactandclean,especiallypayingattentiontowhetherthevehiclewouldletintherainornot.Takeregularcheckingduringtransportationandtakeremedymeasuresintimeincasethatanaccidenthappenssotoguaranteethequalityoftransportation.

D、運輸保險由乙方自理，甲方承擔(dān)責(zé)任期內(nèi)因甲方原因（不可抗力，非甲方責(zé)任交通事故、貨物本身的自然性質(zhì)或者合理損耗以及收貨人的過錯造成等非甲方原因除外）所發(fā)生的貨物損壞、丟失造成的直接經(jīng)濟損失。TransportationinsuranceisinthechargeofPartyBwhilePartyAshalltaketheresponsibilityforcompensationsforthedirecteconomiclossescausedbydamagesandlossesofgoodsduetoPartyA(exceptthosearenotcausedbyPartyAsuchasforcemajeure,trafficaccidentsthatisnotresultedfromPartyA,naturalqualityorappropriatelossesofthegoodsaswellasmistakesoftheconsignee).

E、貨物損壞按受損貨物減少的價值或修理費用賠償，費用標(biāo)準(zhǔn)按經(jīng)甲方認(rèn)可的客戶維修站收費標(biāo)準(zhǔn)為準(zhǔn)。Thedamagedgoodsarecompensatesforbasedonthereducedvalueofdamagedgoodsorfeesforrepair.ThestandardsoffeesaresubjecttothatoftherepairstationrecognizedbyPartyA.

F、因為乙方錯報、匿報貨物情況造成的損失除外。ApartfromdamagescausedbythemisstatementorconcealmentofPartyB.2.乙方的責(zé)任

LiabilityofPartyBA．乙方存入甲方處的貨物中不得有易燃、易爆、有毒、有放射性等危險品和易腐、變質(zhì)物品，否則，由此而發(fā)生的一切責(zé)任由乙方負(fù)責(zé)。ThegoodsPartyBstoresinthewarehouseofPartyAcannotbeinflammablematerials,explosivematerials,toxicmaterials,radioactivematerialsaswellasperishablegoodsanddeterioratingproducts.Otherwise,PartyBshalltakealltheresponsibilities.

B．乙方應(yīng)當(dāng)向甲方提供必要的貨物驗收資料，否則發(fā)生貨物品種、數(shù)量不符合合同規(guī)定時，亦由乙方自行承擔(dān)責(zé)任。PartyBshouldprovidePartyAwithnecessarycheckingmaterialsofgoods.Otherwise,PartyBshouldtaketheresponsibilitywhenthebreedandquantityofgoodsareinconsistentwiththespecificationsofagreement.

C．如遇乙方向甲方請求貨物賠償時，需提供貨物采購或銷售發(fā)票。ProvidedthatPartyBappliesforcompensationsforgoodstoPartyA,itneedstoofferinvoicesofgoodspurchasingandselling.

D．乙方應(yīng)在合同規(guī)定的時間內(nèi)支付甲方費用，若逾期支付，則自逾期之日起，乙方按應(yīng)付款額每日千分之三的標(biāo)準(zhǔn)支付違約金。PartyBshouldpayPartyApaymentwithinthespecifiedtimelimitofthecontract.ProvidedthatPartyBisoverduetopay,itshouldpayliquidateddamagesbythreethousandthofdueamountperday.

E．因乙方貨物未按國家或合同規(guī)定的標(biāo)準(zhǔn)和要求或乙方未根據(jù)貨物性質(zhì)對倉儲物進行必要的包裝，造成貨物損壞、變質(zhì)的，由乙方負(fù)責(zé)。PartyBshouldberesponsibleforthedamagesanddeteriorationofgoodsasPartyBdoesnotmakenecessarypackageaccordingtothestandardsandrequirementsspecifiedbythenationorthecontractoraccordingtothenatureofgoods.

F．由于乙方出庫憑證或調(diào)撥憑證上的差錯所造成的損失，由乙方負(fù)責(zé)。PartyBshouldberesponsibleforthedamagescausedbymistakesonwarehouse-outvouchersortransferringordersmadebyPartyB.

費用結(jié)算方式及時間：

MethodandTimeofSettlementA．費用按計費標(biāo)準(zhǔn)收取，超出本合同外的服務(wù)項目，甲方經(jīng)乙方書面確認(rèn)收費標(biāo)準(zhǔn)后，再為乙方提供服務(wù)。費用每月結(jié)算一次，對費用如有異議乙方應(yīng)在收到甲方提供的結(jié)算清單后的七天內(nèi)提出,付款日為收到發(fā)票30天內(nèi)支付給甲方，若乙方逾期無故未支付甲方費用，甲方有權(quán)停止相關(guān)服務(wù)，直至乙方付清費用止。Feesarechargedaccordingtochargingstandards.Asforservicesbeyondthescopeofthiscontract,onlyaftergettingwrittenagreementofPartyBtoconfirmchargingstandards,PartyAshallprovidePartyBwithservices.Thefeesaresettledonceamonth.Incasethatthereisanydisagreementonthefees,PartyBshouldsubmitthedisagreementwithinsevendaysafterreceivingthesettlementlistsofferedbyPartyA.Thetimelimitforpaymentiswithin30daysfromthedaywhenreceivinginvoice.IncasethatPartyBisoverduetopayPartyAthefeeswithoutanyexplanation,PartyAhastherighttosuspendofferingservicesuntilPartyBsettleallthefees.

B．乙方在要求一次性提取所有貨物前，必須將所有費用結(jié)清，否則甲方有權(quán)留置乙方的貨物。Beforedemandingtodrawallthegoodsinonetime,PartyBhastosettleallthefees.Otherwise,PartyAhastherighttowithholdapartofthem.

C．同期屆滿或乙方中途撤清所有貨物，乙方在約定時間內(nèi)沒有提出續(xù)簽合同的要求，甲方應(yīng)將乙方發(fā)生的所有費用通知乙方。乙方在付清甲方全部費用后才可提取全部貨物，否則甲方有權(quán)留置乙方貨物。WhenthecontractcomestoanendorwhenPartyBdrawsallthegoodshalfway,andPartyBdoesnotapplyforrenewingthecontractwithinagreedtimelimit,PartyAshouldinformPartyBwithallthefeesproducedbytheservices.PartyBcanonlydrawallthegoodsafterpayingPartyAallthefeesorPartyAhastherighttowithholdthegoods.

合同的變更和糾紛解決方式：

AlterationofContractandSettlementforDisputes發(fā)生下列情況之一的，允許雙方變更或終止合同：Ifoneofthefollowingsituationshappens,bothpartiesshouldbeallowedtoalterorterminatethecontract:

A）經(jīng)雙方協(xié)商同意，提前一個月書面通知對方終止協(xié)議；Withtheagreementofbothparties,informtheotherpartytoterminatethecontractinwrittenforonemonthinadvance;

B）經(jīng)過雙方協(xié)商確認(rèn)對于本合同有未盡事宜，待倉儲配送一體化項目穩(wěn)定運作后，可以附件形式作為本合同的補充條款，且與本合同具有同等法律效力。Withthenegotiationandconfirmationofbothparties,afterintegrationbetweenwarehouseandlogisticsisstablyoperated,theunsettledmattersofthiscontractcanbelistedinattachmentasasupplementaryclauseofthiscontract,whichhasthesamelegalforceasthatofthiscontract.

C）合同到期不續(xù)簽、解除或終止后，甲方應(yīng)于合同到期、解除或終止后按照合同賬期支付余款。逾期

日內(nèi)付款，乙方按照本合同規(guī)定倉儲費用1.5倍收取剩余貨物倉儲費且乙方對貨物不在承擔(dān)任何倉儲責(zé)任。逾期60

日仍未付款并清倉的，視為甲方放棄貨物所有權(quán)，乙方有權(quán)直接自行處置且無需向甲方承擔(dān)任何責(zé)任。Afterthecontractshallnotberenewedwhencomestoanend,orafteritisconcealedorterminated,PartyAshouldpaythebalanceaccordingtothepaymentdaysofcontractwhenthecontractcomestoanendorwhenitisconcealedorterminated.ProvidedthatPartyAisoverduetopaywithin30days,PartyBcanchargePartyAtheremainingwarehousefeesofgoods1.5asmanyastheonespecifiedbythecontractandPartyBshallnottakeanywarehouseresponsibilityforgoods.Providedthatitisoverdueformorethan60daysanditiscleared,PartyAisregardedasgivinguptheownershipofgoodsandPartyBhastherighttodirectlydisposeofthemwithouttakinganyresponsibilitytoPartyA.

六相關(guān)其他

Others保密Confidentiality未經(jīng)乙方明確書面同意，另一方不得向任何第三方披露本合同的內(nèi)容；乙方除正常配送外，嚴(yán)禁把甲方物料交第三方進行技術(shù)測繪及實驗；乙方應(yīng)對甲方的配送客戶、配送計劃、配送份額等商業(yè)信息保密，除非（a）法律或法規(guī)要求；（b）向甲方為審計目的指派的授權(quán)審計方披露；（c）或因?qū)嶋H操作需要向乙方的關(guān)聯(lián)企業(yè)或潛在的關(guān)聯(lián)企業(yè)披露。WithoutspecificwrittenagreementofPartyB,theotherpartycannotdisclosethecontentofthiscontracttoanythirdparty;apartfromnormaldelivery,PartyBisbannedtohandinthematerialsofPartyAtoathirdpartytocarryouttechnicalsurveyingandmappingandexperiments;PartyBshouldkeepthecommercialinformationofPartyA,suchasclients,distributionplans,distributionsharesandsoon,assecret,unless(a)itisrequiredbylawsorregulations;(b)disclosingtoauthorizedauditorsappointedbyPartyAforaudit;(c)oritisnecessarytodisclosetoaffiliatedenterprisesorpotentialaffiliatedenterprisesofPartyBduetopracticaloperation.不可抗力ForceMajeureA.

因不可抗力事件致使合同一方不能履行合同項下義務(wù)時，當(dāng)事方依法不承擔(dān)責(zé)任。本條所述事項發(fā)生后，當(dāng)事方應(yīng)及時通知另一方，雙方可隨時協(xié)商終止合同
