國際貿(mào)易合同的檢驗與質(zhì)量/重量條款檢驗與質(zhì)量/重量條款I(lǐng)NSPECTIONANDQUALITY/QUANTITYCLAUSE國際貿(mào)易合同中一般都訂有檢驗條款，其目的是為了讓買方檢定商品的品質(zhì)、數(shù)量和包裝是否符合合同規(guī)定的要求，以檢查賣方是否已按合同履行其交貨義務(wù)，并在發(fā)現(xiàn)賣方所交貨物與合同要求不符時，給予買方以拒收貨物或提出索賠的權(quán)利。檢驗條款主要包括檢驗內(nèi)容、檢驗時間、檢驗地點、檢驗機構(gòu)、檢驗標(biāo)準(zhǔn)和檢驗證書等內(nèi)容。InspectionandQuality/Quantity商品檢驗：以中國___所簽發(fā)的品質(zhì)/數(shù)量/重量/包裝/衛(wèi)生檢驗合格證書作為賣方的交貨依據(jù)。Inspection：TheInspectionCertificateofQuality/Quantity/Weight/Packing/Sanitationissuedby___ofChinashallberegardedasevidenceoftheSellers’delivery.商品檢驗：雙方同意以制造廠出具之品質(zhì)及數(shù)量或重量檢驗證明書作為賣方向付款銀行議付貨款單據(jù)之一。但貨物的品質(zhì)及數(shù)量或重量的檢驗應(yīng)按下列規(guī)定辦理：Inspection：ItismutuallyagreedthatthecertificatesofqualityandquantityorweightissuedbytheManufacturershallbepartofthedocumentstobepresentedtothepayingbankfornegotiationofpayment．However，theInspectionofqualityandquantityorweightshallbemadeinaccordancewiththefollowing：異議：品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量異議須于貨到目的口岸之日起15天內(nèi)提出，但均須提供經(jīng)賣方同意的公證行的檢驗證明。如責(zé)任屬于賣方者，賣方于收到異議20天內(nèi)答復(fù)買方并提出處理意見。Discrepancy：Incaseofqualitydiscrepancy,claimshouldbelodgedbytheBuyerswithin30daysafterthearrivalofthegoodsattheportofdestination,whileforquantitydiscrepancy,claimshouldbelodgedbytheBuyerswithin15daysafterthearrivalofthegoodsattheportofdestination.Inallcases,claimsmustbeaccompaniedbySurveyReportsofRecognizedPublicSurveyorsagreedtobytheSellers.ShouldtheresponsibilityofthesubjectunderclaimbefoundtorestonthepartoftheSellers,theSellersshall,within20daysafterreceiptoftheclaim,sendtheirreplytotheBuyerstogetherwithsuggestionforsettlement.檢驗：重量由水尺檢驗方法測定，而重量及質(zhì)量檢驗標(biāo)準(zhǔn)由俄羅斯的商檢機構(gòu)抽取樣本進行檢驗，并出具檢驗報告為首要標(biāo)準(zhǔn)。相關(guān)的證書將作為最終結(jié)算依據(jù)之文件。Inspection:InspectionweighttobedeterminedbyDRAFTSURVEYINSPECTEDalsowithqualityanalysisbasedoncertificateissuebythecommodityinspectionauthorities.Therelevantcertificatesshallbefinaldocumentforanypayment.商品檢驗：賣方須在裝運前_____日委托檢驗機構(gòu)對合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托____檢驗機構(gòu)進行復(fù)檢。Goodsinspection:ThesellersshallhavethegoodsinspectedbyInspectionAuthoritydaysbeforetheshipmentandissuedtheInspectionCertificate.ThebuyersshallhavethegoodsrespectedbyInspectionAuthorityafterthegoodsarrivalatthedestination.賣方在發(fā)貨前由檢驗機構(gòu)對貨物的品質(zhì)、規(guī)格和數(shù)量進行檢驗，并出具檢驗證明書。貨物到達目的的口岸后，買方可委托當(dāng)?shù)氐纳唐窓z驗機構(gòu)對貨物進行復(fù)檢。Thebuyersshallhavethequalities,specifications,quantitiesofthegoodscarefullyinspectedbytheInspectionAuthority,whichshallissueInspectionCertificatebeforeshipment.Thebuyershaverighttohavethegoodsinspectedbythelocalcommodityinspectionauthorityafterthearrivalofthegoodsattheportofdestination.貨物到目的地后由CIQ檢驗，其出具的重量檢驗證書（包括對欺詐棉包和混雜棉包的認定）和質(zhì)量檢驗證書（如有殘破還應(yīng)出具殘損證書），作為買賣雙方結(jié)算和索賠的依據(jù)。CIQwillconductinspectionsafterthegoodsarriveatthedestinationandissuetheweightinspectioncertificate(includingtheconfirmationoffalsepackedbaleandmixedpackedbale)andthequalityinspectioncertificate(suchasthedamagecertificateifthecottonisdamaged),whichshallbethebasisforthesettlementandclaimsbetweentheSellerandtheBuyer.重量不復(fù)驗。報驗人對CIQ質(zhì)量檢驗結(jié)果有異議的，可在收到檢驗結(jié)果之日起15日內(nèi)，向做出檢驗結(jié)果的CIQ或者國家質(zhì)量監(jiān)督檢驗檢疫總局申請復(fù)驗。復(fù)驗只對抽取留存的樣品，復(fù)驗結(jié)果為最終依據(jù)。Noweightre-inspections.IftheapplicanthasobjectionstotheCIQqualityinspectionresult,suchapplicantmayapplyforare-inspectionwiththeCIQthatrenderstheinspectionresultorwiththeGeneralAdministrationofQualitySupervision,InspectionandQuarantinewithin15daysafterthereceiptoftheinspectionresult.There-inspectionwillonlybeconductedtothesampledsamplesandthere-inspectionresultshallbefinal.檢驗（Inspection）（以下兩項任選一項）：（1）賣方須在裝運前＿＿日委托＿＿＿＿＿＿檢驗機構(gòu)對本合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托＿＿＿＿＿＿＿＿檢驗機構(gòu)進行檢驗。TheSellershallhavethegoodsinspectedby______daysbeforetheshipmentandhavetheInspectionCertificateissuedby____.TheBuyermayhavethegoodsrespectedby________afterthegoodsarrivalatthedestination.(2)發(fā)貨前，制造廠應(yīng)對貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全面的檢驗，出具檢驗證明書，并說明檢驗的技術(shù)數(shù)據(jù)和結(jié)論。貨到目的港后，買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物的規(guī)格和數(shù)量/重量進行檢驗，如發(fā)現(xiàn)貨物殘損或規(guī)格、數(shù)量與合同規(guī)定不符，除保險公司或輪船公司的責(zé)任外，買方得在貨物到達目的港后＿＿日內(nèi)憑商檢局出具的檢驗證書向賣方索賠或拒收該貨。在保證期內(nèi)，如貨物由于設(shè)計或制造上的缺陷而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不符時，買方將委托中國商檢局進行檢驗。Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality,specifications,performanceandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.Afterarrivalofthegoodsattheportofdestination,theBuyershallapplytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.Ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthisContract,exceptwhentheresponsibilitieslieswithInsuranceCompanyorShippingCompany,theBuyershall,within_____daysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.買賣雙方同意以裝運港（地）中國出入境檢驗檢疫局簽發(fā)的質(zhì)量和重量（數(shù)量）檢驗證書作為信用證項下依附單據(jù)的一部分。買方有權(quán)復(fù)檢，復(fù)檢費用買方承擔(dān)。如發(fā)現(xiàn)質(zhì)量和/或重量（數(shù)量）與合同規(guī)定不符，買方有權(quán)向賣方索賠，但必須提供經(jīng)買方同意的公證機構(gòu)出具的檢驗報告，索賠期為貨物到達目的港后XX天內(nèi)。ItismutuallyagreedthatthecertificateofQualityandQuantity(orweight)issuedbyGeneralAdministrateofQualitySupervisionInspectionandQuarantineofthePeople'sPepublicofchinaattheport/placeofshipmentshallbepartdocumentstobepresentedforengotiationundertherelevantL/C.Thebuyersshallhavetherighttoreinspectthequalityandquantity（orweight）ofthecargo.Thereinspectionfeeshallbebythebuyers.AnyclaimbythebuyersthegoodsregardingthegoodsshippedshallbelodgedwithinXXdaysafterthearrivalofthegoodsattheport/placeofdestinationandsupportedbyasurveyreportissuedbyasurveyorapprovedbybothparties.買賣雙方同意以裝運港檢驗機構(gòu)簽發(fā)的品質(zhì)和重量檢驗證書作為信用證項下議付所提交的單據(jù)的一部分，買方有權(quán)對貨物的品質(zhì)和數(shù)量進行復(fù)檢，復(fù)檢費由買方承擔(dān)。買方對裝運貨物的任何索賠，須于貨物到達目的港后天內(nèi)提出，并須提供經(jīng)賣方同意的公證機構(gòu)出具的檢驗報告。Itismutuallyagreedthatthecertificateofqualityandweightissuedbysurveyorattheportofshipmentshallbepartofthedocumentstobepresentedfornegotiationundertherelevantweightofthecargo.?There-inspectionfeeshallbebornebythebuyer.Theclaimwiththecargo,ifanyshallbelodgedtothesellerwithindaysafterarrivalofthecargoattheportofdestination.如果通過終驗收，買方和賣方應(yīng)立即簽署終驗收證書。如果未通過驗收且責(zé)任在賣方,賣方應(yīng)立即通過修理或更換以使貨物最終符合合同規(guī)定。Oncethefinalacceptanceismade,thefinalacceptancecertificateshallbesignedbytheBuyerandtheSellerimmediately.IfthefinalacceptancecannotbemadeduetofaultoftheSeller,theSellershallimmediatelysolvetheproblemviareplacementorrepairingsoastomakethegoodsinconformitywiththeContract.進口合同檢驗檢疫條款I(lǐng)tismutuallyagreedthatthecertificateofQualityandQuantity(orweight)issuedbysurveyorshallbepartofthedocumentsforpaymentunderrelevantL/C.however,theInspectionofqualityandquantityorweightshallbemadeinaccordancewiththefollwing.Incasequality.quantityorweight.ofgoodsbefoundednotinconformwiththosestipulatedinthecontractafterreinspecificationbystateAdministrationforEntry?ExitInspectionandQuarantineofChinawithinXXdaysafterarrivalofthegoodsattheportofdestination?，thebuyersshallreturnthegoodstoorlodgeclaimthesellersforcompensationoflossesuponthestrengthofInspectionCertificateissuedorthecarriersareliable.Allexpenses（incldinginsuresfees）andlossesarisingfromthereturnofthegoodsclaimsshouldbebornebythesellers.Insuchcase,thebuyersmayifsorequired,sendasampleofthegoodsinquestiontothesellers.ProvidedthattheSamplingisfeasible.買賣雙方同意以制造廠（或某公證行）出具質(zhì)量和重量檢驗證書作為有關(guān)信用證項下付款單據(jù)之一，但不做為商品檢驗的最后依據(jù)，貨物地道目的港卸貨后XX天內(nèi)經(jīng)中國出入境檢驗檢疫局復(fù)檢，發(fā)現(xiàn)質(zhì)量和/重量（數(shù)量）與本合同規(guī)定不符時，除屬保險公司或承運人負責(zé)者外，買方憑中國出入境檢驗檢疫局出具的檢驗證書，可向賣方提出退貨和索賠。所有因退貨和索賠引起的一切費用（包括檢驗費）及損失均由賣方負擔(dān)，在這種情況下，如果抽樣是可行的，買方可應(yīng)賣方要求將有關(guān)貨物的樣品寄給賣方發(fā)貨前，制造廠商應(yīng)對貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全面的檢驗，出具檢驗證明書，并說明檢驗的技術(shù)數(shù)據(jù)和結(jié)論。Beforethedeliveryismade,themanufacturershouldmakeapreciseandcomprehensiveinspectiononthegoodswithrespecttothequality,specification,performanceandquantity/weightandissueanInspectionCertificatespecifyingthetechnicaldataandconclusionoftheinspection.賣方在裝運貨物時應(yīng)按買方代理要求提供辦理清關(guān)手續(xù)的相關(guān)文件，并在貨物裝運后48小時內(nèi)以快遞形式寄送買方代理。買方代理在辦理清關(guān)過程中如因政府要求需補充相關(guān)文件的，賣方應(yīng)在買方代理通知后24小時內(nèi)以快遞形式寄送買方代理。如賣方未能按時提供清關(guān)資料，導(dǎo)致報檢報關(guān)延遲，貨物滯留，由此造成的相關(guān)損失由賣方承擔(dān)。Whileshippingthegoods,theSellershould,accordingtotherequirementsoftheBuyer’sAgent,submittherelevantdocumentsrequiredforthedisposalofcustomsclearanceproceduresand,withinforty-eight(48)hoursuponcompletionoftheshipment,mailtotheBuyer’sAgentbyexpressservice.WheretheBuyer’sAgentisrequiredbytheGovernmenttoprovideadditionalrelateddocumentsduringthedisposalofcustomsclearance,theSellershould,withintwenty-four(24)hourssincetheBuyer’sAgentgivesanotice,mailtotheBuyer’sAgentbyexpressservice.IftheSellerfailstosubmitrelevantdocumentsrequiredforthecustomsclearanceontime,thuscausingadelayintheinspectionandcustomsdeclarationandthatthegoodsaredetained,thenanyrelevantlossincurredtherebyshallbebornebytheSeller.貨到目的港后，如中華人民共和國質(zhì)量監(jiān)督和檢驗檢疫局(以下簡稱國家檢驗檢疫局)需對貨物進行放射性物質(zhì)等專項檢測，且檢測結(jié)果超標(biāo)引發(fā)退貨或需滯留待檢，則在此期間所產(chǎn)生的任何相關(guān)費用由賣方負擔(dān)。Afterthegoodsarriveattheportofdestination,iftheGeneralAdministrationofQualitySupervision,InspectionandQuarantineofthePeople’sRepublicofChina(hereinaftertobereferredas“AQSIQ”)needstoconductaradioactivematerialandotherspecificinspectiononthegoods,andiftheinspectionresultsexceedthelimit,thuscausingthegoodstobereturnedordetainedforfurtherinspection,thenanyrelevantfeesincurredduringsuchperiodshallbebornebytheSeller.貨到目的港后，買方代理將向中華人民共和國質(zhì)量監(jiān)督和檢驗檢疫局(以下簡稱國家檢驗檢疫局)申請對貨物的規(guī)格和數(shù)量/重量進行復(fù)檢，若發(fā)現(xiàn)貨物殘損，規(guī)格和數(shù)量與合同規(guī)定不符，除保險公司或運輸公司的責(zé)任外，買方或其代理應(yīng)在貨物到達目的港后90日內(nèi)憑國家檢驗檢疫局出具的檢驗證明書向賣方索賠或拒收該貨物。Afterthegoodsarriveattheportofdestination,theBuyer’sAgentshallapplytheGeneralAdministrationofQualitySupervision,InspectionandQuarantineofthePeople’sRepublicofChina(hereinaftertobereferredasthe“AQSIQ”)forfurtherinspectiononthespecifications,quantityorweightofthegoods.Duringtheinspection,ifitisfoundthatthegoodsaredamagedorthespecificationsandquantityofthegoodsareinconsistentwiththoseundertheContract,besidestheinsurancecompanyorthetransportationcompany,theBuyerortheBuyer’sAgentshouldalsomakeaclaimagainsttheSellerorrejectthegoodsagainsttheInspectionCertificateissuedbytheAQSIQwithinninety(90)daysuponarrivalofthegoodsattheportofdestination.甲方驗收時，如果發(fā)現(xiàn)乙方產(chǎn)品貨物不符合本合同約定時，應(yīng)妥善保管產(chǎn)品貨物，在7天之內(nèi)向乙方提出書面異議，如甲方未按規(guī)定期限提出書面異議的，則視為乙方所提交的產(chǎn)品貨物符合本合同約定，甲方不得以其他理由拒絕支付乙方產(chǎn)品貨款。IfPartyB’sProductsfailtomeetthestandardandrequirementsprovidedinthisContractduringtheInspectionandAcceptanceundertakingbyPartyA,PartyAshall,whilekeepingsuchproductsinsecureandgoodcondition,notifyPartyBitsobjectioninwrittenwithin7daysofreceiptofPartyB’sProducts.IfPartyAfailstonotifyPartyBitsobjectiononsuchproductsinwrittenpriortotheexpirationoftheabovetimelimit,allproductsdeliveredbyParty
