跨境電商海外直郵合同ContractLawofthe精品文檔跨境電商海外直郵合同甲 方:PartyA:.地 址:Address:乙 方:PartyB:地 址:Address:甲乙雙方基于公平、誠信、共贏的原則,在中華人民共和國指定之跨境貿(mào)易區(qū)域內(nèi)進行跨境電子商務(wù)的貿(mào)易合作。甲乙雙方根據(jù)《中華人民共和國合同法》及相關(guān)法律法規(guī)規(guī)定,簽訂本跨境電子商務(wù)合同(以下稱為“本合同”),以期雙方共同遵守并執(zhí)行。Intheprinciplesofhonesty,fairness,andcommonwin,bothpartiesherebyagreetocarryoutcross-bordere-commercetradecooperationinfreetradezonesandbondedareasofthePeople’sRepublicofChina.IncompliancewiththePeople’sRepublicofChinaandtherelevantlawsandregulations,thethreepartieshereinagreetoenterintoandsignthisCross-BorderE-CommerceDirectmailAgreement(hereinafterreferredtoas “theAgreement ”).基本定義境內(nèi):中華人民共和國(除香港、澳門、臺灣以外)的大陸地區(qū)境外:上述“境內(nèi)”區(qū)域以外的地區(qū)終端消費者:直接在電子商務(wù)平臺上實施挑選,購買,付款等行為的個人,是整個商品流通過程最后環(huán)節(jié)的執(zhí)行者??缇畴娮由虅?wù)平臺:指跨境通,天貓國際,萬國優(yōu)品,京東全球購,乙方自有平臺等雙方協(xié)商確認的跨境電子商務(wù)平臺。直郵服務(wù):本協(xié)議所指的直郵服務(wù)指境內(nèi)終端消費者通過乙方在跨境電商平臺上開立的虛擬店鋪中對甲方所有的產(chǎn)品提交訂單并向乙方完成支付,乙方以此作為終端消費者向甲方進行某特定產(chǎn)品購買的邀約。付款渠道:指終端消費者在乙方經(jīng)營的跨境電子商務(wù)平臺購買貨物后,將錢款支付至乙方賬戶或其他第三方賬戶的方式 “directmailservice “mentionedheremeansthatinthemainlandofChina,inregardtoproductsownedbyPartyA,consumersplaceorder(s)andsettlepaymenttoPartyBthroughonlinestoresincross-bordere-commerceplatformsthatownedbyPartyB,whichcanberegardedasabuyer-sellerrelationshipbetweenPartyAandconsumers.TypesofPayment: thewayormethodthatconsumerpayforgoodsone-commerceplatform(s)managedbyPartyBtoPartyB ’saccountorotherthirdParty ’sacco(includingbutnotlimitedtoAlipay,WechatPayandcreditcard,etc.)授權(quán)經(jīng)銷AuthorizedDistribution1.1. 甲方在此授權(quán)乙方作為(見附件)品牌(在以下簡稱為“合作品牌”)商品的授權(quán)直郵服務(wù)提供商,在甲方指定的跨境貿(mào)易區(qū)域內(nèi)或跨境電子商務(wù)銷售渠道中(以下簡稱“銷售區(qū)域”)根據(jù)甲方指令代理甲方運作維護其擁有的合作品牌商品。PartyAhereinauthorizesPartyBastheauthorizeddirectmailserviceproviderfor(seeappendix)brand(hereinafterreferredtoas “CooperatingB rand ”)tosellits(their)commoditiesonbehalfofPartyAaccordingtoPartyA ’sinstructioninthecross-bordertradeareasorcross-bordere-commercesaleschannels(hereinafterreferredtoasthe“SalesArea”)PartyBactsasanagency,runsandmanagesCooperatingBrand productsownedbyPartyAaccordingtoPartyA uctions’.sinstr1.2. 甲方負責根據(jù)乙方提交的境內(nèi)終端消費者的訂單需求,由甲方在約定的時間內(nèi)以合適、合理的國際快遞的方式安排發(fā)送貨物至終端消費者。乙方負責將產(chǎn)品的境內(nèi)終端消費者的訂單需求依據(jù)本協(xié)議約定提供給甲方;甲方保留貨物的所有權(quán),直至消費者完成簽收貨物,貨物所有權(quán)由甲方直接轉(zhuǎn)移至境內(nèi)終端消費者;貨款由境內(nèi)終端消費者支付給乙方,并由乙方根據(jù)本協(xié)議約定支付給甲方。PartyAshouldsendgoodstoconsumersthroughreasonableandproperinternationalexpresswithindue-timeaccordingtotheinformationofconsumer’spurchaseorderofferedbyPartyB.PartyBshouldconveythepurchaseorderinformationtoPartyA;TheproductsbelongtoPartyAuntilconsumer(s)receivethegoods,theproductpropertyrighttransfersfromPartyAtoend-userconsumers;收集于網(wǎng)絡(luò),如有侵權(quán)請聯(lián)系管理員刪除精品文檔end-userconsumerspaymoneytoPartyBandthenPartyBpaytoPartyAbyconvention.1.3. 甲方應(yīng)當提供產(chǎn)品的宣傳資料給乙方,以便乙方在其店鋪中對產(chǎn)品進行推廣。甲方對于提供的宣傳資料的真實性、有效性、合法性負全部責任。PartyAshouldofferproductpublicitymaterialstoPartyBthatPartyBmayconductsalespromotioninitsstores.PartyAtakesfullresponsibilitiesfortheauthenticity,effectivenessandvalidity.1.4. 如乙方因商品(包括但不限于交付時間和地點、質(zhì)量瑕疵或權(quán)利瑕疵等問題)遭受索賠或處罰的,甲方應(yīng)當賠償乙方遭受的一切損失。其他消費者糾紛,由甲乙雙方協(xié)商解決。若需要,在甲方要求下,乙方可以提供便利與支持。Ifthereoccursconsumptiondispute orcomplaintcausedbyproducts ‘qualityortransportation,PartyAisobligedtosolvethedisputeandPartyBisobligedtocooperatewithPartyAifPartyAdelegatestheauthoritytoPartyB;Ifthereoccursotherconsumptiondispute,thedisputeshouldbesettledthroughnegotiationbetweenPartyAandPartyB.Ifrequires,undertherequestofPartyA,PartyBshallofferconvenienceandsupport.1.5. 雙方之間僅限于商品直郵服務(wù)的關(guān)系,為互相獨立的合同締約雙方。甲方為產(chǎn)品的擁有方,承擔與營銷對應(yīng)產(chǎn)品相關(guān)的一切責任和費用,乙方僅基于本協(xié)議項下約定提供與直郵有關(guān)的服務(wù),不對產(chǎn)品主張所有權(quán),其所有與對應(yīng)產(chǎn)品運維及銷售有關(guān)的行為都應(yīng)當在甲方授權(quán)下開展。BothpartiesaremutuallyinterdependentpartiesofthisAgreementandtheirrelationshipislimitedtoproductdirectmailservice.PartyAownstheproductsandresponsibleforallthecostsoccurredduringthemarketingandsalespromotion.Also,PartyAshouldenjoyalltheprofitsfromsellingtheproducts.PartyBisresponsiblefortheoperation.PartyBonlyofferservice(s)relatedtodirectmailserviceonbasisofthisconvention.PartyBdonotclaimtheownershipofPartyA’sproductsandallPartyB’smanagingandsellingbehaviorshouldbecarriedoutunderPartyAauthorization.1.6. 乙方不得在開展業(yè)務(wù)時聲稱其具有甲方、其任何關(guān)聯(lián)公司或附屬公司的合伙人、代表、代理人或特許商的身份,或以明示或暗示的方式作出類似表述。乙方并不因本協(xié)議書的簽署而被視為與甲方或其任何關(guān)聯(lián)公司和附屬公司有上述關(guān)系。乙方不得代表甲方簽訂任何合同性文件或作出任何承諾、聲明、保證或陳述。乙方違反前述規(guī)定所簽訂的合同性文件和作出的任何承諾、聲明、保證或陳述對甲方在任何情況下均不具有約束力。收集于網(wǎng)絡(luò),如有侵權(quán)請聯(lián)系管理員刪除精品文檔PartyBshallnot,whileconductingbusiness,claimthatitisthepartner,representative,agent,orfranchiserofPartyA,oritsrelatedcompanyoraffiliatedcompany,normakeanysimilarstatementinanexplicitorimplicitway.AllactivitiesthatPartyBisgoingtotakeregardingtothesalesandpromotionofPartyA’sproductsshouldbeundertheinstructionandauthorizationofPartyA.PartyBdoesnotcomeintoorhavetheaforementionedrelationshipwithPartyAoranyofitsrelatedcompaniesoraffiliatedcompaniesbysigningofthisAgreement.PartyBshallnotrepresentPartyAtosignanycontractualdocumentormakeanycommitment,promises,announcements,orstatements.ShouldPartyBviolatethistermtosignanycontractualdocumentormakeanycommitment,promises,announcements,orstatementsonbehalfofPartyA,thesameshallnotbebindingforPartyAinanycases.1.7. 雙方約定在協(xié)議生效 6個月時就協(xié)議中條款進行討論和調(diào)整。相關(guān)調(diào)整(若有)以備忘錄形式補充至此協(xié)議內(nèi)容中。Bothpartiesagreetodiscussandadjusttheclausesafter6monthswhentheagreementbecomeseffective.Theadjustments(ifthere’llbeany)willberecordedthroughmemoandworkaspartofthisagreement.銷售渠道SalesChannels2.1. 銷售渠道指跨境電子商務(wù)平臺。Saleschannelsrefertothecross-bordere-commerceplatforms.2.2. 乙方同意只能在銷售渠道內(nèi)發(fā)展分銷網(wǎng)絡(luò),進行分銷活動。如果甲方是合作品牌的品牌方或是合作品牌的總代理,除非有甲方的事先書面同意,乙方不得從任何第三方購買合作品牌商品;乙方不得通過非官方許可的跨境電子商務(wù)平臺向任何單位或個人銷售合作品牌商品,不得向任何國家或者地區(qū)出口合作品牌商品。PartyBherebyagreesthatitshalldevelopitsdistributionnetworksandcarryoutdistributionactivitiesonlywithinthesaleschannels.WithoutthepriorwritingconsentofPartyA,PartyBshallnotbuyproductsofCooperatingBrandfromanythirdpartyifPartyAistheBrandownerorgeneralagentofCooperatingBrand;PartyBshallnotselltheproductsofCooperatingBrandtoanyorganizationorindividualthroughothercross-bordere-commerceplatformsthanofficiallyrecognizedbyPartyA,norexportproductsofCooperatingBrandtoanycountryorregion.直郵商品收集于網(wǎng)絡(luò),如有侵權(quán)請聯(lián)系管理員刪除精品文檔DirectMail Products3.1. 本合同項下所稱“直郵商品”是指甲方向乙方提供的本合同(附件一)項下商品,直郵商品的具體信息詳見本合同附件一直郵商品清單。根據(jù)實際業(yè)務(wù)需要,經(jīng)甲乙雙方協(xié)商同意可以修訂附件一項下的商品清單。Theterm“directmailproducts”underthisAgreementreferstotheproductsprovidedbyPartyAtoPartyBunderthisAgreement(AppendixA).DetailedinformationaboutthedirectmailproductsisprovidedinAppendixAListofDirectmailProducts.Thelistmaybemodifiedbasedonthepracticalbusinessneedsunderthenegotiationsandagreementofbothparties.3.2. 合同期限內(nèi),乙方可根據(jù)市場實際狀況建議甲方調(diào)整供貨產(chǎn)品并以書面形式達成一致。DuringthevalidityperiodofthisAgreement,basedonthepracticalmarketconditions,PartyBmayadvisePartyAtoadjustthesupplyproductsandreachanagreementwithPartyAinwriting.合同期限ValidityPeriodoftheAgreement4.1. 本合同期限自 2016年月 日始,至 年月日止。ThisAgreementisvalidfrom4.2. 本合同自雙方授權(quán)代表簽字并 /或加蓋公章之日起生效。ThisAgreementtakeseffectuponsigningand/orstampingbytheauthorizedrepresentativesofbothparties.甲方的責任與義務(wù)ResponsibilitiesandObligationsofPartyA5.1. 甲方應(yīng)根據(jù)乙方的實際經(jīng)營狀況和需求提供甲方相關(guān)證照(如營業(yè)執(zhí)照、法人代表身份證、組織機構(gòu)代碼、稅務(wù)登記證等)、經(jīng)銷授權(quán) (此處“經(jīng)銷授權(quán)”包括品牌方給予甲方的授權(quán)以及甲方給予乙方的授權(quán))以及商品相關(guān)文件(如商品的商標注冊證明、商標使用權(quán))。PartyAshallproviderelevantcertificates(suchasbusinesslicense,IDoflegalrepresentative,organizationcode,andtaxregistrationcertificate)ofPartyA,distributionauthorization( “distributionauthorization ”hereincludesbrandowner ’sauthorizationtoPartyAandPartyA ’sauthorization),andtoPartyBproduct-relateddocumentsbasedontheactualbusinessconditionsandneedsofPartyB(suchasCertificateofRegistrationofTradeMarkorrighttousethetrademark).收集于網(wǎng)絡(luò),如有侵權(quán)請聯(lián)系管理員刪除精品文檔5.2.甲方保證其提供的直郵商品與商標注冊地國家商品描述及要求相符,均品質(zhì)優(yōu)良,不屬于殘次品、返廠貨或壓倉貨,所有直郵商品的制造、包裝或標簽均符合產(chǎn)地國以及銷售地國(即中國)以及其它相關(guān)國家和地區(qū)的法律法規(guī)的規(guī)定 .如甲方提供的商品未達到上述標準而給乙方造成損害及損失,甲方應(yīng)承擔相應(yīng)法律責任及賠償乙方因此遭受的一切損失。如任何第三方就商品提出任何索賠或其它權(quán)利主張的,甲方應(yīng)采取一切必要措施,確保乙方免受損害,如乙方因此遭受損失的,甲方應(yīng)當承擔賠償責任。PartyAherebypromisesthatthedirectmailproductsitprovidescomplywiththecountryoforigindescriptionandrequirements,areofgoodquality,andarenotdefectiveproducts,returnedproducts,orproductsthathavelongbeenstoredinthewarehouse,andthatthemanufacture,packaging,orlabelofalldirectmailproductscomplywiththerelevantlawsandregulationsofthecountryoforigin.ShouldtheproductsprovidedbyPartyAfailtoreachtheaforementionedstandards,causinganydamageorlosstoPartyB,PartyAshallbeliableforallrelevantlegalresponsibilitiesandshallcompensateforallthelossesthusincurredtoPartyB.5.3. 甲方若需乙方提供市場營銷、客服服務(wù)以及其他服務(wù),則甲方應(yīng)確保提供給乙方相應(yīng)的素材、培訓以及其他協(xié)助以便乙方推廣合作品牌。IfPartyAwouldrequirePartyBtodomarketingpromotion,customerserviceandotherservices,PartyApromisestoprovidetherelevantmarketingmaterials,customerservicetraining,andotherassistancetoPartyBsoastofacilitatethelattertopromotetheCooperatingBrand.乙方的責任與義務(wù)ResponsibilitiesandObligationsofPartyB6.1. 乙方應(yīng)提供其在合同期間合法經(jīng)營的證照依據(jù),如營業(yè)執(zhí)照、法人代表身份證、組織機構(gòu)代碼、稅務(wù)登記證等。PartyBshallprovidetherelevantcertificatesforitslegitimatebusinessoperationduringthecontractvalidityperiod,suchasbusinesslicense,IDoflegalrepresentative,organizationcode,andtaxregistrationcertificate.6.2. 乙方不得經(jīng)營銷售非國家法律規(guī)定的供貨的、假冒或仿冒的合作品牌商品的非法進口商品、侵權(quán)商品或其它假冒偽劣商品,一經(jīng)發(fā)現(xiàn),甲方有權(quán)立即終止本協(xié)議并保留采取法律行動、追究乙方的責任之權(quán)利。PartyBshallnotdistributeCooperatingBrandofproductsthataresuppliedfromunauthorizedchannels,illegallyexportedproducts,infringingproducts,orotherfakeorcounterfeitproducts.UpondetectionofanysuchactivitiesofPartyB,PartyAhastherighttoimmediatelyterminatethisAgreementandtherighttotakelegalactivitiesagainstPartyB.收集于網(wǎng)絡(luò),如有侵權(quán)請聯(lián)系管理員刪除精品文檔6.3. 若發(fā)現(xiàn)第三方侵犯合作品牌其關(guān)聯(lián)公司的商標、商號、專用權(quán)或其它知識產(chǎn)權(quán),乙方應(yīng)及時通知甲方。Upondiscoveryofanyinfringementbyanythirdpartyonthetrademarks,tradenames,exclusiverights,orotherintellectualpropertyrightsofCooperatingBrandanditsrelatedcompany,PartyBshallnotifyPartyAintime.商品供備貨productsSupplyandStocking7.1. 甲方應(yīng)保證合理的庫存,盡量避免缺貨情況的發(fā)生或?qū)⑷必浰斐傻挠绊懡禐樽畹?。Bothpartiesshallcollaboratewitheachothertoensurereasonableinventoryandavoidtheoccurrenceofproductsshortageorminimizetheimpactoftheproductsshortage.7.2. 甲方向消費者提供的直郵商品的品名數(shù)量和發(fā)貨期等需與乙方提供的商品訂單保持一致。若由于信息不一致導致收貨和銷售產(chǎn)生任何問題,由甲方承擔。Thenames,quantityandotheressentialinformationofthedirectmailproductsprovidedbyPartyAtoPartyBshallcomplywiththeproductsorderform;PartyBmayrefusetopayforproductsthatdonotmeettheorderformrequirementsandPartyAshallimmediatelyreplacetheproductsaccordingtotheorderform.7.3 若由于甲方錯發(fā)漏發(fā)消費者訂單對乙方的正常業(yè)務(wù)運作帶來不良影響,甲方應(yīng)當及時糾正其行為并及時對給乙方造成的不良影響進行補救,甲方應(yīng)賠償乙方因此遭受的一切損失。IfPartyAsendswrongpiece(s)ormisse scustomers ‘order(s)andbringsaboutnegativeeffecttoPartyB,PartyAshouldcorrectitsbehaviorpromptlyandmakesomecompensationtoPartyBforthenegativeeffect.結(jié)算條款8.1 甲方提供乙方市場銷售建議價;乙方根據(jù)甲方的市場銷售建議價銷售,并在甲方確認的情況下可以打折銷售。結(jié)算價見附件 A。PartyAwillofferPartyBthesalesproposalprice;PartyBwillsalebasedontheproposalprice,andcanofferdiscountsthatconfirmedbyPartyA.SettlementpriceisasattachmentA.8.2 結(jié)算:Settlement :□每自然月:以每個自然月為結(jié)算期,每個月 16日與次月1日為結(jié)算日;Everyhalfcalendarmonth:Eachhalfcalendarmonthistakenasasettlementperiod,withthesixteenthdayofeachmonthandthefirstdayofthenextmonthbeingsettlementdays;□每自然旬:以每自然旬為結(jié)算周期,每月 10日、20日、30日的次日為結(jié)算日;Everyone-thirdcalendarmonth:Eachone-thirdcalendarmonthistakenasasettlementperiod,withthedaysimmediatelyfollowingthetenth,twentiethandthirtiethdaysofeachmonthbeingsettlementdays;□每周:以一周為結(jié)算周期,每周一為上周的結(jié)算日;Weekly:Eachweekistakenasasettlementperiod,withMondaybeingthesettlementdayforthepreviousweek;□每三天:以三天為結(jié)算周期,結(jié)算周期結(jié)束的次日為結(jié)算日;Everythreedays:Threedaysaretakenasasettlementperiod,withthedayimmediatelyfollowingtheendofthesettlementperiodbeingthesettlementday.以上結(jié)算日遇休息日或法定節(jié)假日的,順延至休息日或法定節(jié)假日結(jié)束后的第一個工作日。Theaforesaidsettlementdayshallbeextendedtotheimmediatelynextworkingdayifitfallsonanon-workingdayorpublicholiday.質(zhì)量條款和售后處理QualityProblemsandAfter-salesService9.1. 甲方對其所供貨之商品的質(zhì)量問題負責,甲方提供的商品必須符合產(chǎn)地國、銷售地國(即中國)及其它相關(guān)國家和地區(qū)的法律規(guī)定和行業(yè)標準。PartyAshallberesponsibleforthequalityproblemsoftheproductsitprovides.TheproductsprovidedbyPartyAshallcomplywiththeGMPandTGAproductionqualitystandardsofthecountryoforigin.9.2. 甲方保證提供產(chǎn)品的剩余保質(zhì)期為產(chǎn)品有效期的 75%以上。PartyAshallensurethevalidityofsuchsuppliedproductshasmorethan75%remaining.9.3. 甲方保證向乙方提供合法、有效的企業(yè)資格證書,并保證文件的真實性、有效性。其中需包括原產(chǎn)國廠家準許生產(chǎn)、貿(mào)易證明、營業(yè)執(zhí)照、衛(wèi)生證書(食品、化妝品等需)、授權(quán)書。PartyAshouldofferlegalandvalidcertificatesofenterprisequalification(includingmanufacturinglicenseinthecountryoforigin,certificateoffreesale,businesslicense,healthcertificateandauthorizationdocuments)toPartyBandensuretheauthenticityandvalidityofthesedocuments.收集于網(wǎng)絡(luò),如有侵權(quán)請聯(lián)系管理員刪除精品文檔9.4. 甲方須向乙方提供產(chǎn)品基本信息(包括:名稱、規(guī)格、箱裝、條形碼、效期、包裝、標簽、說明書等)、產(chǎn)品質(zhì)量標準、原產(chǎn)國生產(chǎn)廠家放行報告。Party A should offer the basic product information (including product name,specification,packinginformation,barcode,periodofvalidity,packaging,labelandinstructionbook,etc.),qualitystandardandthereleasereportofmanufacturersinthecountryoforigintoPartyB.9.5. 因為甲方未如實對商品進行描述等甲方原因所引發(fā)的售后問題,其責任由甲方承擔。Shouldtherebeanyafter-salesissuesatthefaultofPartyA,forexample,ifPartyAfailstogiveanauthenticdescriptionoftheproducts,PartyAshallbeheldliable.ShouldtherebeanylossestotheproductvalueduetotheimproperoperationofPartyBratherthanthequalityproblems,PartyBshallbeliableforthelossesandrelevantexpenses.9.6. 若終端消費者收到的貨物存在質(zhì)量問題導致消費者要求退貨,貨物將由消費者退回至甲方,退貨過程中所產(chǎn)生的費用由甲方承擔,乙方將消費者支付的金額由相關(guān)付款渠道退回給消費者,且甲方承擔買賣和退貨過程中產(chǎn)生的稅費。Ifgoodsreceivedbycustomershasqualityproblem(s)thatcustomersrequestgoodsreturning,thegoodswillbereturnedfromcustomerstoPartyA.ThecostoccurringinthereturningprocessiscoveredbyPartyA.PartyBreturnscustomers ’sRepublicofChina.Shouldtherebyanydisputesarisingfromtheconclusion,performance,orinterpretationoftheAgreement,bothpartiesshallresorttofriendlynegotiationstosolvesuchdisputes.Shouldtheyfailtoreachanagreementuponnegotiations,eitherpartymayapplyforarbitrationbythecourtwheredomicileofpartyB.保密條款Confidentiality16.1.在本協(xié)議期間以及本協(xié)議終止之后的 5年之內(nèi),雙方在此同意為雙方的所有資料(包括本協(xié)議書、銷售價格以及相關(guān)文件)嚴格保守秘密,并且同意除了為履行在本協(xié)議書規(guī)定的各項責任外,不為任何其他目的使用上述資料。如任何一方違反本條之規(guī)定 ,另一方有權(quán)立即終止本協(xié)議。雙方前述的保密義務(wù)在本協(xié)議因任何原因終止后一年有效
