本合同是根據(jù)雙方自愿的原則訂立，經過友好協(xié)商達成并共同遵守。雙方約定如下：

一、合同目的：

甲方同意向乙方委托進行產品加工，乙方同意接受甲方委托進行產品加工。

PartyAagreestoentrustPartyBwiththeprocessingofproducts,andPartyBagreestoacceptPartyA'sentrustmentfortheprocessingofproducts.

三、質量要求：

1.委托產品的質量必須符合國家相關標準和乙方承諾的質量要求。

2.如乙方無法按照約定的質量要求完成加工，乙方應當承擔相應的責任。

2.IfPartyBfailstocompletetheprocessingaccordingtotheagreedqualityrequirements,PartyBshallbearthecorrespondingresponsibility.

四、加工期限：

4.ProcessingPeriod:

2.如因不可抗力等原因無法按時完成加工，乙方應當及時通知甲方并說明原因，甲方同意給予適當?shù)膶捪奁凇?/p>

六、加工責任：

1.乙方應安全、合法地保管委托產品，并妥善安排加工工藝，確保產品質量和安全。

2.如乙方因自身原因造成委托產品損壞，應當依法承擔賠償責任。

七、保密條款：

7.ConfidentialityClause:

1.雙方同意對于對方在加工過程中披露的商業(yè)秘密或技術資料進行保密。

2.未經甲方事先書面同意，乙方不得披露、使用或復制甲方的商業(yè)秘密或技術資料。

八、違約責任：

8.BreachofContractLiability:

1.如一方違約，應當根據(jù)損失情況進行賠償，包括但不限于直接損失、間接損失和違約金等。

2.雙方同意依照國家相關法律法規(guī)解決爭議。

1.Intheeventofabreachbyeitherparty,compensationshallbemadebasedontheloss,includingbutnotlimitedtodirectloss,indirectloss,andliquidateddamages.

2.Bothpartiesagreetoresolvedisputesinaccordancewithrelevantnationallawsandregulations.

九、生效與終止：

9.EffectivenessandTermination:

1.本合同自雙方簽字蓋章之日起生效，有效期為_____________。

11.IntellectualPropertyProtection:

1.乙方在進行產品加工過程中，應當嚴格遵守相關知識產權法律法規(guī)，保護甲方的知識產權。

2.乙方不得在未經甲方事先書面同意的情況下，擅自復制、使用、修改或泄露甲方的專有技術和商業(yè)秘密。

3.如乙方違反以上約定，應當承擔相應的法律責任，并賠償甲方因此遭受的損失。

2.PartyBshallnotcopy,use,modify,ordisclosePartyA'sproprietarytechnologyandtradesecretswithoutPartyA'spriorwrittenconsent.

3.IfPartyBviolatestheaboveprovisions,itshallbearcorrespondinglegalliabilitiesandcompensatePartyAforanyresultinglosses.

十二、委托期限延長：

12.ExtensionofEntrustmentPeriod:

1.甲方有權在委托期限到期前___________天書面通知乙方，延長委托期限。

2.如乙方同意延長委托期限，雙方應當重新協(xié)商并簽訂補充協(xié)議，明確新的委托期限和相關條件。

十三、爭議解決：

13.DisputeResolution:

1.本合同的履行、解釋及爭議解決適用中華人民共和國法律。

2.雙方如發(fā)生爭議，應當首先通過友好協(xié)商解決。如協(xié)商不成，任何一方均有權向有管轄權的人民法院提起訴訟解決。

2.Intheeventofadispute,bothpartiesshallfirstresolveitthroughfriendlynegotiations.Ifthenegotiationsfail,eitherpartyhastherighttobringalawsuittoacompetentpeople'scourtforresolution.

十四、不可抗力：

14.ForceMajeure:

1.如因不可抗力的原因導致乙方無法履行合同義務，應當向甲方及時提供書面通知，并在合理的范圍內采取合理措施減輕損失。

2.不可抗力包括但不限于自然災害、戰(zhàn)爭、恐怖襲擊、罷工、政府行為等不可預見、不可避免且不能克服的客觀情況。

1.IfPartyBisunabletoperformitscontractualobligationsduetoforcemajeure,itshallpromptlyprovidewrittennoticetoPartyAandtakereasonablemeasurestomitigatelosseswithinareasonablerange.

2.Forcemajeureincludesbutisnotlimitedtonaturaldisasters,war,terroristattacks,strikes,andgovernmentactionsthatareunforeseeable,unavoidable,andinsurmountable.

十五、完整協(xié)議：

15.EntireAgreement:

1.本合同構成雙方之間關于加工委托的完整協(xié)議，取代雙方此前進行的一切口頭或書面協(xié)議、了解或安排。

2.除非有雙方明確約定，否則任何對本合同的修改必須以書面形式進行，并由雙方的合法代表簽字確認。

1.Thiscontractconstitutestheentireagreementbetweenthepartiesregardingtheprocessingentrusted,replacingallpriororalorwrittenagreements,understandings,orarrangementsbetweentheparties.

2.Unlessotherwiseagreedbybothparties,anymodificationstothiscontractmustbemadeinwritingandsignedbytheauthorizedrepresentativesofbothparties.

十六、合同解除：

16.TerminationofContract:

1.本合同在以下情況下解除：

a.雙方協(xié)商一致解除；

b.一方嚴重違約，經對方提出書面警告后未在合理期限內改正的；

c.雙方因不可抗力原因無法繼續(xù)履行合同
