3.1，總供貨量2000噸，+/-5%由買方?jīng)Q定。

3.2船舶載貨量2000噸，+/-5%由買方選擇，船舶規(guī)范須符合第十條之規(guī)定，并需經(jīng)賣方郵件確認(rèn)。

CLAUSE3.Quantity

10.1.裝運(yùn)船只由買方安排,并自行承擔(dān)相關(guān)費(fèi)用及風(fēng)險。

10.2.裝貨港船舶代理由賣方推薦，買方有權(quán)指定并承擔(dān)相應(yīng)費(fèi)用。

10.3.在同賣方協(xié)商后，買方須于裝船期首日前15天宣布一個展期為5天的裝船期。

10.4.買方須于裝船期首日前5個工作日指定受載船舶，買方可以在征得賣方同意后，在符合指定的裝船期內(nèi)有權(quán)更換受載船舶；買方須于裝船期首日前3個工作日天向賣方提供指定船舶的規(guī)范。

10.5.指定的船舶規(guī)范必須達(dá)到賣方的接受要求，賣方應(yīng)在買方提供船舶規(guī)范后12個工作小時內(nèi)確認(rèn)是否接受。

CLAUSE10.LAY/CAN&Vesselnomination

10.1.ShipmentstobeperformedbyageneralcargovesselwhichisnominatedbyBuyerathisownriskandcost.

10.2.Vessel’sagentatloadingporttobeproposedbySeller,Buyerhasthefinalauthoritytonominateathisowncost.

10.3.Buyershalldeclarea5dayspreadLAYCANatleast15dayspriortothe1stLAYCANdateafterconsultingwithSeller.

10.4.ThevesselshallbenominatedbyBuyeratleast5workingdaysbeforefirstLAY/CANdate.AftergettingthepermissionofSeller,BuyershallhavetheoptiontosubstitutetheperformingvesselwithinthenominatedLAYCANPeriod.BuyershalladviseSellerthefullparticularsofthenominatedvessel3workingdaysbeforethefirstLAY/CANdate.

10.5.ThenominatedvesselshallbesubjecttotheacceptanceofSeller;andSellershallconfirmwhethertoacceptornotwithin12workinghoursfromthetimeofBuyer’snominationadvice.

10.6.Buyershallforecastthevessel’sdailymovementstoSellerbyemailon7/6/5/4daysbasisbeforeexpectedtimeofarrivalatloadingport,andupdatebyemailtheexactETAtoSelleron3/2/1daysbasis.第十一條裝船數(shù)量/重量檢驗(yàn)

11.1裝船重量由中華人民共和國出入境檢驗(yàn)檢疫局（以下簡稱為“CIQ”）檢驗(yàn)確定，相關(guān)費(fèi)用由賣方承擔(dān)。11.2提單上面顯示的重量應(yīng)以CIQ給出的檢驗(yàn)結(jié)果為準(zhǔn)。11.3裝船袋數(shù)以中國外輪理貨公司提供的數(shù)據(jù)為準(zhǔn)，此結(jié)果是終局性的。

CLAUSE11.Inspectionofshippingquantityandweight

11.1.Exacttonnage/weightloadedonboardthevesselshallbedeterminedandexecutedbytheEntry-ExitInspectionandQuarantineBureauofP.R.China(hereinaftercalled“CIQ”)atSeller’scost.11.2.GrossweightonB/LasperthesurveyresultsgivenbyCIQ.11.3.NumberofbagsloadedonboardthevesseltobegivenbyChinaOceanShippingTallyCompanyandshallbetakenasfinal. 賣方應(yīng)在每船貨物中均勻制取樣品，并將它們分成3份，每份8公斤。3份樣品應(yīng)該在裝運(yùn)港貨物生產(chǎn)過程中制成。每一樣品應(yīng)由賣方以樣品桶或塑料袋密封保存并貼上注明裝船日期及船名的標(biāo)簽，保存期限為裝船期后至少45天，以備查。

CLAUSE12.Samplingatloadingport

13.1.不論船艙是否清潔以及適合裝運(yùn)袋裝水泥，在裝貨前，雙方均須同意指定裝運(yùn)港的CIQ對船艙進(jìn)行檢驗(yàn)；

13.2.如果檢驗(yàn)不合格，將立即通知船長、代理及賣方，船長必須立即安排船舶至指定錨地重新清艙直到合格，備妥通知書遞交無效,應(yīng)重新遞交.

CLAUSE13.HoldsCleanlinessInspection

13.1.CIQattheloadingportshallbemutuallyappointedbySellerandBuyertoinspectthecleanlinessofvesselholdspriortoloadingcommencement,whethervesselholdsarecleananddryineveryrespectandsuitableforloadingbulkcementornot.

13.2.Ifthevesselholdsfailedtheinitialcleanlinessinspection,theMaster,AgentandSelleraretobenotifiedimmediatelyandtheMastershallarrangetocleantheholdsatanchorageasrequestedtoCIQ’Ssatisfaction,andtheNORshallbere-tenderedunlesspasstheholdsinspection. CLAUSE14.Demurrageanddispatchmoney

貨到目的港后，如買方經(jīng)檢驗(yàn)發(fā)現(xiàn)貨物品質(zhì)與合同規(guī)格不符，買方須立即通知賣方。賣方應(yīng)將仲裁樣品送交xxSGS。XxSGS將作為獨(dú)立的實(shí)驗(yàn)室對樣品進(jìn)行檢驗(yàn)，且檢驗(yàn)結(jié)果對于買賣雙方是終局性的。若檢驗(yàn)結(jié)果與本購貨合同所述相符，則送樣及檢驗(yàn)費(fèi)用由買方承擔(dān)。若檢驗(yàn)結(jié)果與本購貨合同所述不符合，則送樣及檢驗(yàn)費(fèi)用由賣方承擔(dān)。

CLAUSE15.Qualitydiscrepancy

IncasethequalityisfoundbyBuyerisnotinconformityasperstipulatedinthecontractattheportofdestination,BuyershallthennotifythesametotheSellerimmediately.SellershallsendtherefereesampletoSGSQingdaooffice.SGSwillanalyzethesampleastheindependentlaboratoryandthetestresultshallbetakenasfinalandbindinguponbothparties.IncasethatthetestresultsareinconformityasperstipulatedintheContract,thecostofdispatchingthesampleandtestingfeesshallbeatBuyer’saccount.IncasethatthetestresultsarenotinconformityasperstipulatedintheContract,,thecostshallbeatSeller’saccount.第十六條不可抗力

16.1.如有不可抗力情形發(fā)生，如火災(zāi)、爆炸、地震、暴風(fēng)、雨雪、洪災(zāi)、干旱或禁運(yùn)、罷工、戰(zhàn)爭、騷亂、叛亂、顛覆、敵對行為、海關(guān)禁令、政府行為等，賣方對延遲交貨或不交貨不負(fù)責(zé)任，但應(yīng)該及時以郵件或傳真方式通知買方。16.2.如果買方要求，賣方應(yīng)該以特快專遞的方式，向買方提供由中國國際貿(mào)易促進(jìn)委員會/或出口商所在地的省級國際商會組織出具的不可抗力證明。上述證明應(yīng)該在買方要求之后的30個工作日之內(nèi)出具。16.3.上述不可抗力的規(guī)定，也適用于買方。16.4.合同雙方應(yīng)該在該不可抗力情形結(jié)束之后30天內(nèi)協(xié)商決定合同是否應(yīng)該解除/或部分解除或繼續(xù)履行/或部分履行。CLAUSE16.ForceMajeure

16.1.IncaseofForceMajeurehappens,suchasfire,explosion,earthquake,storm,snowstorm,flood,drought,embargo,strike,warorhostilities,riot,insurrection,hostilities,sabotage,embargo,actofgovernmentalregulations,Sellershallnotbeheldresponsibleforlatedeliveryornon-deliveryoftheCARGO,butshallnotifytheBuyerbyemailorfaxintime.

16.2.TheSellershalldelivertotheBuyerbyregisteredmail,ifsorequestedbytheBuyer,acertificateissuedbytheChinaCouncilforthePromotionofInternationalTradeortheprovincialChamberofCommercewheretheSellerlocatedat.Suchcertificateshallbeissuedwithin30workingdaysuponBuyer’srequest.

16.3.Theaforementionedforcemajeureshallbealsoapplicabletothebuyer.

16.4.ThetwopartiesoftheSellerandtheBuyershalldeterminewhetherthecontractshallbetotallyterminatedorpartiallyterminatedorcontinuedorpartiallycontinuedwithin30daysafterthepresentforcemajeureeventfinished.

17.1.因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議，雙方應(yīng)通過友好協(xié)商解決，如協(xié)商仍不能達(dá)成協(xié)議時，此爭議將被提交仲裁解決。

17.2.發(fā)生仲裁情況時，雙方同意將仲裁提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會/或其xx分會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方均有約束力17.3.仲裁費(fèi)用由敗訴方負(fù)擔(dān)。

CLAUSE17.Arbitration

17.1.Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledfriendlythroughamicablenegotiation.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationforsettlement.

17.2.IncaseofArbitrationhappens,bothpartiesagreedtosubmitthearbitrationtotheChinaInternationalEconomyandTradeArbitrationCommittee(CIETAC)orit’sShandongbranchforsettlementinaccordancewithit’sprevailingandvalidarbitrationrules.ThedecisionoftheArbitrationCommitteeshallbefinalandbindinguponbothparties.17.3Arbitrationfeesshallbebornebythelosingparty. 1.Chinaarbitration:bestchoice2.ArbitrationAward:Abidebycompulsorily;NewyorkConvention1958)第十八條適用法規(guī)

本合同按《聯(lián)合國國際貨物銷售合同公約》（CISG）1980版和《國際貿(mào)易術(shù)語解釋通則》（INCOTERMS2000）2000年版本進(jìn)行解釋，如二者出現(xiàn)不一致的情況，應(yīng)遵循后者優(yōu)先的原則。
