加盟商特許經(jīng)營(yíng)協(xié)議英文版范本FranchiseAgreementTemplateThisFranchiseAgreement(the"Agreement")isenteredintoon[date],between[FranchisorName],acompanyincorporatedunderthelawsof[country],havingitsprincipalplaceofbusinessat[address],hereinafterreferredtoasthe"Franchisor,"and[FranchiseeName],acompanyincorporatedunderthelawsof[country],havingitsprincipalplaceofbusinessat[address],hereinafterreferredtoasthe"Franchisee."Together,theFranchisorandtheFranchiseeshallbereferredtoasthe"Parties."WHEREAS,theFranchisorisengagedinthebusinessof[describethenatureofthebusiness],andhasdevelopedauniquebusinesssystemandbrandname;WHEREAS,theFranchiseedesirestoobtaintherighttooperateafranchisebusinessusingtheFranchisor'sbusinesssystemandbrandname;WHEREAS,theFranchisoriswillingtograntsuchrighttotheFranchisee,subjecttothetermsandconditionssetforthinthisAgreement;NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thePartiesagreeasfollows:1.GrantofFranchise1.1TheFranchisorherebygrantstheFranchiseethenon-exclusiverighttooperateafranchisebusinessundertheFranchisor'strademark,tradename,andbusinesssystem(the"FranchiseSystem"),atthelocationspecifiedinExhibitA,attachedhereto.1.2TheFranchiseeacknowledgesthattheFranchisor'strademarks,tradenames,andotherintellectualpropertyaretheexclusivepropertyoftheFranchisor,andtheFranchiseeshallnotacquireanyright,title,orinterestinsuchintellectualproperty,exceptasexpresslyprovidedinthisAgreement.2.TermandRenewal2.1TheinitialtermofthisAgreementshallbe[numberofyears],commencingon[date],andexpiringon[date].TheFranchiseeshallhavetheoptiontorenewthisAgreementforadditionaltermsof[numberofyears],subjecttotheFranchisee'scompliancewiththetermsandconditionssetforthherein.2.2TheFranchiseeshallprovidewrittennoticeofitsintentiontorenewthisAgreementatleast[numberofdays/months]priortotheexpirationoftheinitialtermoranysubsequentterm.3.FeesandRoyalties3.1Inconsiderationfortherightsgrantedherein,theFranchiseeshallpaytheFranchisoraninitialfranchisefeeof[amount]upontheexecutionofthisAgreement.3.2TheFranchiseeshallalsopayongoingroyaltiestotheFranchisor,calculatedasapercentageoftheFranchisee'sgrosssales,inaccordancewiththetermssetforthinExhibitB,attachedhereto.4.TrainingandSupport4.1TheFranchisorshallprovidetheFranchiseewithinitialtraining,aswellasongoingsupportandassistance,toensuretheFranchisee'ssuccessfuloperationofthefranchisebusiness.4.2TheFranchiseeshallbearallcostsassociatedwiththeinitialtraining,includingtravel,accommodation,andmeals,unlessotherwiseagreeduponinwritingbytheParties.5.ConfidentialityandNon-Competition5.1TheFranchiseeacknowledgesthatitwillhaveaccesstoconfidentialandproprietaryinformationoftheFranchisor,includingbutnotlimitedtotheFranchiseSystem,customerlists,marketingstrategies,andtradesecrets.5.2TheFranchiseeagreestokeepallsuchinformationstrictlyconfidentialandnottodiscloseittoanythirdparty,exceptasrequiredbylaworwiththepriorwrittenconsentoftheFranchisor.5.3TheFranchiseefurtheragreesnottoengageinanybusinessoractivitythatcompeteswiththeFranchiseSystemduringthetermofthisAgreementandforaperiodof[numberofyears]followingitsexpirationortermination.6.Termination6.1EitherPartymayterminatethisAgreementintheeventofamaterialbreachbytheotherParty,subjecttothecureprovisionssetforthinSection6.2.6.2Intheeventofabreach,thenon-breachingPartyshallprovidewrittennoticespecifyingthenatureofthebreach,andthebreachingPartyshallhaveaperiodof[numberofdays]tocurethebreach.Ifthebreachisnotcuredwithinthespecifiedperiod,thenon-breachingPartymayterminatethisAgreement.7.GoverningLawandDisputeResolution7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country],withoutregardtoitsconflictoflawsprinciples.7.2AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesof[arbitrationinstitution],andthedecisionofthearbitratorshallbefinalandbindingu
