a)地基圖紙 b)線路圖，電連接圖，氣壓或液壓連接圖 c)易損件的制造圖紙 d)零部件目錄 e)質量證書 f)安裝調試手冊，操作手冊，保養(yǎng)手冊g)產(chǎn)品合格證14.GUARANTEEOFQUALITY:TheSellersguaranteethatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnewandunused,andcompliesinallrespectswiththequalityandspecificationstipulatedinthisContract.Theguaranteeperiodshallbe12monthscountingfromthedateonwhichthecommoditypassedtheMechnicalAcceptance.Butnotlaterthan18monthsaftertheshippingdate.質量保證：賣方應保證所出售的商品由最好的材料、一流的工藝制成，該商品是全新的和未被使用過的，各方面均與合同規(guī)定的質量和規(guī)格一致。保質期為機械驗收后12個月。但非賣方原因，不晚于發(fā)貨后18個月.15．INSPECTION(1)Themanufacturesshall,beforemakingdelivery,makeapreciseandcom-prehensiveinspectionofthegoodsasregardsthequality,specification,performanceandquantity/weight,andissuedacertificatecertifyingthatthegoodsareinconformitywiththestipulationsofthisContract.Thecertificateshallformanintegralpartofthedocumentstothepayingbankfornegotiationofpaymentbutshallnotbeconsideredasfinalinrespectofquality,specification,performanceandquantity/weight.ParticularsandresultsofthetestcarriedoutbythemanufacturesmustbeshowninastatementwhichhastobeattachedtotheQualityCertificate.檢驗：制造商應在交貨前,對貨物的質量、規(guī)格、性能及數(shù)量和重量等進行準確和全面的檢驗,并依照本合同規(guī)定出具證書.這份證書應作為議付單據(jù)必須向銀行提供,但不作為貨物質量、規(guī)格、性能及數(shù)量和重量的最后依據(jù)。制造商檢驗的細節(jié)和結果均應作出說明并做為質量證書的附件。(2)AfterarrivalofthegoodsattheportofdestinationtheBuyersshallapplyforapreliminaryinspectiontoExitandEntryInspectionandQuarantineofP.R.China(EEIQ)inrespectofthequality,specificationsandquantity/weightofthegoodsandaSurveyReportshallbeissuedtherefor.IfdiscrepanciesarefoundbyboththeSellersandtheBuyersregardingqualityandspecificationsorthequantity/weight,exceptwhentheresponsibilitiesliewithinsurancecompanyorshippingcompany,theBuyersshall,within90daysafterarrivalofthegoodsattheportofdestination,havetherighttorejectthegoodsortoclaimagainsttheSellers.貨物到港后,買方應向中國出入境檢驗檢疫局申請對貨物的質量、規(guī)格及數(shù)量和重量進行初步檢驗并出具檢驗報告，如果買賣雙方發(fā)現(xiàn)貨物的質量、規(guī)格或數(shù)、重量有差異，除應由保險公司或船公司承擔的責任外，買方應在貨物到港后90天內拒絕接收貨物或向賣方提出索賠。(3)Shouldthequality,specificationsandquantity/weightofthegoodsbenotinconformitywiththeContract,orshouldthegoodsprovedefectivewithintheguaranteeperiodstipulatedinClause14foranyreason,includinglatentdefectortheuseofunsuitablematerials,theBuyersshallarrangeforasurveytobesignedbyboththeSellersandtheBuyers,oraCertificateissuedbyEEIQandhavetherighttoclaimagainsttheSellersonthestrengthoftheSurveyReportortheEEIQCertificate.如果發(fā)現(xiàn)貨物的質量、規(guī)格及數(shù)量和重量與合同規(guī)定不符，或貨物在本合同第14條中規(guī)定的保質期內因任何原因被證實有缺陷，包括潛在缺陷或使用不良材料，買方應安排買賣雙方調查出具調查報告，或由中國出入境檢驗檢疫局出具檢驗證書。買方有權憑此調查報告或檢驗證書向賣方索賠。(4)TheSellershallberesponsiblefortheopen-boxfailure/shortshipment.Theopenboxfailure/shortshipmentshallbesupplementedtotheBuyeronDDPJinantheenduser’ssite.如發(fā)生短裝，由賣方負責補發(fā)。補發(fā)貨的價格條款為濟南最終用戶現(xiàn)場完稅及各運雜費后交貨。16.CLAIMS:Within90daysafterthearrivalofthegoodsatdestinationshouldthequality,specification,orquantitybefoundnotinconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable,theBuyersshall,onthestrengthoftheInspectionCertificateissuedbyExitandEntryInspectionandQuarantineofP.R.China(EEIQ),havetherighttoclaimforreplacementwithnewgoods,orforcompensation,andalltheexpenses(suchasinspectioncharges,freightforreturningthegoodsandforsendingthereplacement,insurancepremium,storageandloadingandunloadingcharges,etc.)shallbebornebytheSellers.Asregardsquality,theSellersshallguaranteethatif,within12monthsfromthedateonwhichthecommoditypassthefinalacceptancetest,damageoccurinthecourseofoperationbyreasonofinferiorquality,badworkmanshiportheuseofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyInspectionCertificateissuedbytheExitandEntryInspectionandQuarantineofP.R.China(EEIQ).TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSellers,inaccordancewiththeBuyers’claimshallberesponsiblefortheimmediateeliminationofthedefect(s),completeorpartialreplacementofthecommodityorshalldevaluatethecommodityaccordingtothestateofdefect(s),Wherenecessary,theBuyersshallbeatlibertytoeliminatethedefect(s)themselvesattheSellers’expenses.IfthesellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSellers.索賠：貨物到達目的港90天之內，如發(fā)現(xiàn)貨物的質量、規(guī)格、數(shù)量與合同規(guī)定不符時，（除非這些不符是應由保險公司或由船公司承擔的責任），買方憑中國出入境檢驗檢疫局出具的檢驗證書，有權利向賣方提出更換貨物或賠償損失，因此而發(fā)生的一切相關費用，包括商檢費、退貨和換貨的運費、保險費、倉儲費、裝卸費等,均由賣方承擔。關于質量，賣方應保證，在貨物通過最終檢驗后12月之內，在使用操作過程中，由于低劣的質量、工藝或者使用了劣質原材料造成損失，買方應立即以書面形式通知賣方，并憑中國出入境檢驗檢疫局出具的檢驗證書，向賣方提出索賠，此檢驗證書是作為索賠的依據(jù)。賣方應對買方提出的索賠采取相應的補救措施，解決貨物的質量問題，或者全部/部分更換貨物，或按質量問題的實際情況進行降價處理。如果有必要，買方可在賣方提供費用的前提下自行解決質量問題。如果賣方在收到上述索賠一個月之內，不做出任何答復，即被認為賣方已接受了該項索賠。17.FORCEMAJEURE:TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoFORCEMAJEURE,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.ThesellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentgovernmentauthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhavetherighttocancelthecontract.不可抗力：對由于不可抗力而造成的延遲交貨或者不能交貨，賣方不承擔責任。該不可抗力是發(fā)生在生產(chǎn)、裝卸或運輸過程中。賣方應及時通知買方發(fā)生了不可抗力，并在不可抗力事件發(fā)生后14天內將事件發(fā)生地相應的政府主管機構出具的事件證明用航空郵遞寄給買方為證,并取得買方認可。在這種情況下，賣方仍然有義務采取一切必要的措施從速交貨。如果該不可抗力持續(xù)了10個星期，買方有權利取消該合同。18.LATEDELIVERYANDPENALTY:ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeurecausesspecifiedinClause17ofthisContract,andduesolelytocauseswithintheSellers’control,theBuyershallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankforthepayment.Thepenalty,however,shallnotexceed5%ofthetotalcontractvalue.Therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocancelthecontractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.遲交貨及罰金：若賣方由于自身可控制的原因不能按合同規(guī)定的時間按時交貨，（本合同17條款中的不可抗力原因除外），則在賣方同意支付罰金并同意由銀行在付款時扣除的情況下，買方同意推遲交貨。罰金的總額不超過合同金額的5%，罰金的比率為每遲發(fā)一周罰合同金額的0.5%，不足7天按一周計算。如果賣方的發(fā)貨時間比合同規(guī)定的發(fā)貨時間晚了10周，買方有權取消合同。但是即使合同被取消，賣方仍必須按上述比率向買方支付罰金。19.ARBITRATION:AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewiththerelevantlawsinChinaandtheProvisionalRulesofProcedurespromulgatedbythesaidArbitrationCommission.TheArbitrationshalltakeplaceinBeijingandthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Arbitrationfeeshallbebornebythelosingparty.仲裁：凡有關本合同或執(zhí)行本合同而發(fā)生的一切爭議應當通過雙方友好協(xié)商解決。雙方不能協(xié)商解決的爭議，將被提交中國國際經(jīng)濟貿易仲裁委員會，按照中國法律和該仲裁委員會規(guī)定的程序和條款處理。仲裁將在北京進行，且仲裁的結果對雙方都是最終性的。任何一方都不能向法院和其他機關申請變更仲裁的裁決。仲裁的費用由敗訴一方承擔。20.TAXESANDBANKINGCHARGES:Alltaxes,importandcustomsdutiesandothertaxesanddutiesinconnectionwiththeperformanceofthisContracttobeleviedontheBuyersorend-usersbytherelevantauthorityinChinainaccordancewiththeChinesetaxlawsthenineffectshallbepaidbyBuyersorend-users.Alltaxes,importandcustomsdutiesandothertaxesanddutiesinconnectionwiththeperformanceofthisContracttobeleviedontheSellersbytherelevantauthorityinChinainaccordancewiththepubliclyavailabletaxlawsandregulationsthenineffectgoverningforeignenterprisesandtheiremployeesshallbepaidbySellers.AlltaxesinconnectionwiththeperformanceoftheContracttobeleviedoutsideChinashallbepaidbySellers.AllthebankingchargesincurredinCh
