SHIPMENT（運(yùn)送）:

賣方應(yīng)于交貨期內(nèi)將協(xié)議貨品從裝貨港運(yùn)到目的港，允許轉(zhuǎn)運(yùn)，不允許分批。SHIPPINGADVICE（裝運(yùn)告知）:Thesellersshall,immediatelyuponthecompletionoftheloadingofthegoods,advisebymailtothebuyersoftheContractNo.,commodity,quantity,invoicedvalue,grossweight,nameofvesselanddateofdeliveryetc.IncaseduetothesellersnotsendingE-mailintime,alllossescausedshallbebornebythesellers.賣方應(yīng)于裝貨完畢后，立即用郵件將有關(guān)協(xié)議號、品名、數(shù)量、發(fā)票價值、毛重、運(yùn)送工具名稱、交貨日期、貨品預(yù)計到達(dá)日等資料告知買方。假如由于賣方未能告知或遲延告知買方而導(dǎo)致的所有損失均由賣方承擔(dān)。GUARANTEEOFQUALITY（質(zhì)量保證）:TheSellersguaranteethattheCommodityhereofismadeofthebestmaterials,andcompliesinallrespectswiththequalityandspecificationstipulatedintheoriginalcountry、exportcountry、importcountryandinternationalqualityregulation.Thesellershouldguaranteethecargowillnotgoagainsttherightofthirdparty;Theexpirationdateofproductsonthiscontractismonth,andtherestofvalidofexpirationdateshouldoverpercentoftheexpressdate.Duetothequalityproblemofproducts,thebuyerwill

beentitled

to

lodgeclaim.賣方保證協(xié)議貨品采用符合標(biāo)準(zhǔn)的原材料，貨品質(zhì)量和技術(shù)規(guī)格均符合原產(chǎn)國、出口國、進(jìn)口國及國際質(zhì)量技術(shù)規(guī)定。賣方所提供貨品不存在任何侵犯第三方權(quán)益情形；本協(xié)議項下產(chǎn)品質(zhì)量保質(zhì)期為個月，賣方所提供產(chǎn)品剩余保質(zhì)期（已賣方裝船為準(zhǔn)）應(yīng)超過產(chǎn)品明示質(zhì)保期%，質(zhì)保期內(nèi)產(chǎn)品出現(xiàn)任何質(zhì)量問題，買方有權(quán)向賣方索賠。CLAIMS（索賠）:Within90daysafterthebuyer’scheckupondelivery,ifthequality,specification,orquantitybefoundinunconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancecompanyornottheownersofthevesselareliable,theBuyersshall,onthestrengthoftheInspectionCertificateissuedbyofficialmissionofP.R.C.,havetherighttoclaimforcompensation,in

addition

to

the

fees

which

was

undertaken

by

the

buyer

for

the

goods

discrepancy

from

the

contact,and

all

the

fees

occurred

when

buyer

safeguard

the

rights,such

as

counsel

fee/legal

fee/

maintenamce

costs

and

so

on.The

compensation

range

covers

more

items

than

above.Andallexpenses(shallbebornebytheSellers.Damagesoccurinthecourseofoperationbyreasonofinferiorquality,theuseofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyInspectionCertificateissuedbyofficialmissionofP.R.C..TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSellers,inaccordancewiththeBuyers'claimshallberesponsibleforthe30dayseliminationofthedefect(s),completereplacementofthecommodityaccordingtothestateofdefect(s),.IftheSellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSellers.Theseller'sfailuretoupthegoodsunderthiscontractontime,eachdayofoverdueonthebearingofliquidateddamagesofRMB____.貨品經(jīng)買方驗收后90天內(nèi)，假如買方所交付產(chǎn)品存在任何權(quán)利瑕疵，質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā)現(xiàn)與協(xié)議的規(guī)定不符(除過保險公司和運(yùn)送公司的責(zé)任所負(fù))，買方依據(jù)中華人民共和國官方出具的證明或檢查報告，規(guī)定賣方進(jìn)行補(bǔ)償，補(bǔ)償范圍涉及但不限于因貨品與協(xié)議不符導(dǎo)致買方遭受的損失及買方維權(quán)所支付的如律師費(fèi)、訴訟費(fèi)、保全費(fèi)等所有費(fèi)用。由于貨品權(quán)利存在瑕疵或貨品品質(zhì)存在問題，買方應(yīng)立即書面告知賣方，并同時隨附中國官方出具的證明或檢查報告作為索賠依據(jù)。賣方在接到買方的索賠后，有責(zé)任于30日內(nèi)解決相應(yīng)的質(zhì)量問題、所有替換貨品；假如賣方在收到買方的上述索賠后一個月內(nèi)未能做出答復(fù)，則視為索賠已為賣方所接受。賣方未能按本協(xié)議約定期間對貨品問題解決完畢的，每逾期一日承擔(dān)違約金人民幣元。FORCEMAJEURE（不可抗力）:TheSellersshallnotbetakenresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhavetherighttocanceltheContract..

對于制造或裝船運(yùn)送過程中也許產(chǎn)生的不可抗力而導(dǎo)致的遲交貨或不能交貨，賣方可以不承擔(dān)責(zé)任。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況告知買方，并且賣方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門出具的證明不可抗力產(chǎn)生的文獻(xiàn)寄送給買方。在此情況下，賣方仍應(yīng)盡最大努力采用各種措施促使貨品的發(fā)運(yùn)。假如事故連續(xù)十周，買方有權(quán)取消該協(xié)議。LATEDELIVERYANDPENALTY（遲交貨和罰金）:ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeurecausesspecifiedinClause15ofthisContract.TheBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.ThePenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendays.Odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandtheSellers,inspitethecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.Feespaidbythebuyer,thesellershouldreturnthebuyerindaysafterthebuyerterminatethecontract..

假如賣方未能按協(xié)議規(guī)定及時交貨(除了本協(xié)議15條款所言的不可抗力)，買方批準(zhǔn)在賣方付罰金的前提下延遲交貨。罰金的金額不超過遲交貨的協(xié)議貨品部分的價值的5%，罰金按每7日0.5%計算，少于7日的增長天數(shù)按7日計。假如賣方未能于協(xié)議規(guī)定的交貨期之后的十周內(nèi)發(fā)運(yùn)，買方有權(quán)解除該協(xié)議，除此之外，賣方仍要將有關(guān)罰金不加遲延地付給買方。買方已支付的費(fèi)用，賣方應(yīng)于買方解除協(xié)議后日內(nèi)返還買方。ARBITRATION（仲裁）:AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationwhichshallbeconductedinaccordancewiththeComm
