出賣人：(以下簡稱乙方)

甲方因工程需要，購買乙方工程物資，經(jīng)雙方協(xié)商一致，簽訂本合同。

第一條供料工程概況如下：

工程名稱及范圍：

工程地點：

第二條貨物名稱、規(guī)格型號、材質(zhì)、單價及計劃數(shù)量，詳見下表：

第三條結(jié)算、發(fā)票、付款

結(jié)算方式：供貨完畢，乙方向甲方提交結(jié)算單，由甲方指定的材料員統(tǒng)計核實、甲方項目經(jīng)理簽字確認。如供貨周期較長，則每結(jié)算一次。

發(fā)票：乙方按甲方確認的結(jié)算金額，提供稅務發(fā)票和銀行賬戶。乙方未能提供合法有效的發(fā)票的，甲方有權(quán)拒絕付款。乙方提交的發(fā)票金額與結(jié)算單金額不一致的(結(jié)算金額以結(jié)算單確認為準)，甲方有權(quán)拒絕付款。

間、比例再予分次付款：月底付當月料款的%;工程竣工、驗收合格后，付料款的%;%為質(zhì)保金，質(zhì)保期滿后付清。由銀行轉(zhuǎn)賬支付。

第四條交貨時間、地點

甲方如需變更交付時間或地點，應提前天通知乙方，乙方應予以滿足。

第五條供貨數(shù)量及質(zhì)量的驗收確認

甲乙雙方共同依據(jù)現(xiàn)行技術標準及本合同約定，對乙方供應的貨物(包括合同約定的附件等)數(shù)量及外觀質(zhì)量進行驗收，并在乙方的發(fā)貨單上簽字確認。

貨物經(jīng)甲方表觀檢驗，如有質(zhì)量異?，F(xiàn)象的，經(jīng)雙方核實后確屬質(zhì)量問題的，甲方有權(quán)拒收或退貨，并由乙方承擔違約責任。

交貨時，乙方應向甲方一并提交產(chǎn)品技術質(zhì)量資料，包括但不限于：產(chǎn)品生產(chǎn)廠家營業(yè)執(zhí)照、生產(chǎn)許可證復印件，該批次貨物的出廠檢驗合格證，按規(guī)定需要第三方機構(gòu)認證或檢驗的還應提供認證或檢驗報告，產(chǎn)品使用說明書等。乙方未提交上述資料的，視為貨物交付未完成。

按規(guī)定，貨物需要經(jīng)過進一步檢驗(試驗)的，乙方應配合甲方進行檢驗(試驗)，相關費用由乙方承擔;檢驗(試驗)不合格的，視為貨物交付未完成，甲方有權(quán)拒收或退貨，并由乙方承擔違約責任。

貨物質(zhì)量需要在投入使用或安裝、調(diào)試、運行后才能驗證的，經(jīng)驗證合格，方可視為貨物質(zhì)量合格;否則，視為貨物交付未完成，甲方有權(quán)退貨，并由乙方承擔違約責任。

第六條雙方責任

貨物涉及特殊技術的，乙方應當對甲方進行技術交底或培訓;貨物投入使用，需要調(diào)試的，乙方應當派員指導、參與調(diào)試，并提供相應檢測、調(diào)試設備與工具，相關費用已含在合同價款中。本合同□適用/□不適用本條款約定。

乙方應保證其提供的貨物系其合法取得的合法產(chǎn)品，且貨物不存在知識產(chǎn)權(quán)糾紛;否則，乙方應承擔全部賠償責任，包括甲方因此承擔的賠償款、處理糾紛所支出的各種合理費用、工程受到影響而產(chǎn)生的各項損失，無論該糾紛是否得到司法機關裁決或裁決結(jié)果如何。質(zhì)保期從竣工驗收合格之日起開始計算，質(zhì)保期一年。

其他約定：無。

第七條不可抗力

因不可抗力因素(包括戰(zhàn)爭、**、空中飛行物體墜落、自然災害、非承租人出租人造成的火災、爆炸等)所造成的貨物損失，在貨物完成交付前由乙方承擔，貨物完成交付后由甲方承擔。

第八條違約責任

甲方未按合同約定的付款期限和比例支付貨款的，逾期付款超過一個月，則按應付未付金額、以日萬分之一的標準，承擔逾期付款違約金。

乙方未按合同約定或甲方通知的時間供應符合合同要求的貨物的，每遲延一天，按元/天的標準承擔遲延供貨違約金;甲方工地停工待料產(chǎn)生的費用(機械租賃費、設施料租賃費、項目部管理人員工資、待工工人工資及建設單位罰款)等實際損失高于該標準的，按實際損失賠償。乙方遲延供貨超過天，甲方有權(quán)解除合同。

乙方供應的貨物經(jīng)檢驗、驗證不合格，或產(chǎn)權(quán)不合法的，甲方要求更換的，乙方按本條第2款約定承擔遲延供貨違約金;甲方解除合同的，乙方除按本條第2款約定承擔遲延供貨違約金外，還應額外承擔元違約金，以彌補甲方另行購買所發(fā)生的誤工及其他損失。

一方當事人按照合同約定應承擔多項違約金、賠償款的，合并計算。

乙方違約的，甲方可從當期應付款中直接扣除相應的違約金，或在結(jié)算中扣減相應價款。甲方的該項權(quán)利屬于抵銷權(quán)，無需乙方同意即可行使;也屬于對乙方要求甲方付款的抗辯權(quán)，在司法程序中無需單獨提出反訴。如甲方應付乙方的款項不足以用以扣減乙方違約金的，甲方可另行追償。

乙方如不能及時提供相應的技術質(zhì)量資料，甲方有權(quán)不予結(jié)算付款。

(6)檢驗：重量由水尺檢驗方法測定，而重量及質(zhì)量檢驗標準由印度尼西亞的Sucofindo(SGS)抽取樣本進行檢驗，并出具檢驗報告為首要標準。相關的證書將作為最終結(jié)算依據(jù)之文件。

(7)裝卸條款：ShippingandDischargingterms:

(1)裝貨裝率以8,000噸/天為準。裝貨時間從船舶靠港后起算。

(2)貨物完成裝船后的2天內(nèi)，賣方應告知買方合同號碼，貨物名稱，發(fā)票金額，船名及裝船時間。

3.人力不可抗拒(ForceMajeure)

由于一般公認的人力不可抗拒原因而不能交貨或推遲裝運，賣方不負責任。賣方必須在事故發(fā)生時立即電告買方并在事故發(fā)生后20天內(nèi)航空郵寄給買方災害發(fā)生地點之有關政府或商會所發(fā)給的證件證實災害的存在。除因不可抗拒推遲交貨或不能交貨，如賣方不能按合同規(guī)定期限交貨，則應賠償買方直接由于遲期交貨或不能按合同交貨所遭受的一切合理損失及費用。人力不可抗拒事故繼續(xù)存在60天以上時，買方有權(quán)撤銷合同或合同中未交付部分。

TheSellershallnotbehelpresponsibleiftheyfail,owingtoForceMajeurecauseofcauses,tomakedeliverywithinthetimestipulatedinthisSalesContractorcannotdeliverythegoods.However,theSellershallinformimmediatelytheBuyerbyfaxorotherwriterformoftheaccidentandairmailtoBuyerwithin20daysaftertheaccident,acertificateofaccidentissuedbythecompetentgovernmentauthoritiesorthechamberofcommercewhichislocatedattheplacewheretheaccidentoccursasevidentthereof.Withtheexceptionofdelayeddeliveryornon-deliverydueto“Forcemajeure”causes,incasetheSellermailtomakedeliverywithintimeasstipulatedinthecontract,theSellershouldindemnifytheBuyerforalljustifiableandnormallossesincurredtolatterdirectlyattributabletodelayeddeliveryorfailedtomakedeliveryofthegoodsinaccordancewiththetermsofthiscontract,ifthe“ForceMajeure”causelastsover60days,theBuyerhavetherighttocancelthecontractortheun-deliverypartofthecontract.

4.仲裁：

一起因執(zhí)行合同所發(fā)生與本合同有關之爭執(zhí)，雙方應友好協(xié)商解決。如雙方協(xié)商不能解決時，應提交中國國際貿(mào)易促進委員會對外經(jīng)濟仲裁委員會，根據(jù)其仲裁規(guī)則進行仲裁。仲裁的裁決為終局裁決，對雙方均有約束力。仲裁費育重非有關仲裁機構(gòu)另有決定外均由敗訴方負擔。

Arbitration:AlldisputesarisinginconnectionwiththisSalesContractortheexecutionthereofshallbesettledbywayofamicablenegotiation.Incasenosettlementcanbereachedbetweenthetwoparties,thecaseatissueshallthenbesubmittedforarbitrationtotheArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTradinginaccordingwiththeRulesofProcedureofthesaidcommission.Theaardbysucharbitrationshallbedeemedasfinalandbindinguponbothparties.ThefeesforArbitrationshallbornebythelosingpartyunlessotherwiseawarded.

.買賣雙方簽訂正式合同后10個銀行工作日內(nèi)，賣方通過銀行間SWIFT管道向買方開出第一船試單貨物金額的2%的銀行履約保函(PerformanceBondGuarantee)PBG(保函格式詳見附件“C”)。

.買方在收到賣方的2%銀行履約保函后10個銀行工作日內(nèi)開出不可撤銷的、可轉(zhuǎn)讓的跟單信用證(信用證格式見附件“D”)。信用證金額為第一船試單貨物金額的100%。

.從第三船開始，根據(jù)合同相關條款，信用證作為付款擔保，后續(xù)各船的信用證應不遲于買方收到前一批貨物的日期。信用證應規(guī)定電匯(T/T)付款條件按本合同第7條執(zhí)行。

.簽訂正式買賣合同后10個銀行工作日內(nèi)，賣方通過銀行間的SWIFT管道向買方開出第一船試單貨物金額2%的未生效的銀行履約保函PBG(參考附件“C”)。

.全套3/3份提單。以買方為收貨人的全套清潔空白背書的已裝運海運提單，標明“運費已付”，注明信用證號、合同號。正本提單皆有船長親筆簽字。

.由卸貨港口CIQ出具的質(zhì)量證書1份正本和2份副本。該證書的質(zhì)量標準應符合附件“A”的規(guī)定。

.全套一級航海規(guī)定保險單，投保額為貨物價值的110%。保險包含任何遺失或損毀風險，包括戰(zhàn)爭、搶劫、爆炸等，保險期限從商品在裝載港越過船舷至甲板即刻開始，到貨物在卸貨港完全交付即卸貨法蘭斷開為止。

.貨物在裝運港由SGS簽發(fā)的質(zhì)量和數(shù)量證書，正本3份，副本3份。

第8條交貨條款：CLAUSE8DELIVERY：

.賣方同意按照CIF中國主要港口條件履行交貨。如買方發(fā)生特殊情況必須更改卸貨港時，買方必須在裝船前21日內(nèi)通知賣方。

.第一船試單：賣方自買方開出信用證之日起，在45+/-10日內(nèi)交貨。后續(xù)交貨按本合同相關規(guī)定執(zhí)行。

不允許轉(zhuǎn)船;

不允許分批裝船;

交貨計劃按附件“B”執(zhí)行。

ThedeliveryforthetrialshalltakeplacewithinForty-Five(45)+/-10daysfromthedatereceivetheBuyer’sLC.

ScheduleofdeliveryasperANNEX“B”

.買賣雙方須互相通知詳細租船信息及船齡(大概尺寸、貨船系統(tǒng)安排、最大卸載量、貨輪98%裝載容量、各種尺寸和船上可利用的縮圖)。此信息須在賣方指定油輪前至少三天提供給買方，船只經(jīng)雙方同意，不可作為拒付的理由。

BothBUYERorSELLERtonotifyBuyerorSellerrespectivelyofthecharteredship’sparticularandage(generaldimensions,cargosystemarrangement,maximumunloadingcapacityrate,cargotankcapacitiesat98%loaded,manifoldsizesandreductionsavailableonboard).ThisinformationmustbeprovidedtotheBuyeratleastthree(3)dayspriortotheSellervesselnomination.VesseltobeacceptablebyBuyerandSellerandsuchacceptanceshallnotbeunreasonablywithheld.

.船方在指定船只到達卸貨港前120小時，應通知買方及卸貨港船只名稱、噸位、到岸貨物數(shù)量。在貨物到達卸貨港48、36、24、12小時前，分別通知1次到港確切時間。

.賣方所租船只必須嚴格符合航海條款和港口規(guī)章制度，包括燃料及公共安全，壓艙操作及卸載量等，并有相關注冊登記。任何所有因不符合規(guī)則所導致的損害由賣方承擔責任。

TheSeller’svesselshallinallrespectsmeetportrulesandregulationsintermofseaworthiness,fireandcommonsafety,ballastingoperations,anddischargingrates.Thecharteredvessel(s)shallcomplywiththethree(3)MajorOilCompany’srequirementsandshallbeTOVALOP/PANDIregistered.Allandanydamagescausedbynon-compliancewithsuchrulesandregulationsshallbebornebytheSeller.

.安全停泊：SAFEBERTHANDUTILISATION：

.合同簽訂后，買方應向賣方提供與卸貨港簽訂的碼頭租用協(xié)議。協(xié)議中應包括本條款中的相關內(nèi)容。

BUYERshallofferthecopyoftheunloadberthrentagreementwiththedischargeberthdatamentionedinclause8.

卸貨碼頭應具備國家批準的5萬噸船只的接卸貨能力。買方并提供免費的、安全的卸貨停泊位以便到港貨船能夠順利卸貨。

Theunloadportshallgetthelicenseforthefueloilunload/load.Fortheloadingofeachvesselhereunder,theBuyershallprovidefreeofchargeadischargeberthfornominatedvesselwithsufficientdepthtoallowthevesselwhenfullyladentoproceedthereto,liethereat,dischargetheproductsanddepartthefrom,alwayssafelyafloat.

.賣方保證船只遵循當?shù)卣托敦浉鄣乃蟹ㄒ?guī)。

TheSellerwarrantsthatVesselshallcomplywithallapplicablerules,regulationanddirectionsofGovernmental,localauthoritiesandoftheLoadingTerminal.

.買方安排船只盡快卸貨，買方自備卸貨所需用具，如軟管、接線、管道等。

BUYERshallarrangetohavethevesseldischargeasexpeditiouslyaspossible.BUYERshallatitsownexpenseprovideorcausetobeprovidedallnecessaryflexiblehoses,connection,pipelines,tankagefacilitiesandanyotherequipmentorfacilitiesnecessaryforthesafeandefficientdischargeoftheProductsfromthevessel.

.如果賣方租的船到達指定卸貨港時，有一兩個油艙裝有廢物或垃圾，賣方必須負責履行LOT程序確保貨物免受污染，確保廢物與貨物隔離，保持所交貨物的純凈。

IftheSeller’scharteredvesselarrivestodischargeportwithoneortwotanksofgarbage/mess,thenitishisexclusivedutytoperformtheLOTproceduretokeepincomingcargofreeofcontamination.TheSellermusttakesamplesofthegarbage/messandkeepitseparatedfromincomingcargo.Thisprocessguaranteespurityoftherealcargocontracted.

.除非雙方有特別協(xié)議，否則不允許駁運。任何駁運費用都由買方承擔。買賣雙方應考慮所有風險和費用損失，包括但不僅限于環(huán)境污染。由于駁運所使用或延誤的時間均計入裝卸貨時間，如果致使船舶逾期，應支付逾期費用。

第9條檢驗—確定數(shù)量和質(zhì)量：

.買賣雙方同意：在裝載港由SGS對商品數(shù)量和質(zhì)量進行檢驗，檢驗費用由賣方承擔;在卸貨港由CIQ對商品數(shù)量和質(zhì)量進行檢驗，檢驗費用由買方承擔。CIQ出具的檢驗報告作為買賣雙方最終檢驗報告。

SELLERandBUYERshallmutuallyappointSGSattheloadingportandappointCIQatdischargingporttoassessandcertifythequalityandquantityofthecargoaccordingtotheCIQprovisionshereinstarted.Costsoftheinspectionshouldbeoneachresponsibleaccount,andCIQinspectionreportareconsideredbefinaltoboththeBuyerandtheSeller.

.對于商品數(shù)量和質(zhì)量的檢驗，須由指定檢驗公司(如SGS或CIQ)按照石油行業(yè)通常方法和程序進行。任何操作須嚴格遵循修訂的ASTM/IP或CIQ國際標準和程序。

Quantityandqualitymeasurements,conductedbythesurveyorcompany,shallbeinaccordancewithmethodsandproceduresusuallyusedintheoilindustrypractice,andatalltimes,shallstrictlycomplywiththerevisedASTM/IPorCIQinternationalstandardsandproceduresenforcedatthedateofsuchinspection.

.常溫下的體積與標準溫度下的'體積換算：須使用ASTM制表最新修訂版，將觀測溫度下的體積換算成標準溫度下的體積，把體積的量度換算成重量。

Forconvertingvolumefromobservedtostandardtemperatures,andvolumemeasurestoweights,ASTMtables,latestrevisededitionmustbeused.

.如果檢測機構(gòu)認為裝運港或卸貨港的數(shù)量檢測設備不精確(流量計、儀表等不能按照ASTM的標準和程序進行校準)，那么將請求具有船貨測算經(jīng)驗的人，根據(jù)船只的總?cè)莘e來計算確定當批的實際交貨數(shù)量。如果裝運港的檢驗機構(gòu)不同意卸貨港的檢驗結(jié)果，則雙方同意請另一方檢驗機構(gòu)進行檢驗，費用則由不準確檢驗結(jié)果的委托一方負擔。

IntheeventofaninaccuracywiththedevicesusedtomeasurethequantityreceivedattheLoadingportorthedischargeport(failureofflowmeters,meterbanksandtobelievethatshorethanksarenotcalibratedinaccordancewiththeASTMStandardsandprocedure).thenship’sfiguresTotalCalculatedVolume(TVC)appliedtovalidVesselExperienceFactor(VEF),shallbeusedtocomputethedeliveredquantityofthecurrentbatch,Intheeventthatthesurveyor’sreportfromtheloadingportdonotagreewiththesurveyorfromtheunloadingport,theBuyerandSellershallappointanIndependentsurveyorattheexpenseofthepartywho’sSurveyorconductstheinaccuracyassessment.

.雙方都需有一代表在檢測現(xiàn)場并各自承擔己方費用。

.仲裁樣品：ARBITRATIONSAMPLES：

.在裝運時，仲裁樣品用自動取樣器或流量計取出，取樣需在裝運港根據(jù)當前標準程序來執(zhí)行，提取的樣品要完全混合，再裝入瓶中密封保存。

Duringloadingofthetankerarbitrationsamplesaretobetakenfromtheautosamplerorflowmeter.Samplingshouldbeperformedaccordingtostandardprocedurecurrentlyacceptedatportofloading.Samplethustakenshallbethoroughlymixed,putintobottlesandsealed.

賣方或其指定代表將一部分樣品放入不少于兩個瓶中密封，由船長負責保管，在卸貨港移交買方或其指定代表。
