PARTNERSHIPAGREEMENT

ThisPartnershipAgreement("Agreement")isenteredintoasofthe__________dayof__________,20__,byandbetween:

1.FormationofPartnership.Thepartiesherebyagreetoformapartnership("Partnership")forthepurposeofengaginginthebusinessof__________.

3.TermofPartnership.ThetermofthisAgreementshallcommenceonthedatehereofandshallcontinueuntilterminatedbyeitherpartyupon__________dayswrittennoticetotheotherparty.

4.Contributions.EachPartnershallcontributetothePartnershipasfollows:

9.DecisionMaking.AlldecisionsaffectingthePartnershipshallbemadebyamajorityvoteofthePartners.

10.AdmissionofNewPartners.NonewPartnershallbeadmittedtothePartnershipwithouttheunanimousconsentofallexistingPartners.

11.Withdrawal.APartnermaywithdrawfromthePartnershipbygiving__________dayswrittennoticetotheotherPartner(s).Uponwithdrawal,thewithdrawingPartnershallbeentitledtoreceiveanequalshareofthePartnership'sassets,lessanyliabilities.

12.Dissolution.ThePartnershipmaybedissolvedatanytimebymutualagreementofthePartnersorupontheoccurrenceofanyofthefollowingevents:

-ThedeathorwithdrawalofanyPartner.

-TheinsolvencyofanyPartner.

-ThesaleortransferofallorsubstantiallyallofthePartnership'sassets.

13.Liquidation.Upondissolution,theassetsofthePartnershipshallbeliquidatedandtheproceedsdistributedtothePartnersinaccordancewiththeirrespectiveinterests.

14.Non-Transferability.NoPartnermaytransferanyinterestinthePartnershipwithoutthepriorwrittenconsentoftheotherPartner(s).

15.Confidentiality.EachPartnershallkeepconfidentialallinformationrelatingtothebusinessofthePartnershipandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherPartner(s).

16.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe__________.

17.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,whetheroralorwritten.

18.Amendments.ThisAgreementmaybeamendedonlybyawritteninstrumentexecutedbybothPartners.

19.Waiver.ThefailureofeitherPartnertoenforceanyprovisionsofthisAgreementshallnotbeconstruedasawaiverorlimitationofthatoranyotherprovision.

20.Severability.IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestr
