s5.3.1DisclosureofInformationBothpartiesshalldiscloseallimportantinformationrelatedtothesubjectmattertoeachother.5.3.2HandoverWorkBothpartiesshallcompletethehandoverworkofthesubjectmatterwithinthetimeagreedinthisAgreement.5.3.3ConfidentialityObligationBothpartiesshallkeepthecontentoftheAgreementandthecommercialsecretslearnedintheprocessofperformingtheAgreementconfidential.第六章：WarrantiesandGuarantees6.1WarrantiesoftheTransferor6.1.1TheTransferorwarrantsthatithasgoodandmarketabletitletothesubjectmatterfreefromanyliensorencumbrances.6.1.2TheTransferorwarrantsthattherearenopendingorthreatenedlawsuitsinconnectionwiththesubjectmatter.6.2WarrantiesoftheTransferee6.2.1TheTransfereewarrantsthatithasthefinancialcapabilitytofulfillthepaymentobligationsunderthisAgreement.6.2.2TheTransfereewarrantsthatitwillcomplywithallapplicablelawsandregulationsintheoperationandmanagementofthesubjectmatterafterthetransfer.6.3Third-PartyGuarantees6.3.1Shouldthepartiesdeemitnecessary,theTransfereemayprovideathird-partyguaranteetoensuretheperformanceoftheAgreement.6.3.2Thespecifictermsandconditionsofthethird-partyguaranteeshallbedeterminedbythepartiesthroughnegotiation.第七章：Modification,Termination,andCancellationoftheAgreement7.1ModificationoftheAgreement7.1.1OncetheAgreementisexecuted,nopartymayunilaterallyamendthecontentwithouttheconsentoftheotherparty.7.1.2Anyamendmentsmustbemadeinwritingandsignedbybothparties.7.2TerminationoftheAgreement7.2.1EitherpartymayterminatetheAgreementintheeventofabreachbytheotherpartyorbymutualwrittenagreement.7.2.2Terminationshallbeeffectedbywrittennoticestatingthegroundsfortermination.7.3CancellationoftheAgreement7.3.1TheAgreementmaybecancelledbymutualwrittenagreementoftheparties.7.3.2Uponcancellation,anyrightsandobligationsofthepartiesshallcease,exceptthosewhichbytheirnatureareintendedtosurvive.第八章：LiabilityforBreachofContract8.1DefinitionofBreachofContract8.1.1FailuretoperformobligationsundertheAgreementordelayinperformanceisconsideredabreach.8.1.2AnyviolationofthetermsoftheAgreementorconfidentialityobligationsalsoconstitutesabreach.8.2LiabilityforBreachofContract8.2.1Thebreachingpartyshallcompensatethenon-breachingpartyforanydirectandindirectlossesincurredduetothebreach.8.2.2Thebreachingpartyshallpayapenaltytothenon-breachingparty,theamountofwhichshallbedeterminedbytheparties.8.3RemedialMeasuresforBreachofContract8.3.1Thebreachingpartyshalltakeremedialactionswithinareasonabletimeafterthebreachoccurs.8.3.2Ifremedialactionsareinsufficienttorestorethenon-breachingpartytoitsoriginalposition,thebreachingpartyshallstillbeliableforbreachofcontract.第九章：DisputeResolution9.1MethodsofDisputeResolution9.1.1ThepartiesshallfirstattempttoresolvedisputesarisingfromtheperformanceoftheAgreementthroughfriendlynegotiation.9.1.2Ifnegotiationfails,athird-partymediationinstitutionmayberequestedtomediate.9.2ProceduresforDisputeResolution9.2.1Thepartyraisingthedisputeshallprovidewrittennoticetotheotherpartywithinareasonabletimeafterthedisputearises.9.2.2Thepartiesshallnegotiateormediatewithinareasonabletimeafterreceivingthenoticeofdispute.9.3ApplicableLaw9.3.1ThelawsofthePeople'sRepublicofChinashallgoverntheinterpretation,performance,andresolutionofdisputesoftheAgreement.9.3.2TheinterpretationofthetermsoftheAgreementshallbeguidedbythepurposeoftheAgreementandtheprinciplesofgoodfaith.第十章：ConfidentialityProvisions10.1ObligationsofConfidentiality10.1.1BothpartiesshallkeepconfidentialallinformationdisclosedinconnectionwiththeAgreement,includingbutnotlimitedtotradesecrets,technology,andbusinessoperations.10.1.2Withoutthewrittenconsentoftheotherparty,neitherpartyshalldiscloseconfidentialinformationtoanythirdparty.10.2DurationofConfidentiality10.2.1Theobligationofconfidentialityshalllastfor______yearsaftertheterminationoftheAgreement.10.2.2Evenaftertheexpirationoftheconfidentialityperiod,bothpartiesshallstillkeepcertainconfidentialinformationconfidentialasagreed.10.3ScopeofConfidentialInformation10.3.1ConfidentialinformationincludesbutisnotlimitedtothetermsoftheAgreement,tradesecrets,andtechnicalsecrets.10.3.2ThepartiesshallspecifytheexactcontentoftheconfidentialinformationintheAgreement.第十一章：SupplementaryProvisions11.1DefinitionofSupplementaryProvisions11.1.1SupplementaryprovisionsareadditionaltothecontentofthisAgreementandareintendedtoaddressmattersnotcoveredinthemainbodyoftheAgreement.11.1.2SupplementaryprovisionshavethesamelegaleffectasthemainbodyoftheAgreement.11.2ContentofSupplementaryProvisions11.2.1Thepartiesmaynegotiateanddeterminethespecificcontentofthesupplementaryprovisionsasneeded.11.2.2Supplementaryprovisionsshallbemadeinwritingandsignedbybothparties.11.3LegalEffectof
