代理銷售合同協(xié)議書英文

ThisAgencySalesContractAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertCompanyName]("Company"),acompanyorganizedandexistingunderthelawsof[InsertCountry/State],and[InsertAgentName]("Agent"),anindividualwithaprimaryplaceofresidenceat[InsertAddress].

1.Appointment

TheCompanyherebyappointsAgentasitsexclusiveagentforthesaleoftheCompany'sproductsintheTerritory(asdefinedbelow)duringtheTermoftheAgreement.AgentacceptssuchappointmentandagreestoactastheCompany'sexclusiveagentinaccordancewiththetermsandconditionsofthisAgreement.

2.Territory

ForthepurposesofthisAgreement,the"Territory"shallmean[InsertTerritory].

3.Products

The"Products"shallmeanthe[InsertDescriptionofProducts]manufacturedorsuppliedbytheCompany.

4.ExclusiveRights

DuringtheTermoftheAgreement,theCompanyshallnotappointanyotheragentorrepresentativeforthesaleoftheProductsintheTerritory,norshalltheCompanysellordistributetheProductsintheTerritorydirectlyorthroughanyotheragentorrepresentative.

5.Commissions

Agentshallbeentitledtoreceiveacommission(the"Commission")equalto[InsertCommissionRate]oftheNetSales(asdefinedbelow)generatedintheTerritoryduringtheTermoftheAgreement.TheCommissionshallbepaidbytheCompanytoAgentwithin[InsertTimePeriod]aftertheCompanyreceivespaymentfortheProductssold.

6.NetSales

"NetSales"shallmeanthetotalamountofsalesoftheProductsintheTerritory,lessanydiscounts,returns,allowances,orotherdeductions.

7.TermofAgreement

ThetermofthisAgreement(the"Term")shallcommenceontheEffectiveDateandshallcontinuefor[InsertInitialTerm]years,unlessearlierterminatedinaccordancewiththetermsofthisAgreement.

8.Termination

EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[InsertCurePeriod]afterreceiptofwrittennoticethereof.Additionally,eitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybecomesinsolventorfilesforbankruptcyprotection.

9.Confidentiality

Eachpartyagreestomaintaintheconfidentialityoftheotherparty'sproprietaryinformationandtradesecrets,exceptasrequiredbylaworcourtorder.

10.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].
