DistributionofProfitsandLosses

Unlessmembersagreeotherwise,theannualprofitofthecompanyshallbedistributedamongmembersproportionaltothenumberoftheirshares.Accordingly,ifthereisaloss,itshallbedistributedamongthemselves.InanycasethememberscouldnotbemadeliablebeyondthevalueofsharestheyownintheCompany.

ManagementoftheCompany

TheCompanyshallbemanagedbyageneralmanagerappointedfromthemembersornon-membersforFiveyears,whoseresponsibilitiesanddutiesarelistedintheArticlesofAssociationoftheCompany.Therefore,Mr.ShengguoLiisappointedtobethefirstGeneralManageroftheCompany.

TheGeneralManagermaybereappointedforanotherterm.TheCompanymayalsohavedepartmentalmanagersasrequired.

ThepowersanddutiesoftheGeneralManagershallincludethefollowing:

Appoint,controlanddismissdepartmentalmanagers,determineandnotifytheirjobdescriptions;

RepresenttheCompanytosignitsaffairs;

BethechiefexecutiveofthetechnicalandadministrativeaffairsoftheCompany;

ImplementthedecisionsofthegeneralmeetingoftheCompany,ifany;

OpenbankaccountsandoperateinthenameoftheCompanyandcredititspaymentsaswellassignitsfinancialstatements;

Determinepurchaseandsalesandapprovetheirorders,whicharenecessaryfortherunningoftheCompany;

ConcludeanycontractsofbusinesstransactionsoftheCompanywiththirdparties;

TakenecessaryactionsonbehalfoftheCompanyregardingsuitsinwhichtheCompanyisaplaintiff,adefendantoraninterveningthirdpartyinanycourtoflaw;

TakeorcausetobetakenappropriatemeasuresfortheefficientkeepingofoutflowandinflowofaccountsoftheCompanytobesubmittedandapprovedbyitsmembers;

Maydelegate,thedutiesassignedtohimhereinabove,anyotherpersoninthenameoftheCompany.

TheCompanyshallhaveauditor/auditorsappointedbythemembers.

DurationoftheCompany

Withoutprejudicetomember'srighttodecideotherwise,theCompanyisestablishedforunlimitedperiodoftime.
