Basedonthemutualbenefitsandtheprincipleofequalityandcooperation,theContractorandtheClienthavereachedthefollowingagreement:

Article1:ScopeofWork

1.1TheContractoragreestoprovidethefollowingservicestotheClient:

1.2TheClientagreestoprovidetheContractorwithallnecessaryinformation,materials,andsupportrequiredtocompletetheservices.

Article2:TermandTermination

2.1ThisAgreementshallbeeffectiveforaperiodof[duration],startingfromthesigningdate.

2.2eitherpartymayterminatethisAgreementbygivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithin[number]daysafterwrittennoticethereoffromtheterminatingparty.

Article3:Payment

Article4:Confidentiality

4.2TheContractoragreesnottousetheClient'sconfidentialinformationforanypurposeotherthantheperformanceofthisAgreement,andnottodisclosesuchinformationtoanythirdpartywithouttheClient'spriorwrittenconsent.

Article5:Warranty

5.1TheContractorwarrantsthattheservicesprovidedunderthisAgreementwillbeperformedinaprofessionalandworkmanlikemanner,inconformitywiththegenerallyacceptedstandardsintheindustry.

5.2TheContractorexpresslydisclaimsanyotherwarranties,expressorimplied,includingbutnotlimitedtowarrantiesofmerchantabilityandfitnessforaparticularpurpose.

Article6:Liability

6.1TheContractorshallnotbeliabletotheClientforanyincidental,special,indirect,orconsequentialdamages,whetherincontract,tort,orotherwise,arisingoutoforinconnectionwiththisAgreementortheperformanceorbreachhereof,eveniftheContractorhasbeenadvisedofthepossibilityofsuchdamages.

6.2ThetotalliabilityoftheContractorunderthisAgreementshallnotexceedthetotalfeespaidbytheClienttotheContractorunderthisAgreement.

Article7:DisputeResolution

7.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbynegotiationbetweentheparties.

7.2Ifthepartiesfailtoresolveanysuchdisputethroughnegotiation,eitherpartymaysubmitthedisputetothecourtsof[jurisdiction].

Article8:EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
