egotiationwithin[number]days,thepartiesagreetosubmitthedisputetomediationinaccordancewiththerulesof[mediationassociation].12.3Arbitration12.3.1Ifthedisputeisnotresolvedmediationwithin[number]days,thepartiesagreetosubmitthedisputetobindingarbitrationinaccordancewiththerulesof[arbitrationassociation].ChapterXIII:GoverningLawandJurisdiction13.1GoverningLaw13.1.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].13.2Jurisdiction13.2.1ThepartiesagreethatanylegalactionorproceedingarisingoutoforrelatedtothisAgreementshallbebroughtexclusivelyinthecourtslocatedin[City,Jurisdiction].ChapterXIV:AssignmentandSubcontracting14.1Assignment14.1.1NeitherpartymayassignthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty,whichshallnotbeunreasonablywithheld.14.2Subcontracting14.2.1PartyBmaysubcontractanyofitsobligationsunderthisAgreement,providedthatPartyBremainsresponsiblefortheperformanceofsuchobligationsitssubcontractors.ChapterXV:Miscellaneous15.1EntireAgreement15.1.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.15.2Amendments15.2.1AnyamendmentormodificationtothisAgreementshallbeinwritingandsignedbothparties.15.3Waiver15.3.1ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionoroftherighttoenforcesuchprovision.15.4Severability15.4.1IfanyprovisionofthisAgreementisheldinvalidorunenforceable,theremainderofthisAgreementshallremaininfullforceandeffect.15.5Notices15.6ForceMajeure15.6.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol.Attachments:ScheduleAPaymentScheduleINWITNESSWHEREOF,thepartieshaveexecutedthisContractAgreementasoftheEffectiveDatefirstabovewritten.ForPartyA:By:___________________________Name:Title:Date:ForPartyB多方為主導(dǎo)時的，附件條款及說明：1、當(dāng)甲方為主導(dǎo)時，增加的多項條款及說明：A.甲方特別條款1.1.1甲方有權(quán)在提前通知乙方的情況下，對合同規(guī)定的服務(wù)范圍進(jìn)行合理調(diào)整。1.1.2甲方保留對乙方提供的服務(wù)進(jìn)行審計的
