Thiscontractisenteredintobetween[Exporter'sName](hereinafterreferredtoas"Exporter")and[Importer'sName](hereinafterreferredtoas"Importer").

[ContractSubject]

Thesubjectofthiscontractisthesaleandpurchaseof[DescriptionofGoods](hereinafterreferredtoas"Goods")fromExportertoImporter.

[QuantityandQuality]

Thequantity,quality,specifications,andpackagingoftheGoodsshallbeassetforthinAppendixAattachedhereto.

[PriceandPaymentTerms]

ThepriceoftheGoodsshallbe[PriceAmount][Currency].ThepaymentshallbemadebytheImportertotheExporterasfollows:

-[Percentage]percentofthetotalpriceshallbepaidbytheImporteruponsigningthiscontract.

-Theremaining[Percentage]percentofthetotalpriceshallbepaidbytheImporterupontheGoods'arrivalattheportofdestinationanduponpresentationoftheshippingdocuments.

TheExportershallarrangeandpayforinsurancecoveragefortheGoodsagainstallrisksoflossordamageduringtransportation,asspecifiedintheinsurancepolicyattachedheretoasAppendixB.

[InspectionandClaims]

TheImportershallhavetherighttoinspecttheGoodsuponarrivalattheportofdestination.Incaseofanynon-conformityordefects,theImportermustnotifytheExporterinwritingwithin[Number]daysfromthedateoftheGoods'arrival.TheExportershallberesponsibleforreplacingorrepairingthedefectiveGoodsorrefundingthepurchaseprice,attheirsolediscretion.

[ForceMajeure]

Neitherpartyshallbeliableforanyfailuretoperformitsobligationsunderthiscontractduetounforeseeneventsofforcemajeure,includingbutnotlimitedtonaturaldisasters,wars,embargoes,strikes,andgovernmentinterventions.

[DisputeResolution]

Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedamicablythroughnegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbereferredtoarbitrationinaccordancewiththerulesofthe[SelectedArbitrationInstitution].

[GoverningLawandJurisdiction]

Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningCountry/City].Thepartiesagreetosubmittotheexclusivejurisdictionofthecourtsof[JurisdictionCountry/City].
