居間服務合同協(xié)議書英文

ThisIntermediaryServiceContractAgreement(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoasof[Date],byandbetween[NameofClient]("Client"),and[NameofIntermediary]("Intermediary").

1.ScopeofIntermediaryServices

TheIntermediaryagreestoactasafacilitatorbetweentheClientandthirdpartiesinconnectionwiththeClient'sbusinessactivities,andtoassisttheClientinfindingsuitablebusinesspartners,negotiatingcontracts,andprovidingotherrelatedservicesasrequestedbytheClient.

2.DutiesandResponsibilitiesoftheIntermediary

TheIntermediaryshallusereasonableeffortstoperformtheintermediaryservicesinaprofessional,efficient,andtimelymanner.TheIntermediaryshallalsokeeptheClient'sbusinessinformationconfidentialandnotdiscloseittoanythirdpartieswithouttheClient'spriorwrittenconsent.

3.DutiesandResponsibilitiesoftheClient

TheClientshallprovidetheIntermediarywithallnecessaryinformationanddocumentsrelatedtotheintermediaryservices,andcooperatewiththeIntermediaryinperformingtheservices.TheClientshallalsopaytheIntermediaryfortheservicesrenderedinaccordancewiththetermsofthisAgreement.

4.PaymentTerms

TheClientagreestopaytheIntermediaryafeefortheintermediaryservicesrendered,whichshallbecalculatedasfollows:[FeeCalculation].Thepaymentshallbemadewithin[NumberofDays]aftertheClientreceivestheIntermediary'sinvoice.

5.Confidentiality

BothpartiesagreetokeepthetermsandconditionsofthisAgreementconfidentialandnotdisclosethemtoanythirdpartieswithouttheotherparty'spriorwrittenconsent.

6.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

7.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
