1.Manufacturer'sObligations

1.1ManufactureragreestomanufactureandsupplytheProducts(asdefinedbelow)inaccordancewiththespecificationsandrequirementsprovidedbyClient.

1.2ManufacturershallusereasonableeffortstoensurethattheProductsaremanufacturedandsuppliedinatimelymannerandmeetthequalitystandardssetbyClient.

1.3Manufacturershallberesponsibleforthequality,safetyandcomplianceoftheProductswithallapplicablelaws,regulationsandstandards.

2.Client'sObligations

2.1ClientagreestoprovideManufacturerwithallnecessaryinformation,materialsandspecificationsrequiredforthemanufactureandsupplyoftheProducts.

2.2ClientshallberesponsibleforthepaymentoftheagreedpricefortheProducts,aswellasforanyadditionalcostsorexpensesincurredbyManufacturerinconnectionwiththeperformanceofthisContract.

2.3ClientshallprovideManufacturerwithreasonablenoticeofanychangestothespecificationsorrequirementsoftheProducts,andManufacturerreservestherighttoadjustthepriceortimingofdeliveryaccordingly.

3.DeliveryandPayment

3.1ManufacturershalldelivertheProductstoClient'sdesignatedlocationattheagreedtimeandintheagreedquantity.

3.2ClientshallmakepaymentfortheProductsinaccordancewiththetermsandconditionssetforthinthisContract.

3.3Intheeventoflatedelivery,Clientmayrequestareasonablediscountorothercompensation,tobedeterminedinaccordancewiththetermsandconditionssetforthinthisContract.

4.Confidentiality

4.1BothpartiesagreetokeepconfidentialallinformationandmaterialsprovidedbytheotherpartyinconnectionwiththisContract,excepttotheextentthatsuchinformationandmaterialsaregenerallyavailabletothepublicorrequiredtobedisclosedbyapplicablelawsorregulations.

4.2Neitherpartyshallusetheotherparty'sconfidentialinformationandmaterialsforanypurposeotherthantheperformanceofthisContractwithouttheotherparty'spriorwrittenconsent.

5.DisputeResolution

5.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbynegotiationsbetweentheparties.

5.2Ifthepartiesareunabletoresolvethedisputesthroughnegotiations,eitherpartymaysubmitthedisputestothecourtsof[Country]havingjurisdictionoverthematter.

6.Miscellaneous

6.1ThisContractmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.

6.2ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandingsandnegotiations,whetheroralorwritten,betweentheparties.
