2.ScopeofServices

2.2PartyAshalluseitsbesteffortstoperformtheServicesinatimely,efficient,andprofessionalmanner.

3.FeesandPayment

6.TerminationandDefault

6.1.1APartyfailstoperformitsobligationsunderthisContractandfailstocurethebreachwithinareasonableperiodoftimeafterreceiptofwrittennoticefromtheotherParty.

6.1.2APartybecomesinsolventorfilesapetitionforbankruptcyorbecomessubjecttoanysimilarproceeding.

6.1.3APartybreachesanyconfidentialityobligationsunderthisContract.

6.2UponterminationofthisContract,thePartiesshallpromptlyreturnallConfidentialInformationtotheotherPartyanddestroyanycopiesthereof.

6.3IntheeventofabreachbyeitherParty,thenon-breachingPartyshallbeentitledtoallavailableremedies,including,butnotlimitedto,damages,injunctiverelief,andspecificperformance.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[specifytheapplicablejurisdiction].

8.4TheheadingsoftheArticlesandSectionsinthisContractareforconvenienceonlyandshallnotbeusedtointerpretorconstruetheprovisionshereof.

10.DefaultandLimitationofLiability

10.1IfPartyBfailstopayanyFeesduehereunder,PartyAshallhavetherighttoterminatethisContractandclaimdamagesfromPartyB.

10.2IntheeventofabreachofthisContractbyPartyA,PartyBshallhavetherighttoclaimdamagesfromPartyA.

10.3PartyCshallnotbeliableforanybreachofthisContractbyeitherPartyAorPartyB.

11.GoverningLawandDisputeResolution
