禮品市場購銷協(xié)議合同編號：__________parties：address：contactperson：telephonenumber：address：contactperson：telephonenumber：subject：thisagreementismadeandenteredintoandbetweenthesellerandthebuyer（hereinafterreferredtoasthe"parties"）onthis__________dayof____________,20____,regardingthepurchaseandsaleofgiftsinthegiftmarket（hereinafterreferredtoasthe"subject"）.termsandconditions：1.goods1.1theselleragreestosellandthebuyeragreestobuythegoodsasspecifiedinthescheduleattachedhereto（hereinafterreferredtoasthe"goods"）.1.2thebuyershallprovidethesellerwiththespecifications,quantitiesandotherrequirementsofthegoodsinwritingatleast7dayspriortothedeliverydate.1.3thesellershallusereasonableeffortstomeetthedeliveryscheduleandrequirementsspecifiedthebuyer,butshallnotbeliableforanydelaysordamagesresultingfromcausesbeyonditscontrol.2.priceandpayment2.1thepriceofthegoodsshallbeasspecifiedinthescheduleattachedhereto.2.2thebuyershallmakepaymentforthegoodswithin30daysafterthedateoftheinvoiceissuedtheseller.2.3thebuyershallmakepaymentbanktransfertotheseller'sdesignatedaccount,andprovidethesellerwiththepaymentevidence.3.qualityandinspection3.1thesellerrepresentsandwarrantsthatthegoodsconformtothespecifications,qualitystandardsandotherrequirementsspecifiedthebuyer.3.2thebuyershallhavetherighttoinspectandtestthegoodsattheseller'spremisesorattheplaceofdelivery.ifthegoodsdonotconformtotheagreedspecifications,qualitystandardsorotherrequirements,thebuyershallhavetherighttorejectthegoodsandrequirethesellertoreplaceorrefundthebuyerforthenonconforminggoods.4.deliveryandshipping4.1thesellershalldeliverthegoodstothebuyer'sdesignatedplaceofdeliveryonorbeforethedeliverydatespecifiedinthescheduleattachedhereto.4.2thesellershallberesponsibleforthetransportationandinsuranceofthegoodsuntiltheyaredeliveredtothebuyer'sdesignatedplaceofdelivery.4.3ifthebuyerrequestsalaterdeliverydate,thesellershallusereasonableeffortstomeetthebuyer'srequest,butshallnotbeliableforanydelaysordamagesresultingfromcausesbeyonditscontrol.5.intellectualproperty5.1thesellerrepresentsandwarrantsthatithasthelegalrighttosellthegoodsandthatthesaleofthegoodsdoesnotinfringeanypatent,trademark,copyrightorotherintellectualpropertyrightsofanythirdparty.5.2thebuyershallnotusetheseller'strademarks,tradenamesorotherintellectualpropertywithouttheseller'spriorwrittenconsent.6.limitationofliability6.1exceptfortheseller'sbreachofwarranty,theseller'sliabilityforanyclaimarisingoutoforinconnectionwiththegoodsortheperformanceorbreachofthisagreementshallbelimitedtothepriceofthegoods.6.2thesellershallnotbeliableforanyindirect,consequential,incidentalorpunitivedamagesarisingoutoforinconnectionwiththegoodsortheperformanceorbreachofthisagreement.7.termination7.2uponterminationofthisagreement,thebuyershallpaythesellerforthegoodsthathavebeendeliveredandacceptedthebuyer.8.general8.1thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiationsandunderstandings,whetherwrittenororal.8.2anyamendmentormodificationofthisagreementoradditionalobligationassumedeitherpartyinconnectionwiththisagreementshallbebindingonlyifevidencedinwritingsignedeachpartyoranauthorizedrepresentativeofeachparty.8.3ifanyprovisionofthisagreementisheldtobeinvalidorunenforceable,suchprovisionshallbeconstruedasnearlyaspossibletoreflecttheoriginalintentoftheparties,andtheotherprovisionsofthisagreementshallremaininfullforceandeffect.8.4thisagreementshallbegovernedandconstruedinaccordancewiththelawsofthecountryof________一、附件列表：1.禮品市場購銷協(xié)議2.商品明細表3.付款證明4.貨物質(zhì)量檢驗報告5.運輸保險單6.知識產(chǎn)權(quán)證明文件7.終止協(xié)議通知二、違約行為及認定：1.賣方未能按照約定時間交付貨物，或交付的貨物不符合約定的規(guī)格、質(zhì)量標準或其他要求。2.買方未能在約定時間內(nèi)支付貨款。3.賣方未能保證所售商品不侵犯第三方知識產(chǎn)權(quán)。4.任何一方未經(jīng)對方書面同意，使用對方的商標、商號或其他知識產(chǎn)權(quán)。5.一方違反本協(xié)議的其他條款。三、法律名詞及解釋：1.賣方：指合同第一方，負責銷售商品的一方。2.買方：指合同第二方，負責購買商品的一方。3.貨物：指合同中約定由賣方出售，買方購買的商品。4.價格：指商品的銷售價格，按照商品明細表中的規(guī)定。5.交付日期：指合同約定的商品交付日期。6.知識產(chǎn)權(quán)：指專利、商標、版權(quán)等法律保護的智力成果。四、執(zhí)行中遇到的問題及解決辦法：1.貨物質(zhì)量問題：買方發(fā)現(xiàn)貨物不符合約定規(guī)格、質(zhì)量標準或其他要求時，應(yīng)及時通知賣方，賣方應(yīng)在約定的時間內(nèi)更換或退款。2.貨物交付延誤：若賣方因不可抗力原因?qū)е仑浳锝桓堆诱`，雙方應(yīng)協(xié)商延長交付日期。若買方同意延期的，賣方不承擔延遲責任。3.貨款支付問題：買方逾期支付貨款時，賣方有權(quán)依法追討逾期付款利息，或根據(jù)協(xié)議要求買方支付違約金。4.知識產(chǎn)權(quán)侵
