2024年土地及房產(chǎn)買賣合同本合同目錄一覽第一條土地及房產(chǎn)買賣的基本情況1.1土地的位置、面積和用途1.2房產(chǎn)的座落、面積和用途1.3買賣的性質(zhì)(如買賣、贈與)第二條買賣雙方的權益與義務2.1賣方的權益與義務2.2買方的權益與義務第三條土地及房產(chǎn)價格3.1土地及房產(chǎn)的總價款3.2付款方式和時間3.3定金和首付款的數(shù)額及交付時間第四條土地及房產(chǎn)過戶4.1過戶的時間和地點4.2過戶所需的費用和手續(xù)4.3過戶完成的時間表第五條土地及房產(chǎn)交付5.1交付的時間和地點5.2交付時的條件和要求第六條土地及房產(chǎn)的權利與義務轉(zhuǎn)移6.1權利與義務轉(zhuǎn)移的時間6.2權利與義務轉(zhuǎn)移的手續(xù)和費用第七條違約責任7.1賣方違約的責任7.2買方違約的責任第八條爭議解決方式8.1雙方協(xié)商解決8.2提交仲裁機構仲裁8.3向人民法院提起訴訟第九條合同的變更和解除9.1合同變更的條件和程序9.2合同解除的條件和程序第十條合同的效力10.1本合同自雙方簽字蓋章之日起生效10.2本合同的終止條件第十一條附加條款11.1雙方約定的其他事項第十二條合同的附件12.1土地及房產(chǎn)的相關權屬證明12.2其他與合同有關的文件第十三條合同的簽署13.1雙方簽字蓋章的頁碼第十四條合同的生效日期和地點14.1本合同的生效日期14.2本合同的簽署地點第一部分:合同如下:第一條土地及房產(chǎn)買賣的基本情況1.1土地的位置、面積和用途1.2房產(chǎn)的座落、面積和用途ThepropertysituatedatNo.200,HopeRoad,CityB,ProvinceC,withatotalareaof2,500squaremeters,isdesignatedforresidentialpurposes.1.3買賣的性質(zhì)(如買賣、贈與)Thistransactionshallbedeemedasaleandpurchaseagreement,whereintheSelleragreestosellandtheBuyeragreestobuythelandandpropertydescribedabove.第二條買賣雙方的權益與義務2.1賣方的權益與義務TheSellerwarrantsthathe/she/ithasgoodandmarketabletothelandandproperty,freefromanyencumbranceorliens.TheSelleragreestodeliverthelandandpropertytotheBuyerintheconditionasstipulatedinthisagreement.2.2買方的權益與義務TheBuyershallmakethepaymentforthelandandpropertyinaccordancewiththetermsandconditionssetforthinthisagreement.TheBuyeragreestoassumeallrisksandliabilitiesassociatedwiththelandandpropertyfromthedateofdelivery.第三條土地及房產(chǎn)價格3.1土地及房產(chǎn)的總價款ThetotalpurchasepriceforthelandandpropertyisRMB10,000,000(TenMillionYuanRenminbi),payableashereinafterprovided.3.2付款方式和時間TheBuyershallmakethepaymentinthefollowingmanner:Aninitialpaymentof10%ofthetotalpurchasepriceshallbemadeuponthesigningofthisagreement.Thebalanceof90%ofthetotalpurchasepriceshallbepaidtheBuyertotheSellernolaterthan30daysafterthedateofthedeliveryofthelandandproperty.3.3定金和首付款的數(shù)額及交付時間TheBuyershallpayanearnestmoneydepositof10%ofthetotalpurchaseprice,amountingtoRMB1,000,000(OneMillionYuanRenminbi),within5daysafterthesigningofthisagreement.Thesaidearnestmoneydepositshallbeappliedtowardsthepaymentofthebalanceofthepurchaseprice.第四條土地及房產(chǎn)過戶4.1過戶的時間和地點ThetransferofownershipofthelandandpropertyshalltakeplaceattheLandAdministrationBureauofCityA,ProvinceB,within60daysafterthedateofthedeliveryofthelandandproperty.4.2過戶所需的費用和手續(xù)TheBuyerandSellershallberesponsibleforpayingallthenecessaryfeesandexpensesincidentaltothetransferofownership,includingbutnotlimitedtothestampduty,registrationfee,andotherrelatedcosts.4.3過戶完成的時間表第五條土地及房產(chǎn)交付5.1交付的時間和地點ThelandandpropertyshallbedeliveredtheSellertotheBuyeratthelocationwherethepropertyissituatedonthedatewhichis30daysafterthedateofthetransferofownership.5.2交付時的條件和要求Upondelivery,thelandandpropertyshallbeinthesameconditionastheywereonthedateofthisagreement,freefromanydamageordefects,unlessotherwiseagreedtothepartiesheretoinwriting.第六條土地及房產(chǎn)的權利與義務轉(zhuǎn)移6.1權利與義務轉(zhuǎn)移的時間Thetransferofrightsandobligationswithrespecttothelandandpropertyshalltakeplaceatthetimeofdeliveryasprovidedinthisagreement.6.2權利與義務轉(zhuǎn)移的手續(xù)和費用Thetransferofrightsandobligationsshallbeeffectedtheexecutionofadeedofassignmentthepartieshereto,andthepaymentofallnecessaryfeesandexpensesincidentalthereto.第七條違約責任7.1賣方違約的責任IntheeventofabreachofthisagreementtheSeller,theSellershallbeliabletotheBuyerforliquidateddamagesintheamountofRMB20,000(TwentyThousandYuanRenmin第八條爭議解決方式8.1雙方協(xié)商解決Intheeventofanydisputearisingoutoforinconnectionwiththisagreement,thepartiesheretoshallfirstattempttoresolvethesamethroughfriendlynegotiation.8.2提交仲裁機構仲裁Ifthedisputecannotberesolvedthroughnegotiationwithinareasonabletime,eitherpartymaysubmitthedisputetoarbitrationinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC).8.3向人民法院提起訴訟第九條合同的變更和解除9.1合同變更的條件和程序Thisagreementmaybeamendedorterminatedmutualconsentoftheparties,inwriting,andexecutedthepartiesinthesamemannerasthisagreement.9.2合同解除的條件和程序Eitherpartymayterminatethisagreementgivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthisagreementandfailstocuresuchbreachwithinareasonabletimeafterreceiptofwrittennoticefromtheotherpartyspecifyingthebreach.第十條合同的效力10.1本合同自雙方簽字蓋章之日起生效Thisagreementshallbeeffectiveuponthesignatureofbothpartiesheretoandshallremaininfullforceandeffectuntilfullyperformed.10.2本合同的終止條件第十一條附加條款11.1雙方約定的其他事項Thepartiesheretomayagreetosuchadditionaltermsandconditionsastheydeemnecessaryordesirable,whichshallbesetforthinanaddendumexecutedthepartiesinthesamemannerasthisagreement.第十二條合同的附件12.1土地及房產(chǎn)的相關權屬證明Attachedheretoasexhibitsarethefollowingdocumentsrelatedtothelandandproperty:CertificateofTitlePropertyRegistrationCertificateOtherrelevantdocuments12.2其他與合同有關的文件Otherdocumentsrelatedtothisagreementareasfollows:OfferLetterInspectionReportsAppraisalReports第十三條合同的簽署13.1雙方簽字蓋章的頁碼Thesignaturesofthepartiesandthesealsoftheentitiesshallbeaffixedonthefollowingpagesofthisagreement:13.2簽字代表授權Thepersonssigningthisagreementonbehalfofthepartiesheretorepresentandwarrantsthathe/shehasthefullauthoritytobindtherespectivepartieshereto.第十四條合同的生效日期和地點14.1本合同的生效日期Thisagreementshallbeeffectiveonthedatefirstabovewritten.14.2本合同的簽署地點ThisagreementisenteredintoandshallbegovernedthelawsofthePeople'sRepublicofChina,andissignedatCityA,ProvinceB,thePeople'sRepublicofChina.第二部分:第三方介入后的修正引入第三方介入后的附加條款1.第三方定義Forthepurposesofthisagreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotthepartieshereto,involvedinthetransactionofthelandandproperty.2.第三方責任2.2TheThirdPartyshallbeliableforanylossordamagesufferedeitherpartyheretoarisingoutoforinconnectionwithanybreachofitsobligationsunderthisagreement.3.第三方義務3.2TheThirdPartyshallpromptlyrespondtoanyinquiriesorrequestsmadethepartiesheretoinconnectionwiththelandandproperty.4.第三方權益4.1TheThirdPartyshallhavenorighttoclaimanyinterestinthelandandproperty,ortointerveneinanywayinthetransactionbetweenthepartieshereto.4.2TheThirdPartyshallnothaveanyrighttoenforceanytermsofthisagreementagainstthepartieshereto.5.第三方責任限額5.1TheliabilityoftheThirdPartyunderthisagreementshallbelimitedtotheamountactuallypaidthepartiesheretototheThirdPartyinconnectionwiththetransaction.5.2TheThirdPartyshallnotbeliableforanyindirect,consequential,orpunitivedamagesarisingoutoforinconnectionwiththisagreement.6.第三方退出6.1TheThirdPartymaywithdrawfromthetransactionatanytimegivingwrittennoticetothepartieshereto.6.2IntheeventoftheThirdParty'swithdrawal,thepartiesheretoshallnegotiateingoodfaithtodeterminethetermsandconditionsofthewithdrawal,includingtherefundofanypaymentsmadetotheThirdParty.7.第三方與甲乙方的關系7.1TheThirdPartyacknowledgesthatitisnotapartytothisagreementanddoesnothaveanyrightsorobligationsunderthisagreement.7.2ThepartiesheretoacknowledgethattheyhaveenteredintothisagreementindependentlyoftheThirdPartyandthattheThirdPartyhasnocontroloverthetermsandconditionsofthisagreement.引入第三方介入后的額外條款8.第三方選擇8.1ThepartiesheretoagreetoselectaqualifiedandreputableThirdPartytofacilitatethetransaction.8.2TheselectionoftheThirdPartyshallbesubjecttotheapprovalofbothpartieshereto,andtheThirdPartyshallberequiredtoprovideawrittenagreementincorporatingthetermsandconditionsofthisagreement.9.第三方費用9.1ThepartiesheretoagreetobearthereasonablefeesandexpensesincurredtheThirdPartyinconnectionwiththetransaction.9.2TheThirdPartyshallprovidethepartiesheretowithadetailedstatementofthefeesandexpensesincurred,andthepartiesheretoshallmakethepaymentwithinareasonabletimeafterreceiptofsuchstatement.10.第三方保密義務10.1TheThirdPartyagreestokeepconfidentialallinformationprovidedthepartiesheretoinconnectionwiththetransaction,excepttotheextentthatsuchinformationisrequiredtobedisclosedlaworregulation.10.2ThepartiesheretoagreetokeepconfidentialallinformationprovidedtheThirdPartyinconnectionwiththetransaction.11.第三方合規(guī)11.1TheThirdPartyrepresentsandwarrantsthatitisdulylicensedandqualifiedtoengageinthebusinessoffacilitatingrealestatetransactions.12.第三方保險12.1TheThirdPartyagreestoobtainandmaintain,atitsownexpense,appropriateinsurancecoverageinrespectofitsobligationsunderthisagreement.12.2ThepartiesheretoshallbeendtorequestfromtheThirdPartycopiesoftheinsurancepoliciesandevidenceofinsurancecoverage.13.第三方爭議解決13.1IntheeventofanydisputearisingoutoforinconnectionwiththeThirdParty'sobligationsunderthisagreement,thepartiesheretoagreetoresolvethesamethroughnegotiationorarbitration,asprovidedinthisagreement.13.2TheThirdPartyshallnotbeapartytoanyarbitrationorlegalproceedingarisingoutoforinconnectionwiththisagreement.14.第三方替代14.1IftheThirdPartyisunableorunwillingtoperformitsobligationsunderthisagreement,theparties第三部分:其他補充性說明和解釋說明一:附件列表:1.土地使用權證附件名稱:土地使用權證詳細要求:土地使用權證應由土地登記機關頒發(fā),證明賣方對土地享有合法使用權。說明:土地使用權證是確認土地使用權的法律文件,對于土地及房產(chǎn)的買賣交易至關重要。2.房產(chǎn)證附件名稱:房產(chǎn)證詳細要求:房產(chǎn)證應由房屋登記機關頒發(fā),證明賣方對房產(chǎn)享有合法所有權。說明:房產(chǎn)證是確認房產(chǎn)所有權的法律文件,對于土地及房產(chǎn)的買賣交易至關重要。3.房屋質(zhì)量檢測報告附件名稱:房屋質(zhì)量檢測報告詳細要求:房屋質(zhì)量檢測報告應由具有資質(zhì)的檢測機構出具,證明房產(chǎn)質(zhì)量符合相關標準。說明:房屋質(zhì)量檢測報告是確認房產(chǎn)質(zhì)量的重要文件,有助于保障買方的權益。4.房屋結構設計圖附件名稱:房屋結構設計圖詳細要求:房屋結構設計圖應由具有資質(zhì)的設計機構出具
