私人房屋買賣定金合同的法律問(wèn)題合同編號(hào):__________privatehousepurchaseandsaleearnestmoneycontractBETWEEN[Buyer’sFullName][Buyer’sAddress][Buyer’sContactInformation]AND[Seller’sFullName][Seller’sAddress][Seller’sContactInformation]CONCERNINGThepurchaseandsaleofthefollowingdescribedprivatehouse:[PropertyAddress][PropertyDescription]Thisprivatehousepurchaseandsaleearnestmoneycontract(the"Contract")ismadeandenteredintoasof[Date],andbetween[Buyer’sFullName],hereinafterreferredtoasthe"Buyer",and[Seller’sFullName],hereinafterreferredtoasthe"Seller".1.earnestmoney1.1TheBuyeragreestopaytheSellerthesumof[EarnestMoneyAmount]asearnestmoney(the"EarnestMoney")asapartofthepurchasepricefortheProperty.1.2TheEarnestMoneyshallbepaidtheBuyertotheSellerwithin[TimeLimit]aftertheexecutionofthisContract.1.3TheEarnestMoneyshallbeheld[EscrowAgent]asasecurityfortheperformanceoftheBuyer'sobligationsunderthisContractandshallbeappliedtothepurchasepriceofthePropertyattheClosing.2.purchaseprice2.1ThepurchasepriceforthePropertyshallbe[PurchasePriceAmount],whichshallbepaidtheBuyertotheSellerattheClosing.2.2ThePurchasePriceshallbepaidintheformofcash,check,orwiretransfer,asmutuallyagreedupontheparties.3.closing3.1TheclosingofthepurchaseandsaleoftheProperty(the"Closing")shalltakeplaceat[Location]on[ClosingDate],orsuchothertimeandplaceasmutuallyagreedupontheparties.3.2AttheClosing,theBuyershalldelivertheEarnestMoneyandthebalanceofthePurchasePricetotheSeller,andtheSellershalldeliverthePropertytotheBuyer,freeandclearofallliensandencumbrances.3.3TheBuyerandSellershallexecuteallnecessarydocumentsattheClosing,including,butnotlimitedto,thedeedofconveyance,theassumptionofanyexistingmortgages,andanyotheragreementsorinstrumentsrequiredlaworagreedtotheparties.4.representationandwarranty4.1TheSellerrepresentsandwarrantstotheBuyerthat:(a)He/she/theyhas/havegoodandmarketabletotheProperty,freeandclearofallliensandencumbrances;(b)He/she/theyhas/havetherighttosellthePropertyandthattheBuyer'spurchaseofthePropertywillnotviolateanyzoningordinances,regulations,orrestrictions;(c)ThePropertyisbeingsoldinitspresent"asis"condition,andtheSellerhasdisclosedallknowndefectsinthePropertytotheBuyer;(d)Therearenooutstandingjudgments,liens,orencumbrancesagainsttheProperty;(e)TheSellerhastheauthoritytoenterintothisContractandtoperformitsobligationshereunder.4.2TheBuyerrepresentsandwarrantstotheSellerthat:(a)He/she/theyhas/havethefulllegalcapacitytoenterintothisContractandtoperformitsobligationshereunder;(c)TheBuyerhasconductedallnecessaryinspectionsofthePropertyandhassatisfiedhimself/herself/themselvesastotheconditionoftheProperty;(d)TheBuyerisnotrelyingonanyrepresentationsorwarrantiesmadetheSelleroranyotherpersonorentityotherthanasexpresslysetforthinthisContract.5.defaultandtermination5.1IfeitherpartydefaultsintheperformanceofanyofitsobligationsunderthisContract,theotherpartymaydeclarethisContractnullandvoid,andmaysueforanydamagessustainedasaresultofsuchdefault.5.2IftheBuyerdefaultsinthepaymentoftheEarnestMoneyorthePurchasePrice,theSellermaykeeptheEarnestMoneyasliquidateddamagesandmaysueforanyadditionaldamagessustainedasaresultofsuchdefault.5.3IftheSellerdefaultsinthedeliveryoftheProperty,theBuyermaysueforanydamagessustainedasaresultofsuchdefault,andmaydeclarethisContractnullandvoid.6.一、附件列表:1.房產(chǎn)證復(fù)印件2.買賣雙方身份證明復(fù)印件3.定金收據(jù)4.房屋檢查報(bào)告5.房屋交易合同范本6.產(chǎn)權(quán)轉(zhuǎn)移登記申請(qǐng)書(shū)7.貸款批準(zhǔn)函(如有貸款情況)8.其他與交易相關(guān)的文件和附件二、違約行為及認(rèn)定:1.買方違約:未能按時(shí)支付定金或購(gòu)房款未能在約定期限內(nèi)完成房屋過(guò)戶手續(xù)未能履行合同約定的其他義務(wù)2.賣方違約:未能按時(shí)交付房屋未能提供清晰、無(wú)爭(zhēng)議的房產(chǎn)所有權(quán)證明未能履行合同約定的其他義務(wù)3.違約行為的認(rèn)定:違約行為根據(jù)合同條款和法律規(guī)定進(jìn)行認(rèn)定違約方需承擔(dān)違約責(zé)任,包括賠償對(duì)方因此造成的損失三、法律名詞及解釋:1.定金:買賣雙方為保證合同履行,預(yù)先支付的一定金額的錢款。2.過(guò)戶手續(xù):將房產(chǎn)所有權(quán)從賣方名下轉(zhuǎn)移到買方名下的法律程序。3.房產(chǎn)證:證明房屋所有權(quán)的法律文件。4.違約金:違約方因違約行為應(yīng)支付給守約方的賠償金。5.合同履行:合同雙方按照約定完成各自義務(wù)的行為。四、執(zhí)行中遇到的問(wèn)題及解決辦法:1.買方支付定金后,賣方拒絕履行合同:協(xié)商解決,尋求雙方都能接受的解決方案調(diào)解不成,可以向法院提起訴訟,要求賣方履行合同或賠償損失2.賣方交付房屋時(shí),發(fā)現(xiàn)房屋存在重大質(zhì)量問(wèn)題:要求賣方在一定期限內(nèi)修復(fù)問(wèn)題如賣方拒絕或無(wú)法修復(fù),買方有權(quán)拒絕接收房屋,并要求退還已支付的定金及賠償
