t,oraffiliateofeitherPartyAorPartyB.1.2第三方介入的情形"ThirdPartyIntervention"shallmeananysituationwhereaThirdPartyisinvolvedintheperformanceofthisAgreement,eitherdirectlyorindirectly,includingbutnotlimitedtotheprovisionofservices,thetransferofconfidentialinformation,ortheexecutionoftasksonbehalfofPartyAorPartyB.第二條第三方義務(wù)與責任2.1第三方義務(wù)2.2第三方責任AThirdPartyshallberesponsibleforanybreachofthisAgreementoranydamagecauseditsactions,omissions,ornegligenceinrelationtotheperformanceofthisAgreement.第三條第三方與甲乙方的關(guān)系3.1第三方與甲方關(guān)系TherelationshipbetweenaThirdPartyandPartyAshallbethatofanindependentcontractor,andnothinginthisAgreementshallbeconstruedtocreateanemploymentrelationship,agencyrelationship,orpartnershipbetweenthem.3.2第三方與乙方關(guān)系TherelationshipbetweenaThirdPartyandPartyBshallbethatofanindependentcontractor,andnothinginthisAgreementshallbeconstruedtocreateanemploymentrelationship,agencyrelationship,orpartnershipbetweenthem.第四條第三方責任限額4.1責任限制TheliabilityofaThirdPartyunderthisAgreementshallbelimitedtotheextentprovidedinthisAgreementoranyseparateagreemententeredintobetweenPartyAorPartyBandtheThirdParty.4.2第三方責任限制的例外Notwithstandingtheforegoing,aThirdPartyshallnotbeexemptfromliabilityfordeathorpersonalinjurycauseditsgrossnegligenceorintentionalmisconduct.第五條第三方保險5.1保險要求5.2保險證明AThirdPartyshallprovidePartyAandPartyBwithcertificatesofinsuranceevidencingtheexistenceandeffectivenessoftherequiredinsurancepoliciesuponrequest.第六條第三方違約處理6.1第三方違約IntheeventofabreachaThirdParty,PartyAandPartyBshallhavetherighttotakesuchactionsasarenecessarytoenforcethetermsofthisAgreementagainsttheThirdParty.6.2第三方違約后果ThenonbreachingpartiesshallhavetherighttoseekindemnificationfromthebreachingThirdPartyforanylosses,damages,orexpensesincurredasaresultofthebreach.第七條第三方退出7.1第三方退出的條件AThirdPartymayterminateitsinvolvementinthisAgreementprovidingPartyAandPartyBwithwrittennoticeofitsintentiontoterminate,whichnoticeshallspecifytheeffectivedateoftermination.7.2第三方退出的后果Upontermination,aThirdPartyshallcontinuetobeboundthetermsofthisAgreementforanyobligationsincurredpriortotheterminationdate.第八條第三方與甲乙方的溝通與協(xié)調(diào)8.1第三方與甲乙方的溝通8.2第三方協(xié)調(diào)的例外Notwithstandingtheforegoing,aThirdPartyshallbesolelyresponsibleforthemanagementandcoordinationofitsownpersonnel,resources,andactivitiesinrelationtotheperformanceofthisAgreement.第九條第三方合規(guī)與法律遵守9.1第三方合規(guī)要求9.2第三方法律遵守的例外第十條第三方與甲乙方的權(quán)益分配10.1權(quán)益分配的原則Therights,interests,andbenefitsarisingoutoforinconnectionwiththisAgreementshallbeallocatedbetweenPartyA,PartyB,andanyThirdPartyinaccordancewiththetermsofthisAgreementoranyseparateagreemententered
