WHEREAS,theSellerisengagedinthe[Seller'sBusinessDescription]businessandhasagreedtosupplytheBuyerwiththeEquipment;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.EquipmentSupply

TheSelleragreestosupplytheBuyerwiththeEquipmentdescribedinExhibitAattachedhereto("ExhibitA")inaccordancewiththespecifications,quantities,anddeliveryschedulesetforthinExhibitA.

2.PricesandPaymentTerms

ThepricefortheEquipmentshallbeasspecifiedinExhibitA("Price").TheBuyeragreestopaytheSellerthePriceinaccordancewiththepaymenttermssetforthinExhibitA.

3.Delivery

TheSelleragreestodelivertheEquipmenttotheBuyerattheaddressspecifiedinExhibitA("DeliveryAddress")withinthetimeframespecifiedinExhibitA("DeliveryDate").

4.Warranty

TheSellerwarrantsthattheEquipmentshallbefreefromanydefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery("WarrantyPeriod").TheBuyershallnotifytheSellerinwritingofanydefectsintheEquipmentwithin[NoticePeriod]aftertheBuyer'sreceiptoftheEquipment.

5.IntellectualPropertyRights

TheSellerretainsallownershipandintellectualpropertyrightsintheEquipmentandanyassociateddocumentation.TheBuyershallnotcopy,modify,ordistributetheEquipmentoranyassociateddocumentationwithoutthepriorwrittenconsentoftheSeller.

6.Termination

EitherpartymayterminatethisAgreementupon[NoticePeriod]writtennoticetotheotherparty,providedthattheterminatingpartyshallbeliableforanypaymentobligationsthathaveaccruedpriortotheeffectivedateoftermination.

7.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLaw].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

ThepricefortheEquipmentshallbeasspecifiedinExhibitA("Price").TheBuyeragreestopaytheSellerthePriceinaccordancewiththepaymenttermssetforthinExhibitA.ThecostoftheThirdPartyServicesshallbeasspecifiedinExhibitB("ThirdPartyServicesCost").TheBuyeragreestopaytheThirdPartytheThirdPartyServicesCostinaccordancewiththepaymenttermssetforthinExhibitB.

4.Delivery

TheSelleragreestodelivertheEquipmenttotheBuyerattheaddressspecifiedinExhibitA("DeliveryAddress")withinthetimeframespecifiedinExhibitA("DeliveryDate").TheThirdPartyagreestocommencetheprovisionoftheThirdPartyServiceswithinthetimeframespecifiedinExhibitB.

5.Buyer'sRightsandInterests

a.TheBuyershallhavetherighttoinspectandaccepttheEquipmentandThirdPartyServicesuponcompletion.

b.TheBuyershallhavetherighttorequestadditionalservicesorsupportfromtheSellerorThirdPartyifneeded.

c.TheBuyershallhavetherighttocancelthisAgreementandterminatetheSeller'sandThirdParty'sobligationsunderthisAgreementupon[NoticePeriod]writtennoticetotheSellerandThirdParty,providedthattheBuyershallbeliableforanypaymentobligationsthathaveaccruedpriortotheeffectivedateoftermination.

d.TheBuyershallhavetherighttoterminatethisAgreementandterminatetheSeller'sandThirdParty'sobligationsunderthisAgreementiftheSellerorThirdPartybreachesanymaterialtermofthisAgreement.

6.Seller'sandThirdParty'sObligations

a.TheSellerandThirdPartyshallensurethattheEquipmentandThirdPartyServicesaredeliveredandperformedinaccordancewiththespecifications,quantities,andtimelinessetforthinthisAgreement.

b.TheSellerandThirdPartyshallprovidetheBuyerwithanynecessarydocumentationandtrainingrelatedtotheEquipmentandThirdPartyServices.

c.TheSellerandThirdPartyshallcomplywithallapplicablelawsandregulationsrelatedtothesupplyandprovisionoftheEquipmentandThirdPartyServices.

7.Seller'sandThirdParty'sWarranties

a.TheSellerwarrantsthattheEquipmentshallbefreefromanydefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery("WarrantyPeriod").

b.TheThirdPartywarrantsthattheThirdPartyServicesshallbeprovidedinaprofessionalandcompetentmanner.

8.Seller'sandThirdParty'sLimitationsofLiability

a.TheSellerandThirdPartyshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththesupplyorprovisionoftheEquipmentandThirdPartyServices.

b.TheSellerandThirdParty'stotalliabilityforanyclaimarisingoutoforinconnectionwiththisAgreementshallnotexceedtheaggregateamountpaidbytheBuyerunderthisAgreement.

9.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLaw].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

10.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.
