7.TheExpertshallbesubjecttotheEmployer'spolicies,procedures,andregulations,asmaybeamendedfromtimetotime.

8.TheExpertshallberesponsiblefortheconfidentialityoftheEmployer'sinformationandshallnotdiscloseanyconfidentialinformationwithoutthepriorwrittenconsentoftheEmployer.

9.TheEmployershallprovidetheExpertwitha[Number]daysofannualleaveduringtheTerm,subjecttotheEmployer'sleavepoliciesandprocedures.

10.TheEmployershallprovidetheExpertwith[Number]daysofsickleaveduringtheTerm,subjecttotheEmployer'ssickleavepoliciesandprocedures.

LIMITATIONSOFLIABILITY

21.TheEmployershallnotbeliableforanylossesordamagessufferedbytheExpertortheThirdPartyasaresultoftheExpert'sperformanceortheThirdParty'sactionsoromissions.

22.TheExpertshallnotbeliableforanylossesordamagessufferedbytheEmployerortheThirdPartyasaresultoftheEmployer'sortheThirdParty'sactionsoromissions.

SIGNIFICANCEOFTHIRDPARTYINTERVENTION

23.TheinvolvementoftheThirdPartyisintendedtoensurethesmoothoperationoftheExpert'sworkandtoprovideadditionaloversightandmanagementtosafeguardtheEmployer'sinterests.

24.TheThirdParty'sroleistoactasabufferbetweentheEmployerandtheExpert,ensuringthattheEmployer'sneedsaremetwhileprovidingtheExpertwiththenecessarysupportandguidance.

PURPOSESANDSIGNIFICANCEOFAGENCYDOMINATION

25.TheEmployer'sprimarypurposeinthisAgreementistosecuretheExpert'sservicesandensurethattheEmployer'sinterestsareprotectedthroughouttheTerm.
