ThisContractshallbeeffectivefromthedateofthisContractandshallcontinueforaperiodof[SpecifyDuration],unlessterminatedearlierasprovidedherein.EitherpartymayterminatethisContractuponwrittennoticetotheotherparty,withaminimumof[SpecifyNoticePeriod]days'priornotice.
3.FeesandPaymentTerms
PartyBshallpayPartyAatotalfeeof[SpecifyTotalAmount]fortheprovisionoftheservices/productsasdescribedinthisContract.Paymentshallbemadeinaccordancewiththeattached[PaymentScheduleDocument].
4.DeliveryandAcceptance
PartyAshalldelivertheservices/productstoPartyBinaccordancewiththetermsandconditionssetforthinthisContract.PartyBshallinspectandaccepttheservices/productsupondelivery.AnydefectsordiscrepanciesshallbereportedtoPartyAwithin[SpecifyTimeframe]ofdelivery.
5.Confidentiality
ThepartiesagreetomaintaintheconfidentialityofallinformationdisclosedduringthecourseofthisContract.SuchconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.
6.IntellectualProperty
Allintellectualpropertyrightsassociatedwiththeservices/productsprovidedunderthisContractshallremainthepropertyofPartyA,exceptasotherwiseagreedinwritingbybothparties.
7.LimitationofLiability
Innoeventshalleitherpartybeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisContract.ThetotalliabilityofeitherpartyshallnotexceedtheamountpaidbytheotherpartyunderthisContract.
8.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough[SpecifyDisputeResolutionMechanism].
9.EntireAgreement

6.IntellectualProperty
Allintellectualpropertyrightsassociatedwiththeservices/productsprovidedunderthisContractshallremainthepropertyofPartyA,exceptasotherwiseagreedinwritingbybothparties.
7.ThirdPartyLiability
PartyCshallberesponsiblefortheactionsandomissionsofPartyBinrelationtotheprovisionofservices/products.PartyCshallindemnifyPartyAagainstanyclaims,liabilities,orlossesarisingfromtheactionsoromissionsofPartyB.
8.ThirdPartyApproval
Allmajordecisionsregardingtheprovisionofservices/productsshallbesubjecttotheapprovalofPartyC.PartyCshallhavethefinalauthoritytoapproveorrejectanychangestothescopeofservices/products.
9.RightsofPartyA
PartyAshallhavetherightto:
-RequestperiodicreportsfromPartyBontheprogressofservices/products.
-Conducton-siteinspectionsoftheservices/productsbeingprovided.
-Requestchangestotheservices/productsifdeemednecessary.
10.InterestofPartyA
PartyA'sinterestsunderthisContractinclude:
-Ensuringthequalityandtimelinessoftheservices/products.
-Maintainingcontrolovertheintellectualpropertyrightsassociatedwiththeservices/products.
-Receivingregularupdatesontheprogressofservices/products.
11.PartyB'sObligationsandLimitations
PartyBagreesto:
-Providetheservices/productsinaccordancewiththeagreedspecificationsandstandards.
-Complywithallapplicablelawsandregulations.
-MaintainconfidentialityofallinformationprovidedbyPartyA.
12.PartyB'sLimitationsofLiability
InnoeventshallPartyBbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisContract.ThetotalliabilityofPartyBshallnotexceedtheamountpaidbyPartyAunderthisContract.
13.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough[SpecifyDisputeResolutionMechanism].
14.EntireAgreement

TheinvolvementofPartyCinthisContractservestoprovideanadditionallayerofoversightandqualityassurancefortheservices/productsbeingprovidedbyPartyB.ItensuresthatPartyA'sinterestsareprotectedandthattheservices/productsmeetthehigheststandardsofqualityandcompliance.
16.PurposeandSignificanceofPartyA'sDominance
ThepurposeofPartyA'sdominanceinthisContractistoensurethatitsinterestsareprioritizedandthatitmaintainscontrolovertheintellectualpropertyrightsandqualityoftheservices/products.ByhavingasupervisoryrolethroughPartyC,PartyAcanensurethattheservices/productsaredeliveredasperitsexpectationsandthatanyissuesarepromptlyaddressed.

PartyBshallhavetherightto:

-Conductauditsorinspectionsoftheservices/productsprovidedbyPartyA.
-Requestmodificationsorcorrectionstotheservices/productsifdeemednecessary.
9.InterestsofPartyB
PartyB'sinterestsunderthisContractinclude:
-Ensuringtheservices/productsmeettherequiredqualityandregulatorystandards.
-Maintainingcontroloverthedecision-makingprocessregardingtheservices/products.
-Receivingtimelyupdatesonthestatusoftheservices/products.
10.ObligationsofPartyA
PartyAagreesto:
-Providetheservices/productsinaccordancewiththeagreedspecificationsandstandards.
-Complywithallapplicablelawsandregulations.
-MaintainconfidentialityofallinformationprovidedbyPartyB.
11.LimitationsofLiabilityofPartyA
InnoeventshallPartyAbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisContract.ThetotalliabilityofPartyAshallnotexceedtheamountpaidbyPartyBunderthisContract.
12.GoverningLawandDisputeResolution
