二零二四年度園林景觀設(shè)計(jì)與施工合同本合同目錄一覽第一條合同主體及定義1.1設(shè)計(jì)方主體1.2施工方主體1.3合同主體權(quán)利與義務(wù)第二條合同范圍及內(nèi)容2.1設(shè)計(jì)范圍2.2施工范圍2.3材料供應(yīng)范圍第三條設(shè)計(jì)要求3.1設(shè)計(jì)方案提交時(shí)間3.2設(shè)計(jì)方案修改次數(shù)3.3設(shè)計(jì)方案最終確定第四條施工要求4.1施工標(biāo)準(zhǔn)及質(zhì)量4.2施工安全要求4.3施工進(jìn)度計(jì)劃第五條材料供應(yīng)5.1材料質(zhì)量標(biāo)準(zhǔn)5.2材料供應(yīng)時(shí)間及數(shù)量5.3材料驗(yàn)收及退換貨規(guī)定第六條合同價(jià)格及支付6.1合同總價(jià)6.2支付方式及時(shí)間6.3價(jià)款調(diào)整條件及方法第七條工期延誤7.1工期延誤責(zé)任7.2工期延誤的計(jì)算及賠償?shù)诎藯l合同變更8.1合同變更條件8.2合同變更程序8.3合同變更產(chǎn)生的費(fèi)用及責(zé)任第九條違約責(zé)任9.1設(shè)計(jì)方違約責(zé)任9.2施工方違約責(zé)任9.3違約賠償金額及方式第十條爭(zhēng)議解決10.1爭(zhēng)議解決方式10.2爭(zhēng)議解決機(jī)構(gòu)及地點(diǎn)10.3法律適用第十一條合同的生效、變更和終止11.1合同生效條件11.2合同變更程序11.3合同終止條件及后果處理第十二條保密條款12.1保密信息范圍12.2保密期限12.3保密違約責(zé)任第十三條不可抗力13.1不可抗力事件的認(rèn)定13.2不可抗力事件的后果處理第十四條其他條款14.1合同的補(bǔ)充條款14.2合同的修改和解除14.3合同爭(zhēng)議的訴訟或仲裁第一部分：合同如下：第一條合同主體及定義1.1設(shè)計(jì)方主體designatingparty(hereinafterreferredtoas"Designer")shallmeanthepartyidentifiedinthe"Parties"sectionofthisAgreement,whichisresponsibleforthedesignservicesprovidedunderthisAgreement.1.2施工方主體TheContractingParty(hereinafterreferredtoas"Contractor")shallmeanthepartyidentifiedinthe"Parties"sectionofthisAgreement,whichisresponsiblefortheconstructionservicesprovidedunderthisAgreement.1.3合同主體權(quán)利與義務(wù)TherightsandobligationsofthepartiesshallbeassetforthinthisAgreement,andthepartiesagreetoperformtheirrespectiveobligationshereunderinatimely,professionalandworkmanlikemanner.第二條合同范圍及內(nèi)容2.1設(shè)計(jì)范圍ThedesignservicestobeprovidedtheDesignerunderthisAgreementshallinclude,butnotbelimitedto,thepreparationofdesignplans,specifications,andotherrelateddocumentsasspecifiedinthe"ScopeofWork"sectionofthisAgreement.2.2施工范圍2.3材料供應(yīng)范圍ThematerialstobesuppliedtheContractorunderthisAgreementshallinclude,butnotbelimitedto,thosematerialsspecifiedinthe"Materials"sectionofthisAgreement,andshallmeetthequalitystandardsandspecificationssetforthinthisAgreement.第三條設(shè)計(jì)要求3.1設(shè)計(jì)方案提交時(shí)間TheDesignershallsubmitthedesignplansandspecificationstotheContractorwithinthetimeperiodspecifiedinthe"DesignSchedule"sectionofthisAgreement,orasotherwiseagreeduponthepartiesinwriting.3.2設(shè)計(jì)方案修改次數(shù)TheDesignershallbeallowedamaximumoftwo(2)roundsofrevisionstothedesignplansandspecificationsatnoadditionalcosttotheContractor,subjecttothetermsandconditionssetforthinthisAgreement.3.3設(shè)計(jì)方案最終確定第四條施工要求4.1施工標(biāo)準(zhǔn)及質(zhì)量TheContractorshallperformtheconstructionservicesinaccordancewiththedesignplansandspecificationsprovidedtheDesigner,andshallensurethattheworkmanshipandmaterialsusedintheconstructionmeetthequalitystandardssetforthinthisAgreement.4.2施工安全要求4.3施工進(jìn)度計(jì)劃第五條材料供應(yīng)5.1材料質(zhì)量標(biāo)準(zhǔn)ThematerialssuppliedtheContractorshallmeetthequalitystandardsandspecificationssetforthinthedesignplansandspecificationsprovidedtheDesigner,andshallbesubjecttotheContractor'sstandardqualitycontrolprocedures.5.2材料供應(yīng)時(shí)間及數(shù)量TheContractorshallsupplythematerialstotheconstructionsiteatthetimesandinthequantitiesspecifiedintheconstructionschedule,orasotherwiseagreeduponthepartiesinwriting.5.3材料驗(yàn)收及退換貨規(guī)定第六條合同價(jià)格及支付6.1合同總價(jià)ThetotalcontractpriceforthedesignandconstructionservicesprovidedunderthisAgreementshallbeassetforthinthe"Pricing"sectionofthisAgreement,andshallbeexclusiveofanytaxes,fees,orotherchargesunlessotherwisespecifiedinthisAgreement.6.2支付方式及時(shí)間PaymentshallbemadetheDesignertotheContractorinaccordancewiththepaymentschedulesetforthinthe"PaymentTerms"sectionofthisAgreement,orasotherwiseagreeduponthepartiesinwriting.第八條工期延誤8.1工期延誤責(zé)任IftheContractorexperiencesanydelaysintheconstructionschedulethatarebeyonditscontrol,asdefinedinthe"ForceMajeure"sectionofthisAgreement,theContractorshallnotbeheldresponsibleforsuchdelays.8.2工期延誤的計(jì)算及賠償IntheeventofdelaysintheconstructionschedulethatarewithinthecontroloftheContractor,theContractorshallberesponsibleforanydirectcostsincurredtheDesignerduetosuchdelays,asspecifiedinthe"DelayCompensation"sectionofthisAgreement.8.3工期延誤責(zé)任免除TheContractorshallnotbeliableforanydelaysintheconstructionschedulecausedactsofGod,actsofwar,laborstrikes,orotherunforeseeableeventsbeyondtheContractor'scontrol,asdefinedinthe"ExclusionofLiability"sectionofthisAgreement.第九條合同變更9.1合同變更條件EitherpartymayrequestachangetothetermsofthisAgreementprovidingwrittennoticetotheotherparty,specifyingthenatureandextentoftheproposedchanges,withinthetimeperiodspecifiedinthe"Amendment"sectionofthisAgreement.9.2合同變更程序Uponreceiptofarequestforacontractamendment,theotherpartyshallreviewtheproposedchangesand,ifagreeduponinwriting,shallexecuteanamendmenttothisAgreementthatreflectsthechanges.9.3合同變更產(chǎn)生的費(fèi)用及責(zé)任AnychangestothetermsofthisAgreementshallresultinacorrespondingadjustmenttothecontractpriceandschedule,asspecifiedinthe"AmendmentConsequences"sectionofthisAgreement,andshallbetheresponsibilityofthepartyrequestingthechange.第十條違約責(zé)任10.1設(shè)計(jì)方違約責(zé)任IntheeventofabreachofthisAgreementtheDesigner,theDesignershallbeliableforanydirectdamagessustainedtheContractorasaresultofsuchbreach,asspecifiedinthe"Default"sectionofthisAgreement.10.2施工方違約責(zé)任IntheeventofabreachofthisAgreementtheContractor,theContractorshallbeliableforanydirectdamagessustainedtheDesignerasaresultofsuchbreach,asspecifiedinthe"Default"sectionofthisAgreement.第十一條爭(zhēng)議解決11.1爭(zhēng)議解決方式AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthroughnegotiationbetweentheparties,assetforthinthe"DisputeResolution"sectionofthisAgreement.11.2爭(zhēng)議解決機(jī)構(gòu)及地點(diǎn)Intheeventthatthepartiesareunabletoresolveadisputethroughnegotiation,anysuchdisputesshallbesubmittedtoarbitrationinaccordancewiththerulesofthearbitrationbodyspecifiedinthe"DisputeResolution"sectionofthisAgreement,tobeheldatthelocationalsospecifiedtherein.11.3法律適用ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionspecifiedinthe"GoverningLaw"sectionofthisAgreement.第十二條保密條款12.1保密信息范圍ThepartiesagreetomaintaintheconfidentialityofallproprietaryandconfidentialinformationsharedbetweentheminconnectionwiththisAgreement,asdefinedinthe"Confidentiality"sectionofthisAgreement.12.2保密期限Thepartiesagreethattheconfidentialinformationshallbemaintainedinconfidencefortheperiodspecifiedinthe"Confidentiality"sectionofthisAgreement,orforsuchlongerperiodasrequiredapplicablelaw.12.3保密違約責(zé)任IntheeventofabreachoftheconfidentialityobligationsunderthisAgreement,thebreachingpartyshallbeliableforanydamagessustainedtheotherpartyasaresultofsuchbreach,asspecifiedinthe"Confidentiality"sectionofthisAgreement.第十三條不可抗力13.1不可抗力事件的認(rèn)定Aneventofforcemajeure,asdefinedinthe"ForceMajeure"sectionofthisAgreement,shallbeconsideredaneventbeyondthecontrolofthepartiesandshallnotbedeemedabreachofthisAgreement.13.2不可抗力事件的后果處理第十四條其他條款14.1合同的補(bǔ)充條款ThisAgreementmaybesupplementedadditionaltermsandconditionsagreeduponthepartiesinwriting,whichshallbeattachedtothisAgreementasanaddendumandshallbeconsideredpartofthisAgreementforallpurposes.14.2合同的修改和第二部分：第三方介入后的修正15.1第三方概念界定ForthepurposesofthisAgreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnottheDesignerortheContractor,andthatisinvolvedintheperformanceoftheservicesorobligationsunderthisAgreement.15.2第三方介入情形IntheeventthataThirdPartyisengagedeithertheDesignerortheContractortoperformanypartoftheservicesorobligationsunderthisAgreement,suchThirdPartyshallbedeemeda"ParticipatingThirdParty"forthepurposesofthisAgreement.15.3第三方責(zé)任限制AParticipatingThirdPartyshallberesponsiblefortheperformanceoftheservicesorobligationsdelegatedtoittheDesignerortheContractor,andshallbeliableforanydamagesorlossesarisingfromitsfailuretoperformsuchservicesorobligationsinaccordancewiththetermsofthisAgreement.15.4第三方權(quán)益保護(hù)TheDesignerandtheContractorshallnotdirectlycontractwithaParticipatingThirdPartyormakeanypaymentstoaParticipatingThirdPartywithoutthepriorwrittenconsentoftheotherparty.15.5第三方違約處理IntheeventofabreachofthisAgreementaParticipatingThirdParty,theDesignerandtheContractorshalltakeallnecessarystepstomitigatetheeffectsofsuchbreachandtoenforcethetermsofthisAgreementagainsttheParticipatingThirdParty.15.6第三方權(quán)益的轉(zhuǎn)讓AParticipatingThirdPartymaynotassignortransferitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheDesignerandtheContractor.15.7第三方保險(xiǎn)要求15.8第三方合規(guī)性15.9第三方與甲乙方的關(guān)系TherelationshipbetweenaParticipatingThirdPartyandtheDesignerortheContractorshallbethatofanindependentcontractor,andneitherpartyshallhaveanyauthoritytobindtheotherpartyinanymanner.15.10第三方與甲乙方之間的爭(zhēng)議解決IntheeventofadisputebetweenaParticipatingThirdPartyandtheDesignerortheContractor,suchdisputeshallberesolvedinaccordancewiththedisputeresolutionprovisionsofthisAgreement,asiftheParticipatingThirdPartywereapartytothisAgreement.15.11第三方責(zé)任限額TheliabilityofaParticipatingThirdPartyunderthisAgreementshallbelimitedtotheextentoftheinsurancecoveragemaintainedsuchParticipatingThirdPartyandshallnotexceedtheamountspaidtheDesignerortheContractortosuchParticipatingThirdPartyfortheperformanceoftheservicesorobligationsunderthisAgreement.15.12第三方退出AParticipatingThirdPartymaywithdrawfromtheAgreementuponwrittennoticetotheDesignerandtheContractor,providedthatsuchwithdrawaldoesnotcauseabreachofthisAgreement.15.13第三方與甲乙方之間的合同AParticipatingThirdPartymayenterintoseparatecontractswiththeDesignerortheContractor,providedthatsuchcontractsdonotconflictwiththetermsofthisAgreementandareapprovedinwritingtheotherparty.15.14第三方與甲乙方之間的溝通15.15第三方與甲乙方之間的保密義務(wù)AParticipatingThirdPartyshallmaintaintheconfidentialityofallproprietaryandconfidentialinformationsharedwithittheDesignerortheContractorinconnectionwiththisAgreement,inaccordancewiththeconfidentialityprovisionsofthisAgreement.第三部分：其他補(bǔ)充性說(shuō)明和解釋說(shuō)明一：附件列表：附件一：設(shè)計(jì)方案包括但不限于設(shè)計(jì)圖紙、設(shè)計(jì)說(shuō)明書、設(shè)計(jì)效果圖等，用以明確設(shè)計(jì)范圍和內(nèi)容。附件二：施工方案包
