**2.DescriptionofGoods**

2.2TheShipperwarrantsthatthedescriptionofthegoodsisaccurateandcomplete.
**3.TermsofPayment**
3.1TheShippershallpaytheCarrierthetransportationfee,asspecifiedinScheduleCattachedhereto,within_______daysafterthereceiptoftheinvoiceissuedbytheCarrier.
3.2Thetransportationfeeshallbepaidinfull,withoutanydeductionsorwithholdings.
**4.Insurance**
4.1TheCarriershallnotberesponsiblefortheinsuranceofthegoods.TheShippershallobtaininsuranceforthegoodsaspertheShipper'ssolediscretion.
**5.LiabilityandIndemnification**
5.1TheCarriershallbeliablefortheloss,damage,ordelayofthegoodsduringtransportationtotheextentprovidedbytherelevantmaritimelawsandregulations.
5.2TheShippershallindemnifytheCarrieragainstanyclaims,actions,demands,losses,damages,andexpensesarisingoutoforinconnectionwiththetransportationofthegoods.
**6.ForceMajeure**
6.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,embargoes,governmentregulations,oranyothereventbeyondthereasonablecontroloftheparties.
**7.GoverningLawandDisputeResolution**
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedinScheduleDattachedhereto.
7.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothecompetentcourtofthejurisdictionspecifiedinScheduleDattachedheretoforarbitration.

**2.DescriptionofGoods**

2.2ThePrincipalShipperwarrantsthatthedescriptionofthegoodsisaccurateandcomplete.
2.3TheThirdPartyshallverifythedescriptionofthegoodsandensureitsaccuracypriortotheexecutionofthisContract.
**3.TermsofPayment**

4.3ThePrincipalShippershallprovideallnecessarydocumentationandinformationtotheCarrierandtheThirdParty,inatimelymanner,tofacilitatethetransportationprocess.
**5.Carrier'sRightsandObligations**
5.1TheCarrierhastherighttorequestthePrincipalShippertoprovideadditionaldocumentationorinformation,ifnecessary,tofacilitatethetransportationprocess.
5.2TheCarriershallprovidethePrincipalShipperwithregularupdatesonthestatusofthegoodsduringtransportation.
5.3TheCarriershallcomplywiththeapplicableinternationalmaritimelawsandregulations,andensurethesafeandtimelydeliveryofthegoods.
**6.ThirdParty'sRightsandObligations**
6.1TheThirdPartyhastherighttorequestthePrincipalShipperandtheCarriertocomplywiththetermsandconditionsofthisContract.
6.2TheThirdPartyshallactasaneutralpartyandshallnotbeliableforanyactoromissionofeitherthePrincipalShipperortheCarrier.
6.3TheThirdPartyshallensuretheconfidentialityofanyinformationprovidedbyeitherpartyandshallnotusesuchinformationforanypurposeotherthanfacilitatingthetransportationservices.
**7.Carrier'sLiabilityandLimitations**
7.1TheCarriershallbeliablefortheloss,damage,ordelayofthegoodsduringtransportationtotheextentprovidedbytherelevantmaritimelawsandregulations.
7.2TheCarrier'sliabilityshallbelimitedtothevalueofthegoodsasdeclaredbythePrincipalShipper,asspecifiedinScheduleEattachedhereto.
**8.PrincipalShipper'sLimitationsofLiability**
8.1ThePrincipalShippershallnotbeliableforanyloss,damage,ordelayofthegoodscausedbyanyactoromissionoftheCarrierortheThirdParty.
8.2ThePrincipalShipper'sliabilityshallbelimitedtothetransportationfeepaidtotheCarrier,intheeventoftheCarrier'sbreachofthisContract.
**9.ForceMajeure**
9.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,embargoes,governmentregulations,oranyothereventbeyondthereasonablecontroloftheparties.
**10.GoverningLawandDisputeResolution**
10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedinScheduleFattachedhereto.
10.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothecompetentcourtofthejurisdictionspecifiedinScheduleFattachedheretoforarbitration.

**6.ThirdParty'sRightsandObligations**

**7.PrincipalCarrier'sLiabilityandLimitations**

8.2TheShipper'sliabilityshallbelimitedtothetransportationfeepaidtothePrincipalCarrier,intheeventofthePrincipalCarrier'sbreachofthisContract.
