NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:

1.ScopeoftheContract

ThisContractshallapplytothetransportationofgoodsbyseafrom[PortofLoading]to[PortofDischarge]inaccordancewiththeprovisionsoftheHague-VisbyRules(hereinafterreferredtoas"theRules")andthetermsandconditionssetforthherein.

2.DescriptionofGoods

3.RateofFreight

TheCarriershallnotberesponsiblefortheinsuranceoftheGoods.PartyBshallarrangeforinsurancefortheGoodsandprovidetheCarrierwithacopyoftheinsurancepolicy.

6.Liability

TheCarriershallbeliableforanylossordamagetotheGoodscausedbyitsnegligenceorfault.However,suchliabilityshallbesubjecttothelimitationssetforthintheRules.

7.Termination

ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationisnotcontrarytotheprovisionsofapplicablelawsandregulations.

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].

9.Miscellaneous

a.ThisContractconstitutestheentireagreementbetweenthepartiesheretowithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,understandings,orrepresentations,whetheroralorwritten,ofthepartieshereto.

b.AnyamendmentormodificationtothisContractshallbeeffectiveonlyifitisinwritingandsignedbybothparties.

c.ThisContractmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

a.PartyAshallhavetherighttoreceiveregularupdatesonthestatusoftheGoodsduringtransportation;

b.PartyAshallhavetherighttoinspecttheGoodsupondeliveryatthePortofDischarge;

c.PartyAshallhavetherighttoclaimcompensationfromPartyBforanylossordamagetotheGoodscausedbyPartyB'snegligenceorfault.

6.PartyA'sObligations

a.PartyAshallprovideaccurateandcompleteinformationregardingtheGoodstoPartyBandPartyC;

b.PartyAshallensurethattheGoodsareproperlypackedandpreparedfortransportation;

c.PartyAshallcomplywithallapplicablelawsandregulationsregardingthetransportationoftheGoods.

7.PartyB'sObligations

a.PartyBshalltransporttheGoodswithduecareanddiligenceinaccordancewiththeprovisionsoftheRules;

b.PartyBshallprovidePartyAwithacopyofthebillofladinguponcompletionofthetransportation;

c.PartyBshallindemnifyPartyAagainstanylossordamagetotheGoodscausedbyitsnegligenceorfault,subjecttothelimitationssetforthintheRules.

8.PartyB'sRights

a.PartyBshallhavetherighttoreceivepaymentforthetransportationoftheGoodsfromPartyAorPartyC;

9.PartyC'sRightsandObligations

a.PartyCshallhavetherighttoreceiveafeeforitsintermediaryandfacilitationservicesfromPartyAorPartyB;

10.DefaultandLimitations

a.IntheeventofPartyB'sbreachoftheContract,PartyAshallhavetherighttoterminatetheContractandclaimcompensationfromPartyB;

b.PartyBshallnotbeliableforanylossordamagetotheGoodsbeyondthelimitssetforthintheRules.

11.GoverningLaw

12.Miscellaneous

TheinterventionoftheThirdPartyinthisContractservestoensurethesmoothandefficienttransportationoftheGoods,whilealsoprovidinganadditionallayerofoversightanddisputeresolution.ByhavingPartyCastheintermediary,PartyAcanfocusonitscorebusinessactivitieswhilebeingassuredoftheGoods'safeandtimelydelivery.ThepurposeofPartyAbeingthedominantpartyinthisContractistoprotectitsinterests,securethedeliveryoftheGoods,andtohavethefinalsayinanydisputesthatmayariseduringthetransportationprocess.

b.PartyBshallhavetherighttoinspecttheGoodsupondeliveryatthePortofDischarge;

c.PartyBshallhavetherighttoclaimcompensationfromPartyAforanylossordamagetotheGoodscausedbyPartyA'snegligenceorfault.

5.PartyB'sObligations

a.PartyBshallprovideaccurateandcompleteinformationregardingtheGoodstoPartyAandPartyC;

b.PartyBshallensurethattheGoodsareproperlypackedandpreparedfortransportation;

c.PartyBshallcomplywithallapplicablelawsandregulationsregardingthetransportationoftheGoods.

6.PartyA'sObligations

a.PartyAshalltransporttheGoodswithduecareanddiligenceinaccordancewiththeprovisionsoftheRules;
