INTERNATIONALSALEOFGOODSAGREEMENT

ThisAgreementismadeandenteredintothis______dayof______,20__,byandbetween:

ABCCorporation,acorporationorganizedandexistingunderthelawsof______,withitsprincipalplaceofbusinessat______(hereinafterreferredtoas"Seller"),and

DEFImport-ExportLtd.,acompanyincorporatedunderthelawsof______,withitsregisteredofficeat______(hereinafterreferredtoas"Buyer").

WHEREAS,SellerisengagedinthebusinessofmanufacturingandsellinggoodsofthetypedescribedinScheduleAattachedhereto(the"Goods"),and

WHEREAS,BuyerwishestopurchasetheGoodsfromSellerforresaleoruseinitsbusiness,

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.SALEANDPURCHASEOFGOODS

1.1SelleragreestosellandBuyeragreestopurchasetheGoodsassetforthinScheduleAattachedhereto,whichisincorporatedbyreferenceandmadeapartofthisAgreement.

1.2TheGoodsshallbedeliveredtotheportofloadingspecifiedinScheduleA(the"PortofLoading")andshallbeshippedtotheportofdestinationspecifiedinScheduleA(the"PortofDestination")inaccordancewiththetermsofthisAgreement.

2.PRICE

2.1ThepricefortheGoodsshallbeasspecifiedinScheduleA(the"Price").

2.2ThePriceisexclusiveofalltaxes,duties,andchargesimposedbyanygovernmentorauthority,whichshallbebornebyBuyer,unlessotherwisespecifiedinScheduleA.

3.PAYMENTTERMS

3.1BuyershallpaytoSellerthePriceinaccordancewiththepaymenttermsspecifiedinScheduleA.

3.2TimeisoftheessencewithrespecttoBuyer'spaymentobligationsunderthisAgreement.

4.DELIVERYANDSHIPMENT

4.1SellershalldelivertheGoodstothePortofLoadingonorbeforethedeliverydatespecifiedinScheduleA.

4.2TheGoodsshallbeshippedbySelleronorbeforetheshipmentdatespecifiedinScheduleA.

4.3SellershallprovideBuyerwithwrittennoticeoftheshipmentoftheGoods,includingthenameofthevessel,thebillofladingnumber,andtheexpecteddateofarrivalatthePortofDestination.

5.RISKOFLOSS

5.1TheriskoflossordamagetotheGoodsshallpasstoBuyerupondeliveryoftheGoodstothecarrieratthePortofLoading(ExWorks,Incoterms2020).

6.INSPECTIONANDACCEPTANCE

6.1BuyershallhavetherighttoinspecttheGoodsatthePortofDestinationwithin______daysafterarrivaloftheGoods.

6.2IftheGoodsdonotconformtothespecificationssetforthinScheduleA,BuyermayrejecttheGoodsbywrittennoticetoSellerwithin______daysaftertheinspection.

7.WARRANTY

7.1SellerwarrantsthattheGoodsshallconformtothespecificationssetforthinScheduleAandshallbefreefromdefectsinmaterialandworkmanshipforaperiodof______monthsfromthedateofdeliverytothePortofLoading.

7.2ThewarrantysetforthinthisSection7shallbethesoleandexclusiveremedyofBuyerwithrespecttoanybreachofwarranty.

8.LIABILITYANDINDEMNIFICATION

8.1SellershallindemnifyandholdharmlessBuyerfromandagainstanyandallclaims,demands,suits,oractions,andanyandalllosses,costs,andexpenses(includingreasonableattorneys'fees),arisingoutoforinconnectionwithanyclaimthattheGoodsinfringeanypatent,copyright,trademark,orotherintellectualpropertyrightofanythirdparty.

9.TERMINATION

9.1ThisAgreementmaybeterminatedbyeitherpartyupon______days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty,whichbreachisnotcuredwithinsuch______days'period.

10.GOVERNINGLAW

10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof______.

11.DISPUTERESOLUTION

11.1AnydisputearisingoutoforinconnectionwiththisAgreementshallbesubmittedtoarbitrationin______inaccordancewiththerulesofthe______.

12.SEVERABILITY

13.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreem
