1.SUBJECTMATTEROFTHECONTRACT

TheSellershallsellandtheBuyershallpurchasethefollowingtextiles,hereinafterreferredtoas“theGoods”:

2.PRICEANDPAYMENT

4.TRANSITANDINSURANCE

TheSellershallarrangeandpayforthetransportationoftheGoodsfromtheplaceofdeliverytotheBuyer’sdesignatedlocation.TheSellershallalsoarrangeandpayfortheinsuranceoftheGoodsduringtransit.

5.WARRANTIES

TheSellerwarrantsthattheGoodsshallbefreefromanydefectsorimperfections,andshallconformtothespecificationssetforthinthisContract.TheSellershallalsoprovidetheBuyerwiththenecessarydocumentation,includingbutnotlimitedto,certificatesoforigin,qualitycertificates,andinspectioncertificates.

6.LIABILITYANDLIMITATIONOFLIABILITY

TheSellershallbeliableforanydefectsorimperfectionsintheGoods.However,theSeller’sliabilityshallbelimitedtothereplacementorrepairofthedefectiveGoods,ortherefundofthepurchasepricepaidbytheBuyer.

7.FORCEMAJEURE

IntheeventofanydelayorfailuretoperformitsobligationsunderthisContractduetounforeseeableandirresistiblecircumstancesbeyonditscontrol,includingbutnotlimitedtonaturaldisasters,war,strikes,orgovernmentactions,theaffectedpartyshallbeexcusedfromsuchdelayorfailureandshallnotbeliableforanylossesordamagesresultingtherefrom.

8.DISPUTERESOLUTION

IntheeventofanydisputesarisingfromorinconnectionwiththisContract,thepartiesshallendeavortoresolvesuchdisputesamicablythroughnegotiations.Ifthepartiesfailtoreachanamicableresolutionwithin[specifiedperiod],thedisputeshallbesubmittedto[designatedcourtorarbitrationinstitution]forresolution.

9.GENERALPROVISIONS

5.THIRDPARTY'SLIABILITYANDLIMITATIONOFLIABILITY

a.TheThirdPartyshallbeliableforanydirectdamagescausedtothePrincipalBuyerduetoitsnegligenceorbreachofcontract.

b.TheThirdParty’sliabilityshallbelimitedtothefeereceivedforitsservicesandshallnotextendtoindirectorconsequentialdamages.

6.BUYER'SRIGHTSANDINTERESTS

a.ThePrincipalBuyershallhavetherighttorequesttheThirdPartytoprovideadditionalservices,suchasqualitycontrol,logistics,orfinancing,andsuchservicesshallbesubjecttoaseparateagreement.

b.ThePrincipalBuyershallhavetherighttoterminatethisContractandseekdamagesifthePrincipalSellerortheThirdPartyfailstocomplywiththeirobligationsundertheContract.

7.BUYER'SLIMITATIONSANDRESTRICTIONS

a.ThePrincipalBuyershallnotdiscloseanyconfidentialinformationobtainedfromthePrincipalSellerortheThirdPartytoanythirdpartywithoutthepriorwrittenconsentofthePrincipalSellerortheThirdParty.

b.ThePrincipalBuyershallnotusetheGoodsforanyillegalorunauthorizedpurposes.

8.BREACHOFCONTRACTANDREMEDIES

a.IntheeventofabreachofthisContractbythePrincipalSellerortheThirdParty,thePrincipalBuyershallhavetherighttoterminatethisContractandseekdamages.

b.ThePrincipalBuyershallhavetherighttorecoveranylossesincurredduetothebreachofContract,includingbutnotlimitedto,thecostofreplacementGoods,thecostofobtainingsubstituteservices,andanyotherdirectorindirectlosses.

9.DISPUTERESOLUTION

IntheeventofanydisputesarisingfromorinconnectionwiththisContract,thepartiesshallendeavortoresolvesuchdisputesamicablythroughnegotiations.Ifthepartiesfailtoreachanamicableresolutionwithin[specifiedperiod],thedisputeshallbesubmittedto[designatedcourtorarbitrationinstitution]forresolution.

10.GENERALPROVISIONS
