英文合同模板合同編號(hào)：__________本合同由以下雙方于[合同簽訂日期]簽訂：甲方：公司名稱：[甲方公司名稱]法定代表人：[甲方代表姓名]地址：[甲方公司地址]聯(lián)系方式：[甲方聯(lián)系電話]乙方：公司名稱：[乙方公司名稱]法定代表人：[乙方代表姓名]地址：[乙方公司地址]聯(lián)系方式：[乙方聯(lián)系電話]1.DefinitionsandInterpretations1.1DefinitionsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsascribedtothembelow:"Contract"meansthisagreement,includingallschedules,appendices,andamendments."Services"meantheservicestobeprovidedtheSuppliertothePurchaserasspecifiedinthisContract."IntellectualPropertyRights"meanpatents,copyrights,trademarks,tradesecrets,andothersimilarrights.1.2InterpretationsWordsinthesingularincludethepluralandviceversa.Referencestoonegenderincludeallgenders.HeadingsareforconvenienceonlyanddonotaffecttheinterpretationofthisContract.2.ContractSubjectandScope2.1SubjectMatterThisContractisfortheprovisionof[specificservicesorgoods](the"SubjectMatter").2.2ScopeofWorkTheSuppliershallperformthefollowingwork(the"ScopeofWork"):[Describeindetailtheworktobeperformed,includinganydeliverables,milestones,andtimelines.]3.Parties'RightsandObligations3.1RightsofthePartiesEachpartyshallhavetherightsandprivilegesassetforthinthisContractandasotherwiseprovidedlaw.3.2ObligationsofthePartiesTheSuppliershall:(a)PerformtheServicesinaprofessionalandworkmanlikemanner,inaccordancewithindustrystandards.(b)Complywithallapplicablelaws,regulations,andstandards.ThePurchasershall:(a)ProvidetheSupplierwithallnecessaryinformationandassistancetoenabletheSuppliertoperformtheServices.(b)PaythepricefortheServicesassetforthinthisContract.4.PriceandPayment4.1PriceThetotalpricefortheServicesis[amount](the"Price").4.2PaymentTermsThePurchasershallpaythePriceinthefollowingmanner:(a)Aninitialdepositof[percentage]ofthePriceshallbepaidwithin[numberofdays]daysaftertheexecutionofthisContract.(b)TheremainingbalanceshallbepaiduponpletionoftheServicesandacceptancethePurchaser.5.DeliveryandAcceptance5.1DeliveryTheSuppliershalldelivertheServicesorgoodstothePurchaseratthelocationspecifiedinthisContract(the"DeliveryLocation")onorbeforethedatespecifiedinthisContract(the"DeliveryDate").5.2AcceptanceThePurchasershallhave[numberofdays]daysfromthedateofdeliverytoinspectandacceptorrejecttheServicesorgoods.IfthePurchaserfailstonotifytheSupplierofanyrejectionwithinthisperiod,theServicesorgoodsshallbedeemedaccepted.6.IntellectualPropertyRights6.1OwnershipofIntellectualPropertyAllIntellectualPropertyRightsinandtotheServicesandanydeliverablescreatedtheSupplierinthecourseofperformingtheServicesshallremainthepropertyoftheSupplier,exceptasotherwiseexpresslyprovidedinthisContract.6.2LicenseGrantsTheSuppliergrantstothePurchaseranonexclusive,royaltyfreelicensetousetheIntellectualPropertyRightsinandtotheServicesandanydeliverablesforthepurposesofthisContract.7.Confidentiality7.1ConfidentialInformationThepartiesacknowledgethatduringthecourseofthisContract,theymayhaveaccesstocertainconfidentialinformationoftheotherparty(the"ConfidentialInformation").ConfidentialInformationshallinclude,butnotbelimitedto,tradesecrets,businessplans,customerlists,andfinancialinformation.7.2ObligationsofConfidentialityEachpartyshall:(a)KeeptheConfidentialInformationconfidentialandnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.(b)UsetheConfidentialInformationonlyforthepurposesofthisContract.8.WarrantiesandRepresentations8.1WarrantiesofthePartiesTheSupplierwarrantsthat:(a)TheServiceswillbeperformedinaprofessionalandworkmanlikemannerandinaccordancewiththerequirementsofthisContract.(b)TheServicesandanydeliverableswillnotinfringetheIntellectualPropertyRightsofanythirdparty.ThePurchaserwarrantsthat:(a)IthasthelegalcapacityandauthoritytoenterintothisContract.(b)ItwillplywithallofitsobligationsunderthisContract.8.2RepresentationsEachpartyrepresentsandwarrantsthatthestatementsmadeinthisContractaretrueandaccurateasofthedateofthisContract.9.LimitationofLiability9.1GeneralLimitationofLiabilitySubjecttotheprovisionsofthisContract,neitherpartyshallbeliabletotheotherforanyindirect,consequential,orpunitivedamagesarisingoutoforinconnectionwiththisContract.9.2ExceptionstoLimitationofLiabilityNotwithstandingtheforegoing,neitherparty'sliabilityfor:(a)Deathorpersonalinjurycauseditsnegligence.(b)Fraudorfraudulentmisrepresentation.(c)Breachofanyobligationarisingundersection[sectionnumber]ofthe[applicablelaw]shallbelimitedorexcluded.10.ForceMajeure10.1DefinitionofForceMajeure"ForceMajeure"meansanyeventorcircumstancebeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,war,terrorism,strikes,lockouts,riots,civilmotion,naturaldisasters,andgovernmentactions.10.2ConsequencesofForceMajeureIfapartyispreventedfromperformingitsobligationsunderthisContractduetoForceMajeure,thatpartyshallgivenoticetotheotherpartyassoonaspracticableandshalluseitsbesteffortstominimizetheeffectsoftheForceMajeureevent.Theperformanceoftheaffectedparty'sobligationsshallbesuspendedforthedurationoftheForceMajeureevent.11.TermandTermination11.1TermoftheContractThisContractshallmenceonthedateofexecutionandshallcontinueinforceforaperiodof[numberofyears]years(the"Term").11.2TerminationRightsEitherpartymayterminatethisContractinthefollowingcircumstances:(a)IftheotherpartymateriallybreachesthisContractandfailstocurethebreachwithin[numberofdays]daysafterreceiptofwrittennoticeofthebreach.(b)Iftheotherpartybeesinsolvent,filesforbankruptcy,orhasareceiverappointedoveritsassets.12.DisputeResolution12.1NegotiationIntheeventofadisputeordifferencearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.12.2MediationIfthedisputeisnotresolvedthroughnegotiationwithin[numberofdays]days,thepartiesshallattempttoresolvethedisputethroughmediation.12.3ArbitrationIfthedisputeisnotresolvedthroughmediationwithin[numberofdays]days,thepartiesagreetosubmitthedisputetoarbitrationinaccordancewiththerulesof[arbitrationinstitution].12.4JurisdictionNotwithstandingtheforegoing,eitherpartymayseekinjunctiveorotherequitablereliefinanycourtofpetentjurisdiction.13.GoverningLaw13.1ApplicableLawThisContractshallbegovernedandconstruedinaccordancewiththelawsof[jurisdiction].14.MiscellaneousProvisions14.1EntireAgreementThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,representations,andagreements,whetherwrittenororal.14.2AmendmentsandWaiversNoamendmentorwaiverofanyprovisionofthisContractshallbeeffecti
