TeaExportTradeContract

ThisTeaExportTradeContract(hereinafterreferredtoas"Contract")ismadeandenteredintoasof[Date],byandbetween[Seller'sName],acompanydulyorganizedandexistingunderthelawsof[Seller'sCountry],withitsprincipalplaceofbusinessat[Seller'sAddress](hereinafterreferredtoas"Seller"),and[Buyer'sName],acompanydulyorganizedandexistingunderthelawsof[Buyer'sCountry],withitsprincipalplaceofbusinessat[Buyer'sAddress](hereinafterreferredtoas"Buyer").

Article1:SubjectMatteroftheContract

1.1TheSelleragreestosellandtheBuyeragreestopurchasethefollowinggoods(hereinafterreferredtoas"Goods")asspecifiedintheattachedSchedule1(hereinafterreferredtoas"Schedule1"),whichformsanintegralpartofthisContract.

Article2:SpecificationsandQualityoftheGoods

2.1TheGoodsshallbeofthespecifications,quality,andgradeasstipulatedinSchedule1.

2.2TheGoodsshallbepackedinnewandsoundcontainers,suitableforlong-distanceoceantransportationandwellprotectedagainstdampness,moisture,rust,andshock,andproperlymarked.

Article3:QuantityandWeight

3.1ThequantityandweightoftheGoodsshallbeasstipulatedinSchedule1.

3.2ThequantityoftheGoodsshallbesubjecttoamoreorless10%variationattheoptionoftheSeller,andthetotalcontractpriceshallbeadjustedaccordingly.

Article4:PriceTerms

4.1ThepriceoftheGoodsshallbeasstipulatedinSchedule1(hereinafterreferredtoas"Price").

4.2ThePriceisbasedonthecostofproduction,packing,andloadingoftheGoodsattheSeller'spremises,andisexclusiveofthecostoftransportation,insurance,andotherexpensesrequiredtodelivertheGoodstotheportofshipmentandfromtheportofshipmenttotheportofdestination.

Article5:PaymentTerms

5.1TheBuyershallopenthrough[BankName]anirrevocableletterofcreditinfavoroftheSeller,payableatsightandtobeavailableagainstthepresentationofthedocumentsspecifiedinSchedule1.

5.2Theletterofcreditmustbeopenedwithin[Number]daysafterthesigningofthisContractandremainvaliduntil[Number]daysafterthedateofshipment.

Article6:Shipment

6.1TheGoodsshallbeshippedfrom[PortofShipment]onorbefore[Date].

6.2TheSellershallnotifytheBuyerbycable/faxwithin[Number]daysaftertheshipmentoftheGoods,givingdetailsofthecontractnumber,commodity,quantity,invoicevalue,nameofthevessel,anddateofshipment.

Article7:Insurance

7.1TheBuyershallarrangeinsurancefortheGoodscoveringtherisksoflossordamageduringtransitfromtheportofshipmenttotheportofdestination.

7.2TheBuyershall,uponrequest,providetheSellerwiththepolicyorcertificateofinsurance.

Article8:InspectionandClaim

8.1TheGoodsshallbeinspectedbyanindependentsurveyorattheportofshipmentbeforeloading.

8.2TheBuyershallhavetherighttoappointanindependentsurveyortoinspecttheGoodsattheportofdestination.

8.3Incaseofanydiscrepancyinquality,quantity,orweight,theBuyermay,within[Number]daysafterthearrivaloftheGoodsattheportofdestination,lodgeaclaimwiththeSeller,providingthattheclaimissupportedbyasurveyreportissuedbytheindependentsurveyorappointedbytheBuyer.

Article9:ForceMajeure

9.1EitherpartyshallnotbeheldresponsibleforanyfailuretofulfillanyobligationunderthisContractifsuchfailureisduetocausesbeyondtheircontrol,suchaswar,earthquake,flood,oranyotherforcemajeureevent.

9.2Ifaforcemajeureeventoccurs,theaffectedpartyshallpromptlynotifytheotherpartyandprovideacertificateissuedbythecompetentauthoritiesasevidence.

Article10:Arbitration

10.1AnydisputearisingoutoforinconnectionwiththisContractshallbesubmittedtoarbitrationin[ArbitrationLocation]inaccordancewiththerulesof[ArbitrationInstitution].

10.2Thearbitralawardshallbefinalandbindinguponbothparties.

Article11:ApplicableLaw

11.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLawCountry].

Article12:EffectivenessoftheContract

12.1ThisContractshallcomeintoeffectuponthedateofitssigningandshallremaininforceuntiltheperformanceofallobligationsbybothparties.

Article13:AmendmentsandSupplements

13.1AnyamendmentsorsupplementstothisContractmustbemadeinwritingandsignedbybothparties.

Article14:Notices

14.1Anynotice,request,consent,orothercommunicationrequiredorpermittedtobegivenunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredorsentbyregisteredmailtotheaddressoftherecipientasspecifiedinthisContract.

Article15:EntireAgreement

15.1ThisContract,includingSchedule1,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,representations,andagreements.

Article16:Assignment

16.1NeitherpartymayassignanyofitsrightsordelegateanyofitsobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.

Article17:Severability

17.1IfanyprovisionofthisContractisheldtobeillegal,invalid,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

Article18:Counterparts

18.1ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginalandallofwhichtogethershallconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thepartiesheretohavecausedthisContracttobeexecutedbytheirdulyauthorizedrepresentativesasofthedayandyearfirstabovewritten.
